1 MOTIONED BY: SECONDED BY: RESOLUTION RESOLUTION OF THE WEST NEW YORK PARKING AUTHORITY APPROVING PAYMENT OF BILLS WHEREAS, the West New York Parking Authority (hereinafter the Authority ) is a public body corporate and politic of the State of New Jersey, duly formed under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq., and possesses the powers set forth therein; and WHEREAS, the Authority is empowered to adopt the within Resolution pursuant to and under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq.; and BE IT RESOLVED that the West New York Parking Authority hereby approves the attached list of bills for January 2014 through February 2014 for processing and payment; and BE IT FURTHER RESOLVED that the aforestated authorizations are made subject to the certification of availability of funds by the Certifying Financial Officer. 2 RESOLUTION RESOLUTION OF THE WEST NEW YORK PARKING AUTHORITY APPROVING THE QUALIFICATIONS FOR AUDITOR AND AUTHORIZING EXECUTION OF A CONTRACT FOR AUDITING SERVICES FOR 2014 WITH LERCH, VINCI & HIGGINS MOTIONED BY: SECONDED BY: WHEREAS, the West New York Parking Authority (hereinafter the Authority ) is a public body corporate duly formed under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq., and possesses the powers set forth therein; and WHEREAS, the Authority is empowered to adopt the within Resolution pursuant to and under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq.; and WHEREAS, as of January 1, 2006, the State Pay and Play law, N.J.S.A. 19:44A-20.1, et. seq., enacted by the New Jersey State Legislature became effective; and WHEREAS, pursuant to N.J.S.A. 19:44A-20.1 et. seq., the Authority may not award contracts with a value in excess of $17, to a business entity which has made reportable contributions in excess of $300.00, in the aggregate, to the member municipality s political parties or to any candidate s committee of any person serving in an elective public office of the member municipality when such contract was awarded, unless said business entity is awarded a contract under a fair and open process pursuant to N.J.S.A. 19:44A-20.1 et. seq.; and WHEREAS, a fair and open process constitutes the following: (1) public advertisement of a Request for Qualifications (hereinafter the RFQ ) with ten (10) calendar days notice prior to the receipt of responses to the RFQ; (2) award of a contract under a process that provides for public solicitation of qualifications; (3) award of contract under publicly disclosed criteria established, in writing, by the public entity prior to the solicitation of qualifications; and (4) the public entity shall publicly open and announce the qualifications when awarded; and WHEREAS, the Authority issued a public solicitation for qualified firms to perform the required auditing services in accordance with the Fair and Open procedures as established in the Pay to Play Law, N.J.S.A. 19:44A-20.4, et seq.; and WHEREAS, the Authority issued a Notice of Request for Qualifications on January 16, 2014 with Responses due on February 6, 2014; and WHEREAS, after review of the proposals by the Authority, the Authority wishes to qualify and retain the services of Lerch, Vinci & Higgins for Auditing Services and to enter into a contract with this firm for said services; and WHEREAS, the professional services to be performed by this firm are services which predominantly require mental or intellectual skill and knowledge, and as such, are awarded without v1 ( )
3 competitive bidding as a "professional service" pursuant to and in accordance with the Local Public Contracts Law, N.J.S.A. 40A:11-2; and WHEREAS, Lerch, Vinci & Higgins and the Authority have negotiated an Agreement to provide Auditing Services which provides for terms and conditions of retention including a not to exceed number of $17,400; NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the West New York Parking Authority that Lerch, Vinci & Higgins be and hereby is authorized to render auditing services to the Authority; and BE IT FURTHER RESOLVED, by the Board of Commissioners as follows: 1. That the Executive Director is hereby authorized to enter into a contract with Lerch, Vinci & Higgins to perform auditing services for a period beginning on February 18, 2014 and ending on December 31, 2014 in an amount not to exceed $17, That each firm, consultant and professional appointed hereby is specifically placed on notice that they will be required to comply with the Affirmative Action regulations of P.L c That a copy of this resolution shall be maintained in the Office of the Executive Director and made available for public inspection. 4. That the Certifying Financial Officer of the Authority has certified as to the availability of funds for the contracts within the limits set by this resolution. 5. No further action of the Board shall be required in connection with this matter, and this resolution shall take effect immediately. 9 MOTIONED BY: SECONDED BY: RESOLUTION RESOLUTION OF THE WEST NEW YORK PARKING AUTHORITY ADOPTING A TABLE OF ORGANIZATION FOR THE WEST NEW YORK PARKING AUTHORITY WHEREAS, the West New York Parking Authority (hereinafter the Authority ) is a public body corporate duly formed under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq., and possesses the powers set forth therein; and WHEREAS, the Authority is empowered to adopt the within Resolution pursuant to and under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq.; and WHEREAS, in order to efficiently and effectively handle the day to day operations of the Authority, it is necessary for both employees and residents/customers to understand the employment structure at the Authority; and WHEREAS, the executive staff of the Authority has drafted an organizational chart (the Table of Organization ) for the Authority;; and WHEREAS, the Board of Commissioners has reviewed the annexed Table of Organization and believes it to be in the best interest of the Authority to adopt same. NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the West New York Parking Authority that the annexed Table of Organization of the West New York Parking Authority be and hereby is adopted; and BE IT FURTHER RESOLVED, that this resolution shall take effect immediately; and BE IT FURTHER RESOLVED, that a copy of this resolution, along with the annexed Table of Organization, shall be maintained in the Office of the Executive Director and made available for public inspection. 11 RESOLUTION RESOLUTION OF THE WEST NEW YORK PARKING AUTHORITY AUTHORIZING A PAID PERMIT HOLDER ONLY SECTION IN THE NORTHWEST SECTION OF THE PARKING FACILITY LOCATED ON 51 ST STREET AND BERGENLINE AVENUE, IN THE TOWN OF WEST NEW YORK, TO BE UTILIZED BY MONTHLY PERMIT HOLDERS, QUARTERLY PERMIT HOLDERS AND HUDSON COUNTY COMMUNITY COLLEGE PERMIT HOLDERS MOTIONED BY: SECONDED BY: WHEREAS, the West New York Parking Authority (hereinafter the Authority ) is a public body corporate duly formed under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq., and possesses the powers set forth therein; and WHEREAS, the Authority is empowered to adopt the within Resolution pursuant to and under the Parking Authority Law, N.J.S.A. 40:11A-1 et seq.; and WHEREAS, the Authority wishes to designate one section, particularly the northwest section, of the parking facility located on 51 st Street and Bergenline Avenue, in the Town of West New York (the 51 st Street Lot ) to those customers that are monthly permit holders, quarterly permit holders and Hudson County Community College permit holders; and WHEREAS, the Authority considers it to be in the best interest of the residents of the Town for the northwest section of the 51 st Street Lot to be deemed a Paid Permit Holder Only section; and WHEREAS, in order to effectuate same, the staff of the Authority shall erect Paid Permit Holder Only signage at the 51 st Street Lot. NOW, THEREFORE, BE IT RESOLVED by the Board of Commissioners of the West New York Parking Authority that the Paid Permit Holder Only section in the northwest section of the parking facility located on 51 st Street and Bergenline Avenue, in the Town of West New York, be and hereby is established; and BE IT FURTHER RESOLVED, that the Paid Permit Holder Only section of the 51 st Street Lot shall be utilized by monthly permit holders, quarterly permit holders and the Hudson County Community College permit holders; and BE IT FURTHER RESOLVED, that the staff of the Authority shall erect signage at the 51 st Street Lot establishing a Paid Permit Holder Only section;; and BE IT FURTHER RESOLVED, that this resolution shall take effect immediately v1 ( )
