1 Present: Joe Austin Amy Larson Chris White Jenny Groskopf Mark Lenz Marlys Williamson Nicole Jolicoeur Absent: Tim Dahl Tom Suppes Tyler Treichel Call to order: The meeting was called to order at 1:38 p.m. at MCIT. I. Minutes from April 13, 2017 Meeting Amy Larson moved and Chris White seconded a motion to approve the minutes from April 13, 2017, as updated. II. Treasurer s Report a. LMCIT Financial Reports March 31, 2017 Chris White made the following comments pertaining to these reports: March 2017 Revenue ($515) Government Dues ($390) o $ Six Government Memberships (6 x $60) o $30.00 Two Associate Government Memberships (2 x $15) Affiliate Dues ($125.00) o $ One Less than 50 Employees (1 x $125) March 2017 Expenditures ($343.83) Member Meetings ($343.83) o $ March Meeting, Panera: Amy Larson o $31.84 Meetings, plates/napkins/forks: Amy Larson Current Balance As of March 31, 2017, the balance is $11,492. b. Other Chris White will provide the board with the 2015 and 2016 year-end financial statements, so a comparison of the budgets with the actual revenue and expenses can be made. Financial Statements: Chris will request a line be added under Revenue and under Expenses, indicating the change from the prior month. Explanations regarding revenue/expenses will be added to the Finance Notes page.

Membership Report The board will make follow-up phone calls to those members who have not yet paid their 2017 membership dues: Duff & Phelps Affiliate Memberships Status Check not yet received, though Duff & Phelps had indicated to Tom Suppes that it was in the mail. Tom will follow up with Michael Domin. IV. Meeting Topics and Planning a. Meetings 1. Member Designated Representatives on Board (Jenny Groskopf, Nicole Jolicoeur, Marlys Williamson) Nicole Jolicoeur will check with her entity regarding being named as the designated MN PRIMA representative. Jenny Groskopf and Marlys Williamson have recently been named as the designated MN PRIMA representative for their entity. B. Bylaws Amy Larson passed out a copy of the bylaws to the board.

4 Page 4 of 5 C. Speaker Gifts/Member Gifts Chris White located a great deal on pens. Amy Larson moved and Jenny Groskopf seconded a motion for Chris to obtain a quote for 100 red pens (blue ink preferred but not required). If purchased, the pens would be given to active MN PRIMA members. D. Compliance Non-Profit Status i. 501(c)(3) Renewal Due 5/15 IRS 990 e-postcard The Federal 501(c)(3) tax filing was completed via an online postcard and confirmed on April 28, prior to the annual due date of May 15 th. ii. State Renewal Due 12/31 The State of Minnesota s Annual Business Renewal, consisting of three questions, is to be completed via a link to the state s website. The Annual Business Renewal is due by December 31 st. E. Website i. Membership Listing (Chris White) ii. Automatic Registration Response/Board Response Chris White confirmed with Webmaster, Laura Honeck, that she can have the system generate an acknowledgment/ thank you for online registrants. iii. Photos Amy Larson took photos of board members for the MN PRIMA website. (A photo of Tim Dahl is still needed.) iv. Amy Larson National PRIMA President Amy Larson will ask National PRIMA whether the article in the Public Risk Magazine concerning her presidency can be posted on the MN PRIMA website. Also, adding a link from the MN PRIMA website to the magazine was discussed. v. Board Only Section on Website 1. New Board Member Orientation/Board Duties update (working topic) 2. Annual/Chapter Meeting Checklists (working topic) The checklists can be found under the Board Only section on the MN PRIMA website. F. Affiliate Member Inquiry CBIZ s Pierre Jacob contacted Amy Larson to learn more about MN PRIMA. Amy will refer Pierre to Tom Suppes.
