1 Oak Ridge High School Band Boosters Association Bylaws (Revised / / ) Article I. Name a. The name of this organization shall be the Oak Ridge High School Band Boosters Association, also known as Oak Ridge High School WildBand Boosters and ORHS Band Boosters Association. The Oak Ridge High School Band Boosters Association will herein after be referred to as Boosters in these Bylaws. Article II. Purpose and Activities a. The Boosters are organized exclusively for charitable, religious, educational, and scientific purposes under section 501(c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code. The purpose of the Boosters is to support and enhance the Band Program of Oak Ridge High School, Oak Ridge, Tennessee in cooperation with the school administration and band directors. b. The Boosters will seek to create and nurture a general atmosphere of school spirit, promote enthusiasm for the school s Band Program and also provide moral support to the school s band students and directors. c. The Boosters will fulfill the parental volunteer labor requirements as needed and identified by the Band Directors. d. The Boosters will organize and manage approved fund raising activities as necessary to augment the financial requirements/needs of the Band Program. This includes the yearly Fruit Sale and a breakfast fundraiser. 1/21/2011 Page 1 of 5

2 Article III. Officers a. The officers of the Boosters shall be President, Vice-President, Secretary and Treasurer. A. The President shall ensure that all meetings and activities function as per the bylaws, preside over meetings and shall be considered the primary representative of the Boosters, unless otherwise delegated. B. The Vice-President shall perform the duties of the President in the President s absence or as delegated and perform other duties as needed by the Boosters. C. The duties of the Secretary shall include but not be limited to the recording, distribution and filing of all minutes and correspondence for the Boosters. This information shall be presented to other interested Boards and committees as the ORHS Band Director requests. D. The Treasurer must properly manage and account for the incoming, outgoing and invested funds and other assets for the Boosters. A full report of the financial position shall be made at each Boosters meeting. Annual reports identifying income and expenses will be prepared and presented to the Principal, Athletic Director, Band Director and the WildBand Boosters. No member of the ORHS staff will have signature authority for the boosters account. b. The term of each officer position shall not exceed one (1) year. The offices of President, Vice President, Secretary and Treasurer are considered Executive Positions, and no one person shall hold more than one Executive Position at a time. Elections will be held at the February or March meeting, with the new officers to assume their offices in May. Nominations for officers shall be accepted from the general membership, and shall be voted upon by the current year s general membership. Officers may serve successive terms. Officer's vacancies occurring during the year shall be filled by normal election procedure, with the remaining officers being responsible for soliciting nominations. Article IV. Membership and Meetings a. General Membership shall be open to all parents and community members interested in supporting the Band Program and who agree to abide by the Bylaws. 1/21/2011 Page 2 of 5

3 A. The voting members of the Boosters shall be the legal guardians of the currently enrolled band students and all other members who are active participants. Each member will be entitled to one (1) vote. B. Participation is subject to forfeit by conducting oneself at band related events in such a manner that is detrimental to the purpose(s) of the Boosters. b. Meetings will be held on the third Monday of each month at 7:00 p.m. in the ORHS band room unless the membership is notified otherwise. An agenda will be prepared and distributed at the meeting. Printed copies of the minutes of the prior meeting(s) will be made available upon request. Current minutes will be posted on the Wildband.org web site. Article V. Operations a. The organization shall maintain records of all activities, actions, and meetings. Article VI. Funds Administration a. All funds shall be made payable to and deposited in the account of the Oak Ridge High School Band Boosters Association. b. Funds shall be disbursed by the Treasurer as authorized by the Officers of the Boosters. c. The fiscal year shall be May 1 through April 30. d. Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. 1/21/2011 Page 3 of 5

4 Article VII. Restrictions a. The Boosters are organized exclusively for charitable purposes including the making of distributions to the Oak Ridge High School Band and the Oak Ridge School System in support of the music program and related activities of the band at Oak Ridge High School, Oak Ridge, Tennessee. b. No part of the net earnings of the organization shall inure to the benefit of, or be distributed to its members, trustees, officers, or other private person, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the preceding paragraph. c. No substantial part of the activities of the organization shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. d. Notwithstanding any other provision of these articles, this organization shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the purposes of this organization. e. The Boosters organization membership is open to individuals of any race, color, national origin, and ethnic origin. It does not discriminate on the basis of race, color, national origin, and ethnic origin in administration of its educational policies, admission policies, scholarship and loan programs, and music and other school-administered programs. 1/21/2011 Page 4 of 5

5 Article VIII. Personal Liability of Officers a. An Officer of the organization shall not be subject to any personal liability for monetary damages for breach of fiduciary duty as an officer, except for a breach of a director s duty of loyalty to the organization or its members or for acts or omission not in good faith or which involve intentional misconduct or a knowing violation of law. Article IX. Amendments a. These Bylaws may be amended at any regular meeting of the Boosters by a majority vote of the attending membership. 1/21/2011 Page 5 of 5
