1 The Old Kings Head Angling Club Constitution 1. The Name of organisation is the Old Kings Head Angling Club 2. This constitution comes into force on the March 13 th This constitution may be altered only at the Annual or Extraordinary General Meeting. 4. The objections of the club are: 4.1 To provide members with the opportunity of angling in the spirit of fair and friendly competition. 4.2 To provide members with access to club waters for pleasure and competitive angling 4.3 To encourage conservation of fish and the protection of the environment by its members 5. The Club is to be governed by the use of Annual General Meetings, Extraordinary General Meetings and between these by a standing committee of elected members. 6. Membership will be for a period of One Year starting on 1 st April and ending on 31 st March the following year (a membership year). 7. The following are eligible for membership: 7.1 Anyone who was a member of the previous membership year 7.2 Anyone whose membership has lapsed for no more than one year 7.3 Anyone whose application for membership has been approved at a meeting of the standing committee applications will be required to supply such information, as the standing committee deems necessary to consider the application the decision of the standing committee concerning a application for membership is final the standing committee is not required to publish or explain its decisions relating to applications for membership 8. There are three types of membership: 8.1 Member 8.2 Senior citizen anyone 65 years or age or older at the start of the membership year 8.3 Disabled anyone considered disabled by a government authority. 8.4 Junior Member children under 16 years of age at the start of the membership year

Members of the Club whose conduct is inappropriate or who fail to abide by any of the Rules may be expelled or suspended by a proposal past at a meeting of the Standing Committee. 9.1 Any member of the Club wishing to complain about the conduct or breaking of Club Rules by another member must submit there complaint in writing to the Club Secretary or Chairman. 9.2 Members expelled or suspended by the Standing Committee have the right to appeal in person to an Appeal Committee selected from Club members who are not members of the Standing Committee a member s wish to appeal must be submitted to the Club Secretary or Chairman in writing within seven days of notification of the Standing Committee s decision. 9.3 A member who has been expelled from the Club and whose appeal to the Appeal Committee has been rejected may appeal in writing to the membership as a whole by submitting a letter to the Club Secretary to be considered by an EGM or AGM. The letter must be sent by recorded delivery to arrive within seven days of notification of the Appeal Committee s decision. 9.4 Any decision made at an EGM or an AGM is final. 9.5 A member who is expelled or suspended forfeits all fees paid to the Club and any trophies or other prizes to which they would normally be entitled. 9.6 Any trophies or other property of the Club in the possession of an expelled or suspended member must be returned to a member of the standing committee immediately. 9.7 Any money owed to the Club must be repaid immediately. 10. Annual General Meeting (AGM) 10.1 The AGM is to be held in the month of March each year At least three weeks notice is to be given in writing accompanied by a draft Agenda and annual accounts for the previous year 10.3 Propositions for inclusion on the Agenda must be submitted to the Club Secretary or if not contactable the Club Chairman by the date stated in the Notice given to members 10.4 Propositions amending the constitution must be on the Agenda 10.5 Propositions for inclusion in the Agenda may be sent to the Club Secretary or if not contactable the Club Chairman by post, , fax or text and that the member submitting the proposition may request confirmation of receipt using the same method.

3 10.6 All propositions must be seconded by another club member All club members are entitled to attend and vote at an AGM A quorum is 8 members The Club Chairman will preside or in his absence a chairman elected by those members The accounts for the previous year will be presented for adoption Voting will be a show of hands Propositions will be decided by a simple majority with the exception of those attending the constitution which require a two thirds majority In the event of votes for a proposition being equal the Chairman will have the casting vote. 11. Extraordinary General Meeting (EGM) 11.1 an EGM may be called at anytime by the Standing Committee 11.2 the reason for the EGM must be stated at the time the EGM is called 11.3 at least fourteen days notice is to be given 11.4 a quorum is 8 members 11.5 the chairman will preside or in his absence a chairman elected by those members present Only the business stated at the time of the EGM was called will be considered 11.7 All club members are entitled to attend and vote at an EGM Voting will be by a show of hands Propositions will be decided by a simple majority with the exception of those altering the constitution, which require a two-thirds majority In the event of the votes for a proposition being equal the Chairman will have the casting vote 12. Standing Committee (SC) 12.1 The SC will consist of 5 club members elected at an AGM. In addition, an honorary President is entitled to attend but cannot vote. There are four specific offices: Chairman Secretary Treasurer Match Secretary 12.2 The procedure for selecting the members of the standing committee is as follows:

4 A candidate for Honorary President may be proposed by the SC for approval at an AGM where normal AGM voting rules will apply Once elected an Honorary President will remain in office until they resign or are removed by the passing of a proposal of an EGM or AGM Those wishing to stand for election for the remaining offices must notify the Secretary by the date stated in the Notice given to members. They must state the office(s) for which they wish to stand and the name of another member who will second them A member may stand for one of the four offices of: Chairman, Secretary or Treasurer Match Secretary and as an ordinary committee member but may only hold one office Current members of SC may stand for re-election en bloc normal AGM voting will apply if the proposal for re-election en bloc fails then rules to will apply Where the member(s) standing for election to a particular office to do so unopposed they will be considered elected. A secret ballot will be held for any office (s) that are contested Candidates for each office will be listed on Ballot papers in alphabetical order by Surname then Christian name In the event of a tie there will (if necessary) be a second secret ballot. If following a second ballot there is still a tie those members elected to the SC will decide under normal SC rules if the tie cannot be resolved by the SC then the candidates will draw straws Once elected committee members remain in office until the next AGM unless they resign are removed by the passing of a proposal at an EGM or Rule 12.8 applies A quorum will be 3 SC members to include two of either Chairman, Secretary or Treasurer.

5 12.4 The Club Chairman will preside or in his absence a Chairman elected by those members present Voting will be by a Show of hands Propositions will be decided by a simple majority In the event of the votes for a proposition being equal the Chairman will have the casting vote If a member of the SC fails to attend more than two consecutive meetings without a satisfactory explanation that member will be considered to have resigned The SC co-opts a member to serve on the committee to replace a member who is deceased or who has resigned The SC will meet as often as conceded necessary giving at least fourteen days notice to the SC members The SC will set membership and match fees The SC will operate a cheque account in the name of The Old Kings Head Angling Club All the Club funds exceeding cash float of fifty pounds will be paid into the Club s cheque account Payments by cheque for Club liabilities will require two signatures from those of the Treasurer Chairman or Secretary The SC is empowered to manage the Club s funds to benefit of all its members in line with the Club s stated objectives The SC will obtain receipts for all expenditure The SC is not empowered to obtain loans or act in any way that may put the Club in to debt If the Club should go into debt the Treasurer will immediately notify all members of the SC who will immediately call an EGM. 13. This Club can only be dissolved by resolution at an AGM or EGM. On dissolution all club funds and property will go the benefit of a registered charity nominated at the meeting. 14. Members of the club consent to the information supplied on the membership information forms the amount of any contributions paid and the results of club competitions they enter to be kept on computer records. The information held may be disclosed: 14.1 to contact the member 14.2 when publishing a list of members

6 14.3 when publishing the results of club competitions 14.4 to computer maintenance organisations when this is necessary in order to repair the equipment or computer programs For a purpose of the Club that the Standing Committee decides is necessary.
