2 I. REGIONAL COUNCIL (RC) DEFINITION a. To serve as the governing structure and provide a forum for students and professionals to execute the vision of the Society of Hispanic Professional Engineers (SHPE) in Region 4. II. COMPOSITION [As defined by SHPE, Inc.] a. Chair - Region 4 Vice President (RVP) b. Vice Chair - Region 4 Regional Student Representative (RSR) c. President of each Region 4 Professional Chapter d. Vice-Regional Student Representative (Vice-RSR) of each Sub- Region e. Functional Directors i. Director of Programming (appointed position by the RC) i iv. Director of Marketing (appointed position by the RC) Director of Finance (appointed position by the RC) Director of Corporate Affairs (appointed position by the RC) v. Director of Professional Development (appointed position by the RC) III. QUALIFICATIONS a. Reference Sections 10 Membership and Section 20 Regional Structure of the SHPE Bylaws. b. The Functional Directors shall be active SHPE members but not serve on a student or professional chapter Executive Board of Directors. These positions do not hold a vote on the Regional Council. 2
3 c. The Vice-RSR s shall be active SHPE members that serve on a professional chapter Executive Board of Directors. These positions do not hold a vote on the Regional Council. d. Region 4 will be divided into smaller Sub-Regions with agreement of the majority of the Regional Council. Majority is defined as 50% plus 1 of the Regional Council voting members. IV. ELECTIONS, APPOINTMENTS AND TERMS a. Reference Section 15 of the SHPE Bylaws. b. Regional Council Members have a term of one year, starting July 1st to June 30th. c. Each Professional Chapter President is that chapter s representative to the Regional Council. In their absence, he/she will appoint another board member from their chapter to be that chapter s representative to the Regional Council. d. The Vice Chair will be the elected Region 4 RSR. e. The Functional Directors are nominated and elected by the Regional Council. f. The Vice-RSR s are elected by their respective Sub-Region(s). In the event that there are no candidates for this position, a Vice-RSR will be appointed with the approval of the RSR and that local Professional Chapter(s). V. RESPONSIBILITIES a. Regional Council (all members) i. Assure adherence to the SHPE National Code of Ethics 3
4 Governing board of the region, including supporting & advising regional events, programs and conferences i Supporting/Advisory board for student and professional chapters in the region iv. Fiduciary duties for regional financial stability v. Promoting and maintaining a positive SHPE Region 4 brand vi. Ensure a common link for corporate interaction on a regional level v vi Ensure regional resources are properly utilized Ensure information sharing occurs throughout region b. Regional Vice President - Chair (RVP) i. Manages regional activities and communications Represents Region 4 at SHPE events i Monitors and advises on adherence to Bylaws, policies and procedures iv. Facilitates inter-chapter activities/communications in the region in conjunction with the SHPE National Board of Directors v. Responsible for disbursement of funds vi. 5.2 Adheres to roles defined by SHPE National Bylaws Section c. Regional Student Representative Vice Chair (RSR) i. Functions as a liaison between student and professional chapters Advocates student concerns 4
5 i Promotes benefits of professional membership to senior students as a mechanism for professional membership transition iv Adheres to roles defined by SHPE National Bylaws Section v. Facilitates Presidents Council meetings and quorums vi. v Chair Document Presidents Council activities and meetings May take on additional responsibilities as deemed by the d. Chapter Presidents i. Function as a liaison between the region and the local chapter and sub-region Advocates local chapter and sub-regional concerns i Designate a chapter representative when unable to participate in RC affairs e. Vice-Regional Student Representatives (Vice-RSR) i. Function as liaisons between local student chapters and the local professional chapter(s). Advocates for student chapter concerns in their respective Sub-Region to the RSR. i Functions as the local leader for immediate conflicts within student chapters. iv. Holds monthly conference calls with all the student chapters in the Sub-Region during the months of September thru April. 5
6 v. Organizes the Sub-Regional Retreat in their respective Sub- Region each year, in coordination with that local professional chapter(s). f. Director of Programming i. Align the coordination of regional events and programming Provide status reports of regional events to Regional Council i Acts as a liaison between the RC and the Student Chapter Advisors g. Director of Marketing i. Responsible for promoting a positive SHPE Region 4 brand Responsible for public relations and communications within the region i Maintain market and segment intelligence h. Director of Finance i. Oversees regional finances Advises on disbursement of funds i Responsible for providing regional financial reports stating assets and liabilities i. Director of Corporate Affairs i. Unify and manage regional corporate relationships Increase corporate exposure to regional sponsorship opportunities i Coordinate regional corporate solicitations 6
7 j. Director of Professional Development i. Support the recruitment, retention, and advancement of the regional membership Create a community of support and learning to enhance career, academic and personal growth of the regional membership i Align the regional professional development strategies and opportunities VI. GOVERNANCE a. The Regional Council will meet at least quarterly as defined by the council. b. Meetings must have quorum. Quorum is defined as two-thirds of the Regional Council voting members (excluding vacant positions) to transact business. c. The following board members have one vote each: i. Regional Student Representative Each Professional Chapter Representative d. All decisions must be passed by a majority vote. Majority is defined as 50% plus 1 of the Regional Council voting members. i. In the event of a tie, the Regional Vice President will break the tie, after the rest of the Regional Council has made their vote. e. Amendments to Bylaws 7

Proposed amendments shall be submitted in writing to the Regional Council for approval A favorable vote of two-thirds of the voting Regional Council members shall be required to ratify the proposed amendments. i The Region 4 Student and Professional Chapter Leadership shall be notified of the results within two weeks of the amendments approval. VII. BUDGETS a. Created by the Regional Vice President for review by the Regional Council b. Reviewed and approved by a simple majority, which means 50% plus 1 of those present, as long as Quorum has been established. c. Monies may be fundraised by the council. d. Regional Vice President and Regional Student Representative are allocated certain budgets by SHPE, Inc., for regional programs and activities. These do not roll over fiscal year after fiscal year, from July 1st to June 30th. 8
9 Section 10. Membership 10.1 Types/Classes of Membership. The membership shall be composed of the following types. Regular/Professional, Associate, Honorary, Student and Guild. The criteria for eligibility of any person or entity to become one of the types of members described above, in addition to acceptance of his, her or its application by the Corporation and payment of such dues as may be set by the Board, is set forth below Regular/Professional Members. A Regular/Professional member shall be a person who at a minimum holds an engineer-in-training certificate or a bachelor's degree in any discipline of engineering, engineering technology, mathematics, physical science or a mathematically based science field. Six years of experience as an engineer or in a mathematically based science field or engineering educator may be substituted for the bachelor's degree. Regular/Professional members shall be entitled to cast one vote in elections of officers and all business that the Board of Directors refers to the membership. Regular/Professional members may hold a Board position Associate Members. An associate member shall be a person who believes and supports the purpose of this Corporation. He/she shall not be entitled to nominate, vote nor hold a position in the Board. Associate members shall be extended all privileges of a Regular/Professional member less those exempted above Honorary Members. Honorary members shall be individuals who have been awarded a membership by the Corporation's Board of Directors. Honorary members shall not be entitled to nominate, vote or hold a position on the Board. They shall be persons: who have accomplished an outstanding achievement in their engineering or scientific profession; and who have participated beyond requirement for the advancement of Hispanic persons in the field of engineering or science Student Members. Student members shall be students enrolled in a curriculum leading to a degree in engineering, engineering technology, mathematics, physical science or a mathematically based science field. Student members shall be entitled to nominate, vote, and hold positions on the Board only to the extent expressly set forth in Section 15, 20.5 or elsewhere in these Bylaws SHPE Guild Membership. A SHPE Guild Member shall be a business or organization which supports and pursues the objectives and goals of this Corporation. This member shall not be entitled to 9
10 voted nor hold office in this Corporation. Guild members shall be extended all privileges of membership less those exempted above No Authority to Act on Behalf of SHPE. Individual members shall not act for the Corporation as a whole unless so authorized by the Board. Section 20. Regional Governing Structure 20.1 Regions. The country will be divided into seven (7) regions. All professional (local) chapters within a region shall be represented on the Board by a Regional Vice President. The number and boundaries of the regions can be changed by a two-thirds (2/3) majority vote of the Board of Directors. The regions will be as follows: Region 4 1) Connecticut 2) Maryland 3) Delaware 4) Maine 5) Massachusetts 6) New York 7) New Hampshire 8) New Jersey 9) Pennsylvania 10) Rhode Island 11) Vermont 12) Virginia 13) West Virginia 14) Puerto Rico 15) District of Columbia 10
