1 CONSTITUTION OF INDIAN NATIONAL YOUTH FOUNDATION Article I NAME AND PLACE OF REGISTRATION The name of the of the Organization shall be Indian National Youth Foundation herein after referred to as the INYF an independent body operating on a non government organization basis and not aligning with any particular political party or religion. The office of the INYF shall be situated in Lucknow, the capital city of Uttar Pradesh. Article II Section1 Our Vision Section 2 Each and every person is equal and has every right to live in this world with dignity. There should be no room for any discrimination whether it is in the form of gender, caste, religion or region. Section 3 Section 4 Our Mission To work for deprived people for their upliftment and betterment with special emphasis on children and women and to provide them with livelihood opportunities and bring them into the mainstream of society. To educate and motivate the people, sensitize policy makers and functionaries and promote activities and programs of the Indian Government and UN. The NGO respects and accepts all religious beliefs, political orientations and ethnical groups. The NGO does not have any political, religious or ethnical beliefs or stands. Article III VALUES INYF s core values define our culture, beliefs, principles and practices in the conduct of our operations and dealing with our stakeholders. Our vision, mission and goals are aligned with our value system. These values are influenced by the individual values and beliefs carried by the founders, management, employees and volunteers of the organisation. The Organisation and its Members shall operate and abide by the following core values: Mutual Respect Requiring them to recognise the innate worth of all people and the value of diversity. Equity And Justice Requiring them to work to ensure equal opportunity for everyone, irrespective of race, age, gender, sexual orientation, HIV status, colour, class, ethnicity, disability, location or religion. Honesty And Transparency Being accountable at all levels for the effectiveness of their actions and open in their judgements and communications with others. Proactive We are here because of the challenges that persist in society. Instead of waiting for good to miraculously happen, we are and will continue to proactively take initiatives. 4 Article IV OBJECTS OF THE ORGANISATION To promote positive change locally, nationally and internationally. To promote the community participation in different levels of programme implementation and empower them for behavioural change through mutual consent and interaction in the areas of health, education, family welfare, population education and women empowerment. To provide counselling services, training and orientation on different social issues. To provide and assist in the care of street children by the establishment of feeding programs and homes. To raise, mobilize and disburse funds and other resources for the promotions of the Organization. To provide awareness and promote Reproductive health education, especially among adolescents and women of backward and rural areas. To provide awareness and promote child care and immunization to maximize healthy practices and minimize malnutrition. To improve gender equality by working to gain equal status for women and men especially in the areas of education, health and livelihood. To promote and increase the educational status of out of school children of 6-9 years and especially girls of years of age. To overcome the problems and fight against ills in the society, we organize social events and programme to promote and improve education, skill, quality of humans. Our Professionals even help them learn Dance, Drama, Painting, and other cultural activities to bring out the hidden talent within them. Organisation will organise "An Inter-College Literary & Cultural Festival. Indian National youths foundation, has been annually organizing an Inter College Literary & Cultural Festival, making an attempt to showcase the best student talent from various prestigious institutions of the city. 5 Article V RESOURCES The Organisation s resources shall consist of 1. Grants, donations, legacies and bequests; 2. Contract services income; 3. Contributions from members; and 4. All other assets, income and receipts Article VI MEMBERSHIP Anybody with the desire to work for the NGO s purpose can maintain membership within the NGO. The NGO s target group are the youth of India between the age; years. Membership can be obtained through the approval of the Board of Directors. The membership will first be legitimate when the membership fee is paid: A member between pays 200 pr. Year. A member between pays 300 pr. Year. A member between pays 350 pr. Year. A member above 60 pays 100 pr. Year. All members have voting rights at the NGO s annual general meeting. Article VII CRITERIA FOR MEMBERSHIP The criteria for Membership shall include the following: Active commitment to human rights, justice, equity and the eradication of poverty and exclusion. Consistency with the Organisation s values, vision and mission. Legal registration and a satisfactory record of operation. Actions consistent with the Organisation s governance standards. A public engagement, constituency or support base. Financial and management integrity and capacity. Independence from a management perspective, from any one private individual, company or institution other than the Organisation and its Members CONSTITUTION INDIAN NATIONAL YOUTH FOUNDATION 5
6 Article VIII TERMINATION OF MEMBERSHIP 1. An Associate Member can terminate its membership by giving written notice to the Board that shall take effect on the date 3 months after the notice is received by the Organisation. 2. Membership shall end immediately if it cannot be reasonably expected of a Member to continue membership by a member serving written notice on the Organisation. 3. Membership of an Affiliate Member may be terminated by a resolution of the Assembly if a Member has stopped complying with the requirements stated by the Constitution and the Regulations. The termination shall become effective at the end of the financial year succeeding the year in which the Assembly passed the resolution. 4. In case of expulsion of Associate Member by Board decision, the Associate Member concerned shall have the right to appeal to the Assembly. Article IX OFFICIAL ORGANS OF THE ORGANISATION The organs of the Organisation are: (a) The Assembly (b) The Board of Directors. (c) The Committee or the Department. Article X THE ASSEMBLY There shall be an Assembly of the Organisation comprising the Affiliate and Associate Members. The Assembly shall have the following powers and functions: To approve the Organisation s values, vision and mission. To approve the Organisation s overall direction and strategy. To approve the Organisation s logo and trademarks. To engage in and contribute to the development of organisational policies developed within the framework of the strategy. 7 To approve the Organisation s annual report with audited aggregated accounts at its Annual General Meeting. To approve the Organisation s governance structures, policies and standards. To elect the Chair of the Board. To elect Members of the Assembly s committees and remove them in accordance with this Constitution and the Regulations. To amend the Constitution and to adopt and amendment Regulations. To ensure accountability to poor and excluded people and communities that the Organisation and the Members work with. To review itself. Article XI BOARD OF DIRECTORS Section1 Board Member Job Description The following description was adapted from materials from Board Source. Regularly attends board meetings and important related meetings. Makes serious commitment to participate actively in committee work. Volunteers for and willingly accepts assignments and completes them thoroughly and on time. Stays informed about committee matters, prepares themselves well for meetings, and reviews and comments on minutes and reports. Gets to know other committee members and builds a collegial working relationship that contributes to consensus. Is an active participant in the committee's annual evaluation and planning efforts. Participates in fund raising for the organization. The Board shall consist of a maximum of ten (10) members and shall be constituted as follows: 1) The Chairman 2) The Vice Chairman 3) The Secretary General 4) The Treasurer CONSTITUTION INDIAN NATIONAL YOUTH FOUNDATION 7
8 5) Four (4) members 6) Two (2) Co-opted members who, by virtue of their expertise, experience and interest in the objects of INYF may be appointed by the Chairman in consultation with Secretary General. The term of office of a Board member shall be two years. The Board may at any time accept another Board member provided that the prescribed maximum is not thereby exceeded and provided that acceptance of any new member of the Board is set out in formal resolution at a Board Meeting. Section 2 Chairman Job Description The following description was adapted from materials from Board Source. Is a member of the Board Serves as the Chief Volunteer of the organization Provides leadership to the Board of Directors. Chairs meetings of the Board after developing the agenda with the Secretary General. Encourages Board's role in strategic planning. Appoints the chairpersons of committees, in consultation with other Board members. Serves ex officio as a member of committees and attends their meetings when invited. Helps guide and mediate Board actions with respect to organizational priorities and governance concerns. Reviews with the Vice Chairman any issue of concern to the Board. Monitors financial planning and financial reports. Plays a leading role in fundraising activities Formally evaluates the performance of the Chief Executive and informally evaluates the effectiveness of the Board members. Evaluates annually the performance of the organization in achieving its mission. Performs other responsibilities assigned by the Board Section 3 Vice -Chairman Job Description This position in typically successor to the Chair position. In addition to the responsibilities outlined in the Committee Member job description Is a member of the Board Performs Chair responsibilities when the Chair cannot be available (see Chair Job Description) CONSTITUTION INDIAN NATIONAL YOUTH FOUNDATION 8
9 The Vice Chairman shall support the Chairman in the execution of her duties. Reports to the Board's Chair Works closely with the Chair and other staff Participates closely with the Chair to develop and implement officer transition plans. Performs other responsibilities as assigned by the Board. Section 4 Secretary General Job Description The following description was adapted from materials from Board Source. Is a member of the Board. Maintains records of the board and ensures effective management of organization's records. Manages minutes of board meetings. Ensures minutes are distributed to members shortly after each meeting. Is sufficiently familiar with legal documents (articles, by-laws, IRS letters, etc.) to note applicability during meetings. Section 5 Treasurer Job Description The following description was adapted from materials from Board Source. Is a member of the Board Manages finances of the organization Administrates fiscal matters of the organization Provides annual budget to the board for members' approval Ensures development and board review of financial policies and procedures. Section 6 Section 7 The board of directors will be elected by the voting members at the Annual General Meeting. In order to avoid a conflict during voting, there must at no time be an equal number of chairs in the board of directors. Section 8 The board of directors shall be elected for a two years term. 10 Section 9 Section 10 Section 11 Section 12 Section 13 Section 14 Section 15 The board of directors are to have their constitutional meeting latest two weeks after the annual meeting where they were elected at. Any director may be removed from such office, with a cause, by a majority vote of the voting members at any regular or special meeting of the members called expressly for that purpose, where the person in question can participate to defend her/himself, thus without voting rights. Regular meetings, minimum one every third month, are to be obtained by the Board of Directors of the Corporation, at such time, day, and place as shall be designated by the Board of Directors. The meetings are to be summoned and directed by the Chairman of the INYF, if this is not possible, the given task falls to the vice Chairman. The Board of Directors can submit supporting committees as working task, maintaining different areas of interest or projects, under the Board of Directors. The Board of Directors are at all times kept accountant for the functioning and continues development of the INYF, and they are to act accordingly to, and uphold, the at any time existing By-laws. REMOVAL OF BOARD MEMBERS OTHER THAN OFFICIALS The Board may by resolution remove any member of their body from office. The resolution must passed by 2/3 of majority. Article XII Committee Chair Job Description The following description was adapted from materials from Board Source Is a member of the Board. Consists of three member, including the immediate past Chairman as the Chairperson, one(1) member appointed from the Board and one(1) member appointed from general membership who not on the Board. 11 Committee Chairperson shall report to the Board upon request. Sets tone for the committee work. Ensures that members have the information needed to do their jobs. Reports to the Board's Chair. Reports to the full Board on committee's decisions/recommendations. Assigns work to the committee members, sets the agenda and runs the meetings, and ensures distribution of meeting minutes. Initiates and leads the committee's annual evaluation. Article XIII THE ASSEMBLY CONVENER The Assembly Meetings shall be chaired by the Assembly Convener. The Assembly Convener shall be elected annually by the Assembly at the Annual General Meeting and shall hold office from the end of that Annual General Meeting up to the end of the following Annual General Meeting. The Assembly Convener shall not be a member of the Board. If the Assembly Convener is not present at an Assembly Meeting, the Assembly shall elect a new Assembly Convener. Article XIV ASSEMBLY MEETINGS 1. The Organisation shall hold an Annual General Meeting no later than six months after the end of each financial year. 2. All meetings other than the Annual General Meeting shall be Extraordinary Assembly Meetings. 3. Length of notice The first announcement of the date and place of the Annual General Meeting shall be at least 4 months before the Annual General Meeting takes place. 4. All Assembly Meetings shall be called by either: at least twenty-eight (28) clear days notice; or shorter notice if it is so agreed by a majority of the Affiliate Members having a right to attend and vote at that meeting. 12 5. Quorum No business shall be transacted at any Assembly Meeting unless the quorum has been reached. The quorum shall be Representatives of fifty percent (50%) of the total number of Members. If a quorum is not present within two hours from the time appointed for the meeting, a second meeting shall be convened, observing a term of notice of at least thirty (30) days, at which the Assembly may only consider Ordinary Motions. 6. Voting Rights and Procedures Every Associate Member shall have one vote. 7. When there is a tie on the election of people there will be a re-election at short notice in a way to be decided by the Assembly Convener. The Assembly Convener shall not be entitled to a casting vote. 8. The Assembly Convener decides on the way in which the voting shall be carried out in Assembly Meetings, subject only to the requirement that when an election takes place, it shall be done by secret ballot. The result of the vote as announced by the Assembly Convener is decisive. 9. No objection shall be raised to the qualification of any voter except at the meeting or adjourned meeting at which the vote objected to is tendered, and every vote not disallowed at the meeting shall be valid. Any objection made in due time shall be referred Article XV ANNUAL GENERAL MEETING Section 1 The Annual meeting, consisting of the organisation s members, is the highest authority body in the organization. The annual meeting is to be held every year medio February, and it is to be announced at least three weeks before the given date by an official or letter. Section 2 The annual meeting is open for everyone; individuals with voting rights are the ones that are registered as members of the organisation by having paid the membership fee at least a week before the annual meeting. 13 Section 3 The agenda for the annual meeting must at least consist of the following points: 1. The chairman s annual statement 2. Presentation of the balance sheet 3. Procession of proposals 4. Election of Chairman 5. Election of Vice-Chairman 6. Election of Secretary General 7. Election of Treasurer 8. Election of 2 4 board-members 9. Any other businesses Section4 Section 5 Decisions taken on the annual meeting are decided by a simple majority of the voting member s votes (more than half of the presented members voting for one thing over another), the voting shall happen by a simple show of hands, hence, if voting by ballot is requested by just one member such will take place. All election of candidates for the board of directors shall happen as voting by ballot. Vote shall fall on the candidate with most votes. Article XVI FINANCE, ECONOMY, ACCOUNTING AND AUDITOR Section1 The income of the INYF shall be derived from sponsorships, aid, donations, interest on investments, funds raised and generated by NIYF international affiliates, and income generated by the organization s income generating arm. Section 2 The board of directors are responsible toward the annual meeting for the economy presented. Section 3 The fiscal year begins 1 April of each year and ends 31 March of the same year. 14 Section 4 All funds received by or on behalf of the INYF shall, in the first instance, be paid to such bank accounts that operate on behalf of the organization. Section 5 Each bank account requires the signature of the Chairman, Treasurer and Secretary General. Section 6 The Treasurer shall ensure that full and proper accounts are kept in respect of all the Foundation s transactions involving the receipt and expenditure of money and the acquisition of property. Section 7 The INYF s accounts shall be audited each year by a person and or registered as a public auditor and who appointed by the Board at the INYF Annual Board Meeting Section 8 AUDITORS The Organization shall appoint external Auditor(s) at least every third year. The Remuneration of the Auditor(s) of the Organization shall be fixed at the time of hire. Every Auditor of the Organization shall have a right to see all relevant vouchers and shall be entitled to access at all times to the books and accounts required from the Organization The Auditor(s) shall make a report of the accounts examined by them and on every balance sheet, and the report shall state, (i) (ii) Whether or not they have obtained all the information and explanations they have required; and Whether, in their opinion, the balance sheet referred to in the report is properly drawn up so as to exhibit a true and correct view of the state of the Organization. 15 Article XVII DEFINITIONS Annual General Meeting means the annual meeting of the Indian National Youth Foundation. Article means an article of this Constitution. Assembly means the body of the Organisation comprising all Members. Assembly Convener means the convener of the Assembly appointed by Board of Directors. Assembly Meeting means a meeting of the Assembly. Chair means the chairperson of the Indian National Youth Foundation. Member means a Member of the Indian National Youth Foundation. Members means plural of a Member. Regulation means regulations which shall be adopted by the Assembly. Treasurer means the officer treasurer of Indian National Youth Foundation. Vice Chair means the Vice- Chairman of Indian National Youth Foundation. Secretary General means the Secretary General of the Indian National Youth Foundation. Article XVIII CHANGING OF THE CONSTITUTION 1. The constitution in question can only be changed with 2/3 of the votes at the annual meeting where the proposition for it is made and is set by the agenda. 2. The changes made in the constitution come to force with the end of the annual meeting which they are passed. CONSTITUTION INDIAN NATIONAL YOUTH FOUNDATION 15
16 Article XIX REGULATIONS 1. The Assembly may adopt Regulations which may contain policies, procedures, and standards as well as rights and obligations of the Members regarding fundraising, resource allocation and other matters, in so far as these Regulations are not contrary to the law or this Constitution. 2. The Assembly may amend or repeal such Regulations at any time. 3. Term of all official will be 2 years. 4. A member cannot be re-elect for the same position after the retirement from their office. 5. A member can be elect for the other position after the retirement from their office. Article XX ADVISORY BOARD There should be one Advisory Board which works independently, and acknowledge all the works of the INYF. Advisory Board contains Three Member which works independently. They are the Board of senior Citizens. Article XXI DISSOLUTION 1. Dissolution of the Association can only take place by Special Resolution. 2. Whoever wishes to propose the dissolution of the Association shall deposit, at least three months before the day of the relevant Assembly Meeting, a copy of that proposal at a suitable place for inspection by Members until after the day on which the meeting shall have been held. 3. All Members are represented at the Assembly Meeting and the resolution for the dissolution of the Association is passed unanimously. CONSTITUTION INDIAN NATIONAL YOUTH FOUNDATION 16
17 4. After its dissolution the Association shall continue to exist in so far as this is necessary for the liquidation of its assets. The words in liquidities shall be added to its name. 5. If the Association is being dissolved by resolution of the Assembly, the International Board shall act as liquidators of the assets of the dissolved Association, unless the International Board nominates a specific person or specific persons as liquidators. 6. The provisions in this Constitution relating to appointment and dismissal of International Board Members shall apply to these liquidators, who shall have the same powers duties and liabilities as an International Board Member in so far as these are compatible with their duties as liquidators. 7. After dissolution the books and records of the Association shall remain in the custody of the person designated for that purpose by the liquidators for a period of ten years. 8. If a dispute arises between a Member and the Association out of or in connection with this Constitution or the Regulations it shall be determined in accordance with the procedure set out in the Regulations. 9. The Organization shall not be dissolved or wound up except by a resolution passed at a Board meeting by a vote of two thirds of the Board members. The quorum at the meeting shall be fifty percent of all the Board Members of the Organization including those voting by If no quorum is obtained the proposal to dissolve or wind up the Organization shall be submitted to a further meeting held one month later. Notice of this meeting shall be given to all Board members at least (14) fourteen days before the date of the meeting and the quorum of the Board members present or voting by The Organization shall not dissolve itself without prior consent in writing from the Nongovernmental Organization coordination Board and signed by three of the officials of the Organization. 12.Upon dissolution of the Organization its remaining assets shall be distributed to another Organization with similar objectives as per Article XIV herein above.
