1 WoMen Excelling in Business (WEB) Constitution Article I WoMen Excelling in Business The organization shall be called WoMen Excelling in Business, henceforth referred to as WEB. Article II Our Purpose WoMen Excelling in Business is an organization at the University at Albany that helps women and men obtain skills to be prepared for the workforce. We hold workshops, events, and meetings comprised of similarly interested individuals wishing to meet regularly with one another to share their knowledge and improve their skills. We are open to all majors. Section 1: To create a community that can build one another s skills and network to better their future. Section 2: Understanding how all majors overlap and to show how working together can be beneficial. Article III Membership Section 1: Eligibility for Membership Must be an undergraduate student at the University at Albany. Section 2: Dues WEB members must also pay dues $10 with a due date set by the Executive Board, which will increase to $15 until the end of the semester. Section 3: Attendance To be considered an active member you must attend half of the professional events + 1 per semester, at least 2 of our Social events held, and 1 Community Service event. Section 4: Rights of Members Each member shall be eligible in voting in WEB s annual Executive Board elections. Each member will receive discounted events or items _ Article IV Meeting of Members Official meetings of E-Board members shall be held regularly each week at a time and place to be set forth by the President, providing that this schedule is acceptable to the

2 remaining officers. These meetings shall be open to the general membership, however only officers are guaranteed a voice in matters of state. This organization shall hold meetings at least once a week unless discussed by Executive Board. This meetings will be held weekly on Wednesday s at 7:30pm - 8:30pm. Trips, Social Events, and Community Service events may be held on a different day than the regular meeting times. Article V Government/ Officers WEB is based on a federal system of government. It shall consist of the traditional forms of government, which are President, Vice President, Secretary and Treasurer. There will also be a position of Events Coordinator, Social Chair, Community Service Chair and the Recruiting Committee. These positions will constitute the group s Executive Board or E-Board. The E-Board is responsible to the Student Association and all inquiries concerning WEB shall be brought to the E-Board. The duties of each officer are defined below: President: The President is the highest administrative officer empowered to create or disband WEB officers, appoint or remove officers, write rules, levy dues, and govern the membership in the best interest of the purposes set herein. Facilitates executive board meetings Contacts Adviser for LC reservations Prepares and files any report required Appoints committee chair people Maintains contact with organization adviser Represents the organization to the University Serves as a spokesperson for the organization Serves as a secondary signatory on financial accounts Assists all executive officers Provides follow-up to organizational tasks Coordinates executive board officer transitions Represents organization at official functions Remains fair and impartial during organization decision making processes Provides encouragement and motivation to fellow officers and organization members Supervises the work of other officers and ensures that they function together as an effective team Vice President: The Vice-President is responsible for overseeing other offices and assisting the President with matters of confronting the group. The Vice-President may lead meetings when necessary to keep order at WEB meetings and events.

3 Assumes the duties of President in his or her absence Directs Constitutional updating and revisions Facilitates elections of officers Recruits new members Represents organizational official functions Remains fair and impartial during organizational decision-making processes Performs other duties as directed by the President Treasurer: The treasurer is responsible for keeping all records of all financial dealings of WEB and to provide written documentation as spelled out in the treasurer s handbook. His/her duty shall also encompass the collection and record keeping of membership fees and organize fundraising activities for membership. Is familiar with accounting procedures and policies Serves as the primary signatory on financial accounts Collects organization dues/ payments and informs of the amount Keeps all financial records of the organization Prepares all budget requests for funds Maintains a financial history of the organization Collects receipts including from fundraisers Provides advisor with a summary of financial records at the end of the academic year Advises E-Board members on financial matters (how we are allocating our money) Prepares purchase orders, purchase requests and reimbursements requests Coordinates fundraising drives Represents organization at official functions Remains fair and impartial during organizational decision-making processes Performs other duties as directed by the President Events Coordinator: The Events Coordinator shall keep in contact with professionals and book them for meetings. The Events Coordinator shall also be responsible for creating flyers for events and other planning regarding WEB meetings. Contacts all guest speakers for events Aid officers in event presentations Checks regularly Keep a running record for speakers and their contact information Contacts businesses about visiting office Contacts other organizations about collaborations Sets up a topic/guidelines for speakers

4 Has questions ready for speakers Secretary: The Secretary is responsible for all records, including taking notes from meetings and events. The Secretary is also responsible for reading announcements at meetings and any secretarial work that has to be done for WEB. Keeps a record of all activities of the organization Notifies all members of meetings via Prepares organization s calendar of events Maintains attendance at all meetings Prepares and files any report required Collects organization s mail Represents organizational official functions Remains fair and impartial during organizational decision-making processes Performs other duties as directed by the President Social Events Chair: The Social Chair is responsible for organizing socials at least twice a month. The social chair will need to work closely with the treasurer in order to make sure that there is enough money in the budget to make these plans possible. Organize social events that pique the members interest Creates RSVP form for social events Quote out locations for pricing if needed Provides treasurer with all information for Purchase Request Plan and inform members on where to meet if necessary Provides information and how to get to social events by bus Plans a minimum of 2 social events per month Community Service Chair: Plans and executes community service events Plans a minimum of 2 community service events per month Provides information and how to get to community service events by bus Makes member sign up for event prior Plan and inform members on where to meet Assist in making flyers for community service events (must be approved) Recruitment Chairs: The Recruiting Committee shall be composed of one representative from each class (Freshman, Sophomore, Junior and Senior). The committee shall be responsible for attracting new members for the next semester. Public speaking in classes about our Organization and our informationals Tabling in the CC or any other location needed on Campus.

5 Reaching out to new potential members about our upcoming events Strategize plans for an increase in members/active members. Article V Elections Elections for the WEB E-Board will be held at the middle/end of each academic year. Elections for yearly E-board will consist of sending a resume & cover letter to the president. Then, the president will decide who will have an interview for the position. In order to be considered for an interview, interested members need to attend 1 of the 2 events held for the new E-Board. The events will present information on what each position does. After the interview process the current E-Board will choose 2-3 people per position that they would best fit. During one of the meetings, they will hold elections of the following candidates. The candidate may present a speech to present prior to the active members voting. The ballots will be cast after and the announcement of who won should follow after that meeting. Article VI Quorum Rules will be decided on by the E-board, or if members state that they would like something changed. If members want a new rule they will bring it up and have E-board agree first and then put into vote with the active members. Then, a majority vote will decide whether or not it gets put into effect. Article VII Warrants At the recommendation of the Web officers, the President shall be empowered to issue warrants of appointment or removal for any WEB officer with approval of no less than half of officers. The President may be appointed or removed by order of no less than a two-thirds majority of the membership. Article VIII Amendment With the recommendation of the WEB officers, the President shall be empowered to issue an amendment to this constitution, in whole or in part, to be set down by the Secretary who will be in charge of informing Student Association of the changes, which will become effective upon approval by the Student Association. Article X Ratification This Constitution shall become effective upon approval by the Student Association. Article XI Student Association Funds

6 The office of the Treasurer shall be charged with preparing a budget for Student Association funds and the responsibility for proper expenditure of the funds. The administration of these funds shall be by the Treasurer for the purpose provided for in the budget, with the consent and approval of the general membership.
