CHAPTER 11 EIN: ALAMEDA AVENUE EL PASO, TEXAS ORDER (1) APPROVING DISCLOSURE STATEMENT, (2) FIXING TIME FOR FILING OBJECTIONS AND ACCEPTANCE OR REJECTIONS OF PLAN TOGETHER WITH (3) NOTICE OF HEARING ON CONFIRMATION OF PLAN On October 28, 2015, the Court conducted a hearing on the Plan Proponents Motion for an Order (I) Approving Disclosure Statement, (II) Approving Form of Ballot, and (III) Setting Voting and Confirmation Deadlines, pursuant to 11 U.S.C. 105(d)(2)(vi), 501, 502, and 1125 and Rules 2002 and 9006(c) of the Federal Rules of Bankruptcy Procedure and Local Rule of Bankruptcy Procedure 3017 (the Motion ) filed by El Paso Children s Hospital Corporation ( Debtor ) and El Paso County Hospital District d/b/a University Medical Center of El Paso ( UMC and together with the Debtor, the Plan Proponents ) and the Court hereby

IT IS HEREBY ORDERED, ADJUDGED, AND DECREED AND NOTICE IS HEREBY GIVEN THAT: 1. The Amended Disclosure Statement filed by the Debtor is approved. 2. Solicitation Package. On or before October 29, 2015, counsel for the Debtor shall mail, by first class mail, a copy of the Amended Disclosure Statement, Joint Amended Plan, this Order, or a notice of its provisions, and a ballot in the form of the ballot attached hereto as Exhibit 1 (the Ballot ), to all creditors, the Debtor, and all other parties in interest as provided in Rule 3017(d) ( Solicitation Package ). The Debtor may mail a Plan Summary 1 (as described in the Motion) in lieu of a Solicitation Package, which is hereby approved. The Debtor is hereby authorized to transmit the Solicitation Package in an electronic media format. 3. Voting Deadline. November 30, 2015, at 5:00 p.m. (CT), 4:00 p.m. (MT) is fixed as the last day for submitting ballots for acceptance or rejection of the Joint Amended Plan ( Voting Deadline ). Ballots shall be submitted to counsel for the Debtor at the address set forth in the Disclosure Statement. Ballots shall not be filed with the Court. 4. Objection Deadline. November 30, 2015, at 5:00 p.m. (CT) and 4:00 p.m. (MT) is also fixed, pursuant to Rule 3020(b)(1), as the last day for filing and serving written objections to confirmation of the Plan ( Objection Deadline ). Any objections to the Plan shall be accompanied by a memorandum of legal authorities in support of the objection. 5. Cure Procedures: The following Cure Procedures are hereby approved for establishing the Cure Costs for the Proposed Assumed Executory Contracts and Leases that may be assumed pursuant to the Joint Plan: 1 See Exhibit 2.

By November 13, 2015, the Debtor shall cause notice ( Cure Notice ) of proposed assumption and proposed cure costs ( Proposed Cure ) in a form substantially similar to the form attached hereto as Exhibit 3 to be served on the non-debtor parties to all executory contracts and leases that may be assumed as part of the Joint Plan (each, Proposed Assumed Contract ). b. Any objection to the Proposed Cure by a non-debtor party to a Proposed Assumed Contract must be filed, served, and actually received by counsel for the Debtor, which deadline may be extended in the sole discretion of the Debtor ( Cure Objection ) to the (i) Cure Costs listed by the Debtor in the Cure Notice and to propose alternative cure amounts; and/or (ii) assumption of the relevant Proposed Assumed Contract must be filed on the date that is fourteen days after service of the Cure Notice ( Cure Objection Deadline ), which deadline may be extended in the sole discretion of the Debtor. If no objection is timely filed, served, and actually received by the Debtor, the executory contract counterparty will be deemed to have consented to such assumption and Proposed Cure, and shall be forever enjoined and barred from seeking any additional amount(s) on account of the Debtor s cure obligations under section 365 of the Bankruptcy Code or otherwise from the Debtor, its estate, or the Reorganized Debtor. If a Cure Objection is timely filed, the Debtor, in consultation with UMC, is authorized to settle such Cure Objection with the objecting party without further action or order of the Court. If a Cure Objection is timely filed and the parties are unable to settle such Cure Objection, the Court shall determine the amount of any disputed Cure Cost(s) or objection to assumption at a hearing to be held at the time of the Confirmation Hearing or such other hearing date to which the parties may mutually agree or as ordered by the Court. c. The inclusion of a Proposed Assumed Contract in the Cure Notice is without prejudice to the Debtor s right to modify its election to assume, assume and assign, or to reject such Proposed Assumed Contract prior to the entry of a final, non-appealable order (which order may be the order confirming the Joint Plan) approving the assumption or assumption and assignment of any such Proposed Assumed Contract, and inclusion in the Cure Notice is not a final determination that any Proposed Assumed Contract shall in fact be assumed. 6. By December 1, 2015, counsel for the Debtor shall file with the Court (a) a ballot summary in the form required by Local Bankruptcy Rule 3018(b) with a copy of the ballots; and (b) a memorandum of legal authorities that addresses any unresolved objections filed to the Plan. 7.
