5 (On Non Judicial Stamp Paper Worth Rs 100/-) INDEMNITY CUM UNDERTAKING This Indemnity Cum Undertaking ( Undertaking ) is made and executed on this day of, 20 by, S/D/W/o, resident of (hereinafter referred to as the Executant, which expression shall include his/her successors, legal heirs, executors, administrators, legal representatives and assigns) In favour of M/s. Business Park Maintenance Services Private Limited, a company incorporated under the Companies Act, 1956 and having its registered office at M-11, Middle Circle, Connaught Circus, New Delhi (hereinafter referred to as the "Beneficiary Company", which expression shall include its successors in interest, legal/ authorized representatives, administrators, executors and assigns). WHEREAS Shri/Smt. S/D/W/o, the original applicant (hereinafter referred to as Transferor ) had applied for a provisional allotment vide application form dated ( Application ) and have been allotted a [plot/villa/flat/floor/space] No. tentatively admeasuring about [Sq. Yds. /Sq. Ft.] of [Super Area] (hereinafter referred to as said Unit ) at project (hereinafter referred to as said Project ) and have executed the Buyer s Agreement dated ( Agreement ) /the Buyer s Agreement is yet to be executed, which contained a stipulation for the provision of maintenance services by the Beneficiary Company and payment of maintenance charges by the Transferor/user to the Beneficiary Company. AND WHEREAS the Transferor, as per his/her/their/its mutual understanding with the Executant, has agreed to transfer/endorse the booking/allotment of the said Unit in favour of the Executant and the Executant has applied to the Beneficiary Company for transfer/endorsement of the said Unit in favour of the Executant and has undertaken to pay all the outstanding maintenance charges along with other charges/interests, which are due and/or which may stand outstanding against the said Unit directly to the Beneficiary Company or as per the demands raised by the Beneficiary Company.
6 :: 2 :: NOW, THEREFORE, THIS UNDERTAKING WITNESSETH AS FOLLOWS: 1. The Executant hereby confirms and declares that the Executant has read and clearly understood the terms and condition laid down in the Application and Agreement. The Executant hereby undertakes to unconditionally accept and agree to adhere the terms and conditions of the Application, Agreement, maintenance agreement and further undertakes to clear all the past outstanding dues/charges along with interest against the Unit, if any and timely pay all the maintenance charges and other charges as may be applicable to the said Unit. The Executant also undertakes to execute the standard maintenance agreement and other requisite documents as may be demanded by the Beneficiary Company from time to time. 2. That, the Executant, shall keep the Beneficiary Company safe, harmless and indemnified against any loss, claims, costs, damages etc., which may be suffered by the Beneficiary Company due to the claim of the Transferor or any person claiming under him/them for any right, title interest in the said Unit and any amounts paid for the aforesaid purpose to the Beneficiary Company at any point of time in present or future. 3. That, the Executant, jointly and severally undertake to keep the Beneficiary Company, its directors, employees, authorized representatives, successors-in-interest and permitted assigns safe, harmless and indemnified against any claims, losses, damages, costs including litigation costs, etc., of all kinds whatsoever suffered or incurred directly or indirectly or in any manner whatsoever by the Beneficiary Company at any point of time in present or future, in respect and on account of the transfer/nomination of the said Unit in favour of the Executant. 4. That, after the transfer/endorsement of the said Unit in favour of the Executant, he/she/they/it shall comply with all the terms and conditions of the booking/allotment / Application / Agreement, maintenance agreement, all laws, rules and regulations as may be applicable to the said Unit. The Executant shall also adhere to the rules and regulation laid down by the Beneficiary Company in respect to the said Unit. 5. The Executant hereby represents and warrants that before requesting for the transfer/endorsement of the said Unit the Executant has/have physically inspected the Project and is aware about the development status of the said Project vis-a vis the said Unit.

The Executant hereby agrees, acknowledges and confirms that this Undertaking is in addition to and without prejudice to, and shall neither be merged in, nor in any way exclude or prejudice, or be affected by any other right of recourse, guarantee, lien, indemnity or other right or remedy whatsoever (or the invalidity thereof) which the Beneficiary Company may now or at any time hereafter hold or have (or would apart from this indemnity hold or have) as regards the Executant or any other person, in respect of the maintenance charges nor shall such undertaking held by the Beneficiary Company, or the liability of any person for all or any part of the maintenance charges be in any manner prejudiced or affected by this Undertaking. 7. That the facts mentioned above are true and correct and nothing has been concealed and in case any consequences arise because of any false statement or concealment of any fact, I/We the Executant shall solely be responsible and liable; I/We do hereby indemnify the Beneficiary Company against any damage, loss, penalty and/or legal injury that may be caused in this behalf. 8. That in case the Beneficiary Company suffers any loss, damage or claim, consequent to its transferring/endorsing the said Unit in favour of aforesaid Executant based on representation/documentation made by the Original Application and/ or Executant, the Executant undertake to keep the Beneficiary safe, harmless and indemnified against any such loss, damage or claim.
