2 - 2- October 2, 2014, respectively, the Affidavit #1 of Hanquan Huang sworn April 30, 2014, the Mfidavit #1 of Xiuzhi Zhang sworn November 12, 2013, the Affidavit #1 of Dawn Neuman sworn July 7, 2014, the Affidavits #1 and #2 of Christophere Nai Kit Ho sworn September 29 and November 6, 2014, respectively, the Affidavit #1 of Kathleen Joy MacDonald sworn October 20, 2014, and the Affidavit #1 of Song Xue sworn October 23, 2014 and filed; AND BY CONSENT OF THE RESPONDENTS AND EACH OF THEM: TIDS COURT ORDERS AND DIRECTS that: 1. The Respondents and each of them (hereinafter individually referred to as an "Enjoined Party" and collectively as the "Enjoined Parties") be and are hereby enjoined from engaging in the "practice of law" in British Columbia, as defined by s. 1 of the Legal Profession Act, S.B.C. 1998, Chapter 9, and amendments thereto. 2. For greater certainty, the Enjoined Parties and each of them are hereby enjoined from doing any of the following for or in expectation of a fee, gain, or reward, direct or indirect, from the person or persons for whom such acts are performed: (a) appearing as counsel or advocate; (b) drawing, revising or settling (i) a petition, memorandum, notice of articles or articles under the Business Corporations Act, or an application, statement, affidavit, minute,

3 - 3 - resolution, bylaw or other document relating to the incorporation, registration, organization, reorganization, dissolution or winding up of a corporate body; (ii) a document for use in a proceeding, judicial or extrajudicial; (iii) a will, deed of settlement, trust deed, power of attorney or a document relating to a probate or a grant of administration or the estate of a deceased person; (iv) a document relating in any way to a proceeding under a statute of Canada or British Columbia; or (v) an instrument relating to real or personal estate that is intended, permitted or required to be registered, recorded or filed in a registry or other public office; (c) doing an act or negotiating in any way for the settlement of, or settling, a claim or demand for damages; (d) agreeing to place at the disposal of another person the services of a lawyer; (e) giving legal advice; (f) making an offer to do anything referred to in Paragraphs 2(a) to (e); and (g) making a representation that the Enjoined Party or Parties are qualified or entitled to do anything referred to in Paragraphs 2(a) to (e) above herein.

4 Nothing in this Order will prevent the Respondent Christophere Nai Kit Ho from engaging in the practice of law outside the Province of British Columbia, as a member of the Law Society of Upper Canada, to the extent permitted by the Law Society Act (Ontario) and by the Law Society of Upper Canada. 4. No Enjoined Party who is enjoined by this Order from doing anything, or who is required to cease, desist, or otherwise refrain from doing anything, shall either do such thing personally or through any other person or other legal entity; nor shall any Enjoined Party request, instruct, or encourage any other person or other legal entity to do anything which such Enjoined Party is prohibited from doing pursuant to the Order sought herein; PROVIDED ALWAYS HOWEVER that the transfer of client files by the Respondents or any of them, without any fee being charged by the Respondents upon or in relation to such transfer, to a solicitor duly authorized to carry on the practice of law in British Columbia will not constitute a breach of this Order by either the Respondents or to such solicitors to whom conduct of such files are transferred. 5. No person or other legal entity with notice of this Order shall breach, participate in a breach, or permit a breach of its terms. 6. This Order is binding upon the Enjoined Parties and each of them upon the pronouncement of same, regardless of whether such Enjoined Party is served with a copy

5 - 5- of this Order; and is binding upon every other person or other legal entity made subject to the terms of this Order as of the time such other person or other legal entity first receives notice of the fact of this Order, regardless of whether such other person or other legal entity is served with a copy of this Order. 7. Should any Enjoined Party become a member in good standing of the Law Society of British Columbia, obtain an Inter-Jurisdictional Practice Permit from the Law Society of British Columbia pursuant to the Legal Profession Act and the Law Society Rules enacted thereunder, or become a member in good standing of the Immigration Consultants of Canada Regulatory Council, such Enjoined Party has liberty to apply for variation of this Order, on such period of notice to the Law Society of British Columbia and the Immigration Consultants of Canada Regulatory Council as may be provided by the Rules of Court from time to time. 8. The Petitioner have its costs of the within proceedings, jointly and severally as against the Respondents and each of them, in the lump sum amount of $1,500.00, all inclusive of

6 - 6 - disbursements and Goods and Services Tax, and the Enjoined Parties pay such costs to the Petitioner on or before December 15, THE FOLLOWING PARTIES APPROVE THE FORM OF THIS ORDER AND CONSENT TO EACH OF THE ORDERS, IF ANY, THAT ARE INDICATED ABOVE AS BEING BY CONSENT: Solicitor for Respondents Registrar
