3 3 COVENANTS AND CONDITIONS THE MORTGAGOR HEREBY COVENANTS WITH THE MORTGAGEE AS FOLLOWS:- 1 All sums of money which shall from time to time and at any time be owing or payable to the Mortgagee by the Mortgagor and whether as principal or surety or otherwise (whether as guarantor, security provider or otherwise howsoever arising) or which the Mortgagor may be or become liable to pay to the Mortgagee whether in Singapore or elsewhere or in any manner howsoever under and in respect of the Banking Facilities including (but without prejudice to the generality of the foregoing) usual or customary commissions discounts and banker s charges and also stamp duty legal costs charges and expenses incurred by the Mortgagee in relation to the preparation, execution, completion and registration of this Mortgage and also in relation to the preservation realisation or enforcement of this security such legal costs charges and expenses to be paid (on a full indemnity basis) together with interests in all cases aforesaid to the date of full payment. 2 Without prejudice to the generality of paragraph (1), and as a continuing obligation, to keep the Mortgagee fully indemnified on demand from and against any and all payments made by or on behalf of the Mortgagee under any documentary or other credits or guarantees issued by the Mortgagee at the request of the Mortgagor, or pursuant to the Banking Facilities, and any expenses, losses, damages, costs, claims or liabilities whatsoever which the Mortgagee may incur under or in connection with the said documentary or other credits or guarantees or any of the Facility Documents including, without limitation, any legal and other costs, charges and expenses (on a full indemnity basis) incurred by the Mortgagee in connection therewith. 3 To pay to the Mortgagee interests (as well after as before any demand or judgment or the death, bankruptcy or insanity of the Mortgagor or the cessation or closure of any account) on principal monies commissions, fees, charges costs expenses and all other monies and liabilities from time to time owing or payable to the Mortgagee at such rates per annum as stated in the Facility Documents or such other rate as the Mortgagee may determine from time to time and calculated with monthly rests or such other periodic rests as the Mortgagee may determine from time to time under the terms relating to any Banking Facilities, until full payment is received by the Mortgagee. 4 To perform observe and be bound by the terms covenants and conditions:- (a) (b) (c) implied by law in mortgages of registered land; set out or referred to in the Facility Documents; and set forth in the Memorandum lodged with the Singapore Land Authority and numbered as ID/524783C hereinafter referred to as the Memorandum"); all of which said terms covenants and conditions shall be deemed to form part of this Mortgage as if fully set out herein.

4 4 5 To perform, observe and comply with and not do or omit to do or permit or suffer to be done or omitted any act, matter or thing in, on or respecting the Mortgaged Property which shall contravene any of the (a) covenants, terms, conditions, restrictions, and stipulations contained in the Agreement for Lease and/or the Applicable Lease; (b) provisions of the HDB Act and/or the ECHS Act and/or the TC Act; and (c) rules regulations and/or policy requirements from time to time imposed by Housing and Development Board (hereinafter referred to as the HDB ), the Central Provident Fund Board (where applicable), and/or any other relevant authorities in relation to the ownership, occupation, use or otherwise of the Mortgaged Property, including but not limited to the partition or renovation works carried out at the Mortgaged Property and in relation to the physical occupation of the Mortgaged Property, and/or in relation to the person(s) owning or occupying the same. 6 For the avoidance of doubt, it is hereby declared that nothing herein shall affect any terms and conditions imposed from time to time by the HDB, including (without limitation) the terms and conditions of consent of the HDB, which shall prevail at all times. 7 Expressions in this Mortgage shall have the same meaning assigned to them as contained in the Memorandum. 8 In the event of any inconsistency between the terms and conditions in this Mortgage and those contained in the Memorandum, the terms and conditions of this Mortgage shall prevail. 9 In the event of any inconsistency between the terms and conditions contained in this Mortgage and those contained in the Facility Documents, the terms and conditions of the Facility Documents shall prevail. 10 Where two or more persons/parties constitute the expression Mortgagor, all covenants, obligations, stipulations and agreements expressed to be made by them shall be deemed to be made by, and shall be binding on, them jointly and severally and all references to "Mortgagor" shall refer to any or all of them and shall include the legal personal representatives of the Mortgagor. 11 In these presents words importing the masculine gender include the feminine or neuter gender and words importing the singular number include the plural number and vice versa.
