VOID WHERE PROHIBITED BY LAW OR REGULATION. This Contest is in no way sponsored, endorsed or administered by, or associated with Facebook, Inc, Twitter, Inc. or Instagram, Inc. You understand that you are providing your information to So Delicious Dairy Free and not to these entities. 1. PROMOTION DESCRIPTION: The So Delicious #140Difference Micro-Grant Contest ( Contest ) begins on Wednesday, April 22, 2015 at 8:00 a.m. Pacific Standard Time ("PST") and ends on Tuesday, May 12, 2015 at 11:59:59 p.m. PST ( Contest Period ). Sponsor s clock will be the timekeeper for the Contest. A selection committee of So Delicious judges will review entries and select winners. Entry in the contest does not constitute entry into any other promotion, contest or sweepstakes. 2. AGREEMENT TO THE OFFICIAL RULES: Participation in the Contest constitutes entrant s unconditional acceptance of and agreement to these Official Rules (the Official Rules ) and the decisions of the sponsor, So Delicious Dairy Free, 1130 Shelley Street, Eugene, OR (the Sponsor ) whose decisions shall be final and legally binding in all respects. 3. ELIGIBILITY: The Contest is open only to legal residents of the 50 United States, the District of Columbia and residents of Canada (excluding residents of Quebec). Employees, officers, and directors of Sponsor, promotion prize suppliers, and each of their affiliated companies, subsidiaries, licensees, distributors, dealers, sales representatives, retailers, printers, individuals engaged in the development, production or distribution of Contest materials, their advertising and promotion agencies, and any and all other persons associated with the Contest (collectively, the Promotion Entities ), and each of their immediate family members (as defined by the IRS) and/or people living in the same household, whether related or not, are not eligible to participate. Eligibility is subject to all federal, state, and local laws and regulations. 4. HOW TO ENTER: Enter the Contest by sharing, in 140 characters or less, your idea/business plan for making the world a better place. Ideas must be submitted through Twitter, Instagram or So Delicious Dairy Free s Facebook page at during the Contest Period. All entries must include the phrase #140Difference to be eligible. To enter the Contest (a) Log into your Facebook, Twitter or Instagram account; (b) If you are on Twitter or Instagram, enter your idea in 140 characters or less and include #140Difference; (c) If you are on Facebook, visit the Sponsor s Facebook page at and share your idea in 140 characters or less. Entries must include the phrase #140Difference. Contestants may submit unlimited entries, however each entry must be original. Submission of the same entry multiple times will void all such entries. Entries made by any other individual other than the person named in the entry will be declared invalid and disqualified for the Contest. In case of a dispute over the identity of an entrant, the

2 authorized account holder of the address used to enter will be deemed to be the entrant. Authorized account holder is defined as the person who is assigned to an address by an Internet access provider, online service provider or other organization that is responsible for assigning addresses for the domain associated with the submitted address. 5. WINNER SELECTION CRITERIA: Entries must demonstrate an innovative and entrepreneurial idea around sustainability, environmental conservation, animal welfare, plant based food, or food allergies. To be considered for a micro-grant or grant, the funds sought must help move the project idea along. Grant amounts will be determined by completeness of thought, originality, impact and scope of the project. Prize winners must submit performance details regarding how the micro-grant or grant was used to fund the project idea, and any progress that was made, based on the award of the micro-grant or grant within 3 months of having received funds. 6. PRIZE DETAILS: Sponsor shall award a total of $30, in micro-grants. Each day during the Contest Period, Sponsor shall award one micro-grant in the amount of $140.00, for a total of $2, Sponsor shall announce the daily winner of a micro-grant on Sponsor s blog located at Sponsor shall award the remaining $27, in individual grants ranging in amounts between $ ,500.00, based on a need basis, to the winners as determined by the selection committee panel, in the panel s sole discretion. Microgrants and grants are collectively referred to in these Official Rules as Prizes. Micro-grant winners are eligible for consideration for grants, and will be evaluated with all other submissions eligible for consideration. Odds of winning depend on the number of eligible entries received. ALL entries made during the Contest Period that meet the submission guidelines and eligibility requirements will be reviewed daily by the selection committee panel comprised of members of the So Delicious Dairy Free Advocacy, Social Media and Sustainability Teams. Daily microgrant winners will be announced on Sponsor s blog each day, and the remaining winners of grants and the amounts awarded as such grants, will be announced within one week after the end of the Contest Period. 7. TERMS OF SUBMISSION: Warranty by participant: By entering the Contest, you represent and warrant that: (i) your entry is an original work created solely by you for this Contest (not previously published or entered into any other contest or competition); (ii) your entry will not infringe or violate any intellectual property rights or defame or invade the publicity or privacy rights of any third party (living or deceased) or entity, including, without limitation, any trade secrets, copyrights, or trademarks; (iii) you have all the rights, title, and interest (including copyright) necessary to submit the entry in accordance with these Official Rules; and (iv) you will comply with all rules and regulations applicable to the Contest, including these Official Rules. Rights granted to Sponsor: If you submit an entry, you are at such time: (i) granting Sponsor, its subsidiaries, affiliates, licensees, successors, and assigns, a worldwide, royalty-free, perpetual, unrestricted, irrevocable, and fully sub-licensable right and license to use, disclose, broadcast, publish, reproduce, modify, translate, sub-license, and/or create derivative works from your submission (in whole or in part), and/or incorporate all or part of your submission in other works,

3 all in any manner and in any form, media, or technology now known or later developed anywhere in the world at any time, as well as in connection with any distribution or syndication arrangement with third parties or third party sites, all without further notice to, consent from, or compensation to you; and (ii) waiving any and all moral rights you may have in and to the Photo, without notice or compensation, and agreeing that you may be required to sign a release to that effect. You grant Sponsor these rights whether or not you are selected for a Prize. YOU WILL NOT BE COMPENSATED FOR YOUR ENTRY, or for granting Sponsor any of these rights. Sponsor, its affiliates, licensees, successors, and assigns are in no way obligated to use your submission. 8. WINNER SELECTION AND NOTIFICATION: All Prize awards are subject to verification by the Sponsor and potential Prize winners must meet all eligibility requirements and fully comply with these Official Rules. The Contest is conducted under the supervision of the Sponsor. Potential Prize winners will be notified electronically. Sponsor shall have no liability for any potential prize winning notification that is lost, intercepted or not received by any potential winner for any reason. If any potential prizewinner does not respond within (72) hours of the first notification attempt with potential winner's complete name and complete mailing address, or if the prize notification is returned as unclaimed or undeliverable to such potential prizewinner, such potential prizewinner will forfeit his or her prize and an alternate winner may be selected. If any potential prizewinner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential prizewinner will be disqualified and an alternate prizewinner may be selected. If a winning entrant is a legal resident of Canada, the entrant will be required to first correctly answer a mathematical skill testing question without assistance of any kind (whether mechanical or otherwise) within a 2-minute time limit in order to be eligible to win prize. The question will be administered by phone within five (5) business days following the drawing. If entrant cannot be contacted and the skill testing question administered, the prize will be forfeited and an alternate entrant will be selected. 9. CLAIMING AND DELIVERY OF PRIZES: Winner is responsible for any and all applicable fees, federal, provincial, state and local taxes, if any, and any other unspecified expenses associated with acceptance or use of Prize. Winners are advised to seek independent counsel regarding the tax implications of accepting a Prize. Prizes will be mailed to each winner s home address within thirty (30) days after the close of the Contest Period. Prizes must be accepted as awarded. No substitutions of any kind will be granted, except those substitutions made by Sponsor, who reserves the right in its sole discretion, to substitute a Prize with a different one of comparable or greater value. Acceptance of any prize constitutes Prize winner's permission for the Sponsor to use Prize winner's name, photograph, image, likeness, voice, biographical information, statements and complete address (collectively, the "Attributes"), for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter devised, in perpetuity, without further compensation or authorization, (except where prohibited by law), and releases the Promotion Entities from all claims arising out of the use of such Attributes. 10. PRIZE CONDITIONS/RELEASES: Any potential winner with a prize value greater than $600 will be required to execute an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release including a W-9 taxpayers request for identification or any other required tax documentation, (collectively, Prize Claim

4 Documents ). If a winner fails or refuses to sign and return all Prize Claim Documents within Seven (7) days of prize notification, the winner may be disqualified and an alternate winner may be selected. As a condition of entering, you agree: (i) to release Sponsor, Twitter, Facebook and Instagram, and its and their respective parents, subsidiaries, affiliates, and their respective officers, directors, employees, agents, attorneys, and representatives, from any and all liability, loss, claim, or damage incurred with respect to participating in the Contest or the awarding, receipt, possession, and/or use or misuse of any Prize; (ii) that under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim punitive, incidental, consequential, or any other damages (other than for actual out-of-pocket expenses) from Sponsor, Twitter, Facebook or Instagram ; (iii) all causes of action arising out of or connected with this Contest or any Prize awarded shall be resolved individually, without resort to any form of class action; and (iv) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, and in no event will you be entitled to receive attorneys fees or court costs. Some jurisdictions may not allow certain limitations on damages or the ability to seek damages through a class action; so some of these restrictions may not be applicable. By entering and participating in the Contest, each entrant agrees on behalf of itself and each of entrant s heirs, executors, and administrators (A) to release and hold harmless Promotion Entities and their respective officers, directors, and employees (collectively, Released Parties ) from any and all liability, rights claims and causes of action that entrant may have or which may arise against the Released Parties for any illness, injury, death, loss, litigation, or personal or property damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant s participation in the Contest and/or his/her acceptance, possession, use, or misuse of Prize or any portion thereof (including any travel related thereto); (B) that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee express or implied, in fact or in law, with respect to any Prize, including, without limitation, to such Prize s quality or fitness for a particular purpose; and (C) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in the Contest itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with these conditions may result in disqualification from the Contest at Sponsor s sole discretion. Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any Prize furnished in connection with the Contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED AS IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT. 11. DISQUALIFICATION; TERMINATION: Sponsor reserves the right to disqualify any entrant s submission in the Contest (and void all associated entries) or entitlement to a Prize, if, in the sole discretion of Sponsor, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Contest; if the entrant is in violation of the Twitter, Instagram or Facebook Terms of Use; if the entrant is acting in violation of these Official Rules; or if the entrant is acting in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.

5 Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Any use of robotic, automatic, macro, programmed, third party or like entry methods, will disqualify all entries using such methods. Sponsor is not responsible for lost, late, mutilated, misdirected, illegible, incomplete, inaccurate, or stolen, submissions or prize notifications. Entries that are incomplete, garbled, corrupted, or illegible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Contest for any reason, in Sponsor s sole discretion. In the event Sponsor terminates the Contest prior to the conclusion of the Contest Period, Sponsor may award the remaining Prizes from among all entries received up until the time of such termination, or choose not to award the remaining Prizes. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. 12. DISPUTES: THE CONTEST IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF OREGON AND APPLICABLE FEDERAL LAWS. ENTRANT AGREES THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR IN CONNECTION WITH THE CONTEST OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, AND HEREBY CONSENTS TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS OF OREGON. THE REMEDY FOR ANY CLAIM BY ENTRANT SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ENTRANT BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEYS FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF. 13. COLLECTION OF PERSONAL INFORMATION: Personal information collected from entrants will only be used by Sponsor, its affiliates, licensees, successors, assigns, related entities, and any authorized agents to administer this Contest and to fulfill the Prizes, unless you otherwise consent to receive s or to other promotional purposes.
