Riales gave the invocation. 3) T. Long moved approval of minues from the 24 November, 2015 Regular meeting of the Fannin Rural Rail District Board of Directors, and M. McGraw seconded. The motion passes. 4) There was no Treasurers report as it could not be updated. G. Taylor was in receipt, as of today, of bank statement and there was no change. 5) President Taylor welcomed guests David Davis, Tom Morgan, Dale McQueen, Randy McBroom, Sean Pate, Steve Filipowicz, Emily Porter, Roy Floyd 6) There were no speakers at the Public Forum 7) Consider and take action to terminate existing lease on rail line from TxDOT. T. Long moved to place upon the talbe items 7,8, and 9: M. McCraw seconded. Passed 8) Consider and take action on terminating TML insurance policy. (Tabled) 9) Consider and take action on disposal of Fannin Rural Rail District assets, including, but not necessarily limited to, the following: approximately 1200 railroad ties and a hi-rail truck. (Tabled) 10) Consider and take action to recommend re-appointment or replacement for board members with expiring terms: a. Tom Long b. Jerry Magness c. Roy Railes
3 i. Jerry Magness and Roy Railes declined re-appointment. The Board recommends re-appointment Dean Lackey and Randy McBroom for full terms. 11) Consider and take action to recommend replacement for Board members known to be resigning. Price Bradshaw, Richard Davey and Glenn Taylor. The board recommends appointment of Tom Morgan, Roy Floyd and Dale McQueen to serve the unexpired terms. 12) P. Bradshaw moved adjournment and J. Magness seconded. Passed a. Meeting adjourned at 1:45. Alan Lambright (From USDA) gave a history of USDA grant for original $175,000 to Fannin Rural Rail District. i. On October 29, 2015 Glen Taylor (former FRRD president) called Mr. Lambright and wanted to dissolve the rail board. (copy of letter in agenda packet) ii. Mr. Taylor said that at November 2015 meeting the Rail board would dissolve. iii. Mr. Taylor relayed that Fannin County wanted the remaining rail ties.
4 iv. When Mr. Lambright asked Judge Carter Judge Carter was not aware of this. v. From the USDA standpoint: the original grant was to save/retain jobs. This is still the position of the USDA. Unless the Rural Rail Board dissolves the disposition of assets is not required by the USDA and no money is currently owed to the USDA. b. Tom Morgan i. Would like to get together a plan of action to work with TXDOT and all other entities involved to see about getting freight going west from Bonham back to Bell s in the future. 3) Discussion or action to sell equipment a. Tom Morgan received a call from Glenn Taylor that he had a buyer for the districts hirail truck. Once sold, Mr. Taylor would like to repay a loan to the rail board and use remaining money to pay on next year s lease with TXDOT. b. Tom Long David Davis had put the truck on the internet for sale and this is how a buyer was found. c. General Discussion: i. Who actually holds title to the vehicle? Dale McQueen is to find who has title and let board know. 4) Adjorn a. Motion by Jerry Magness, 2 nd by Tom Long i. 5 Per our conversation, the Fannin Rural Rail Transportation District (FRRTD) will be dissolving due to the inability to rehab the rail line and secure an operator. In order to give disposition for assets acquired under the Grant Agreement the Agency needs the following: 1. Board Resolution stating that the rail line will be dissolving and/or requesting disposition instructions for items acquired with the grant. 2. List of items acquired, the estimated value and a proposed sales method Based on my review of the file, these items might include but may not be limited to: 1. Some cash on hand 2. Rail ties that were not installed 3. High Rail tools 4. High rail truck 5. In order to give disposition for assets acquired under the Grant Agreement the Agency needs the following: 1. Board Resolution stating that the rail line will be dissolving and/or requesting disposition instructions for items acquired with the grant. 2. Minutes from the meeting of Tuesday, November 24, Copy of the Treasurer s report 4.
