2 Top Teens of America Longview Oil Derrick Chapter Chapter Bylaws ARTICLE I Name The name of this chapter shall be the Longview Oil Derrick Chapter of Top Teens of America. ARTICLE II Purpose The purposes of this chapter shall be to: a. encourage high academic scholarship; b. develop social graces, leadership and fellowship; c. develop pride in self, home and community; d. encourage participation in workshops which address current trends; e. work collaboratively with other organizations to reach mutual goals; f. develop deep concern for Top Teens, Senior Citizens, Status of Women, Community Beautification and Community Partnerships; g. Encourage appreciation for ethnic and cultural heritage. ARTICLE III Membership Membership. Membership in this organization shall be granted to any teenager sponsored by an active member of Top Ladies of Distinction, Inc. or any two active members of Top Teens of America, in good standing. An active Top Lady must sign the application for a teenager sponsored by Top Teens. The age for active membership in Top Teens shall be from years of age. A TTA member may be suspended from activities indefinitely or for a specified period of time for breach of the Code of Ethics by the Chapter Review Board. The Chapter Review Board shall be composed of four Teens, three members of the Chapter and the Chapter TTA President; the TTA Chapter Advisor and two Top Ladies from the Chapter TTA Advisory Council. The Chapter Review Board shall correspond and function as instructed in the National Bylaws. ARTICLE IV Chapter Organization The chapter shall have the following officers; President, 1 st Vice President, 2 nd Vice President, Recording Secretary, Corresponding Secretary, Treasurer, Financial Secretary, Chaplain, and Parliamentarian. The duties of the elected and appointed officers shall correspond to those of the National Bylaws. An officer who does not fulfill his/her duties will be subject to impeachment in keeping with

3 Roberts Rules of Order Newly Revised. Chapter officer shall be elected in May of each election year and installed at the close of the June meeting. The chapter shall hold its regular monthly meetings every second Sunday of the month. Conflicting dates and times will be rescheduled and communicated to members at a minimum of three days prior to the regularly scheduled meeting date. The Longview Oil Derrick Chapter of Top Teens of America shall operate under the auspices of the Longview Oil City Chapter of Top Ladies of Distinction, Incorporated. ARTICLE V Officers Officers. The chapter shall have the following officers; President, 1 st Vice President, 2 nd Vice President, Recording Secretary, Corresponding Secretary, Treasurer, Financial Secretary, Chaplain, and Parliamentarian. Term of Office. Officers shall assume their duties at the close of the meeting at which they are elected. Officers shall serve for a term of two years. No officer shall serve for more than 1consecutive term in the same office. Vacancy in Office. A vacancy in any office due to impeachment or otherwise can be appointed by TTA Advisors. Duties. Officers shall perform the duties provided in this section and such other duties as are prescribed for the office in the National Top Teens of America bylaws. A. The president shall: 1. preside at all TTA meetings; 2. appoint chairmen of committees; and B. The vice-president shall: 1. perform the duties of the president in the absence of or at the request of the president; 2. fill the unexpired term if a vacancy occurs in the office of president; and C. The recording secretary shall: 1. record the minutes of all TTA meetings; 2. be the custodian of all documents including TTA bylaws, special orders, and standing rules; D. The corresponding secretary shall: 1. conduct correspondence as needed and directed 2. send a call/text message of the meeting/activity to each member;

The treasurer shall: 1. be custodian of all funds, disbursing them within the adopted budget; 2. present a financial statement at each meeting; 3. prepare a dues statement to be sent to each member with the call of the March meeting; and 4. fulfill such other duties as may be assigned by TTA Advisors. Section 5. Nominations and Elections. A. Nominations shall be made from the floor at the April meeting. B. Elections shall be by ballot at the May meeting except when there is only one nominee for an office election may be by voice vote. ARTICLE VI Dues Member Dues. A. Individual member dues shall be $25. B. Dues are payable by cash or check. C. Membership shall be delinquent if dues are not paid by April 1. ARTICLE VII Meetings Section 5. Regular. Regular meetings shall be held every on the second Sunday of each month, unless changed by a two-thirds vote of the chapter members present and voting or TTA Advisor. Annual. The regular meeting in May shall be known as the annual meeting and shall be for the purpose of electing officers, receiving reports of officers and committees, and for any other business that may arise. Special. Special meetings may be called by the TTA Advisor. The purpose of the meeting shall be stated in the call and at least three days notice shall be given. Quorum. A quorum (20% of membership) is required for meetings to begin. Teens shall sign-in for all meetings. ARTICLE VIII Committees Standing Committees. The standing and special committees of TTA shall be: Community Beautification, Community Partnerships, Senior Citizens, Status of Women, March of Dimes, Sickle Cell Awareness, NAACP, UNCF, NCNW, and TLOD Literacy. Composition. Chairmen and members of all standing committees shall be appointed by the TTA president. Duties. A. The program committees shall plan an appropriate program for the year to carry out the objectives of Top Teens of America.

5 ARTICLE IX Parliamentary Authority The rules contained in the current edition of Robert s Rules of Order Newly Revised shall govern the chapter in all cases to which they are applicable and in which they are not inconsistent with the local or national bylaws of TTA. ARTICLE X Amendment These bylaws may be amended at any regular meeting of the chapter by a twothirds vote, provided that the amendment has been submitted in writing at the previous regular meeting or submitted with the call to the meeting. Any amendments to these bylaws necessitated by amendments to the National Top Teens of America Bylaws shall be automatically effected by the chapter and reported to the membership in writing following the adoption of such amendments by TTA.
