Henry CCSSA Carol Lemay 1.0 CALL TO ORDER 1.1 Opening Prayer 1.2 Approval of the Agenda President Ted Paszek called the meeting to order at 10:00 a.m. President Ted Paszek opened the meeting with a prayer. The time for the Franciscan 100 th Anniversary presentation was moved to 11:30 a.m. MOVED by Terry Langis that the agenda be approved as circulated and amended. 2.0 APPROVAL OF MINUTES MOVED Mary Anne Penner that the minutes of the June 13, 2008 regular Board of Directors meeting be approved as circulated. ** ratified November 14, /19/08

2 3.0 Proposed 2009 ACSTA Operating Budget Proposed 2009 ACSTA Operating Budget documents. MOVED by Christine Moore that the meeting move in-camera. Observers and ACSTA staff left room. MOVED by Christine Moore that the meeting move out of in-camera. Administration was directed to prepare and provide briefing notes for the Compensation Report prepared by Western Management Consultants. MOVED by Terry Langis that the proposed 2009 ACSTA operating budget be accepted and further, that it be presented to the 2008 Annual General Meeting for approval. 4.0 ENDS 4.1 ADVOCACY Solicitor/Client Privilege MOVED by Sandra Bannard that this Board of Directors meeting is convened under the protection of solicitor/client privilege at the direction of legal counsel, for the primary purpose of asking for and receiving advice in anticipation of litigation or during the progress of the action and for the primary purpose of exploring reasonable settlement prospects of the litigation, specific to item ** ratified November 14, /19/08

MOVED by Jack Kelly that the meeting move out of in-camera Franciscan 100 th Anniversary Presentation 4.2 COMMUNICATIONS Communications Committee Report Presentation cancelled. Communications Committee Chair, Larry Wasylik referred to his previously circulated report. A draft copy of the Our Catholic Schools: They re Something Special was circulated. The text will be revised to reflect that our schools are publicly funded. 4.3 CATHOLIC EDUCATION DEVELOPMENT AGM & Convention 2009 ACSTA AGM & Convention Chair, Gerald Bernakevitch reported that plans are well underway for the convention and that registration materials are on the ACSTA website. Directors were encouraged to submit their board s nominations for long service awards Spring Conference The Executive Director encouraged Directors to have their Boards submit their responses to the survey regarding the charter buses from Calgary and Sherwood Park to Jasper. The deadline is September 30. Administration will determine if the charters can make stops in Red Deer, Spruce Grove and Edson. ** ratified November 14, /19/08

4 Catholic Conference The Executive Director reported that a sub-committee of the Board met by conference call on June 30 to discuss the date, location and general program outline for the 2010 Catholic Conference. The next Catholic Conference will be held March 12-14, 2010 in Edmonton. Administration obtained proposals from several venues and decided to book the Mayfield Inn and Conference Centre. 4.4 GOVERNANCE AGM Resolutions 2008 Resolutions Committee member, Terry O Donnell reported that the following three resolutions were submitted for consideration at the 2008 AGM: 1 Listing of resolutions and directives; 2. Establishment of a reserve fund to pay for the consulting fees associated with the formation of 4x4 separate school districts; and 3. Non Catholic District locations for the administration of the HPV vaccine. A resolution for the proposed 2009 ACSTA operating budget will also be presented to the 2008 AGM. 5.1 President s Report President Ted Paszek provided an update on the meeting with Minister Hancock. 6.0 BOARD-STAFF RELATIONSHIPS Strategic Plan The Executive Director referred Directors to the previously circulated document which reports the action taken by the President, Executive Director and staff with respect to the key results identified in the Strategic Plan. 7.0 OWNERSHIP LINKAGE 7.1 Directors Reports Directors provided updates on current issues in each of their districts. ** ratified November 14, /19/08

5 7.2 Alberta Bishops ACSTA Liaison Bishop, Bishop Frederick Henry reported that the Alberta Bishops have in honour of the Jubilee Year dedicated to St. Paul, adopted the theme Ready to Evangelize A Life in Faith for Catholic Education Sunday, this November 2. He also noted that the Alberta Bishops recognize that there may be potential problems with Catholic Education falling on All Souls Day and as such suggested that Boards do what is most appropriate for their jurisdictions (i.e. celebrate one week earlier). 7.3 ASBA Zone 7 Representative 7.4 CCSSA 7.5 CCSTA Zone 7 Representative, Alice Brick spoke to her previously circulated report. CCSSA President, Carol Lemay reported that the CCSSA is meeting September A new executive will be elected at that time. President Ted Paszek reported that the next CCSTA Board meeting is scheduled just prior to the September Catholic Education: A National Conversation Conference. A meeting of the Presidents and Executive Officers of Alberta/NWT, Ontario and Saskatchewan will take place at this time. The 2009 CCSTA Convention will be held June 4-6 in Victoria. 8.0 MONITORING CONFIRMATION 8.1 Monitoring Confirmation Reports BSR-3, Monitoring the Executive Director Performance EL-5, Employment, Compensation & Benefits EL-6, Budgeting EL-7, Fiscal Responsibility MOVED by Sandra Bannard that the Monitoring Reports for BSR-3, EL-5, EL-6 and EL-7 have been read, and that they provide both an acceptable interpretation of the policy and evidence of achievement of that reasonable interpretation. ** ratified November 14, /19/08
