1 DEL RIO MIGHTY RAM BAND BOOSTER BY-LAWS 1. NAME 2. The name of this organization will be Del Rio Mighty Ram Band Boosters. This organization will be a non-profit organization. The period of duration of the organization shall be perpetual. II. Purpose The organization is exclusively for charitable purpose within the meaning of Section 501 (c)(3) of the Internal Revenue Code. The registered agent shall be the Treasurer for the organization. The purpose of the Band Boosters organization is: To provide inspiration, guidance and assistance to all band students in order to develop and sustain top performing instrumental music programs at the high school level To secure closer contact between interested parents, students, teachers and Directors, thereby assuring clear communication and cooperation among all those involved in the band program To foster closer ties ties between the parents of younger music students and the parents of high school students, thereby strengthening the entire band program To promote music culture throughout the community by fostering greater concert attendance and other public support of all band activities, thereby rendering moral support to all students To assist with the purchase of equipment and supplies that would not be available through the school budget, provide such actions are with the U.I.L., T.M.E.A, and SFDRCISD policies and procedures Projects for the benefit of the band will be decided by the vote of members attending the Band Booster meetings. A quorum is required. III. Powers of the Organization The Powers of the organization are-

2 To solicit, accept and collect donations and contributions in cash or property, real, personal or mixed. To acquire by purchase, lease, contract or otherwise, any property, real personal or mixed To do any and all such further acts and to exercise any and all such further powers as may be necessary, incidental, conductive, appropriate or desirable for the accomplishment or carrying on or attainment of all or any of the objectives or purpose enumerated in these By Law; and to have and to exercise all the powers conferred by the State of TX upon charitable organizations, such as laws now in effect or may at the time hereafter be enacts or amended. IV Membership Memberships will be open for the parents and legal guardians of all band students at the high school. Parents may, if they so desire and if approved by the Executive Board, remain active in the Band Booster organizations after the child is no longer in the band as a non-voting member. The band directors should shall participate in an advisory capacity as a non-voting member. Any supporter of the band program may join the Del Rio Mighty Band Boosters will require dues, and all members are required to attend all meetings and be expected to work as required in support of the activities of the Band Booster. In addition to membership dues all booster member will be required to pass a background check as mandated by SFDRCISD. V Meetings The Del Rio Mighty Ram Band Boosters will meet monthly at a site, day and time designated by the Executive Board. Social Meetings may be called. Upon request by any member of the Board Boosters and with final approval of the Executive Board and requested at a scheduled general meeting, with the majority consents of the attending members. Reasonable advance notice, as determined by the Executive Board, will be given of all special meeting. All business brought before the Del Rio Mighty Ram Band Boosters at a general meeting will be decided by the vote of those members present. Robert s Rule of Order will apply. A quorum is required. A quorum consists of 15 members of which 3 must be officers.

3 The Executive Board will meet on a monthly basis as required. VI Board of Directors The Business and affair of the organization SHALL BE MANAGED BY THE Board of Directors (the Executive Board, or the Board). It may exercise such powers and do all such lawful acts and things as are not prohibited by statute or by these By Laws. Continuing and exclusive authority to fix, supervise and execute the professional, business and other affairs of the organization shall be wholly vested in the board. The Board shall consist of the voting officers of the organization (as specified in section VII- Officers). The number of officers may be increased or decreased by the resolution of the Board and approval by a majority of the membership present at the time of the vote. In no case shall the number of officers be less than five. No decrease in the number of the officers shall shorten the term of the incumbent officer, except as expressly provided otherwise in these By Laws, the term of each officer shall be one year. The President may invite non Board members to attend Board meetings to advise the Board on various matters. Any vacancy occurring on the Board, except for one due to change in the office of President, shall be filled by affirmative vote of a majority of the remaining Board Members. A quorum must be present for the vote. If there is a vacancy in the office of the President, the Board will nominate a new President to present to the general membership for approval. VII Officers Elected terms for all positions shall coincide with the fiscal year. Elections will be held during the month of May. There is no limit on the number of terms, consecutive or total that a person may serve in an officer position, except as noted below. President and Vice President Officers should be parents or legal guardians of sophomore, junior or senior students. All other officers must be parents or legal guardians of high school band members in the SFDRCISD, as well as active members the prior year to holding an office. Each officer may enlist additional people to form sub committees to assist them in fulfillment of their duties. Each officer is ultimately responsible to the general membership for the proper performance of his or her specified duties. Each officer will create or update operational policy and procedure documentation for

4 carrying out their assigned duties. Unless otherwise appointed by the band director, each candidate for office must submit a petition to be placed on the ballot and approved by the band director, Duties of the President Provide leadership to the organization Prepare written agendas for and conduct all scheduled and special meeting of the organization and the board Appoint committee members as authorized May countersign checks as required Shall serve no more than two consecutive terms Shall recommend to the Board at least five members for the scholarship committee, if any are budgeted in the current fiscal year Shall vote in the case of a tie Oversee the recruitment and assignment of chaperones Prepare and present the annual budget to the Board for approval. Annual budgets, and will further submitted by the Board for approval in the August meeting Mandatory attendance of all meetings with the maximum of 2 excused absences Duties of the Vice-President Coordinate fundraising activities, as approved by the Board and general membership Act in the absence of the President Serve as chair of the long range planning committee Oversee recruitment and coordination of volunteers for the various activities of the organization, such as concessions, fundraisers and/or other Oversee all activities related to food services, such as concession operations and purchasing of supplies, hospitality and/or other Mandatory attendance of all meetings with the maximum of 2 excused absences Duties of the Secretary Oversee communications within the organization, such as newsletters, websites, auto dialer, student directory and/or others Oversee all communication outside the organization, such as public announcements, advertising and/or others

5 Record minutes of all meetings and report them at the next meeting, and deliver them to the Parliamentarian for archival May countersign checks as required Maintain copies of the current By-Laws Mandatory attendance of all meetings with the maximum of 2 excused absences Duties of the Treasurer Keep the financial books and accounts for all monies Arrange for cash for fundraising events as appropriate May countersign checks as appropriate Maintain copies of tax exempt statements, tax records and other required legal documents Prepare the books for the annual audit Shall serve no more than three consecutive terms Assist the President in preparation of the annual budget Shall be the registered agent for the organization Mandatory attendance of all meetings with the maximum of 2 excused absences Duties of the Parliamentarian Guide the membership and the Board meeting to comply with Robert s Rules of Order Maintain permanent archives of all minutes, bylaws, articles of incorporation and other documentation of the organization Take photos and maintain a pictorial history of the organization Mandatory attendance of all meeting with the maximum of 2 excused absences VII Committees The following committees shall be convened annually. All members of these will be nominated by the President with input from the general membership and approved by the Board. Scholarship Committee The scholarship committee shall consist of the band director, a counselor and 3 voting nonsenior parents members. Scholarships will be given based on availability of funds. Internal Audit

6 An Audit of the financial records shall be conducted annually within 30 days of the end of the financial year, Jul 1 Jun 30. The Internal Audit Committee shall consist of 3 persons not involved in the disbursement or control of the organizations finances. Committee members do not have to be members of the organization. Other Committees These shall be the standing committees appointed by the President: Long Range Planning Events Uniform Phone Tree Transportation Equipment And such others as the Executive Board shall find necessary IX. Adding and Amending By Laws It is recognized that changes in these by laws may be necessary, if changes are required, the Executive Board will submit a change proposal to the band director for final approval. X. General Provisions This fiscal year of the organization shall begin Jul 1 and end Jun 30 of the following calendar year. To the extent permitted by law, the organization shall indemnify anyone or more of its officers or former officers against liabilities and expenses actually and necessary incurred in connection with any threatened, pending, or completed action, suit or proceeding, or any appeal in such an action, suit or proceeding, or any inquiry or investigation, or if one or more officers was, is or is threatened to be made a defendant respondent by person of his/her serving as an officer of the organization. The organization shall reimburse to any officer named a defendant or a respondent in any proceeding by reason of his holding office, reasonable expenses of such suit or proceeding if the officer has been wholly successful, on merit, or otherwise, in defense of such proceeding or if, upon majority vote of directors not involved in proceedings upon any other determination permitted by Article A of Texas Nonprofit Corporation Act, it is determined that the officer or former officer

7 a) Conducted himself in good faith b) Reasonably believed, in the case of conduct in his official capacity, that his conduct was in the organization s best interest c) In the case of any criminal proceeding, had no reasonable cause to believe his conduct was unlawful No part of the income of the organization shall inure to the benefit of or be distributed to any of its Officers, or the private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments in furtherance of its stated purpose. Not withstanding any other provision of these Bylaws, the organization shall not carry on any other activity not permitted to be carried ona) By an organization exempt from deferral income tax under Section 501 (c) (3) of the Internal Revenue code of 1986 as amended (or corresponding provision of any future United States Internal Revenue Law), or b) By an organization, contribution to which are deductible under Section 170 (c) (2) of the Internal Revenue code of 1986 as amended (or corresponding provision of any future United States Internal Revenue Law) XI. Request for Funding Any request for funding for the band from the band boosters must be requested by the head band director. The band director will then place the request on the agenda. Any band member requesting funds from the band boosters must go through the band director for approval. XII. Removal from Office Elected officers may be removed from the board by performing the following steps: Submit a petition to the Executive Board for review and consideration containing 25 signatures of boosters and having reasonable cause. The Board will determine if reasonable cause is found. If the majority of the Executive Board votes in favor of the petition, then it will be placed on the agenda at the next meeting under new business. Two/thirds of the membership present are necessary for no confidence measure to pass with a minimum of 25 members voting. Addendum PTO s and Booster Clubs, SFDRCISD
