1 INTERNATIONAL STUDENT ASSOCIATION CONSTITUTION AND BY-LAWS ARTICLE I: NAME & PURPOSE Section A: Name The name of this organization shall be Embry-Riddle Aeronautical University International Student Association, referral to herein after as I.S.A. Section B: Purpose The purpose of this club shall be: 1. Promote international understanding among all students at Embry-Riddle Aeronautical University in Prescott, AZ. 2. Promote the growth and development of the international students attending ERAU. Section C: Location and Address The headquarters of the association shall be Embry-Riddle Aeronautical University and the address shall be: INTERNATIONAL STUDENT ASSOCIATION Embry-Riddle Aeronautical University Center for International Programs and Services (CIPS) 3700 Willow Creek Road Prescott, AZ ARTICLE II: MEMBERSHIP & DUES Section A: Eligibility Membership shall be open to any student of Embry-Riddle Aeronautical University at any time during the school year. Section B: Dues There will be no requirement of dues to be paid. ARTICLE III: OFFICERS Section A: Officers The officers shall be President, Executive Vice-President, Vice President of Finance, Vice President of Communications, and Vice President of Events. Section B: Eligibility The advisor has the power to deny any student becoming an officer if said advisor feels that the student is not prepared and able to run in such a position. Section C: Election Officers will be in their position for an Academic School Year the Fall and Spring semesters. New officers shall be elected by ballot in the month of March or beginning of April at the latest March. Newly elected officers will then have the opportunity to shadow the previous officers until the end of the Spring Semester. The newly elected officers will hold their position officially starting in the fall semester following the March Spring election. The President has to have been an officer previously and needs a majority approval by the officers of that yearthe President has to have been an officer for any club/organization for at least one semester at ERAU prior to running for the President of ISA. 1
2 Section D: Term The officers shall serve for the one academic year from Fall until Spring. Section E: Vacancy If a vacancy occurs in the office of President, the Vice President shall assume the office for the remainder of the term and vacancies in any other office shall be filled by a special election. The special election will be held during the semester, immediately following the vacancy of the position. ARTICLE IV: DUTIES OF OFFICERS Section A: President it shall be the duty of the President to: Preside at meetingsplan and regularly schedule meetings Represent the club at campus events and departments Serve as an ex-officio member of all committees except the nominating committee Perform such other duties as ordinarily pertain to this office Oversee all aspects of the club Maintain contact with the Student Life OfficeDepartment of Student engagement with the assistance of the other officers Communicate important information with the Executive Council regularly Spend an average 3 hours per week throughout the academic year for planning ISA meetings and events Spend an average 4-6 hours per week prior to International Education Week (in Fall) and International Festival (in Spring) for planning and executing event(s) Initiate, plan, and assist advisors in conduction elections Section B: Executive Vice President It shall be the duty of the Vice President to: Preside in the absence of the President Serve as chairperson of the Program Committee Assist the President in club oversight Record attendance of Executive Council in Officer meetings and ISA in Allmember meetings Schedule/Plan/Execute monthly All-member meetings and events Any message that needs to be sent out to the ISA must be approved by the 2
3 Section C: Vice President of Communications It shall be the duty of the Vice President Communication to: Record the minutes of all meetings Keep a file of the club s records Maintain a current roster of hip Issue notices of meetings and conduct the general correspondence of the club Communicate important information with the club Executive Council Collect Executive Council s schedules to plan weekly/bi-weekly Officer meetings Any message that needs to be sent out to the ISA must be approved by the Section D: Vice President of Finance It shall be the duty of the Vice President of Finance to: Receive all funds and process Requests for Payment, Deposit Slips, and Officer Signature Forms Keep an itemized account of all receipts and expenditures and make reports as directed Organize fundraising events Work with Advisors on funds management Any message that needs to be sent out to the ISA must be approved by the Section D: Vice President of Events it shall be the duty of the Vice President of Events to: Organize (with the help of the other officers and a committee as he or she sees fit) all ISA Events such as monthly dinners, the International Festival and other unspecified events that ISA is involved in Be informed about events going on that the club can attend and participate in and relay the details to club officers 3
4 Any message that needs to be sent out to the ISA must be approved by the ARTICLE V: MEETINGS Section A: Meetings All-member meetings have toshould be be held at least once a month and the Executive Committee shall also meet at least once twice a month. Section B: Special Meetings Special meetings may be called by the President with the majority approval of the Executive Committee. ARTICLE VI: EXECUTIVE COMMITTEE Section A: Responsibility The Executive Committee is responsible for the management of the club as stated above in Article IV. Section B: Membership This committee shall consist of the officers as listed in Article III and the faculty advisors. ARTICLE VII: ADVISOR Section A: Selection There shall be a faculty/staff advisor who shall be selected at the forming of the club and if necessary can be replaced with a majority vote by the Executive Committee. Section B: Duties The responsibilities of the faculty/staff advisor shall be to: Maintain an awareness of the activities and programs sponsored by the club Meet on a regular basis with the leader of the club to discuss upcoming meetings, long range plans, goals, and problems of the club Attend all-member meetings and Executive Committee meetings as often as his or her schedule allows Assist in the review of officer nominations and assist in the orientation of newly elected officers and be in power of a final say in the choosing of a committee member as stated in Article III Section B Explain and clarify campus policy and procedures that apply to the club Provide direction in the area of parliamentary procedure, meeting facilitation, group building, goal setting, and program planning Assist the club treasurer in monitoring expenditures, fundraising activities, and corporate sponsorship to maintain an accurate and up-to-date account ledger Conduct elections and with the assistance of the President, results to all 4

6 ARTICLE IX: AMENDMENTS Section A: Selection these bylaws may be amended by a two-thirds (2/3) majority vote of the executive hip. ARTICLE X: LIABILITY Section A: Since hip is voluntary, this club is exempted from all liabilities, claims, or lawsuits. Amendments: 3/24/17 6
