1 BY-LAWS - LOCAL PARKS CANADA AGENCY, ONTARIO SERVICE CENTRE, CORNWALL (November 2007) BY-LAW 1 - NAME This organization shall be known as Local Parks Canada Agency, Ontario Service Centre, Cornwall of the Union of National Employees, Public Service Alliance of Canada. BY-LAW 2 - AIMS AND OBJECTIVES Section 1: It shall be the objective of this Local to protect, maintain and advance the interests of the employees of the Parks Canada Agency Ontario Service Centre, Cornwall that falls under its jurisdiction. Section 2: This Local shall unconditionally subscribe to and accept as its governing documents the By-Laws of the Union of National Employees and the Constitution of the Public Service Alliance of Canada. Section 3: This Local shall support fully the Union of National Employees and the Public Service Alliance of Canada in the furthering of their constitutional responsibility for the improvement and protection of wages, salaries and other terms of employment of all employees of all members of the PSAC. BY-LAW 3 MEMBERSHIP Those eligible for membership shall be employees of the Parks Canada Agency, Ontario Service Centre, Cornwall, in the jurisdiction of the Local who are eligible for membership in the Union of National Employees of the Public Service Alliance of Canada. The jurisdiction of the Local shall be assigned from time to time by the Union of National Employees.

2 BY-LAW 4 - MEMBERSHIP DUES Section 1: The membership dues of the Local shall be not less than the amount of the per capita dues required by the By-Laws of the Union of National Employees and the Constitution of the Public Service Alliance of Canada as determined by their respective Triennial National Convention. Section 2: Increases to the Local dues must be voted on by a two-thirds (2/3) majority vote of the members present at the Annual Meeting, providing that 30 days of motion have been given of the meeting and the purposed increase. BY-LAW 5 ELECTION OF LOCAL EXECUTIVES OFFICERS Section 1: Composition of the Local Executive: The executive officers of this Local shall consist of: President, Vice- President; Secretary / Treasurer; Health and Safety Officer; Human Rights Officer and a Chief Shop Steward. The duties of the Health and Safety Officer and the Human Rights Officer may be combined with the duties of other Local Executive officers. Section 2: Term of Office: The Executive Officers of this Local shall serve two year terms with half the executive being and the other half in odd numbered years, as follows: President: Vice-President: Secretary/Treasurer Health & Safety Officer Human Rights Officer Chief Shop Steward Section 3: Election of Officers: Executive Officers of this local shall be elected at the annual general membership meeting of the Local and their duties shall be consistent with the Union of National Employees By-Laws. Section 4: Vacancies: Vacancies on the executive of the local that are for a period of less than six months shall be filled by an interim appointment by the remaining members of the Local Executive.

3 Vacancies that are for a term greater than six months shall be filled at a special membership meeting of the Local. BY-LAW 6 DUTIES OF THE LOCAL EXECUTIVE OFFICERS Section 1: Duties of Local President: The President or, in his/her absence, the Vice-President, shall preside at meetings and shall be responsible for the efficient and proper conduct of the Local. They shall represent the membership at Union- Management meetings and shall be the chief spokesperson at the local level for all union matters affecting the members of the Local. The President shall interpret the By-Laws of the Local, supervise the work of other Officers of the Local and of all committees and perform such other duties as pertain to the office. The President shall report on his/her activities at each Local Executive Meeting and each General Membership meeting. The President shall have signing authority for the Local. The President shall be an ex-officio member of all committees of the local. Section 2: Duties of the Vice-President: The Vice-President, in the absence of the President, shall carry out the duties of the President and shall perform such other duties as may be assigned to him/her by the President and/or the other members of the local executive. Section 3: Duties of the Secretary/Treasurer: The Secretary/Treasurer shall record the proceedings of all meetings and shall be responsible for the finances of the Local and the proper maintenance of documents, records and correspondence related thereto. They shall be responsible for the preparation of the Local's annual financial statement and shall be one of the signing officers for all of the Local's banking affairs. Section 4: Duties of the Health & Safety Officer: The Health & Safety Officer of the local shall act as the local representative on Health & Safety issues and should perform the duties and responsibilities as described in the Union of National Employees Guideline 12. They shall also serve as the Union Co-Chair on the workplace Health & Safety Committee. Section 5: Duties of the Human Rights Officer: The Human Rights Representative shall act as the Local's representative on Human Rights issues. They shall maintain active communications with the Component's

4 Regional Human Rights Representative. They shall become familiar with the Human Rights and Employment Equity Legislation and shall advocate on behalf of the equity members of the Local, the Union of National Employees and the PSAC. Section 6: Duties of the Chief Shop Steward: The Chief Shop Steward shall be responsible for recruiting worksite stewards and organizing and coordinating the Local's Steward network. He/she shall advise worksite Stewards and shall provide guidance and support to them on representational issues. In the absence of or at the request of a local worksite steward, he/she shall provide grievance representation for a member(s) at that worksite. He/she shall be responsible for ensuring that the worksite stewards are informed of upcoming related training and he/she shall ensure that they attend such training within 6 months of their election. BY-LAW 7 ELECTION OF OFFICERS OF THE LOCAL The election of local officers shall take place at an annual general membership meeting of the local or in the case of a vacancy, at a special membership meeting called for that purpose. The PSAC rules of order shall be followed during the election process. BY-LAW 8 FINANCES Section 1: No officer or officers of this Local shall enter into any financial contractual understanding or agreement without prior approval by the National Executive. Section 2: In accordance with the By-Laws of the Union of National Employees, the Local shall submit to the National Office of the Component annual audited statements of Local finances and number of members before April 1 of each year. In accordance with the foregoing, the Union of National Employees shall make no remittance of refundable portion of dues until such statement has been received. Section 3: There shall be only three members of the executive with signing authority for the Local's bank withdrawals. One of these members shall be the local Secretary-Treasurer and one other shall be the Local President. Each cheque must have two of these signatures in order to be valid, one of which must be that of the Local Secretary/Treasurer. Such arrangements must be made through a local bank or credit union after an election of new officers. Section 4: The fiscal year of this Local shall be from January 1, to December 31.

5 Section 5: The Secretary-Treasurer of the Local shall submit a financial statement to all regular meetings of the Local. Section 6: All financial records of the Local should be retained for the legal period prescribed by the Income Tax Act. BY-LAW 9 LOCAL MEETINGS Section 1: The Local Executive Officers shall meet a minimum of six (6) times per year. These meetings shall take place in order to ensure that the Local properly conducts its business, including, but not limited to, such issues as the consideration and maintenance of membership lists, collective bargaining, labour management relations, and Health and Safety and Human Rights issues. Section 2: The membership meetings of this Local shall be held at a minimum annually. Section 3: Special meetings may be called by the President or by the majority of the executive officers of the Local or upon written petition of ten (10) or more members. Section 4: An annual membership meeting shall be held in accordance with the National By-Laws for the purpose of receiving annual reports, the consideration of business, and the election of officers. BY-LAW 10 - BY-LAWS By-Laws of the Local may be amended by a two-thirds (2/3) majority vote of the members present at the Annual Meeting providing thirty (30) days' notice of motion has been given and posted.
