1 LOCAL 284 NETJETS FLIGHT ATTENDANT EXECUTIVE COUNCIL POLICIES AND PROCEDURES MANUAL

2 NETJETS FLIGHT ATTENDANT EXECUTIVE COUNCIL POLICIES AND PROCEDURES STATEMENT OF PURPOSE These Policies and Procedures exist for the purpose of advancing the professional goals of flight attendants employed by NetJets, Inc. History has demonstrated that professional flight attendants are best served by a strong labor organization founded on the principle of accountability to the members its serves. Teamsters Local No. 284 and the NetJets Flight Attendant Executive Council have negotiated, industry-leading collective bargaining agreements for its members. These Policies and Procedures reflect your Union s commitment to maintaining and constantly improving a strong, accountable, professional Union dedicated to its membership. ARTICLE I FAEC POSITION DESCRIPTIONS, ELECTIONS, TERM OF OFFICE, CHAIR, REMOVAL, CAMPAIGNS, PROTESTS, VOLUNTEER STATUS, TRAINING Section 1. FAEC Position Descriptions: A member of the NetJets Flight Attendant Executive Council (hereinafter, FAEC member ) shall carry out such responsibilities and duties as may be assigned or delegated to him or her by the President of International Brotherhood of Teamsters, Local 284 (hereinafter, Local 284 ), by other members of the Executive Board of Local 284, or by a Business Agent of Local 284, including but not limited to participating in collective bargaining sessions on behalf of the Union, representation of flight attendants in investigatory, disciplinary and grievance meetings, attendance at other necessary meetings with management representatives, development of communications directed to members in good standing, recommending to the President of Local 284 the appointment of members in good standing to various FAEC subcommittees and participating in other necessary and useful projects for the benefit of members in good standing. The FAEC shall submit to Local 284 all proposed binding agreements prior to entering into such agreements. Section 2. Elections, Term of Office and Vacancies: A. There shall be four (4) FAEC members. FAEC members shall be elected by a secret ballot vote of the membership. The term of an FAEC member shall be thirty-six (36) months. A member in good standing may stand as a candidate for an FAEC position if he or she is nominated by at least one member in good standing, including him or herself. Nominations shall be in writing. Local 284 shall confirm that the nominated member is a member in good standing and that he or she desires to stand for election. Candidates shall stand for election on an at-large basis. FAEC elections shall be administered by Local 284, and if applicable, in conjunction with an FAEC election subcommittee comprised of members recommended by the FAEC and appointed by the President of Local 284. B. Notices of requests for nominations for the first election held pursuant to this Article L Section 2, A. shall be published August 24, Nominations must be received no later than 2

3 September 14, Local 284 shall confirm that a nominated individual is a member in good standing and that he or she desires to stand for election. The official list of candidates shall be published no later than September 21, Ballots shall be mailed to members no later than October 21, Ballots must be received no later than 2:00 p.m. November 30, Ballots shall be counted beginning at 2:00 p.m. on November 30,2009. The unofficial result of the election shall be published on November 30, Official election results shall be published on December 7, 2009 or. If applicable, after all election protests have been resolved in accordance with Article I, Section 7. FAEC members elected pursuant to this Article I, Section 2., B. shall serve from January 1,2010 to January 1, Subsequent FAEC elections shall be conducted in accordance with timelines based on this Article I, Section 2, B. with ballots counted on November 30 of the applicable year. C. If a member of the FAEC vacates his or her position with more than 12 months remaining on his or her term, a special election shall be held to fill the position for the remainder of the unexpired term. The President of Local 284 may hold a special election if less than 12 months remain on the term of the vacating member. An FAEC position filled by special election shall be subject to the regular election procedures described in Article I, Section 2, A. at the end of the unexpired term. Section 3. FAEC Chair: A Local 284 officer, trustee or business agent shall carry out the duties of a fifth FAEC member and Chair of the FAEC and may, in his or her discretion, delegate such duties to an FAEC member(s). The FAEC Chair shall have the same responsibilities and duties as all other members of the FAEC. In addition to his or her regular FAEC duties, the FAEC Chair shall be responsible for coordinating the work of the other FAEC members, supervising FAEC subcommittee projects, reporting the work of the FAEC to the President, Executive Board and Business Agents of Local 284, and to serve as the primary spokesperson for the FAEC when addressing the membership, management and the public. The FAEC Chair may delegate the duties contained herein. Section 4. Removal from the FAEC: An FAEC member may be removed from office by a regular election in accordance with Section 2, paragraph A, of this Article, if the FAEC member ceases to be a member in good standing in accordance with the By-Laws of Local 284 and the Constitution of the International Brotherhood of Teamsters, if the FAEC member ceases to be a member of the craft or class of flight attendants represented by Local 284, or when otherwise permitted by the By-Laws of Local 284 or the Constitution-of the International Brotherhood of Teamsters, including but not limited to Section 19 of the Constitution. Section 6. Election Protests In order to ensure the fundamental fairness of FAEC elections, members may file election protests with Local 284 or, if applicable, with the FAEC election subcommittee, up to and including 5:00 pan. EST on December 2. Election protests shall be in writing, signed by the 3

4 protesting member, contain a clear statement of the conduct protested, any - supporting evidence and a proposed remedy. All election protests shall be resolved by 3 members of the Local 284 Executive Board, or if applicable, by or in conjunction with the FAEC election subcommittee, no later than seven (7) days after the date ballots are counted, unless the President of Local 284 determines that additional time is required. Resolutions may include remedial action, dismissal, or any other appropriate resolution. Protested conduct shall be reviewed based upon an interference with the fundamental fairness of the election standard. Any election protest remedy affecting the outcome of the FAEC election must be approved by the Local 284 Executive Board. Section 7. Training Local 284 shall arrange for training for all newly elected FAEC members. In recognition of the complexity of representational matters, training shall be an on-going priority and may include written materials, web-based materials, telephone conferences and in-person sessions. Section 8. Volunteer Status Except as otherwise stated in these Policies and Procedures, collective bargaining agreements, letters of agreement or as determined by Local 284, the members of the FAEC shall serve on a volunteer basis and shall not receive compensation or reimbursement for expenses. ARTICLE II FAEC SUBCOMMITTEES FAEC subcommittees play a valuable role in strengthening the Union by utilizing the talents of volunteer subject matter experts to address a wide variety of issues confronting the membership and our profession. FAEC subcommittees shall carry out projects and initiatives as assigned by the FAEC and Local 284. FAEC subcommittee members shall be appointed by Local 284 in consultation with the FAEC, except as otherwise set forth in these Policies and Procedures. The number of members serving on individual FAEC subcommittees shall be determined by Local 284 in consultation with the FAEC. Individual FAEC subcommittee appointments shall be for a duration determined by Local 284 in consultation with the FAEC. FAEC subcommittee chairs, and vice-chairs, when appropriate, shall be appointed by Local 284 in consultation with the FAEC. FAEC subcommittee chairs shall perform FAEC subcommittee administrative duties and report directly to Local 284 and the FAEC. Each FAEC subcommittee shall provide Local 284 and the FAEC with regular reports summarizing the work of the FAEC subcommittee. The frequency of such reports shall be determined by Local 284 and the FAEC. FAEC subcommittees shall not enter into binding agreements with management without prior written approval from the FAEC and Local

5 Section 2. FAEC Subcommittees A. Contract Compliance Subcommittee The Contract Compliance Subcommittee shall gather and develop information related to contract compliance, grievance history, System Board of Adjustment decisions, report contract compliance issues to Local 284 and the FAEC, and carry out other duties as may be assigned by Local 284 or the FAEC. B. Safety Subcommittee The Safety Subcommittee shall gather and develop information related to safety issues confronting the membership, profession and industry, report safety issues to Local 284 and the FAEC, work with the FAEC and management to promote best safety practices, perform Accident and Investigation Team duties, and can-y out other duties as may be assigned by Local 284 or the FAEC. C. Communications Subcommittee The Communications Subcommittee shall gather and develop information for Local 284 and FAEC publications, newsletters, announcements and websites, distribute such information to the membership as directed by Local 284 and the FAEC, assist Local 284 and the FAEC in the development of membership surveys, administer the FAEC website as directed by the Local 284 and the FAEC, and carry out other duties as may be assigned by Local 284 or the FAEC. D. Training Subcommittee The Training Subcommittee shall gather and develop information related to training practices, policies and procedures, report training issues to Local 284 and the FAEC, work with the FAEC and management to promote best training practices, and carry out other duties as may be assigned by Local 284 or the FAEC. E. Negotiating Subcommittee The Negotiating Subcommittee shall analyze membership survey data as directed by Local 284 and the FAEC, develop contract proposals and counter-proposals as directed by the Local 284 and the FAEC, conduct collective bargaining negotiations as directed by Local 284 and the FAEC, seek the approval of Local 284 and FAEC prior to entering into tentative agreements, and carry out other duties as may be assigned by Local 284 and the FAEC. For negotiations over a successor collective bargaining agreement or pursuant to a reopener provision in a collective bargaining agreement, 1 member of the Negotiation Subcommittee shall be appointed by Local 284 in consultation with the FAEC and the remaining members of the Negotiation Subcommittee shall be chosen by a vote of the membership. Such members shall serve for 60 days following ratification of any tentative agreement; provided, if a tentative agreement is rejected, Local 284, in consultation with the FAEC, may, at its discretion, appoint one (1) or more replacement Negotiating Subcommittee members or conduct an election to select one (1) or more replacement Negotiating Subcommittee members. 5

6 Elections held pursuant to this Article II, Section 2., E. shall be administered by Local 284 in conjunction with the FAEC Election Subcommittee. In the event no member in good standing stands for election, or an insufficient number of members in good standing stand for election to fill vacant positions, such vacancies shall be filled by appointment in accordance with these Policies and Procedures. The terms of appointed members shall be as set forth in this Article II, Section 2, E. Local 284, in consultation with the FAEC, may appoint alternate Negotiating Subcommittee members, as necessary. F. Scheduling Subcommittee The Scheduling Subcommittee shall gather and develop information related to scheduling practices, policies and procedures, report scheduling issues to Local 284 and the FAEC, work with the FAEC and management to promote best scheduling practices, and carry out other duties as may be assigned by Local 284 and the FAEC. G. Travel Subcommittee The Travel Subcommittee shall gather and develop information related to scheduling practices, policies and procedures, report travel issues to Local 284 and the FAEC, work with the FAEC and management to promote the best travel practices, and carry out other duties as may be assigned by Local 284 and the FAEC. H. Uniform Subcommittee The Uniform Subcommittee shall gather and develop information related to flight attendant uniforms, report uniform issues to Local 284 and the FAEC, work with the FAEC and management to promote the best uniform practices, and carry out other duties as may be assigned by Local 284 and the FAEC. I. Retirement Subcommittee The Retirement Subcommittee shall gather and develop information related to contractual retirement benefits, report retirement benefit issues to Local 284 and the FAEC, work with the FAEC and management to promote improvements to retirement benefits, and carry out other duties as may be assigned by Local 284 and the FAEC. J. Professional Standards Subcommittee The Professional Standards Subcommittee shall carry out the duties traditionally associated with professional standards committees in the flight attendant profession in accordance with letters of agreement between the Union and management. Professional Standards Subcommittee reporting requirements, if any, shall be as set forth in letters of agreement between the Union and management. 6

Critical Incident Response Program Subcommittee The Critical Incident Response Program Subcommittee shall carry out the duties traditionally associated with critical incident response programs in the flight attendant profession in accordance with appropriate guidelines, policies and procedures. Section 3. Additional Subcommittees Additional subcommittees may be created as necessary in accordance with Section 1 of this Article II. Section 4. Volunteer Status Except as otherwise stated in these Policies and Procedures, collective bargaining agreements, letters of agreement, or as determined by Local 284, the members of various FAEC subcommittees shall serve on a volunteer basis and shall not receive compensation or reimbursement for expenses. ARTICLE III SYSTEM BOARD OF ADJUSTMENT Section 1. Members of the System Board of Adjustment shall be appointed by Local 284 in consultation with the FAEC. ARTICLE IV MISCELLANEOUS Section 1. Amendment of Policies and Procedures It is recognized that the Policies and Procedures described herein may require amendment from time to time in response to the changing needs of the membership. No amendment shall alter the term of office of any serving FAEC member. Amendments to these Policies and Procedures shall be by action of the Local 284 Executive Board or by a vote of the members in good standing, as determined by the President of Local 284, with advice from the FAEC, FAEC subcommittees or members in good standing. Section 2. Criteria for Appointment and Removal from FAEC Subcommittees and the System Board of Adjustment Without limiting any other provision contained in these Policies and Procedures or the By-Laws of Local 284, when making appointments to and removals from the various FAEC subcommittees and System Board of Adjustment, Local 284 and the FAEC shall make such decisions based upon the best interest of the membership, taking into consideration relevant factors, which may include an individual member s willingness to serve, subject matter expertise and the seniority and fleet composition of the craft or class of flight attendants, among other qualifications. 7
