1 ASSOCIATIONOFCERTIFIEDFRAUDEXAMINERSSANDIEGOCHAPTERNO.30 AMENDEDCHAPTERBYLAWS ApprovedbyBoardofRegents:February27,2013 ARTICLEI:NAMEANDUSEOFTRADEMARKS Section1.01 Name. ThenameofthisorganizationshallbetheASSOCIATIONOFCERTIFIED FRAUD EXAMINERS SAN DIEGO CHAPTER NO. 30 Chapter ). The Chapter is affiliated with the Association of Certified Fraud Examiners, Inc. Corporation ) and the Association of Certified Fraud ExaminersA#Non'Profit#Corporation) Association ). Section1.02 Trademarks The Corporation owns all federal and common law trademarks in the following marks: 1) Association of Certified Fraud Examiners ; 2) ACFE ; 3) CertifiedFraudExaminer ;4) CFE ;5)theSealoftheAssociationofCertifiedFraudExaminers;and6) the ACFE Logo. The use of these trademarks collectively referred to herein as ACFE Marks ) by the ChapterisgovernedbytheTrademarkLicenseAgreementexecutedbytheChapterandtheCorporation, the terms of which are incorporated into these Bylaws. Except as provided in the Trademark License Agreement,nootheruseoftheCorporation strademarksbythechapterispermittedwithouttheprior writtenpermissionofthecorporation. ARTICLEII:PURPOSEANDOBJECTIVES Section2.01 PurposeandObjectives. TheChapterisanot^for^profitentitywhoseprimary purposeistoservethecommunitybythepromotionofimprovedfrauddetectionanddeterrenceand throughexpansionofknowledgeandtheinteractionofitsmembers.thechapterisorganizedexclusively forcharitableandeducationalpurposeswithinthemeaningofsection501c)3)oftheinternalrevenue Code. Section2.02 Permitted Activities. Not withstanding any other provisions of these articles, thechaptershallnotcarryonanyotheractivitiesnotpermittedtobecarriedona)byanassociation exemptfromfederalincometaxundersection501c)3)oftheinternalrevenuecodeof1986orthe corresponding provision of any future United States Internal Revenue law or b) by an Association contributionstowhicharedeductibleundersection170c)2)oftheinternalrevenuecodeof1986or provisionofanyfutureunitedstatesinternalrevenuelaw). ARTICLEIII:MEMBERSHIPANDPARTICIPATION Section3.01 General Eligibility. All applicants are subject to approval by the Corporation andthechapterboardofdirectors.nopersonshallbeeligibletoparticipateinthechapterasamember oranaffiliateifthatpersoniscurrentlyexpelledorsuspendedfromtheassociationoranyotherchapter oftheassociation.allapplicantsmustcompleteandsubmitawrittenapplication,payapplicablechapter dues,andagreetoabidebythesebylawsandtheoperationalguidelinesestablishedbythecorporation. Section3.02 Qualifications for Membership. There are two categories of members: 1) CertifiedFraudExaminers,and2)associatemembers. Section3.03 Certified Fraud Examiners. Any Certified Fraud Examiner of the Association who is in good standing may be a member of the Chapter under the terms set forth in these Bylaws. 1

2 CertifiedFraudExaminersmayholdanyChapterofficeandshallhavevotingrights.OnlyCertifiedFraud Examinersmayholdtheofficeofpresidentorserveastrainingdirector.Ifdeemedappropriate,theBoard ofdirectorsmayallowonecertifiedfraudexaminertoholdbothofthesepositions. Section3.04 Associate Members. Any person who is an associate member of the AssociationingoodstandingmaybeamemberoftheChapterunderthetermssetforthintheseBylaws. AssociatemembersmaybegrantedChaptervotingrightsandtherighttoholdChapterofficesotherthan president. Section3.05 EligibilityforAffiliatesoftheChapter. TheChapterBoardofDirectors,atits discretion, may allow other interested parties to becomeaffiliates of the Chapter under the terms set forth below. Affiliates are those parties, regardless of their field of endeavor, who desire to align themselves with the Chapter. This includes full^time students who may or not be members of the Association. Affiliate[s] ) AffiliatesoftheChapterarenotrequiredtomeetallthequalificationsandrequirementsformembership inthechapterortheassociation,butareencouragedtodoso.thechapterboardofdirectorsmayassess appropriateduesforaffiliatesandmayestablishotherrequirementsforparticipationby affiliatesasit deemsappropriate. AffiliatesoftheChaptershallnotbe,norrepresentthemselvestobe,membersoftheChapter,shallhave nochaptervotingrights,andshallnotbeeligibletoholdanychapteroffice. Section3.06 DualMembershipandTransfersofMembership.TheBoardofDirectorsmay decidewhethertoallowmembersoraffiliatesfromanotherchaptertojoinasmembersoraffiliatesofits Chapter.IndividualparticipationinoneChapter may be transferred to another Chapter, subject to the rulesandregulationsofbothchaptersandthecorporation. Section3.07 Resignation.AnymemberoraffiliateoftheChaptermayresignatanytime, butsuchresignationshallnotbecomeeffectiveuntilacceptedbythechapter,andshallnotrelievethe resigningindividualfromthepaymentofduesfortheexpiredportionofthecurrentfiscalyear,orgive anyrighttorebateforduespaid,oranyrighttoaproratedshareoranyothershareoftheassetsofthe Chapter.AllresignationsshallbeinwritingandshallbedeliveredtotheBoardofDirectors. Section3.08 SuspensionandExpulsion.TheBoardofDirectorsshallhavetheauthorityto suspendorexpelanymemberoraffiliatefordisciplinaryreasonsifitdeterminesthattheindividual: A. Has been found guilty by a court of competent jurisdiction of a crime punishable by imprisonmentformorethanoneyear,afelony,oranycrimeinvolvingmoralturpitudeas thattermisdefinedinthebylawsoftheassociation; B. HasfailedtoabidebytheseBylawsorhascommittedactsdiscreditabletotheChapterorits membership; C. Hasbeendeclaredbyacourtofcompetentjurisdictiontobeinsaneortolacklegalcapacity; D. Hasmadematerialmisstatementsonhisorherapplicationformembership; E. Inthecaseofmembers,hasfailedtoabidebytheCodeofProfessionalEthicsorCodeof ProfessionalStandardsoftheAssociation;or F. In the case of affiliates, has inappropriately identified himself/herself as a member of the ChapteroramemberoftheAssociationofCertifiedFraudExaminers. NomemberoraffiliateoftheChaptermaybesuspendedorexpelledunlessheorshehasfirstreceived writtennoticeofthereasonsfortheproposeddisciplinaryaction,whichshallbedeliveredvia ,in person, or to the individual s last known postal address. The notice shall be delivered at least 30 days 2

3 beforeahearingoftheboardofdirectorstoaddressthedisciplinaryaction.thememberoraffiliateshall beaffordedanopportunitytorespondtothechargesbyafullhearingbeforeaquorumoftheboardof Directorsbeforeafinalactionistaken. AdisciplinaryactionunderthissectioniseffectiveimmediatelyuponadoptionbytheChapterBoardof Directors.AmemberwhohasbeensuspendedorexpelledbytheChaptermayappealthedecisiontothe BoardofRegentsoftheAssociation.ThedecisionoftheChapterBoardofDirectorstosuspendorexpel anaffiliateisfinalandnon^appealable. Section3.09 Non^paymentofDues.TheBoardofDirectorsmaysuspendorexpelamember oraffiliatewhoisatleast60days delinquentinthepaymentofchapterduesorotherpaymentsowedto thechapterwithoutahearing,providedthatpropernotificationofthedelinquencywassenteithervia orpostalservicetotheindividual slastknownaddressatleast30dayspriortotermination. Section3.10 Reinstatement. The Board of Directors may provide the conditions and procedures under which the Chapter may reinstate a memberor affiliate who has been suspended or expelled,orwhosemembershipwasotherwiseterminated,providedthatsuchreinstatementdoesnot conflictwiththesebylawsortherulesoftheassociation. Section3.11 Report of Chapter Participation. The Chapter shall furnish annually to the Corporation,oruponrequest,alistcontainingthenames,addresses,andanyothercontactinformation for all members and affiliates of the Chapter. The list shall indicate the participation category of the person,suchasacertifiedfraudexaminer,associatemember,oraffiliate.thechaptershallalsofurnish thenamesandaddressesforguestsandnon^memberattendeesattrainingmeetingsandotherevents, butonlyifsuchrecordsofattendancearemaintainedbythechapter. Section3.12 Training. The Board of Directors of each Chapter shall appoint a training director who is responsible for the continuing professional education CPE) of Chapter members and affiliatesofthechapter.onlyacertifiedfraudexaminerwhoisingoodstandingmayholdthepositionof trainingdirector. The Chapter is authorized and encouraged to provide continuing professional education and other training presentations to the community in its geographical area. All Chapter training must be coordinated with and approved by the Corporation to ensure that Chapter training does not compete withtrainingconductedbythecorporation. ARTICLEIV:LIMITATIONSOFLIABILITY Section4.01 ChapterLiability.TheChaptershallbefullyandsolelyresponsibleforitsown legal and financial affairs, and shall indemnify and hold harmless the Corporation, by reason of its affiliation, from any lawsuits, damages, other expenses or liabilities arising out of the activities of the Chapter. Section4.02 CorporationLiability.TheChaptershallnotberesponsiblenorliableforany lawsuits, damages, other expenses, or liabilities arising out of the activities of the Corporation or the Association. Section4.03 Non^liability of Directors and Officers; Indemnification. The directors and officersofthechaptershallnotbepersonallyliableforthedebts,liabilities,orotherobligationsofthe Chapter.TheChapterBoardofDirectorsandofficersoftheChaptershallbeindemnifiedbytheChapter tothefullestextentpermissibleunderthelawsofthisjurisdiction. 3

4 Section4.04 Insurance. The Corporation may procure liability insurance for the Chapter, andthechapteragreestopayallreasonablepremiumsforsuchinsurance. Section4.05 CorporationAuthority.Inanydisputes,theCorporationisthefinalauthority. TotheextentthattheseBylawsconflictwiththebylawsorrulesoftheCorporationortheAssociation,the bylawsorrulesofthecorporationortheassociationshallcontrol. ARTICLEV:FINANCES Section5.01 FiscalYear.ThefiscalyearfortheChaptershallbeestablishedbytheBoardof Directors. Section5.02 ChapterDuesandFees.ChapterduesandfeeswillbeestablishedbytheBoard ofdirectors.duesandfeesshallbebilledonaperiodicbasisasestablishedbytheboardofdirectors.the Chapter Treasurer shall be empowered to assess and collect said dues. MembershipduesforCertified FraudExaminersandassociatemembers,aswellasparticipationfeesforaffiliatesoftheChapterandfor allothertypesofchapteractivitiesheldmaybesetatdifferentratesatthediscretionoftheboardof Directors.TheBoardofDirectorsshalldecide,byamajorityvote,themembershipduesandparticipation feesasitdeemsappropriate. ARTICLEVI:BOARDOFDIRECTORS Section6.01 AuthorityandNumber.TheaffairsoftheChaptershallbemanagedbyaBoard ofdirectors,consistingofanoddnumberofnofewerthanthree3)members,eachofwhomshallbea memberofthechapter.thenumberofdirectorsmaybeincreasedordecreasedfromtimetotimeby amendment to these Bylaws, but no decrease shall have the effect of shortening the term of any incumbentdirector.theboardofdirectorsmayprovidethattheholderofanyofficeshallautomatically beadirectorbyvirtueofholdingsuchoffice.theboardshallbeelectedinaccordancewiththesebylaws. Section6.02 Elections.ElectionsforopenpositionsontheBoardofDirectorsshallbeheld annuallybeforethefirstmeetingoftheboard.eachmemberwhoisentitledtovoteundertheprovisions ofthesebylawsshallreceiveatleastthirty30)days noticeoftheelection.thecandidates)receivingthe mostvotesshallbeelected.theresultsoftheelectionwillbecertifiedtothecorporationbythecurrent BoardofDirectors,orbyacommitteeappointedbythem. Section6.03 TermsofOffice.Directorsshallservetwo^yeartermsandshallholdofficeuntil theirsuccessorsaredulyappointedorelectedandqualified.atthediscretionofthechapterboardof Directors:1)Thetermsofdirectorsmaybestaggeredsothatthetermsofone^halfofthedirectorsexpire eachyear;and/or,2)directorsmaybere^electedtosuccessiveterms. Section6.04 Vacancies.IfanyvacancyoccursintheBoardofDirectorsforanyreason,the currentboardofdirectorsshallelectapersontofillthevacancy.adirectorelectedtofillavacancyshall beelectedfortheremainingunexpiredtermofoffice.vacanciesreducingthenumberofdirectorstoless thanthree3)shallbefilledbeforetheboardofdirectorsconductsanyotherbusiness. Section6.05 ChairandVice^Chair.TheBoardofDirectorsmay,ifdesired,electitsownchair andvice^chairfromamongthevotingmembersoftheboard.thechairshallpresideatallmeetingsofthe Boardandshallotherwisehavesuchpowersandshallperformsuchdutiesasshallbedesignatedbythe Board of Directors. When the chair is absent, is unable to act, or refuses to act, the vice^chair shall performthedutiesofthechair.whenavice^chairactsinplaceofthechair,thevice^chairshallhaveall thepowersofandbesubjecttoalltherestrictionsuponthechair.thechairandvice^chairshallserve 4

5 one^yearterms,butmayberemovedatanytimebytheaffirmativevoteofamajorityoftheboardof Directors.Adirectormayservemorethanonetermaschairorvice^chair. Section6.06 DutiesandResponsibilitiesoftheBoardofDirectors.TheBoardshallbethe governingbodyofthechapteranditsactionsshallbefinal,unlessotherwisespecificallyprovidedforin thesebylaws.theboardshallperformanyandalldutiesimposedonthemcollectivelyorindividuallyby law,thearticlesofincorporation,thechapterhandbook,orthesebylaws.theboardshallsuperviseall officers,agents,andmembersofthechaptertoassurethattheirdutiesforthechapterareperformed properly. The Board shall make available all financial records of the Chapter to any member, to the Corporation,ortotheAssociationuponreasonablerequest. Section6.07 MeetingsoftheBoardofDirectors.TheBoardshallmeetatleasttwiceayear atsuchtimesandplacesasitmaychoose.aspecialmeetingmaybecalledbythepresident,orbyany twodirectors.atmeetingsoftheboardofdirectors,amajorityofthetotalnumberofdirectorsfixedby these Bylaws shall constitute a quorum for the transaction of business. The act of a majority of the directorspresentatanymeetingatwhichaquorumispresentshallbetheactoftheboardofdirectors. ThemeetingsshallbeconductedundertherulescontainedinRobert srulesoforderasrevisedunless those rules are in conflict with the Bylaws, in which case these Bylaws shall take precedence. Each directorshallreceiveatleastthree3)daysnoticeofthetimeanddateofeachmeeting. Section6.08 Compensation.Directorsshallnotreceiveanycompensationfortheirservices, butshallbeentitledtoreimbursementforreasonableexpensesincurredbytheminconnectionwiththe usualperformanceoftheirduties.anysuchexpendituresshallbepresentedforapprovalandpaymentby thetreasurer,failingwhich,byamajorityoftheboard. Section6.09 Removal. The Board of Directors may vote to remove a director at any time withorwithoutgoodcause,includingbutnotlimitedtoviolationofthesebylaws,violationoftherulesor BylawsoftheAssociation,ornonattendanceofBoardmeetings.Ameetingtoconsidertheremovalofa directormaybecalledwithnoticetotheboardmembers.thenoticeofthemeetingshallstatethatthe issue of possible removal of the director will be on the agenda. A director may be removed by the affirmativevoteofamajorityoftheboardofdirectors. ARTICLEVII:OFFICERS Section7.01 OfficerPositionsandQualifications.TheofficersoftheChaptershallconsistof apresident,vicepresident,secretary,andtreasurer.theboardofdirectorsmaycreateadditionalofficer positions and define the authorityandduties of each position. The same person may hold any two or moreoffices,andmaysimultaneouslyserveasanofficeranddirector,providedthatsuchispermittedby thelawsofthejurisdictioninwhichthechapteroperates.theboardofdirectorsshallhavetheoptionto allowassociatememberstoholdoffice,subjecttotherestrictionsinthesebylaws. Section7.02 Election.Officersshallbeelectedatthesametimeandinthesamemanneras theboardofdirectors. Section7.03 TermofOffice. Officersshallservetwo^yeartermsandshallholdofficeuntil theirsuccessorsaredulyappointedorelectedandqualified.atthediscretionofthechapterboardof Directors:1)Thetermsofofficersmaybestaggeredsothatthetermsofone^halfoftheofficersexpire eachyear;and/or,2)officersmaybere^electedtosuccessivetermsineitherthesameordifferentoffice. Section7.04 Removal.TheBoardofDirectorsmayvotetoremove anofficeratanytime withorwithoutgoodcause,includingbutnotlimitedtoviolationofthesebylawsorthebylawsorrulesof theassociation.ameetingtoconsidertheremovalofanofficermaybecalledwithnoticetotheboard 5

6 members and the officer in question. The notice of the meeting shall state that the issue of possible removaloftheofficer willbeontheagenda.anofficermayberemovedbytheaffirmativevoteofa majorityoftheboardofdirectors. Section7.05 Vacancies. If a vacancy occurs in any office for any reason, the Board of Directorsmayelectapersontofillthevacancy.Anofficerelectedtofillavacancyshallbeappointedfor theremainingunexpiredterminoffice. Section7.06 Compensation.Officersshallnotreceiveanycompensationfortheirservices, butshallbeentitledtoreimbursementforreasonableexpensesincurredbytheminconnectionwiththe usualperformanceoftheirduties.anysuchexpendituresshallbepresentedforapprovalandpaymentby thetreasurer,failingwhich,byamajorityoftheboard. Section7.07 President. Only a Certified Fraud Examiners in good standing may hold the officeofpresident.thepresidentshallbethechiefexecutiveofficerofthechapter,andwhenpresent, shallpresideatallmeetingsofthechapter.heorsheshallexercisegeneralsupervisionandmanagement oftheaffairsofthechapter;shallconsultwithandinformotherofficersanddirectors,members,andthe Corporationofsignificantevents;shallmakeanannualreporttothemembersoftheChapterandthe Corporation; and shall perform other duties prescribed by the Board of Directors as well as all duties incidenttotheofficeofpresidentandchiefexecutiveofficer. Section7.08 Vice President. The Vice President shall report to the President and shall assumethedutiesofthepresidentinhisorherabsence.whenthevicepresidentactsinplaceofthe President,theVicePresidentshallhaveallthepowersofandbesubjecttoalltherestrictionsuponthe President.TheVicePresidentshallberesponsibleforotherdutiesthatPresidentortheBoardofDirectors shall delegate from time to time; and webmaster duties, including registering and maintaining a fully functioning website available to all chapter members unless the board has approved another board membertopreformthissuchduty).thevicepresidentshallbeamemberoftheassociationofcertified FraudExaminersingoodstanding.TheBoardmayvotetoallowassociatememberstoholdtheofficeof VicePresident. Notwithstandingtheforgoing,iftheofficeofPresidentbecomesvacantbeforetheexpirationoftheterm, thevicepresidentmaynotassumethatpositionfortheunexpiredtermunlessthe VicePresidentisa Certified Fraud Examiner in good standing. If the Vice President is an associate member, the Chapter BoardofDirectors,atitsdiscretion,mayeither:1)appointaCertifiedFraudExaminerwhoisingood standingtocompletetheunexpiredterm;or,2)holdaspecialelectiontoelectanewpresidentwhoisa CertifiedFraudExamineringoodstandingtocompletetheunexpiredterm. Section7.09 Secretary. The Secretary shall report to the President and shall keep the minutesofthemeetingsofthemembersandoftheboardofdirectors;seethatallnoticesaregivenin accordance with the provisions of these Bylaws or as may be required by law; be custodian of the corporate records and of the seal of the Chapter and see that the seal of the Chapter is affixed to all documents as authorized; maintain the membership records of the Chapter unless the board has approvedanotherboardmembertoperformthissuchduty),andingeneralperformalldutiesincidentto theofficeofsecretaryandsuchotherdutiesasfromtimetotimemaybeassignedbythepresidentorby theboardofdirectors.thesecretaryshallbeamemberoftheassociationofcertifiedfraudexaminersin goodstanding. Section7.10 Treasurer.TheTreasurershallreporttothePresidentandshallberesponsible for all financial records maintained by the Chapter. All moneys received by the Chapter as well as disbursementstherefrom,shallbetheresponsibilityofthetreasurer.heorshewillensurethatanyfunds receivedareproperlydepositedforsafekeepingtothecreditofthechapter;thatalldisbursementsare properlyapproved;thattheboardiskeptadvisedofthestatusoftheaccountingoffunds;andotherwise 6

7 performappropriatedutiestoseethattheassetsofthechapterareproperlysafeguarded.thetreasurer shall produce annual financial statements of the Chapter and submit them to the Board and the CorporationwithinthreemonthsoftheendoftheChapter sfiscalyear,andingeneralshallperformsuch otherdutiesasfromtimetotimemaybeassignedbythepresidentorbytheboardofdirectors. The TreasurershallbeamemberoftheAssociationofCertifiedFraudExaminersingoodstanding. ARTICLEVIII:COMMITTEES Section8.01 EstablishmentofCommittees.TheBoardofDirectorsmayadoptaresolution establishing one or more committees, establishing qualifications for membership on a committee, delegatingspecifiedauthoritytoacommittee,orappointingorremovingmembersofacommittee.the Board of Directors may delegate to the President its power to appoint and remove members of a committee. Section8.02 Committee Participation. Members of each committee shall be members of thechapteroraffiliatesingoodstandingwiththeassociationandthechaptercollectively. Section8.03 TermofOffice.Eachmemberofacommitteeshallcontinuetoserveonthe committee until a successor is appointed or the committee is terminated. However, the term of a committeemembermayterminateearlierifthecommitteeisterminatedorifthememberdies,ceasesto qualify,resigns,orisremovedasamember.avacancyonacommitteemaybefilledbyanappointment made in the same manner as an original appointment. A person appointed to fill a vacancy on a committeeshallservefortheunexpiredportionoftheterminatedcommitteemember'sterm. Section8.04 RemovalofCommitteeMembers.Anycommitteemembermayberemoved bythepersonorpersonsauthorizedtoappointsuchmemberwithorwithoutcausewheneverintheir judgmentthebestinterestsofthechapterwillbeservedbysuchremoval. Section8.05 ChairandVice^Chair.Onememberofeachcommitteeshallbedesignatedas thechairofthecommitteeandanothermemberofeachcommitteeshallbedesignatedasthevice^chair. Thechairandvice^chairshallbeelectedbythemembersofthecommitteeorappointedbytheBoardof Directors or the President of the Chapter. The chair shall call and preside at all meetings of the committee.whenthechairisabsent,isunabletoact,orrefusestoact,thevice^chairshallperformthe dutiesofthechair.whenavice^chairactsinplaceofthechair,thevice^chairshallhaveallthepowersof andbesubjecttoalltherestrictionsuponthechair. Section8.06 Notice of Meetings. The Committee chair shall give reasonable notice to all committee members of the place, day, time, and purpose or purposes for any committee meeting. Meetingsmaybeconductedinperson,electronically,orbyconferencecall. Section8.07 Quorum.UnlessotherwiseprovidedintheresolutionoftheBoardofDirectors designatingacommittee,amajorityofthenumberofmembersofacommitteeshallconstituteaquorum whenbusinessisconductedatanymeetingofthecommittee. Section8.08 Compensation. Committee members shall not receive any compensation for their services, but shall be entitled to reimbursement for reasonable expenses incurred by them in connection with the usual performance of their duties. Any such expenditures shall be presented for approvalandpaymentbythetreasurer,failingwhich,byamajorityoftheboard. Section8.09 Rules.Eachcommitteemayadoptrulesforitsownoperationnotinconsistent withthebylawsorwithrulesadoptedbytheboardofdirectors. 7

The Chapter will keep correct and complete books and recordsofaccountandwillalsokeepminutesoftheproceedingsofitsmembers,boardofdirectors,and committeeshavinganyoftheauthorityoftheboardofdirectors,andwillkeeparecordgivingthenames ofthemembersentitledtovote.allbooksandrecordsofthechaptermaybeinspectedbyanymember, orhisorheragentorattorney,foranyproperpurposeatanyreasonabletime.
