CONTRACT FOR EMPLOYMENT OF VICE PRESIDENT OF STUDENT SERVICES/ASSISTANT SUPERINTENDENT BY THIS AGREEMENT is made and entered into this Sixth day of July, 2005, by and between the BOARD OF TRUSTEES OF THE of Los Angeles County, hereinafter also referred to as "Board," and Stephen B. Johnson, VICE PRESIDENT OF STUDENT SERVICES/ASSISTANT SUPERINTENDENT. AGREEMENT The parties hereto agree as follows: 1. The Board agrees and does hereby employ Stephen B. Johnson in an educational administrator contract position as Vice President of Student Services/Assistant Superintendent of the Cerritos Community College District for the period commencing August 1, 2005, and ending at the close of business on June 30, 2007 and Stephen B. Johnson hereby accepts said employment. 2. The Vice President of Student Services/Assistant Superintendent shall assist the President/ Superintendent in the administration of all student services and financial matters pertaining to the operation of the college District, and in serving as the Vice President of Student Services/Assistant Superintendent of the college perform all other duties and fulfill all other responsibilities as may be assigned to this position. The Vice President of Student Services/Assistant Superintendent may in the absence of the President/Superintendent, and at the direction of the President/Superintendent, serve in said position and carry out those necessary duties and responsibilities of the President/Superintendent as provided by law or prescribed or assigned by the Board. 3. The Vice President of Student Services/Assistant Superintendent shall have all powers, duties, and responsibilities pertaining to said position provided by law or prescribed or assigned by the Board. 4. The Vice President of Student Services/Assistant Superintendent shall be compensated for services rendered by him hereunder based upon placement on Step1 for this position on the approved Contract Management Employees Salary Schedule ($138,000.00/annual). Salary step/rate is subject to further adjustment in accordance with the provisions of the Contract Management Employees Salary Schedule. 5. The annual salary paid shall not be less than the base salary listed in paragraph 4 above; except upon the condition when the academic and classified staff take an across the board 1

10 V.) reduction in salary. In that event, the Board reserves the right to reduce the Vice President of Student Services/Assistant Superintendent's base salary by the same percentage as that experienced by the academic and classified staff. However, in no event shall the Vice President of Student Services/Assistant Superintendent's salary for the period August 1, June 30, 2006 be less than as specified in paragraph 4 above. 6. The Board agrees to provide health and welfare and other fringe benefits to the Vice President of Student Services/Assistant Superintendent the same as provided to other District management employees. 7. The services of the Vice President of Student Services/Assistant Superintendent will be required for twelve (12) months of full and regular service in each year during the period covered by this contract. 8. The Vice President of Student Services/Assistant Superintendent shall be entitled to twelve (12) sick leave days per year. Such sick leave days may be utilized for illness leave or may be accumulated from year to year with no limit as to the number of days accumulated. 9. The Vice President of Student Services/Assistant Superintendent shall be entitled to vacation leave benefits the same as provided to other District management employees pursuant to Board Policy. Upon conclusion of the term of this Agreement, including any extension thereto, the Vice President of Student Services/Assistant Superintendent shall be compensated at the then-current rate of pay for accrued vacation which has not been taken. 10. The Vice President of Student Services/Assistant Superintendent shall be provided a $ per month car allowance in lieu of mileage reimbursement. 11. It is hereby agreed that there will be a minimum of one (1) annual evaluation of services rendered by Stephen B. Johnson to the Cerritos Community College District during the term of this contract, at which time the term of the contract may be increased or extended by mutual consent. 12. Termination for Cause: This Agreement may be terminated prior to its expiration date if the Board of Trustees determines that the Vice President of Student Services/Assistant Superintendent has materially breached the terms of the Agreement, or for any of the grounds enumerated in District Board Policy (or any subsequent amendment or revision thereto). Prior to exercising this option, the Board of Trustees shall give the Vice President of Student Services/Assistant Superintendent written notice of its intention, with a statement of the specific acts or omissions which give rise to the proposed action. No action shall be taken on a proposed termination until the Vice President of Student Services/Assistant Superintendent has had an opportunity to meet with the Board of Trustees to be heard by way of explanation or defense. The Vice President of Student Services/Assistant Superintendent may be represented by counsel, at his own expense, at that 2

The Board of Trustees, after hearing from the Vice President of Student Services/Assistant Superintendent, shall make the final decision in closed session regarding whether cause exists to terminate this Agreement. 13. Termination Due to Death or Permanent Incapacity: The employment of the Vice President of Student Services/Assistant Superintendent shall cease upon the death of the Vice President of Student Services/Assistant Superintendent or his permanent incapacity to perform the duties of Vice President of Student Services/Assistant Superintendent, as determined by a physician appointed by the Board of Trustees. Thereafter all of the obligations of the District and the Board of Trustees to the Vice President of Student Services/Assistant Superintendent shall cease. 14. In accordance with the provisions of Education Code Section 72411, the Vice President of Student Services/Assistant Superintendent shall be notified by Board action a minimum of six (6) months prior to the termination date of this contract if the Board determines that this contract is not to be renewed. In the absence of notification of non-renewal this contract shall be renewed for the following fiscal year. 15. The provisions of Government Code Section 53260, et. seq., apply to this contract. In summary, if this contract is terminated by mutual agreement, then the maximum cash settlement that the parties may agree to shall be an amount equal to the monthly salary of the employee multiplied by the number of months left on the unexpired term of the contract. However, if the unexpired term of contract is greater than twelve (12) months, the maximum cash settlement shall be an amount equal to the monthly salary of the employee multiplied by twelve (12). No other or additional non-cash settlement may be agreed to, except that health benefits may be continued, limited to the same time restrictions as for cash settlement, or until new employment is found, whichever occurs first. Copies of this contract and any settlement shall be made available to the public upon request. 16. This offer of employment is made subject to the laws of the State of California and the lawful rules of the California Community Colleges Board of Governors and of the Board of Trustees of the Cerritos Community College District affecting the terms and conditions of employment by governing boards of school districts. Said laws and rules are hereby made a part of the terms and conditions of this contract for employment the same as though they had been expressly set forth herein. 3
