2 SPA STRIDERS RUNNING CLUB CLUB RULES 1. Name The name of the Club is SPA STRIDERS RUNNING CLUB. 2. Purpose of the Club The purpose of the Club is a. To promote and foster running in all its forms and associated activities. b. To encourage participation in competitions. c. To develop individuals abilities. d. To provide for social activities among the members. 3. Members a. Membership of the Club shall be open to all provided i. The applicant is eligible as defined by the governing bodies to which the Club has affiliated. ii. The applicant is a minimum of 17 years old. iii. The applicant supports the purpose of the Club and has no conflicting membership of any other Club. iv. The applicant applies for membership on a Club Membership form and the completed form is submitted with full payment for the current year. b. Non members are allowed to run as guests for a four week period after signing a guest form. c. A register of Members showing name, address and category of Club members shall be maintained by the Treasurer. 4. Membership categories a. These are i. Individual Member ii. Tennis Member (paid up member of the Leamington Lawn Tennis & Squash Club) iii. Second Claim Member (already registered with England Athletics) b. A person shall cease to be a member i. If he/she gives written notice of resignation of his/her membership. ii. If he/she is more than three months in arrears with his/her subscription. iii. If the Member has acted or behaved in a manner inconsistent with the

3 purpose or membership of the Club, and the Club Committee has resolved by a majority of Members present to remove him or her from Membership. The Member shall be reasonably informed of a meeting at which his/her conduct is to be considered and shall be entitled to make representation to that meeting. 5. Subscriptions a. The Club subscription period is from 1 st June to 31 st May. b. Subscription rates for each category of membership shall be determined by the Annual General Meeting. c. Subscriptions will be used to provide for i. Affiliation Fees to Leamington Lawn Tennis & Squash Club. ii. Affiliation Fees to appropriate sports bodies. iii. Entry Fees for Team events as approved by the Committee. iv. Miscellaneous expenditure approved by the Committee ( e.g., Trophies, engraving). d. Members who are in arrears with their subscription shall not be permitted to represent the Club, take part in Club events, vote at Club meetings or receive any award or benefit from the Club. 6. Finance a. The Club financial year is determined by the Committee. b. General Fund i. At the end of each year a minimum balance of 200 shall be retained in the General Fund. ii. The General Fund shall comprise subscriptions, donations and profits from joint ventures (but not sponsorship given to individual members) and from it payment shall be made for affiliations, stationary, medals, etc. and losses on joint ventures. iii. The Treasurer shall be responsible for administering the club funds. iv. The Treasurer shall prepare and present to the AGM at the end of the financial year a review of income and expenditure, including a forecast for the forthcoming year. v. The General Fund will be audited once a year prior to the AGM and the Auditor will make a statement to the AGM on the accuracy and presentation of the accounts.

4 7. Club Colours The registered Club colours shall be a Green Vest with Red Band 8. Affiliation/Conduct a. The Club shall be affiliated to such governing bodies as may be decided at the Annual General Meeting or by the Committee and shall abide by the rules and directions given by the governing body ( e.g. England Athletics). 9. Committee a. The Committee shall comprise Chair } Secretary } Club Officials Treasurer } Men s Captain Ladies Captain General members (numbers as agreed annually by the AGM) b. Four members which shall include two of the Chair, Secretary or Treasurer shall form a quorum. c. Any casual vacancy can be filled by and at the discretion of the Committee. d. The Chair, Treasurer and Secretary shall have power to act between Committee meetings. Any action taken shall be reported to the next meeting of the Committee. 10. Committee Meetings General Rules a. Any member of the Committee who is absent for three consecutive meetings without reasonable excuse shall cease to be a member of the Committee. b. Decisions will be by a simple majority of voting members present. In the event of equality of voting the Chair (or acting Chair of that meeting) shall have a casting vote. c. The Committee may invite anyone to attend and contribute to Committee meetings but not to vote. d. Not less than seven days notice of meetings shall be given to Members

5 of Committee meetings. 11. Annual General Meeting a. An Annual General Meeting shall be held in May or as soon after as possible. b. Notice of the meeting shall be posted or given to each Member at least four weeks prior to the meeting. c. The business of the Annual General Meeting shall be i. To receive reports on the activities of the Club during the previous year. ii. To receive and consider the accounts of the Club for the preceding year and the Auditors report on the accounts and the Treasurer s report on the financial position of the club. iii. To elect the Committee for the following year. iv. To elect an auditor. d. Any notice of motion is to be in the hands of the Club Secretary four weeks before the AGM. 12. Extraordinary and Special General Meetings a. An Extraordinary General Meeting of the Club may be convened at any time by resolution of the Committee through the Secretary. b. A Special General Meeting of the Club shall be held within 21 days of the receipt by the Secretary of a requisition signed by at least ten Members, stating fully the object of the meeting. 13. Proceedings at General Meetings a. Ten paid up Members shall form a quorum at General Meetings, of which three must be Club Officials. b. Resolutions shall be passed by a simple majority of paid up Members present except for resolutions to amend the Club rules, which must be by a two thirds majority of paid up Members present. c. At General Meetings the Chair has no second or casting vote. 14. Election procedure to the Committee a. Any paid up Member shall be entitled to stand for election to any Committee position, subject to the restriction that Club Officials shall not normally hold the same position for more than three consecutive years.

6 b. A paid up Member wishing to stand for election must be proposed and seconded by two different paid up Members. c. In the event of more than one Member standing for one position, a vote will be held at a General Meeting. The nature of the vote ( e.g., show of hands, ballot paper) will be determined by the Committee. 14. Special Conditions a. These rules shall not be altered, nor shall any new Rule or Rules be made except at the Annual General Meeting or at an Extraordinary General Meeting. Notice of the proposed alteration shall be set out in the agenda of the meeting. b. If any matter arises which is not provided for in the Rules, it shall be dealt with by the Committee. 15. Dissolution a. The Club may be dissolved by resolution of an Extraordinary or Special General Meeting called for the purpose and supported by a majority of at least two thirds of paid up Members present. b. The dissolution shall take effect from the day when the resolution is passed and the Committee shall be responsible for the winding up of the assets and liabilities of the Club. c. If any property remains after the discharge of all debts and liabilities of the Club it shall be distributed as determined by the General Meeting called under Rule 13 or, in default, distributed equally amongst paid up Members of the Club at the time of dissolution. 16. Trophies a. The Committee shall determine the rules for the award of trophies. b. All annual trophies shall be returned to the Committee at least six weeks before the presentation of awards. c. Winners of Club trophies, or other trophies held by the Club, will be held responsible for the return of such trophies in good and satisfactory condition and will be held liable for the cost of the repair of any damage to such trophies whilst in their possession. 17. Club races a. The Committee shall determine Club races b. The rules applicable to Club races will be determined by the Committee

7 and notified to members ahead of the race or Series commencing. 18. London Marathon allocation of Club places a. The Secretary will ensure the Club receives its due allocation of Club Places for the London Marathon. b. The draw for these places will take place as directed by the Committee. c. The draw will be made by random selection of eligible Members. d. To be eligible to be in the draw each person i. must be a paid up Member of the Club as at 30th June of that year; ii. must be in receipt of a rejection notice by the organisers of the London Marathon; iii. must not have been selected for a Club place in the previous three years. e. If there are fewer eligible Members in the draw than there are Club Places available, those Members will be awarded places automatically and their names removed from the draw. In order to distribute any remaining Club place(s), the Committee may choose to relax the above entry criteria subject to the constraint that requirement (i) above must always be met 19. Club Records a. The Club will hold records of the fastest race times achieved by Members in races held under England Athletics (or recognised foreign athletic association) rules. b. For a race time to qualify as a Club record the following criteria apply in addition to those specified in Rule 19 (a). i. The runner must have been a paid up Member of the Club when the race time was recorded. ii. Race time, distance and age category must be verified by the official race results. iii. In races where chip timing is used, the chip time will be allowed to count as the runners race time for the purpose of Club records. iv. In the event of any dispute, records are subject to ratification by the Committee. v. Members are responsible for informing the Committee if they believe they have set a Club record.
