1 WINDSOR & DISTRICT RSL SUB BRANCH CLUB LTD ACN NOTICE OF ANNUAL GENERAL MEETING Notice is hereby given that the Annual General Meeting of Windsor & District RSL Sub Branch Club Ltd, will be held on Sunday 25 th August 2013, commencing at am at the premises of the Club at 36 Argyle St South Windsor, New South Wales, BUSINESS TO BE CONDUCTED 1. To confirm the Minutes of the previous Annual General Meeting held on 26 August To receive and consider the Chairman s Report. 3. To receive and consider the Financial Report, Directors Report and the Independent Auditor s Report for the year ended 31 March Appointment of the Auditor for the 2013 / 2014 term. 5. To consider and if thought fit, pass each of the Six Special Resolutions set out below under the heading Notice of Special Resolutions. 6. To consider and if thought fit, pass each of the Ten Ordinary Resolutions set out below under the heading Notice of Ordinary Resolutions. 7. To deal with any other General Business that may be dealt with at the AGM. ANNUAL REPORT In accordance with the Corporations Act, the Annual Report of the Club for the year ending 31 March 2013, which includes the Directors Report, the Financial Report and the Auditor s Report, will be provided to those members who make a written request for them. A copy of the Annual Report will also be published on the Club s website not less than 21 days prior to the Annual General Meeting. NOTE TO MEMBERS REGARDING FINANCIAL QUERIES Members who wish to raise any queries or seek information at the meeting about the Financial Report or other matters pertaining to the affairs of the Club, are asked to give the General Manager notice in writing of their queries or requests 10 business days prior to the Annual General Meeting. This will enable properly researched replies to be prepared for the benefit of Members. 1 P a g e

2 SPECIAL RESOLUTION 1 NOTICE OF SPECIAL RESOLUTIONS That the Constitution of Windsor & District RSL Sub-Branch Club Ltd ACN (Club) in the form presented to the Annual General Meeting and signed by the Chairman of the meeting for the purpose of identification, be adopted as the Club's new Constitution in substitution for and to the exclusion of the Club's existing Constitution. Explanatory notes This Special Resolution proposes that the existing Constitution be replaced in its entirety by a new, updated Constitution. A copy of the proposed new Constitution, which will be presented to the members at the AGM for approval, is available for the information of members from the Club s office on request in hard copy or by . The Club encourages members to consider the proposed new Constitution carefully before the meeting. The main purpose of the update is to make the Club s Constitution reflective of the current legislation applicable to registered clubs as the legislation has changed in several respects since the last Constitution update was done. Therefore, although the numbering of the rules has changed, much of the new Constitution is substantially similar to the current Constitution, but it was considered easier and more convenient for members to adopt a whole new document rather than to make numerous minor amendments. Also, the following Special Resolutions 2 to 6 propose certain changes to the new Constitution. Therefore, some wording changes have been included in the new Constitution so that it will be consistent with the current framework, but also be able to easily accommodate the further changes if the members approve those Special Resolutions. Some key changes for members to be aware of in the new Constitution include: Objects suitable for an RSL Club have been added to the new Rule 14. These objects cover the kinds of purposes to which the Club's income and property may be applied. In particular, Rules 14 and reflect the significance of the objects of the Returned & Services League to the Club and the special arrangements for supporting the Sub-Branch. Rule 17 confirms that the liability of the members to contribute to debts of the Club if it is ever wound up in the future is limited to $4. Rule 18 confirms that if the Club should ever be wound up in the future, any surplus property will be distributed to not-for-profit organisation(s) selected by the members (or a Court if necessary) with similar objects to the Club. Rules 26 and 27 will now allow RSL Life members and Club Life members to nominate other members for election to Life membership. Rule 32 confirms the power of the Board to enforce the Club's responsible service of alcohol and responsible service of gaming policies. Rule 33 allows serving Australian Defence Force members, and former serving members who are now members of other RSL/Services clubs, to be admitted as Honorary members of the Club. This reflects recent changes to the Registered Clubs Act 1976 (Registered Clubs Act). Rule 37 of the current Constitution which deals with Board honoraria has been omitted. Resolutions for honoraria will now be put to the members for approval each year at the AGM. Rule 62 now allows the Board to appoint a smaller disciplinary committee made up of current Directors to deal with disciplinary hearings. Rules 63 to 66 now set out expanded powers for the Club to exclude people from the premises for anti-social and inappropriate behaviour. This is generally in line with section 77 of the Liquor Act Rule 76 allows Temporary members to admit guests who are under 18, so that children can attend the Club with a responsible parent or other adult (e.g. while visiting the Club on holidays). Rule 80 now allows for voting in Board elections to be conducted over several days in the lead up to the AGM. The election process can be conducted by an independent Returning Officer. The Club has approximately 6000 members, but not all of them will be able to attend the AGM to vote for the Board. Conducting Board elections in the lead up to the AGM is intended to give more members the opportunity to participate in this important aspect of Club life. The powers of the Board set out in Rule 86 are substantially similar to the current Constitution. However, Rule 86(d) now allows the Board to delegate powers to an appropriate person or persons, and Rule 86(l) now provides that land and buildings of the Club may only be dealt with subject to the Registered Clubs Act (as the Licensing Court which previously approved such transactions no longer exists). Rules 115 to 117 allow the cancellation or postponement of a General Meeting. For example, if a General meeting is called to deal with a specific issue which is then resolved in the meantime, the Board may cancel the meeting to avoid inconvenience to members. If members call a General Meeting which they then cancel, it is reasonable that those members should bear the cost of cancellation to avoid inconveniencing other members. 2 P a g e

3 SPECIAL RESOLUTION 2 That: Windsor & District RSL Sub-Branch Club Ltd ACN adopts the name 'Windsor RSL Club Ltd'; and the company's constitution be amended by deleting the words 'Windsor & District RSL Sub-Branch Club Ltd' where they appear in the constitution and replacing them with the words 'Windsor RSL Club Ltd', on and from the date such change of name is registered by the Australian Securities & Investments Commission pursuant to section 157(3) of the Corporations Act 2001(Cth). Explanatory Notes This Special Resolution would change the name of the Club from 'Windsor and District RSL Sub- Branch Club Limited' to 'Windsor RSL Club Limited', and update the references in the Constitution accordingly, This change is proposed as there is currently confusion between the two legal entities among both RSL and Club members, between the Club and the Sub-Branch, and for the general public. For example, a majority of the Sub Branch's mail is incorrectly addressed to the Club and the Sub- Branch often receives mail intended for the Club. The change of name would help to clearly identify the two separate organisations. The change will only take effect if it is approved, and duly registered by the Australian Securities & Investments Commission. If the members vote in favour of the change of name, then the Club will take steps to obtain registration of the new name. SPECIAL RESOLUTION 3 That the Constitution of Windsor & District RSL Sub-Branch Club Ltd ACN be amended by: Adding the following new sentence to the end of Rule 78 'Provided that on and from the election of the Board in 2014, the Board shall consist of a President, a Vice President and 7 other Directors'. Deleting the words ' President, Vice President or Treasurer' from Rule 83 and replacing them with the words 'President or Vice President'. Explanatory notes This Special Resolution would reduce board executive officers to President and Vice-President, removing one Vice-President and the Treasurer. Most clubs have transitioned to a smaller executive. The role for the second Vice-president is to stand in for the President if the other Vice-president is not present. This is not necessary as any member of the board can stand in for the President, if the President and Vice-President are not present. As the Club has a full-time finance manager and most of its finances are done electronically, the role of Treasurer is dramatically reduced. SPECIAL RESOLUTION 4 That the Constitution of Windsor & District RSL Sub-Branch Club Ltd ACN be amended by deleting the words ' has been an RSL member or RSL Life member for a continuous period of 12 months, and' from Rule 83. Explanatory Notes This special resolution would remove the requirement for executive members of the Board to be RSL members or RSL Life members The Club currently has 6000 members and only 220 Sub-Branch members. Therefore, the Board considers that it is appropriate to reduce restrictions on the eligibility of members to be elected to the executive positions. This is intended to minimise the risk of the Club being restricted to an unduly narrow pool of candidates and to try and ensure that members with appropriate skills are eligible to be elected into the future. This approach was endorsed by the NSW State Branch of the RSL and the RSL & Services Clubs Association in an open letter to Sub-Branch members dated 4 September 2007, a copy of which can be provided to members on request. The Club and the Sub-Branch are parties to a formal deed of agreement, under which the Club provides services to the Sub-Branch and maintains RSL traditions and commemorative events at the premises. If the Special Resolution is passed, it would not affect these matters as they are covered by the separate legally binding agreement. 3 P a g e

4 SPECIAL RESOLUTION 5 That the Constitution of Windsor & District RSL Sub-Branch Club Ltd ACN be amended by deleting the second sentence in Rule 148. Explanatory Notes This special resolution would amend the Constitution to remove restrictions to voting on changes to the Constitution to RSL members and RSL Life members (who must be Sub-Branch members). The Club currently has 6000 members and only 220 Sub-Branch members. Therefore it is considered appropriate that our general membership should be able to vote on amendments to the Constitution, as any changes will directly affect them. If the Special Resolution is passed, it would not affect the services provided to the Sub-Branch by the Club or the maintenance of RSL traditions and commemorative events, under the separate binding agreement between the Club and the Sub-Branch. Further, under that agreement the Club is required to retain an object in its Constitution to promote and abide by objects of the Returned & Services League of Australia and this is covered in Rule14 of the new Constitution. SPECIAL RESOLUTION 6 That the Constitution of Windsor & District RSL Sub-Branch Club Ltd ACN be amended by: Adding the words 'Subject to Rule 79A,' to the start of Rule 79. Adding the following new Rule 79A: 79A. In this Rule: "triennial rule" means this Rule 79A which provides for the election of members of the governing body in accordance with Schedule 4 of the Registered Clubs Act. "year" means the period between successive General Meetings. On and from the election of the Board in 2014, the Board will be elected in accordance with the triennial rule. The Directors elected to the Board in 2014 shall be divided into 3 groups, such groups shall be: (i) determined by drawing lots; (ii) nearly as practicable equal in number; and (iii) designated as 'group1', 'group2', and 'group3', and unless otherwise ceasing to hold office under this Constitution, the Directors: (iv) in group 1 shall hold office for 1 year; (v) in group 2 shall hold office for 2 years; and (vi) in group 3 shall hold office for 3 years. (d) At each Annual General Meeting held while the triennial rule is in force (other than the Annual General Meeting in 2014) the number of Directors required to fill vacancies on the governing body shall be elected, and shall, unless otherwise disqualified, hold office for 3 years. (e) A person who fills a casual vacancy in the office of a member of the Board elected in accordance with this Rule 79A shall, unless otherwise disqualified, hold office until the next succeeding General Meeting. (f) The vacancy caused at a General Meeting by a person ceasing to hold office under Rule 79A(e) shall be filled by election at the General Meeting and the person elected shall, unless otherwise disqualified, hold office for the residue of the term of office of the person who caused the casual vacancy initially filled by the person who ceased to hold office at the General Meeting. (g) A person whose term of office as a Director under the triennial rule expires is not for that reason ineligible for election for a further term. Adding a new Rule 80(j) and a new Rule 80(k) as follows: (j) The President will be elected at each Annual General Meeting as follows: (i) a person elected as a Director in the election of the Board under Rules 80(e) to (g) is eligible to stand for election as President; 4 P a g e

5 (k) (ii) each candidate for election as President must be nominated by at least 2 financial Full members of the Club and the candidate must consent to such nomination; and (iii) the President will be elected using the 'first past the post system' by ballot conducted at that Annual General Meeting by the Returning Officer. The President shall appoint the Vice President from among the Directors, at the first Board meeting after the Annual General Meeting in a Board election year. Deleting the second sentence in Rule 105. Explanatory Notes This Special Resolution amends the Constitution to adopt a triennial election system as opposed to the current biennial elections of the Board of Directors. This is recommended by Clubs NSW as a way of possibly promoting Board stability. If this Special Resolution is approved: At the 2014 election, 9 Directors will be elected. They will then be divided into 3 equal groups by drawing lots. Group 1 will hold office for 1 year, Group 2 will hold office for 2 years and Group 3 will hold office for 3 years. Every year after 2014, one third of the Board will be up for re-election and those elected will hold office for 3 years. This means that after 2014 an election for one third of the Board will be held every year. A triennial election system requires the election of the executive every year, as the positions held by the executive may or may not be up for election. The Board recommends to the members that they elect the President at each AGM from eligible Board members who may wish to stand for election to that position. A ballot paper would be prepared for President and would include all candidates (who must have been on the Board for at least 12 months prior to the election). After the AGM, the President would appoint the Vice-President from the eligible Board members as the President and Vice President must work closely together. General notes to members At least 75% of the members who cast their votes on a Special Resolution (being eligible to do so) must vote in favour of the Special Resolution for it to be passed. Under Rule 8 of the current Constitution only RSL Life members and RSL members are entitled to vote on Special Resolutions to amend the Constitution. Proxy voting is prohibited, and employees are prohibited, from voting under the Registered Clubs Act. 5 P a g e

6 NOTICE OF ORDINARY RESOLUTIONS FIRST ORDINARY RESOLUTION The members hereby approve reasonable meals and refreshments associated with each Board meeting of the Club. Members acknowledge that the benefits above are not available to members generally. SECOND ORDINARY RESOLUTION The members hereby approve the provision of a blazer and or, appropriate apparel for the use of Club Directors when representing the Club. Members acknowledge that the benefits above are not available to members generally. THIRD ORDINARY RESOLUTION The members hereby approve the reasonable cost of Directors and their partners attending industry conferences, meetings, lectures, trade displays and other similar events as may be determined by the Board from time to time. Members acknowledge that the benefits above are not available to members generally. FOURTH ORDINARY RESOLUTION The members hereby approve the reasonable costs of Life Members and their partners attending functions and entertainment at the Club, as approved by the Board. Members acknowledge that the benefits above are not available to members generally. FIFTH ORDINARY RESOLUTION The members hereby approve the reasonable cost of the Directors and their partners attending an annual dinner. Members acknowledge that the benefits above are not available to members generally. SIXTH ORDINARY RESOLUTION The members hereby approve the reasonable cost of Directors and their partners attending functions whilst representing the Club, as approved by the Board. Members acknowledge that the benefits above are not available to members generally. SEVENTH ORDINARY RESOLUTION The members hereby approve an honorarium of $6,000 for the President. Members acknowledge that the benefits above are not available to members generally EIGHTH ORDINARY RESOLUTION The members hereby approve an honorarium of $4,000 for the Treasurer. Members acknowledge that the benefits above are not available to members generally. NINTH ORDINARY RESOLUTION The members hereby approve an honorarium of $1,250 for the Vice Presidents ( 2 ). Members acknowledge that the benefits above are not available to members generally. TENTH ORDINARY RESOLUTION The members hereby approve an honorarium of $1,000 for the Directors ( 5 ). 7 Honorariums identified in Ordinary Resolutions (7) to (10), shall be paid from the Club s funds at the end of each quarter of a year s service by the member of the Board. If a member of the Board vacates the position before the end of a year, he or she will be entitled to payment, at the Board s discretion, of the proportionate time served as a Board member. General notes to members 1 At least 50% of the members who cast their votes on a Ordinary Resolutions (being eligible to do so) must vote in favour of the Ordinary Resolution for it to be passed. 2. Under Rule 8 of the current Constitution only RSL Life members and RSL members, Club Life members and Club members are entitled to vote on Special Resolutions. 3. Date CORPORATIONS ACT A Public Company Limited by Guarantee and not having a Share Capital CONSTITUTION of WINDSOR & DISTRICT RSL SUB-BRANCH CLUB LTD ACN NAME 1. The name of the Club is "Windsor & District RSL Sub-Branch Club Ltd". DEFINITIONS 2. In this Constitution, unless the context otherwise requires: "Act means the Corporations Act 2001 (Cth). "Australian Defence Force" includes the armed forces of the Commonwealth, however described. authorised person has the meaning given by the Liquor Act. "Authority" means the Independent Liquor & Gaming Authority or any body or person which replaces it or exercises its functions. "Board" means the members for the time being of the Board of Directors of the Club, as constituted in accordance with this Constitution. "By-law" means and includes regulations. "Business Day" means any day except Saturday, Sunday or a bank or public holiday in New South Wales. "Club" means Windsor & District RSL Sub-Branch Club Ltd. "Club Member" means a person elected to that class of membership in accordance with this Constitution.

9 - 2 - "Club Life member" means a person elected to that class of membership in accordance with this Constitution. "Club Notice Board" means a board or boards within the Club's premises on which notices for the information of members are posted. Club Licence means a club licence under Section 10 of the Liquor Act. "Constitution" means and includes these Rules. "Director" means a director of the Club duly elected or appointed to the Board. "Full member" means a person who is an Ordinary member or a RSL Life member or a Club Life member of the Club. Liquor Act means the Liquor Act 2007 (NSW). "Office" means the registered office for the time being of the Club. "Ordinary member" means a member of the Club other than a RSL Life member, Club Life member, Honorary member, Temporary member or Provisional member. "Registered Clubs Act" means the Registered Clubs Act 1976 (NSW). "RSL" means the Returned and Services League of Australia. "RSL member" means a person elected to that class of membership in accordance with this Constitution. "RSL Life member" means a person elected to that class of membership in accordance with this Constitution. "RSL or Services Club" means: an RSL, Services, Ex-services, Memorial, Legion or other similar club that is a registered club; or a registered club that has objects similar to, or that has amalgamated with, a club of the kind referred to in paragraph. "Secretary" has the meaning given by section 4 of the Registered Clubs Act and includes the Chief Executive Officer, Acting Chief Executive Officer, General Manager, Acting General Manager, Secretary Manager, Acting Secretary Manager, Honorary Secretary or Acting Honorary Secretary. "Special Resolution" has the same meaning as in the Act. "State RSL" means the Returned and Services League of Australia (New South Wales Branch) Incorporated. INTERPRETATION 3. In this Constitution, unless the context otherwise requires: a reference to: (i) one gender includes the others;

10 - 3 - (ii) (iii) (iv) (v) the singular includes the plural and the plural includes the singular; a day or a month means a calendar day or calendar month; 'writing' or 'written' includes modes of reproducing or representing words in a visible form; legislation includes but is not limited to a modification or re-enactment of it, a legislative provision substituted for it and a regulation or statutory instrument under it; the meaning of any general language is not restricted by any accompanying example, and the words includes, including, such as, for example or similar words are not words of limitation; headings and the index are for convenience only and do not form part of this Constitution or affect its interpretation. REQUIREMENTS OF THE ACT AND THE REGISTERED CLUBS ACT 4. The "replaceable rules" contained in the Act are excluded and shall not apply to the Club except in so far as they are repeated or contained in this Constitution. 5. The Club is established for the objects set out in this Constitution. 6. The Club shall be a non-proprietary Club. 7. Subject to the provisions of Sections 10(6) and 10(6A) of the Registered Clubs Act, a member of the Club, whether or not the person is a Director or a member of a committee of the Club, shall not be entitled, under the rules of the Club or otherwise, to derive, directly or indirectly, any profit, benefit or advantage from the Club that is not offered equally to every Full member of the Club. 8. Subject to the provisions of Section 10(1)(j), Section 10(7), and any other applicable section of the Registered Clubs Act, only the Club and its members are entitled to derive, directly or indirectly, any profit, benefit or advantage from the ownership or occupation of the licensed premises of the Club. 9. The Secretary, or an employee, or a member of the Board or of any committee, of the Club, shall not be entitled, under the rules of the Club or otherwise, to receive, directly or indirectly, any payment calculated by reference to the quantity of liquor purchased, supplied, sold or disposed of by the Club or the receipts of the Club for any liquor supplied or disposed of by the Club. 10. An employee of the Club shall not vote at any meeting of the Club or of the Board or at any election of the Board, or hold office as a member of the Board. 11. Liquor shall not be sold, supplied, or disposed of on the premises of the Club to any person, other than a member, except on the invitation and in the company of a member; provided that this Rule does not apply in respect of the sale, supply or disposal of liquor to any person at a function in respect of which an authority is granted to the Club under Section 23 of the Registered Clubs Act. 12. Liquor shall not be sold, supplied or disposed of on the premises of the Club to any person under the age of 18 years.

11 A person under the age of 18 years shall not use or operate gaming machines on the premises of the Club. OBJECTS 14. The objects for which the Club is established are: (d) (e) (f) (g) (h) (i) (j) to provide for members and for members' guests a social and sporting club with all the usual facilities of a club including residential and other accommodation, liquid and other refreshment, provision for sporting, musical and educational activities and other social amenities; to promote and abide by all or any of the objects of the RSL; to make gifts and provide accommodation to the Windsor Sub-Branch of the State RSL or its successor; to purchase, hire, lease or otherwise acquire for the purposes of the Club any real or personal property and any rights or privileges which the Club may think necessary or convenient for the carrying out of its objects or parts thereof; to give, sell, mortgage, exchange, hire, lease or otherwise dispose of the property of the Club or any part or parts thereof; to invest and deal with any of the money of the Club not immediately required for the purposes thereof upon such securities and in such manner as may be deemed fit and from time to time to vary and realise such investments; to make, draw, accept, endorse, discount, execute and issue promissory notes, bills of exchange, bills of lading, warrants, debentures and other negotiable or transferable instruments; to borrow money from time to time and for such purposes to give debentures, liens, mortgages, charges or other security over the whole or any part of the property real or personal of the Club; to apply for and obtain and hold a certificate of registration or any other licence or licences under the Registered Clubs Act or any other Act or law for the time being operative and for such purpose or purposes to appoint, if necessary or desirable, a Secretary to act as licensee and hold the certificate of registration or other licence or licences on behalf of the Club; to obtain and hold any licence or permission necessary for and to carry on the business of restaurant keepers and sellers of tobacco, cigars and cigarettes and of all kinds of goods, services and provisions required, used or desired by members; to take or reject any gift or property, monies or goods whether subject to any special trust or not; to erect, maintain, improve or alter any building or buildings for the purposes of the Club; to indemnify any person or persons, whether members of the Club or not, who may incur or have incurred any personal liability for the benefit of the Club and for that purpose to give such person or persons mortgages, charges or other security over the whole or any part of the real or personal property present or future of the Club;

12 - 5 - (k) (l) (d) to establish, support or aid in the establishment and support of associations, funds, trusts and conveniences calculated to benefit the members of the Club or the dependants or connections of such members and to make payments towards insurance for any purpose and to subscribe or guarantee money for charitable or benevolent objects or for any exhibition or for any public, general or useful object; to carry on all such activities as may be necessary or convenient for the purposes of the Club or any of them; to do all such acts, deeds, matters and things and to enter into and make such agreements as are incidental or conductive to the attainment of the above objects or any of them, and in the interpretation of this Rule the meaning and effect of any object is not restricted by any other object, each object is to be construed and have effect as an independent power, and this Rule is to be construed so as to widen and not restrict the powers of the Club. 15. The income and property of the Club shall be applied solely towards the promotion of the objects of the Club as set forth in this Constitution and no portion shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise by way of profit to the members of the Club, provided: that nothing prevents the payment in good faith of: (i) (ii) interest to any such member in respect of money advanced by that member to the Club or otherwise owing by the Club to the member; or remuneration of any officer or employee of the Club or to any member of the Club or other person in return for services actually rendered to the Club; further, that no member of the Board or of any committee of the Board shall be appointed to any salaried office of the Club or any office of the Club paid by fees while still a member of the Board or of that committee, and, no remuneration shall be given by the Club to any member of the Board or of any committee; and further, that nothing in this Rule shall be construed as preventing: (i) (ii) (iii) the payment of an honorarium in respect of special honorary services rendered to the Club; the repayment of out-of-pocket expenses; or payment of interest on money lent, or hire of goods, or rent for premises demised to the Club. WINDING UP 16. The liability of the members of the Club is limited. 17. Each member of the Club undertakes to contribute to the assets of the Club in the event of the Club being wound up during the time that he or she is a member, or within 1 year after he or she ceases to be a member, for payment of the debts and liabilities of the Club contracted before the time at which he or she ceases to be a member and of the costs, charges and expenses of winding up the Club, and for the adjustment of the rights of the contributories among themselves, such amount as may be required, not exceeding $4.

13 If upon winding up or dissolution of the Club there remains after the satisfaction of all its debts and liabilities any property, that property must not be paid to or distributed among the members of the Club but must be given or transferred to: another entity or entities having similar objects to those of the Club and the rules of which prohibit the distribution of income and property among the members to an extent at least as great as imposed on the Club under this Constitution; and if effect cannot be given to Rule 18, to one or more charitable objects. 19. The entity or entities, or charitable object or objects, to which distribution is made under Rule 18 will be: determined by the members in General Meeting at or before the time of the winding up or dissolution of the Club; or if the members do not make such a determination, determined by a court of competent jurisdiction. MEMBERSHIP 20. The number of Full members of the Club must not exceed the maximum permissible under the Registered Clubs Act (if any). 21. A person must not be admitted to membership of the Club except as an Ordinary member, RSL Life member, Club Life member, Honorary member, Temporary member or Provisional member. 22. A person who is under the age of 18 years must not be admitted to any class of Ordinary membership. 23. The persons who at the date of the Special Resolution adopting this Constitution are entered in the register of Full members of the Club and such other persons as the Board admits to membership in accordance with this Constitution, are the members of the Club. 24. Unless and until otherwise determined by the Board, Ordinary membership of the Club consists of the following classes: RSL member. Club member. ELIGIBILITY FOR ORDINARY MEMBERSHIP 25. The requirements for eligibility of persons for election to the following classes of Ordinary membership are: R.S.L. member Any person who is a financial member of the Windsor Sub Branch of the State RSL who makes application for membership in this class in accordance with this Constitution. Club member Any person who is at least 18 years of age, who is not eligible to be elected as an RSL member, and who makes application for membership in this class in accordance with this Constitution.

14 - 7 - LIFE MEMBERS 26. A person who has been an RSL member for a continuous period of 10 years, and who has rendered outstanding service to the Club, may be elected as an RSL Life member if: The person is nominated and seconded for RSL Life membership by 2 financial RSL members or RSL Life members; The nomination is approved by the Board and referred to the next Annual General Meeting of the Club; and The nomination is approved by resolution of a 75% majority of those members present and voting on the resolution at that Annual General Meeting. 27. A person who has been a Club member for a continuous period of 10 years, and who has rendered outstanding service to the Club, may be elected as Club Life member if: The person is nominated and seconded for Club Life membership by 2 RSL members, RSL Life members, Club members or Club Life members; The nomination is approved by the Board and referred to the next Annual General Meeting of the Club; and The nomination is approved by resolution of a 75% majority of those members present and voting on the resolution at that Annual General Meeting. 28. Each RSL Life member and Club Life member shall be relieved of any obligation or liability to pay an entrance fee or annual subscription for that class of membership, and will otherwise have the rights and obligations of the class of Ordinary membership to which the person belonged prior to their election to life membership. RIGHTS OF MEMBERS 29. Financial RSL members, Club members, RSL Life members and Club Life members are (subject to any further restrictions in this Constitution) entitled to: attend or to vote on any matter at any General Meeting; vote at the election of the Board; and be nominated for, elected to and hold office on the Board. 30. Each member who is entitled to vote has 1 vote on a show of hands or on a poll. 31. The rights of members to use the facilities and amenities of the Club are as the Board may determine from time to time by By-law or otherwise. 32. The Board has the power from time to time to organise and enforce the exclusion from the Club's premises of any member or other person (either with or without that member's or person's agreement) in accordance with: the Club's then current responsible service of alcohol policy; or the Club's then current responsible conduct of gaming policy.

15 - 8 - HONORARY MEMBERS 33. The following persons may be admitted as Honorary members of the Club in accordance with procedures established by the Board from time to time: (d) the Patron or Patrons for the time being of the Club; any prominent citizen or local dignitary visiting the Club; any person attending the Club premises who produces evidence that the person is a serving member of the Australian Defence Force, and that person is taken to have been admitted as an Honorary member of the Club for the day the person so attends the Club premises; and a former member of the Australian Defence Force who produces evidence that the person is a service member of the RSL and a member of at least one other RSL or Services Club, and that person is taken to have been admitted as an Honorary member of the Club for the day the person attends the Club premises. 34. Honorary members are entitled only to those facilities and amenities of the Club as determined by the Board from time to time, and are not entitled to vote at any General Meeting, to be nominated for or elected to the Board or any office of the Club, to nominate persons for membership of the Club, or to participate in the management, business and affairs of the Club in any way. 35. The Board has power to cancel the membership of any Honorary member without notice and without being required to give reasons. 36. When Honorary membership is conferred on any person, except persons admitted under rule 33 and 33(d), the particulars must be recorded in the relevant Club register of Honorary members as required by the Registered Clubs Act. TEMPORARY MEMBERS 37. The following persons may be admitted as Temporary members of the Club in accordance with procedures established by the Board from time to time: (d) a person whose permanent place of residence in New South Wales is at least 5 kilometres from the Club's premises or such greater distance as may be determined from time to time by the Board by By-law; a full member (as defined in the Registered Clubs Act) of any other registered club and which has objects similar to those of the Club; a full member (as defined in the Registered Clubs Act) of any registered club or any interstate club (as defined in the Registered Clubs Act) who, at the invitation of the Board or of a Full member of the Club, attends on any day at the premises of the Club for the purpose of participating in an organised sport or competition to be conducted by the Club on that day, from the time on that day when the person so attends the premises of the Club until the end of that day; and an interstate or overseas visitor. 38. Temporary members are entitled only to those facilities and amenities of the Club as determined by the Board from time to time, and are not entitled to attend or vote at any General Meeting, to be nominated for or elected to the Board or any office of the Club, to

16 - 9 - nominate any person for membership of the Club, or to participate in the management, business and affairs of the Club in any way. 39. A person under the age of 18 years must not be admitted as a Temporary member of the Club, other than pursuant to Rule A person may be admitted as a Temporary member for a period of up to, but not exceeding, 7 consecutive days (or for such longer period as the Authority may approve in writing). 41. When Temporary membership is conferred on a person, the particulars must be recorded in the Club's register of Temporary members as required by the Registered Clubs Act. 42. The Board has power to cancel the membership of any Temporary member without notice and without being required to give reasons. ELECTION OF MEMBERS 43. A person must not be admitted as an Ordinary member of the Club unless that person is elected to membership at a meeting of the Board or a duly appointed election committee of the Club by a majority of the Board or election committee members present and voting, the names of those members present and voting at that meeting being recorded by the Secretary. The Board may reject any application for membership without assigning any reason for such rejection. 44. A candidate for Ordinary membership of the Club must make application in accordance with this Constitution and the Registered Clubs Act. 45. Each application for membership made pursuant to this Constitution must be in a form and containing such particulars as are from time to time prescribed by the Board, including the full name and address of the candidate and a statement that the candidate, if admitted, will be bound by the Constitution of the Club. The application form must be signed by the candidate. 46. The Secretary must cause the name and address of the candidate to be displayed on the Club Notice Board or in some other conspicuous place in the Club's premises for a continuous period of not less than 1 week before the election of the candidate as a member of the Club, and an interval of at least 2 weeks must elapse between the proposal of a candidate for election and the candidate's election. 47. When a person has been elected to membership, upon payment of the entrance fee (if any) and first subscription such person becomes a member of the Club, provided that if such entrance fee and subscription is not paid within 1 month after the date of election, the Board may at its discretion cancel its election of the person to membership of the Club. 48. A copy of this Constitution must be supplied to a member on request being made to the Secretary and if demanded by the Secretary on payment of any fee that may be prescribed by the Act or any lesser fee determined by the Board. TRANSFER OF MEMBERSHIP 49. The Board, at its discretion, may on the written application of a member who has the qualifications for and wishes to become a member of a different class, transfer that member from any class of Ordinary membership to another class of Ordinary membership. The Board may, at its discretion, make an adjustment in the entrance fee (if any) and subscription paid or payable by that member so transferred for the membership year in which the transfer takes place.

17 PROVISIONAL MEMBERSHIP 50. Any person who has lodged with the Secretary an application form duly completed in accordance with this Constitution seeking membership of the Club and pays to the Club the subscription appropriate to the class of membership referred to in the application form, may be granted Provisional membership of the Club while awaiting the decision of the Board in relation to that person's application for membership of the Club. 51. Should a person who is admitted as a Provisional member not be elected to Ordinary membership of the Club within 8 weeks from the date of lodging the application form with the Secretary or should that person's application for membership be refused (whichever is sooner), that person shall immediately cease to be a Provisional member of the Club and the entrance fee and subscription submitted with the application form must be promptly returned to that person. 52. Provisional members are entitled only to those facilities and amenities of the Club as determined by the Board from time to time, and are not entitled to attend or vote at any General Meeting, to be nominated for or elected to the Board or any office of the Club, to nominate any person for membership of the Club, or to participate in the management, business and affairs of the Club in any way. ENTRANCE FEES, SUBSCRIPTIONS AND LEVIES 53. Members subscriptions shall be paid annually or, if the Board so directs and approves, by quarterly or half-yearly instalments and in advance or for more than one year in advance. The time and manner of payment and all other matters pertaining to subscriptions not especially provided for by this Constitution, shall be as prescribed by the Board from time to time. 54. The entrance fees, subscriptions, levies, charges and other amounts payable by members of the Club shall be such as the Board may from time to time prescribe, provided that the annual subscription payable by Ordinary members is not less than $2 per annum or such other minimum amount prescribed from time to time by the Registered Clubs Act. 55. Honorary members and Temporary members may be relieved by the Board of any obligation to pay entrance fees or subscriptions. 56. A member is unfinancial if the member's annual subscription or any part of it, or any other money or part of it owing by the member to the Club, remains unpaid after the due date for payment. Such a member is, and remains, unfinancial and is suspended from all privileges of membership of the Club until payment in full of the amount owing. 57. If a member's annual subscription or any part of it, or any other money or part of it owing by the member to the Club, remains unpaid 60 days after the due date for payment (or any later date permitted by the Board in its discretion), the member is from that date debarred from all privileges of membership and immediately ceases to be a member of the Club. The provisions of Rule 62 will not apply to any procedure taken pursuant to this Rule. 58. The Board has power to make charges and levies on Ordinary members for general or special purposes. PATRONS 59. The members in General Meeting may appoint a Patron or Patrons from time to time upon a recommendation being made by the Board to the meeting. A Patron may resign in writing to the Club, such resignation to take effect when received by the Secretary. The

18 members in General Meeting may remove a Patron from time to time upon a recommendation being made by the Board to the meeting. ADDRESSES OF MEMBERS 60. A member must advise the Secretary of any change in his or her address. REGISTERS OF MEMBERS AND GUESTS 61. The Club must keep registers of Full members, Honorary members, Temporary members and persons of at least 18 years of age who enter the Club premises as guests of members, in accordance with the requirements of the Registered Clubs Act and the Act. DISCIPLINARY PROCEEDINGS 62. If a member refuses or neglects to comply with any provision of this Constitution or any Bylaw, or is in the opinion of the Board or the Board's duly constituted disciplinary committee, guilty of any conduct prejudicial to the interests of the Club, or guilty of conduct which is unbecoming of a member or which shall render the member unfit for membership, the Board or the disciplinary committee shall have power to reprimand, suspend from all or any privileges of membership for such period as it considers fit, expel or accept the resignation of such member and to remove the person's name from the register, provided that: (d) (e) (f) (g) The member must be notified of any charge against the member pursuant to this Rule in writing at least 14 days before the meeting of the Board or disciplinary committee at which such charge is to be heard. The notice must set out the matters giving rise to the charge. A member who is issued with a notice of charge under this Rule may be immediately suspended from any or all of the privileges and facilities of the Club until the matter is determined by the Board or disciplinary committee. The member must be given written notice of any such suspension, which may be included in the notice of charge referred to in Rule 62. The member charged is entitled to attend the meeting for the purpose of answering the charge or may answer the charge in writing, and is entitled to call witnesses in his or her defence. No resolution by the Board or disciplinary committee to reprimand, suspend, or expel, a member is deemed to be passed unless at least a majority of the members of the Board or disciplinary committee present vote in favour of such resolution. If the member fails to attend such meeting, the charge may be heard and dealt with and the Board or disciplinary committee may decide on the evidence before it, in the member's absence, but having regard to any written representations made to it by the member. If the member attends the meeting, the member must be given an opportunity to address the Board or disciplinary committee in relation to the penalty appropriate to the charge should the Board or disciplinary committee find the member guilty. After the Board or disciplinary committee has considered the evidence before it, it must come to a decision as to the member's guilt or innocence in relation to the charge and, having consideration to any representations made by the member, determine any penalty if the member has been found guilty. Any decision of the Board or disciplinary committee at such meeting or any adjournment of the meeting

19 is final, and the Board or disciplinary committee is not required to assign any reason for its decision. (h) (i) (j) (k) The powers of the Board under this Rule may be exercised by a disciplinary committee appointed by the Board and comprising not less than 3 members of the Board. A quorum of the disciplinary committee is 3 members. The Secretary may assist the Board or disciplinary committee but must not be a member of any disciplinary committee and must not vote. The Board may enquire into any matter that it considers fit, without any charge being laid before it. The Board may, in special circumstances, resolve to allow a member who has been suspended to attend the Club's premises for a specified purpose. 63. The Secretary, or any other authorised person, has the power to require a person to leave, or remove a person from, the premises of the Club if: in the opinion of the Secretary or authorised person, the person is intoxicated, violent, quarrelsome, indecent or disorderly; the person s presence on the Club s premises, in the opinion of the Secretary or authorised person, may render the Club or the Secretary liable to a penalty under any applicable law; the person has engaged or used any part of the Club s premises for an unlawful purpose; (d) the person smokes, within the meaning of the Smoke-Free Environment Act 2000 (NSW), while on any part of the Club s premises that is a smoke-free area within the meaning of that Act; (e) (f) (g) the person uses, or has in his or her possession, while on the Club s premises, any substance that the Secretary or authorised person suspects of being a prohibited plant or a prohibited drug; the person is a person whom the Secretary or authorised person, under the conditions of the Club Licence or according to a term (of the kind referred to in Section 134 or Section 136D of the Liquor Act) of a local liquor accord, is authorised or required to refuse access to the Club s premises; or the person has engaged in conduct which may be prejudicial to the interests of the Club or which may be conduct unbecoming of a member or render the person unfit for membership. 64. The Secretary or the senior employee of the Club then on duty may immediately suspend the membership of a person who is removed from the Club's premises under Rule 63. Any suspension of a member by the Secretary or the senior employee pursuant to this Rule will continue until further notice is given to the member pursuant to Rule 63 or for up to 4 weeks, whichever is the earlier. 65. If a person has been refused admission to, or has been turned out of, the Club's premises pursuant to section 77 of the Liquor Act, an authorised person may, at any time, refuse to admit that person to the Club's premises or may turn the person out of the Club's premises.
