Taylor, a member of the law firm of Ashby & Geddes, P.A., counsel to Emerald Capital Advisors Corp., as Plan Administrator for the above-captioned debtors (the Plan Administrator, hereby certify the following: 1. In accordance with the Order Establishing Procedures for Interim Compensation and Reimbursement of Expenses of Professionals [D.I. 204] (the Interim Compensation Order and the Order Appointing Fee Examiner and Establishing Related Procedures for Compensation and Reimbursement of Expenses for Professionals and Consideration of Fee Applications [Docket No. 321] (the Fee Examiner Order, professionals retained by the Debtors (collectively, the Professionals in the above-referenced cases, respectively, filed their interim fee applications [Docket Nos. 424, 427 & 443] (the Interim Applications with the United States Bankruptcy Court for the District of Delaware (the Court. 1 The debtors and debtors in possession in these Chapter 11 Cases, along with the last four digits of their respective Employer Identification Numbers, are as follows: TerraVia Holdings, Inc. Pursuant to the Interim Applications, objections, if any, to each Interim Application were to be filed and served no later than the objection deadline set forth on each of the Interim Applications. The Plan Administrator is not aware of any objections or other responses with respect to the Interim Applications and the hearing to consider approval of the Interim Applications is scheduled for February 12, 2018 at 2:00 p.m. (ET. 3. Pursuant to the Fee Examiner Order, David M. Klauder (the Fee Examiner filed the Examiner s Consolidated Final Report to Interim Fee Applications of Certain Retained Professionals Scheduled for Hearing on February 12, 2018 (the Fee Examiner s Final Report [Docket No. 510] recommending the approval of fees and expenses requested in the Interim Applications with certain agreed upon reductions. 4. Attached hereto as Exhibit A is a proposed form of order (the Omnibus Fee Order, which accurately reflects the fees and expenses of the Professionals pursuant to the Interim Applications, including any voluntary deductions thereto. The proposed Omnibus Fee Order has been circulated to and consented to by each of the Professionals, the Office of the United States Trustee for the District of Delaware, and the Fee Examiner. Further, each of the Professionals has confirmed that its fees and expenses sought, as reflected on Exhibit A to the proposed Omnibus Fee Order, are accurate. WHEREFORE the Plan Administrator respectfully requests that the Court enter the proposed Omnibus Fee Order approving the Interim Applications at the Court s earliest convenience, or alternatively, prior to the conclusion of the Interim Fee Hearing. { ;v1 } 2
