2 Arizona Wool Growers Association CONSTITUTION I. NAME The name of th is association shall be the Arizona Wool Growers Association. OBJECTS The objects of this association shall be to promote, protect, and encourage the business of sheep raising and wool growing in Arizona; to do any and all things lawful, just and necessary to advance this industry; to secure equitable and just legislation and grazing regulations; to prevent unjust and unfair discrimination in the enforcement of laws and regulations affecting this industry ; to stimulate among set

3 2 CONSTITUTION tiers and stock men upon forest reserves the spirit of honest and earnest co-operation with the Forestry Service in the protection and the wise and economical use of all the products of the forest reserves; and to further the interests of the members of this association in every legitimate way. MEMBERSHIP Any person, firm or corporation engaged in the industry of wool growing in the Territory of Arizona 44-g 7"4.Qf eert.iirpensi-weifogstiribfeft), Nerreolt..13asexauiwaft+sereleel itet4ir a,nd 41.3/4i44,may become a member of this organization, by filing with the secretary a written application and the payment of dues and assessments ordered by the association. IV. REVENUE The revenues to defray the expenses of this association shall be raised by assessments made by the association at annual or special meetings, which assessments shall be based upon all sheep owned by

4 CONSTITUTION 3 any member; such numbers owned to be estimated from permits to graze or assessment rolls, or both. V. GOVERNMENT The officers of this association shall consist of a President, Vice President, Secretary and Treasurer, and an Executive Committee consisting of the President, Vice President and five additional members elected by the association at its first meeting and annually thereafter, provided that any such officers shall hold over until their successors are duly elected. VI. DUTIES OF OFFICERS The duties of the respective officers shall be those usually incident to such offices, or as set out in these by-laws, and the general business of the association shall be managed by the Executive Committee, when the association is not in session, provided that no action or measure shall be adopted by such executive committee without the sanction of

5 4 CONSTITUTION a majority of all the members thereof. AMENDMENTS Amendments to this Constitution and By-Laws may be at any regular convention of the association, upon a majority vote of the members at such convention or meeting.

6 BYLAWS I. It shall be the duty of the President to preside at all meetings; to have general supervision of t h e work of the association, and direct the work of its officers, and he shall be subject to the orders of the Executive Committee. He shall sign or approve all vouchers for the expenditure of money for the association, and shall perform all duties that devolve upon such office. The Vice President shall perform all the duties of the President in his absence or inability to act. It shall be the duty of the Secretary to conduct the correspondence of the association; to keep all the records and general accounts; make out and turn over to the Treasurer a list of all assessments ordered by

7 6 BY-LAWS the association, showing each member's portion; see that all members make proper reports of movements of sheep between counties and that the taxes are apportioned between the respective counties according to law; sign all vouchers upon the treasurer for the expenditure of money, and to do all things necessary in the conduct of the business of the association, or which may be delegated to him by the Executive Committee. He shall receive such compenastion as the Executive Committee may determine. IV. The Treasurer shall collect from the members of the association the assessments made by the association, and keep in a book for that purpose an accurate account of the same, and shall pay out moneys only upon vouchers signed by the acting President and the Secretary, which vouchers shall show for what purpose said moneys are paid. He shall annually report to the Executive Committee in writing, giving an account of the transactions, the amounts received and disbursed, from whom and on what account re-

8 BY-LAWS 7 ceived, and for what purpose paid out. His books shall be open for inspection by any member of the association at any and all times. V. The Executive Committee shall have general charge of the work of the association and shall act as an Advisory Board to the President and Secretary, and fix the amount of all salaries and appropriaions. It shall act for the association in all matters outside of the authority of the officers of the association, and shall report its acts to the association. Meetings of the Executive Committee may be called by the acting President or chairman, or by any three members of such committee, by written notice to the members thereof, by mail or otherwise, giving reasonable time for the attendance of such members. Meetings of the association may be called by written or printed notices or bulletins, signed by the acting President or the chairman of the Executive Committee, or any five members of the association, mailed to the last known address

9 8 BY-LAWS of each member not less than ten days prior to the date of such meeting. VI. The Executive Committee shall have the power to appoint such standing or special committees as may be needed for the work of the association. VII. All dues and assessments are payable on the order of the Executive Committee, and any member more than six months in arrears shall not be entitled to the benefits or privileges of this association until all such dues and assessments are paid. VIII. Roberts' Rules of Order shall govern all controversies or parliamentary proceedings of the association, and the order of business at annual conventions and other meetings shall be arranged by the Executive Committee, or the President and Secretary.
