2 2 OFFICE OF FAIR TRADING ASSOCIATIONS INCORPORATION ACT, 1991 ST VINCENT DE PAUL SOCIETY NATIONAL COUNCIL OF AUSTRALIA INCORPORATED PART 1. PRELIMINARY. Mission Statement The St Vincent de Paul Society National Council in Australia Incorporated is to do spiritual and temporal good by undertaking activities that alleviate or relieve poverty, sickness, suffering, distress, misfortune, destitution, homelessness or helplessness by fulfilling its mission as a lay Catholic organisation that aspires to live the gospel message by serving Christ in the poor with love, respect, justice, hope and joy, and by working to shape a more just and compassionate society.. Objects of the Association 1. The objects of the Association are to:- (d) (e) (f) (g) (h) (i) (j) (k) ensure that the basic principles and the Rule of the Society are respected animate and coordinate the activities of the Society; keep Councils and Conferences informed of the activities of the Society both nationally and internationally by means of meetings, assemblies, circulars, publications and other means; represent the Society with religious and civil authorities on a national basis and particularly in the area of advocacy; draw up and amend in the spirit of consultation, rules for the functioning of the Society in Australia; inform members of the International Council General of these activities through annual reports; determine the boundaries of all Councils; uphold the spirit of the Rule throughout all Councils and Conferences by means of access, where necessary, to all funds and other information; make final and binding decisions upon all other Councils and Conferences in Australia; settle authoratively any question as to the meaning or effect of the Rule which may be submitted for its consideration by any Council or Conference in Australia; and in the first instance to take over the operations, assets and liabilities of St Vincent de Paul Society National Council of Australia Incorporated registered under Associations Incorporation Act 1987 WA registered no. A X" Interpretation 2. (1) In these rules, except in so far as the context or subject-matter otherwise indicates or requires - "the Act" means the Associations Incorporation Act, 1991; Association means St Vincent de Paul Society National Council of Australia Incorporated; "the Board means the Board of Management for the time being of the Association;

3 3 the chairperson means the chairperson for the time being of the Board; Conference means a group of members of the Society which: meets regularly and frequently; is linked with other conferences of the Society by local, regional, State, national and international councils; as a visible bond of its unity, is aggregated with other conferences of the Society and the institution of councils pronounced by the international Council General; operates according to The Rule; Council means an aggregation of Conferences at a particular level or of a particular type providing a forum for them to report their activities; the Directors means the directors of the Association for the time being; International Council General means the Council of the International Confederation of the St Vincent de Paul Society; members means the members of the Association for the time being; Mission Statement means the mission statement set forth at the commencement of these rules. the National Council means the National Council of the Society constituted under Article 15 Part lll of the Rule. the National Council President means the person from time to time occupying the position of the national council president appointed pursuant to Article 18 Part lll of The Rule; the President General means the person elected to that position under Article 3.3 Part ll of the Rule; the Rule means The Rule of the St Vincent de Paul Society in Australia attached at Appendix 3 to these rules and as amended from time to time; "the secretary" means the secretary for the time being of the Association; the Society means St Vincent de Paul Society in Australia; "Special General Meeting" means a general meeting of the Association other than an Annual General Meeting; "the regulation" means the Associations Incorporation Regulation, (2) In these rules - a reference to a function includes a reference to a power, authority and duty; and a reference to the exercise of a function includes, where the function is a duty, a reference to the performance of the duty. Words importing the singular or plural number shall be deemed to include the plural or singular number respectively and words importing the masculine or neuter gender only shall be deemed to include the feminine and neuter or the feminine and masculine respectively as the case may require.

4 4 (3) The provisions of the Legislation Act, 2001 apply to and in respect of these rules in the same manner as those provisions would so apply if these rules were an instrument made under the Act. PART II MEMBERSHIP Membership qualifications 3. A person is qualified to be a member of the Association if, but only if - at the date of incorporation, the person is a member of St Vincent de Paul Society National Council of Australia Incorporated registered no. A X under Associations Incorporation Act 1987 (WA); and from the date of incorporation onwards, the person is a natural person who occupies one of the following offices within the Society: (i) (ii) (iii) The person who holds the office of President or Chairperson of management committee for the following legal entities: Aggregated Council State Council of New South Wales State Council of Victoria State Council of Queensland State Council of Western Australia State Council of Tasmania State Council of South Australia Territory Council of Northern Territory Territory Council of Canberra Goulburn Legal Name The Trustees of the Society of St. Vincent de Paul (NSW) St Vincent de Paul Society Victoria Incorporated St Vincent de Paul Society Queensland St Vincent de Paul Society (WA) Inc St. Vincent de Paul Society (Tasmania) Inc St Vincent de Paul Society (SA) Incorporated St Vincent de Paul Society (NT) Inc St Vincent de Paul Society (ACT) Inc The person elected pursuant to Article 18 of Part III of The Rule to the position of National Council President; or such other person who is a natural person appointed pursuant Article 13, 15 and 22 of Part III of The Rule by the National Council President; and, in either case, such person applies to be a member of the Association. Nomination for membership 4. (1) An application of a person for membership of the Association shall be made by the applicant in writing in the form set out in Appendix 1 to these rules; and shall be lodged with the secretary of the Association. if the person is qualified pursuant to rule 3(iii), must be counter-signed before lodgement by the National Council President.

5 5 (2) On receipt of the duly completed form of application for membership the applicant s name shall be included by the secretary amongst those of the existing members. 5. There shall be no entrance fee or annual subscription or membership fees. Cessation of membership 6. A person ceases to be a member of the Association if the person - (d) (e) (f) dies; resigns that membership; is expelled from the association; or With respect to a rule 3 (i) member, ceases to act as a president of a State or Territory Council operating in its respective State or Territory of Australia; or With respect to a rule 3 (ii) member, until the expiry of the term of the National Council President; or With respect to a rule 3 (iii) member, until such time as the appointing National President resigns, term expires or terminates the appointment of the rule 3 (iii) member according to Rule 16. Membership entitlements not transferable 7. A right, privilege or obligation which a person has by reason of being a member of the Association - is not capable of being transmitted to another person; and terminates upon cessation of the person's membership. Resignation of membership 8. (1) A member of the Association is not entitled to resign that membership except in accordance with this rule. (2) A member of the Association may resign from membership of the Association by first giving notice (being not less than one (1) month or not less than such other period as the Board may determine) in writing to the secretary of the member's intention to resign and, upon the expiration of the period of notice, the member ceases to be a member. (3) Where a member of the Association ceases to be a member pursuant to sub rule (2), and in every other case where a member ceases to hold membership, the secretary shall make an appropriate entry in the register of members recording the date on which the member ceased to be a member. Register of members 9. (1) The secretary of the Association shall establish and maintain a register of members of the Association specifying the name and address of each person who is a member of the Association together with the date on which the person became a member.

6 6 (2) The register of members shall be kept at the principal place of administration of the Association and shall be open for inspection, free of charge, by any member of the association at any reasonable hour. Fees, subscriptions, etc 10. A member of the Association shall not upon admission to membership be required to pay any fees. Members liabilities 11. The liability of a member of the Association to contribute towards the payment of the debts and liabilities of the Association or the costs, charges and expenses of the winding up of the Association is limited to the amount, if any, unpaid by the member in respect of membership of the Association. Disciplining of members 12. The National President may terminate the membership of any member of the Association at any time by written notice to the particular member. In such circumstances and regardless of the direct communications to those involved, The President General shall be notified of such decision, and the justified reasons for same, within 15 working days. Right of appeal of disciplined member. 13. (1) A member whose membership is terminated under rule 12, may appeal to the President General against the decision of the National President and give notice to that effect to the Secretary within 14 days after receiving notice of the termination from the National President. (2) When notice is given under rule 13(1): the President General may, after having afforded the member who gave that notice a reasonable opportunity to be heard by, or to make representations in writing to the President General, confirm or set aside the decision of the National President to terminate the membership; and the member who gave that notice does not cease to be a member unless and until the decision of the National President terminating him or her is confirmed under this rule 13(2) PART III THE BOARD Powers etc. of the Board 14. The Board shall be called the Board of Management of the Association and, subject to the Act, the Regulations and these rules and to any resolution passed by the Association in General Meeting - shall control and manage the affairs of the Association; may exercise all such functions as may be exercised by the Association other than those functions that are required by these rules to be exercised by a General Meeting of members of the Association; and

7 7 has power to perform all such acts and do all such things as appear to the Board to be necessary or desirable for the proper management of the affairs of the Association. Constitution and membership of the Board 15. (1) The Board shall comprise all persons who are members of the Association. (2) Board members shall unless their membership of the Board is sooner ceased in accordance with the Act, the Regulations or these rules hold office: with respect to Board members who are rule 3 (i) members, for the duration of those presidencies; and with respect to Board members who are rule 3 (iii) members, during the tenure of their nomination by the National Council President; with respect to the National Council President, during the period of his or her tenure under the Rule. 16. (1) The National President may terminate any Board appointment of a rule 3 (iii) member at any time by written notice to the particular Board member. (2) Board members who are rule 3 (i) members must always comprise the majority of the Board Office Bearers 17. (1) The office bearers of the Association shall be at least: (d) (e) (f) the National Council President from time to time who shall be chairperson of the Board; a vice president; the secretary the treasurer; a youth representative; and a spiritual advisor. (2) The office bearers of the Association other than the National Council President, shall be nominated by the National Council President and shall hold office until the expiry of the appointment of the National Council President, or such earlier date at the discretion of the National Council President. Vice President 17A. (1) It is the duty of a vice president of the Association to ensure that they accept any delegated function from the National Council President Secretary (2) The vice president shall be a member of the Board.

8 8 18. (1) The secretary of the Association shall, as soon as practicable after being appointed as secretary, lodge notice with the Association of his or her address. (2) It is the duty of the secretary to keep minutes of - all appointments of office-bearers and members of the Board; the names of members of the Board present at a Board meeting or a General Meeting; and all proceedings at Board meetings and General Meetings. Treasurer (3) Minutes of proceedings at a meeting shall be signed by the person presiding at the meeting or at the next succeeding meeting. (4) Copies of all minutes shall as soon as possible after the holding of a meeting be forwarded to all members of the Board (5) The secretary shall be a member of the Board. 19. (1) It is the duty of the treasurer of the Association to ensure that - all money due to the Association is collected and received and that all payments authorised by the Association are made; and correct books and accounts are kept showing the financial affairs of the Association including full details of all receipts and expenditure connected with the activities of the Association. (2) The treasurer shall be a member of the Board. Youth Representative 19A. (1) It is the duty of a youth representative of the Association to ensure that they bring the opinion of young people to the Board in all matters discussed by the Board. (2) The youth representative shall be a member of the Board. Spiritual Advisor 19B. (1) It is the duty of a Spiritual Advisor of the Association to ensure that they provide the Board a spiritual reading and reflection on Vincentian spirituality; and in accordance with the Society s tradition ensure that the Board meeting shall begin and end with a prayer. (2) The spiritual advisor is not a member of the Board. The spiritual advisor does not vote and unless expressly stated in these Rules, cannot exercise any function of the Association.

9 9 Casual vacancies 20. For the purposes of these rules, a casual vacancy in the office of a member of the board occurs if the member - (d) (e) (f) (g) dies; ceases to be a member of the Association; becomes an insolvent under administration within the meaning of the Corporations Law; with respect to a rule 3 (i) member, resigns his or her office as a president of a State or Territory Council operating in a state or territory of Australia; resigns office by notice in writing given to the secretary by the member or, with respect to a rule 3 (iii) member, by the National Council President, who is irrevocably authorised to submit any such resignation on behalf of the member of the Board; becomes of unsound mind or a person whose person or estate is liable to be dealt with in any way under the law relating to mental health; or is absent without the consent of the Board from all meetings of the Board held during a period of 6 months. Meetings and Quorum 21. (1) The Board shall meet as often as required to conduct the business of the Association. (2) The Board may meet by any means of communication including teleconference acceptable to the chairperson. (3) Oral or written notice of a meeting of the Board shall be given by the secretary to each member of the Board at least 48 hours (or such other period as may be unanimously agreed upon by the members of the Board) before the time appointed for the holding of the meeting. (4) Notice of a meeting given under sub rule (3) shall specify the general nature of the business to be transacted at the meeting and no business other than that business shall be transacted at the meeting, except business which the Board members present at the meeting unanimously agree to treat as urgent business. (5) Eight of the then existing Board members shall constitute a quorum for a meeting of the Board. (6) No business shall be transacted by the Board unless a quorum is present and if within half an hour of the time appointed for the meeting a quorum is not present the meeting stands adjourned to a time no earlier than the same place and at the same hour of the same day in the following week. Notice of the adjourned meeting shall be given again in accordance with sub rule 21 (3). (7) If at the adjourned meeting a quorum is not present within half an hour of the time appointed for the meeting, the meeting shall be dissolved. (8) At a meeting of the Board - the Chairperson shall preside; or

10 10 if the Chairperson is absent or unwilling to act such one of the remaining members of the Board as may be chosen by the members present at the meeting shall preside. (9) Where a quorum for any reason is unable to be obtained the National Council President may appoint persons as members and as members of the Board for the purpose and to the extent necessary to overcome the absence of a quorum for the transaction of urgent business and for the purpose of convening any necessary general meeting to fill vacant positions by election and any persons so appointed shall cease to hold office upon the election of their successor but shall themselves be eligible for election at any such general meeting if willing to stand. Delegation by Board to sub-committee 22. (1) The Board may, by instrument in writing, delegate to one or more sub-committees (consisting of such member or members of the Association as the Board thinks fit) the exercise of such of the functions of the Board as are specified in the instrument, other than - this power of delegation; and a function which is a duty imposed on the Board by the Act or by any other law. (2) A function the exercise of which has been delegated to a sub-committee under this rule may, while the delegation remains unrevoked, be exercised from time to time by the sub-committee in accordance with the terms of the delegation. (3) A delegation under this rule may be made subject to such conditions or limitations as to the exercise of any function the subject thereof, or as to time or circumstances, as may be specified in the instrument of delegation. (4) Notwithstanding any delegation under this rule, the Board may continue to exercise any function delegated. (5) Any act or thing done or suffered by a sub-committee acting in the exercise of a delegation under this rule has the same force and effect as it would have if it had been done or suffered by the Board. (6) The Board may, by instrument in writing, revoke wholly or in part any delegation under this rule. (7) A sub-committee may meet and adjourn as it thinks proper. Voting and decisions 23. (1) Questions arising at a meeting of the Board or of any sub-committee appointed by the Board shall be determined by a majority of the votes of members of the Board or sub-committee present at the meeting. (2) Each member present at a meeting of the Board or of any sub-committee appointed by the Board (including the person presiding at the meeting) is entitled to one vote but, in-the event of an equality of votes on any question, the person presiding may exercise a second or casting vote. (3) Any act or thing done or suffered, or purporting to have been done or suffered, by the Board or by a sub-committee appointed by the Board, is valid and effectual notwithstanding any defect that may afterwards be discovered in the appointment or qualification of any member of the Board or sub-committee.

11 11 PART IV GENERAL MEETINGS Annual General Meetings - holding of 24. (1) With the exception of the first Annual General Meeting of the Association, the Association shall, at least once in each calendar year and within the period of 5 months after the expiration of each financial year of the Association, convene an Annual General Meeting of its members. (2) The Association shall hold its first Annual General Meeting within the period of 18 months after its incorporation under the Act; Annual General meetings - calling of and business at 25. (1) The Annual General Meeting of the Association shall, subject to the Act be convened on such date and at such place and time as the Board thinks fit. (2) In addition to any other business which may be transacted at an Annual General Meeting, the business of an Annual General Meeting shall be to confirm the minutes of the last preceding Annual General Meeting and of any Special General Meeting held since that meeting; to receive from the Board reports upon the activities of the Association during the last preceding financial year; to receive and consider the statement which is required to be submitted to members pursuant to section 26(6) of the Act. (3) An Annual General Meeting shall be specified as such in the notice convening it. Special general meetings -calling of 26. (1) The Board may, whenever it thinks fit, convene a Special General Meeting of the Association. (2) The Board shall, on the requisition in writing of not less than 25 percent of the total number of members, convene a Special General Meeting of the Association. (3) A requisition of members for a Special General Meeting - (d) shall state the purpose or purposes of the meeting; shall be signed by the members making the requisitions; shall be lodged with the secretary; and may consist of several documents in a similar form, each signed by one or more of the members making the requisitions. (4) If the Board fails to convene a Special General Meeting to be held within one (1) month after the date on which a requisition of members for the meeting is lodged with the secretary, any

12 12 one or more of the members who made the requisitions may convene a Special General Meeting to be held not later than three 3 months after that date. (5) A Special General Meeting convened by a member or members as referred to in sub rule (4) shall be convened as nearly as is practicable in the same manner as General Meetings are convened by the Board and any member who thereby incurs expense is entitled to be reimbursed by the Association for any expense so incurred. Notice 27. (1) Except where the nature of the business proposed to be dealt with at a General Meeting requires a special resolution of the Association, the secretary shall, at least 14 days before the date fixed for the holding of the General Meeting, cause to be sent by pre-paid post to each member at the member's address appearing in the register of members, a notice specifying the place, date and time of the meeting and the nature of the business proposed to be transacted at the meeting. Procedure (2) Where the nature of the business proposed to be dealt with at a General Meeting requires a special resolution of the Association, the secretary shall, at least 21 days before the date fixed for the holding of the General Meeting, cause notice to be sent to each member in the manner provided in sub rule (1) specifying, in addition to the matter required under sub rule (1), the intention to propose the resolution as a special resolution. (3) No business other than that specified in the notice convening a General Meeting shall be transacted at the meeting except, in the case of an Annual General Meeting, business which may be transacted pursuant to rule 25. (4) A member desiring to bring any business before a General Meeting may give notice in writing of that business to the secretary who shall include that business in the next notice calling a General Meeting given after receipt of the notice from the member. 28. (1) No item of business shall be transacted at a General Meeting unless a quorum of members entitled under these rules to vote is present during the time the meeting is considering that item. (2) Five members present in person (being members entitled under these rules to vote at a General Meeting) constitute a quorum for the transaction of the business of a General Meeting. (3) If within, half an hour after the appointed time for the commencement of a General Meeting a quorum is not present, the meeting if convened upon the requisition of members shall be dissolved and in any other case shall stand adjourned to the same day in the following week at the time and (unless another place is specified at the time of adjournment by the person presiding at the meeting or communicated by written notice to members given before the day to which the meeting is adjourned) at the same place. (4) If at the adjourned meeting a quorum is not present within half an hour after the time appointed for the commencement of the meeting, the members present (being not less than 3) shall constitute a quorum. Presiding member 29. (1) The chairperson of the Board shall preside as chairperson at each General Meeting of the Association.

13 13 Adjournment (2) If the Chairperson is absent from a General Meeting or unable or unwilling to act, the Chairperson shall appoint one of the vice presidents to preside at the meeting. (3) If the appointed vice president is absent from a General Meeting or unable or unwilling to act, the members present shall elect one of their number to preside at the meeting. 30. (1) The person presiding at a General Meeting at which a quorum is present may, with the consent of the majority of members present at the meeting, adjourn the meeting from time to time and place to place, but no business shall be transacted at an adjourned meeting other than the business left unfinished at the meeting at which the adjournment took place. (2) Where a General Meeting is adjourned for 14 days or more, the secretary shall give written or oral notice of the adjourned meeting to each member of the Association stating the place, date and time of the meeting and the nature of the business to be transacted at the meeting. (3) Except as provided in sub rules (1) and (2), notice of an adjournment of a General Meeting or of the business to be transacted at an adjourned meeting is not required to be given. Making of decisions 31. (1) A question arising at a General Meeting of the Association shall be determined on a show of hands and, unless before or on the declaration of the show of hands a poll is demanded, a declaration by the chairperson that a resolution has, on a show of hands, been carried or carried unanimously or carried by a particular majority or lost, or an entry to that effect in the minute book of the Association, is evidence of the fact without proof of the number or proportion of the votes recorded in favour of or against that resolution. (2) At a General Meeting of the Association, a poll may be demanded by the chairperson or by not less than 3 members present in person or by proxy at the meeting. (3) Where a poll is demanded at a General Meeting, the poll shall be taken - immediately in the case of a poll which relates to the election of the chairperson of the meeting or to the question of an adjournment; or in any other case, in such manner and at such time before the close of the meeting as the chairperson directs, and the resolution of the poll on the matter shall be deemed to be the resolution of the meeting on that matter. Special resolution. 32. A resolution of the Association is a special resolution if it is passed by a majority which comprises not less than three-quarters of such members of the Association as, being entitled under these rules so to do, vote in person or by proxy at a General Meeting of which not less than 21 days written notice specifying the intention to propose the resolution as a special resolution was given in accordance with these rules.. Voting 33. (1) Upon any question arising at a General Meeting of the Association only members shall be entitled to vote - a member has one vote only.

14 14 (2) All votes shall be given personally or by proxy but no member may hold more than 5 proxies. (3) In the case of an equality of votes on a question at a General Meeting, the chairperson of the meeting is entitled to exercise a second or casting vote. (4) Appointment of proxies 34. (1) Each member shall be entitled to appoint another member as proxy by notice given to the secretary no later than 24 hours before the time of the meeting in respect of which the proxy is appointed. (2) The notice appointing the proxy shall be in the form set out in Appendix 2 to these rules. Insurance. PART V. MISCELLANEOUS. 35. The Association shall effect such insurance as is appropriate for its purposes. Funds - source. 36. (1) The funds of the Association shall be derived from donations, grants, fees for any services and, subject to any resolution passed by the Association in General Meeting, such other sources as the Board determines. (2) All money received by the Association shall be deposited as soon as practicable and without deduction to the credit of the Association's bank account. (3) The Association shall, as soon as practicable after receiving any money, issue an appropriate receipt. Funds - management 37. (1) Subject to any resolution passed by the Association in General Meeting, the funds of the Association shall be used in pursuance of the objects of the Association in such manner as the Board determines. (2) All cheques, draft, bills of exchange, promissory notes and other negotiable instruments shall be signed by any 2 members of the Board or employees of the Association, being members or employees authorised to do so by the Board. (3) The Board shall cause proper accounting and other records to be kept as required by the Law and shall distribute copies of every Profit and Loss Account and Balance Sheet (including every document required by law to be attached thereto) accompanied by a copy of the Auditor s report thereon as required by the Law and shall cause to be made out and laid before each annual general meeting a Balance Sheet and Profit and Loss Account made up to date not more than five months before the date of the meeting.

15 15 (4) No member shall be entitled to participate in the profit of the Association or be paid any salary or receive other benefits whatsoever from the Association except for reimbursement of expenses which have been incurred with the prior approval of the Board. Alteration of objects and rules 38. The statement of objects and these rules may be altered, rescinded or added to only by a special resolution of the Association. Common seal 39. (1) The common seal of the Association shall be kept in the custody of the public officer. (2) The common seal shall not be affixed to any instrument except by the authority of the Board and the affixing of the common seal shall be attested by the signatures either of two (2) members of the Board or of one (1) member of the Board and of the public officer or secretary. Custody of books, etc 40. Except as otherwise provided by these rules, the public officer shall keep in his or her custody or under his or her control all records, books and other documents relating the Association. Inspection of book, etc 41. The records, books and other documents of the Association shall be open to inspection, free of charge, by a member of the Association at any reasonable hour. Service-of notices 42. (1) For the purpose of these rules, a notice may be served by or on behalf of the Association upon any member either personally or by sending it by post to the member at the member's address shown in the register of members. Surplus property (2) Where a document is sent to a person by properly addressing, prepaying and posting to the person a letter containing the document, the document shall, unless the contrary is proved, be deemed for the purposes of these rules to have been served on the person at the time at which the letter would have been delivered in the ordinary course of post. 43. In the event of the organisation being dissolved, the amount which remains after such dissolution and the satisfaction of all debts and liabilities shall be transferred to any organisation which has similar objects and which is entitled to income tax exempt status pursuant to section 50 of the Income Tax Assessment Act 1997 and which is approved by the National President and /or a majority of the State and Territory Council presidents/ and or a majority of members, in writing. Inconsistency 44. If there is any inconsistency between these rules and The Rule, the provisions of The Rule shall prevail.

16 16 APPENDIX I (Rule 5(1).)
