3 PREAMBLE This Constitution reflects the recent amalgamation of the ACT Bowls Association and the ACT Women s Bowls Association. The prime intention though is that the Club s affairs and activities be managed and controlled by all the members (both male and female), unless there is a clear requirement to the contrary.

4 BELCONNEN BOWLING CLUB INCORPORATED 1. RULES OF THE CONSTITUTION These Rules shall be construed with reference to the provisions of the Associations Incorporation Act for the time being in force and expressions used in these Rules shall be taken as having the same meaning as they have when used in that Act. 2. NAME The name of the Club is Belconnen Bowling Club Incorporated. 3. OBJECTS The objects for which the Club is established are: to promote and encourage the game of lawn bowls and such other lawful games as may be determined; to provide and maintain the funds of the Club; and to acquire by lease, purchase, exchange or otherwise such property, buildings and/or real estate as are necessary to provide accommodation and other facilities and services for members and their guests. 4. INTERPRETATION In these Rules, unless the context or subject matter otherwise indicates or requires: ACT means the AUSTRALIAN CAPITAL TERRITORY; "Act" shall mean the ACT ASSOCIATIONS INCORPORATION ACT 1991; ''BowlsACT" shall mean the BOWLS ASSOCIATION OF THE AUSTRALIAN CAPITAL TERRITORY INC; "Club" shall mean the Belconnen Bowling Club Incorporated under this present name or any change thereof that may hereafter be registered under the Associations Incorporation Act for the time being in force; "Committee" shall mean the Committee of Management of the Club; "Fully paid-up Member" shall mean a member who has purchased in perpetuity for an agreed sum membership of the Club as a Playing member but is still liable for the registration fee for membership of Bowls ACT; (g) "Honorary Member" shall mean any member who has been so elected in accordance with Rule 7(g); (h) "Junior Playing Member" shall mean a playing member who has not attained or who will not attain the age of eighteen (18) years by the commencement of the playing season and has been so elected under Rule 7, such members shall be entitled to all the privileges of the Club except as specified in other Rules of this Constitution and except the right to vote on any occasion; Student Playing Member shall be a playing member who; a. has attained the age of eighteen (18) years, or will attain the age of eighteen (18) years by the commencement of the playing season, b. has not attained the age of 25 years at the commencement of the playing season, c. produces a valid student identity card, issued in respect of the playing member by a recognised secondary or tertiary educational institution, and d. has been so elected under Rule 7. Such members shall be entitled to all the privileges of the Club, except as specified in other Rules of the Constitution and except the right to vote on any occasion; (j) (k) (l) "Life Member" shall mean a member of the Club who has been so elected under Rule 7; "Ordinary Playing Member" means a full Club member who pays an annual subscription, or may be an elected Life Member or Fully paid-up Member of the Club; "Playing Season" shall commence on 1 July each year and end on 30 June the following year; (m) "Public Officer" shall be the Secretary of the Club appointed to meet the requirements of the Act; (n) (o) "Secretary" includes the Honorary Secretary and any Officer or other person performing the duties of Secretary; and "Social Member" means a member who has been so elected under Rule 7, such members shall be entitled to all privileges of the Club except as may be specified in other Rules of this Constitution and except the right to vote on any

5 occasion; 5. CLUB LICENCE In accordance with the requirements of the ACT Liquor Act for the time being in force, the holder of a Club Licence thereunder is a Body Corporate; the income and property of the Club, however derived, shall be applied solely toward the promotion of the objects of the Club and no portion thereof shall be paid or transferred directly or indirectly by dividend, bonus or otherwise to any member of the Club; the Club shall not make to any officer, member or employee of the Club any payment by way of commission, profit or allowance from or upon receipts from the supply of liquor on the premises of the Club; the Club shall not pay to any member of the Committee any remuneration or other benefit in money or money's worth other than the repayment of out of pocket expenses; the Club shall not appoint a person who is a member of the Committee to any office in the gift of the Association, to the holder of which there is payable any remuneration by way of salary, fees or allowances; nothing in the foregoing provisions of this rule prevents the payment in good faith to a servant or member of the Club of: (iii) remuneration in return for services actually rendered to the Club by the servant or member or for goods supplied to the Club by the servant or member in the ordinary course of business; or interest at current bank overdraft rate on money lent; or a reasonable and proper sum by way of rent for premises let to the Club by the servant or member; and (g) a person who is not a member of the Club shall not be supplied with liquor on the premises of the Club unless the person is on the premises of the Club at the invitation of a member of the Club, other than a junior member, who is present on the premises of the Club. 6. CLUB MEMBERSHIP The Club Membership shall consist of present and hereafter elected playing members, social members, life members and honorary members; the number of members allowable in each category may be determined from time to time by the Committee ; all present members of the Club shall be deemed to have agreed to be bound by these Rules and by the By-Laws of the Club and any members hereafter elected shall be deemed to have agreed to be bound by them by signing his or her application for membership; a right, privilege or obligation which a person has by reason of being a member of the Club is not capable of being transferred or transmitted to another person, and terminates upon cessation of the person's membership; and the liability of a member to contribute towards the payment of the debts and liabilities of the Club or the costs, charges and expenses of the winding up of the Club is limited to the amount, if any, unpaid by the member in respect of the membership of the Club as required by rule ELECTION OF MEMBERS Playing, social, life and honorary members shall be elected in the following manner: The name, occupation and address of a proposed playing, student, social or junior member shall be set out on the 'application for membership' form prescribed by the Club and signed by his or her proposer and seconder and by the proposed member. The completed form, together with the nomination fee if applicable, shall be handed or forwarded to the Secretary and shall be posted and remain on the Notice Board at least seven days before election. Prior to signing the application form the proposer and seconder shall satisfy themselves that the proposed member is of good character and a fit and proper person to be admitted as a member; the proposer and seconder shall each have been a playing member of the Club for not less than 12 months before they are eligible to propose or second a person as a member; consistent with BowlsACT rules, any person who is, or has been, a member of another Bowling Club shall not be admitted to membership unless his or her nomination paper is accompanied by a clearance from the Club or Clubs of which the person is, or was last, a member; elections of members shall take place at meetings of the Committee and if demanded by one-third of the members present thereat the nomination shall be submitted to a ballot to be then taken. Such nomination shall not be accepted if the

6 proportion of votes for acceptance is less than two-thirds of the number of votes cast; where the Committee approves the application for membership the Secretary shall as soon as practicable after the approval notify the nominee of that approval and request the nominee to pay within 28 days after receipt of the notification the sum payable under these rules by a member of the first year's annual subscription; a life member shall be elected as follows: a member who has been a member of the Club for a period of not less than five years in the aggregate or who has, in the opinion of the members, rendered outstanding service to the Club may be elected a Life Member at any General Meeting of the Club and the member so elected shall be entitled to all the privileges of membership without paying the annual subscription and without being responsible to contribute towards the liabilities of the Club; provided that, fourteen clear days, prior to a General meeting, notice of any nomination shall be given in writing to the Secretary by the proposer and seconder. A two-thirds majority of those present and voting shall be necessary to declare an election carried; (g) (h) the Committee may elect any person as an honorary member upon the proposal of a member of the Committee. The Committee should specify the duration of the honorary membership at the time the honorary member is elected, provided such duration does not extend beyond the commencement of the next financial year. At the commencement of a new financial year the Committee may elect to extend the honorary membership of a person for a further period. Honorary members shall enjoy all the privileges and obligations of a playing members; and the Club is to maintain a record of the nomination and election of each member for a period of not less than 2 years. 8. VISITORS AND HONORARY MEMBERS Any member, including social members, may introduce a visitor to the Club; players actually taking part in any Interstate or Inter-Club match or visiting bowlers attending any Club function or taking part in games authorised by the President or Committee shall be ipso facto Honorary Members for the day of such match or functions only; and visiting bowlers from other States of the Commonwealth and from other countries shall be considered Honorary Members for the day of their visit and at the discretion of the Committee for a period not exceeding one month thereafter. 9. REGISTERS OF MEMBERS AND VISITORS A Membership Register in which shall be recorded the full name and address, date on which the member became a member of the Club, and the date, if any, on which the member ceased to be a member of the Club, also the date of the latest payment by each member of his subscription shall be kept by the Secretary at the Clubhouse; any notice required by these Rules to be given to a member shall be forwarded to his or her address as so recorded. A member changing his or her address shall notify such change in writing to the Secretary who shall thereupon alter the address of such member in the record accordingly; and a Visitors Register Book shall be kept at the Clubhouse in which shall be entered the full names and full addresses of visitors to the Club by the member introducing the visitor and such member shall sign his or her name opposite the entry. 10. PATRON The Club may elect a Patron at each Annual General Meeting for the ensuing year. The Patron shall enjoy all the privileges and obligations of a playing member. 11. FINANCIAL YEAR The financial year of the Club shall end on the last day of June and commence on the first day of July each year. 12. SUBSCRIPTION AND AFFILIATION FEES Club annual subscriptions and other Club dues payable by the following types of membership (Playing and Social.) for the next financial year shall be determined by the Committee at its April meeting and details placed on the Notice Board by 30 April each year, and recorded in the By-Laws; * Note - the annual subscription for all Playing members shall include the relevant registration fee for Bowls ACT the Committee may, where financial hardship can be demonstrated and subject to a vote in favour by a proportion of not less than two-thirds of the number of votes cast, allow a concessional rate of annual subscription fee to a member or class of members; ordinary playing members joining after the commencement of any current financial year will be required to pay such proportion of the annual subscription, together with the entrance fees and such other fees as may be payable to the Club under its Rules. These payments shall entitle them to membership rights according to their classification until the end of the

7 Club's current financial year; and any member failing to pay the annual subscription and other dues within one month of the first day of July, or any new member failing to pay subscription and dues within one month of election, shall thereafter cease to be a member of the Club. The Committee may for good reasons extend the period of one month for such payment. 13. COMMITTEE OF MANAGEMENT The Committee shall consist of: a President, Men s Deputy President, Women s Deputy President, Secretary, Treasurer, Club Director, Greens Director, Men s Bowls Secretary, Women s Bowls Secretary, Assistant Secretary and Assistant Treasurer; and the term of office for an elected Committee member shall be until the next Annual General Meeting. 14. ELECTION OF OFFICERS The Club shall hold an Annual General Meeting, as set out in Clause 31, of the members of the Club for the purpose of electing a Committee to manage the affairs of the Club; nominations for the offices of President, Men s Deputy-President, Women s Deputy President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Club Director, Greens Director, Men s Bowls Secretary, Women s Bowls Secretary and three (3) Men s Selectors and three (3) Women s Selectors of the Committee shall be made by written nominations placed in a box marked for nominations not less than one week before the date of the Annual General Meeting. Each nomination paper must be signed by a proposer and a seconder who are current playing members of the Club and have been playing for not less than 12 months. The nomination paper must be endorsed by the candidate signifying his or her consent to act. After nominations have been called and up to and including the closing date for written nominations the Secretary shall regularly check the nominations box and place the names of the nominated players and in each case the proposer and seconder, on a list on the Notice Board; only male playing members shall be nominated for the offices of Men s Deputy President, Men s Bowls Secretary and three (3) Men s Selectors, and only female playing members shall be nominated for the offices of Women s Deputy President, Women s Bowls Secretary and three (3) Women s Selectors; in the event of an excess number of nominations for any office, then a ballot shall be held to elect the holder of such office by playing members who have been members for not less than 12 months subject to the following: (iii) The President, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Club Director and Greens Director shall be elected by all members present at the Annual General Meeting, the Men s Deputy President, Men s Bowls Secretary and three Men s selectors shall be elected by all male members present at the Annual General Meeting, and the Women s Deputy President, Women s Bowls Secretary and three (3) Women s Selectors shall be elected by all female members present at the Annual General Meeting. (g) (h) no nominations shall be informal by reason of any neglect or non-compliance on the part of the Secretary with any duty cast upon him/her by this Rule; only playing members who have been a member of the club for not less than 12 months shall be eligible for nomination and election. Should there be an insufficient number of nominations, the shortage shall be filled with verbal nominations taken at the meeting and if more than sufficient nominations are then made an election by ballot shall be made; a candidate may withdraw his or her consent to his or her nomination at any time on or before the day fixed for the close of nominations by lodging with the Secretary a notice of withdrawal bearing his or her own signature, or by asking and securing leave from the Annual General Meeting to withdraw his or her consent to his nomination; a returning Officer and two scrutineers not being candidates for election shall be chosen from the members present at the Annual Meeting; and any member holding office in any other Club affiliated with BowlsACT shall be ineligible to hold any office in this Club. 15. EXECUTIVE The President, Deputy Presidents, Secretary and Treasurer shall constitute the Executive of the Club with power to deal with urgent matters. A report of any action taken by the Executive shall be submitted by the Secretary to the next meeting of the Committee for confirmation or otherwise. 16. POWERS AND FUNCTIONS OF THE COMMITTEE The Committee in addition to the powers and duties elsewhere in these Rules specially conferred upon them shall have control of the finances of the Club and shall have the following powers and duties, namely; to make, alter or repeal such By-laws as they may from time to time consider necessary for the welfare of the Club, which

8 By-laws, alterations and repeals shall have effect until varied or set aside by the Committee or a General Meeting of the Club; (g) (h) (j) (k) (l) to authorise expenditure, borrow, raise and secure payments of any sum of money, receive all monies and subscriptions, take or accept a lease or leases of grounds, impose fines and in all things conduct and superintend the business of the Club; to determine Annual Reimbursement of expenses as deemed appropriate for office holders of the Committee; to engage or discharge servants and caretakers; to appoint from the Committee delegates to BowlsACT. to appoint sub-committees, Bowls Sub-Committees or honorary officials and to define their powers and duties; to establish a Disciplinary Sub-Committee and hear any appeals of the Disciplinary Sub-Committee s decisions; to fill any vacancy in the Committee or in the body of any sub-committee or Bowls Sub-Committee or in the offices of the Club or in the position of Auditor that may occur during the year, consistent with the gender requirements specified in Rule 14 ; to carry out the resolutions of General Meetings of the Club, to deal with any matter for which no provision is made in these Rules or in any By-laws made thereunder and generally to manage, control and conduct the affairs of the Club and to exercise all such administrative powers as they may deem necessary from time to time for properly carrying out the objects of the Club; to take steps to ensure that the audit of the Club accounts is completed at least 28 days before the audited statement of the accounts is required to be presented to the Annual General Meeting of the Club; to cooperate in joint activities of BowlsACT; and to determine the duties of the President, Deputy Presidents, Secretary, Assistant Secretary, Treasurer, Assistant Treasurer, Club Director, Greens Director, Men s Bowls Secretary and Women s Bowls Secretary. Such duties are to be detailed in the Club By-laws. 17. DISCIPLINE Subject to Clause 17, a member shall not be subject to disciplinary action except upon a charge or complaint made in writing to the Secretary. Such charge or complaint shall set out the conduct that is the subject matter of the charge or complaint and bear the signature of the complainant; any member who is charged shall be notified of the nature of the complaint by the Secretary in writing. The member charged shall be given fourteen (14) days to answer the charge by appearing before a Disciplinary Sub-Committee and presenting evidence and questioning witnesses but, a member shall not be entitled to be represented by a Solicitor, Barrister or other agent; the Committee shall establish a Disciplinary Sub-Committee to hear the complaint or charge. The Disciplinary Sub- Committee membership shall consist of a Deputy President (Chair) and three members of the Club not being members of the Committee selected by the Committee. The Disciplinary Sub-Committee shall have the following powers in relation to the discipline within the club: To reprimand, fine, suspend, accept the resignation of or expel any member who shall infringe any Rule or By-law or whose conduct shall, in their opinion, render the member unfit for membership, provided that: (1) No member shall be reprimanded, fined, suspended or expelled except as hereinafter provided without first being summoned before the Disciplinary Sub-Committee and provided also that no member shall be suspended or expelled unless all members of the Disciplinary Sub-Committee are present to hear the charge or complaint and vote for such suspension or expulsion; (2) if the member that has been charged fails to attend at the time and place specified, the charge or complaint will be heard and dealt with, and the Disciplinary Sub-Committee will decide on the evidence before it, notwithstanding the members absence, and any decision of the Disciplinary Sub-Committee on such hearing or adjournment thereof shall be final (subject to Rule 18). to retain or refund at its discretion any moneys or annual subscription of a member if in its opinion it shall be in the interests of the Club proper to do so, whereupon such membership shall cease. if any member does or attempts to do any act which could render the Club or any officer or servant thereof liable to any penalty or affect the holding or renewal of its licence under the Liquor Ordinance such member shall be liable to suspension forthwith by the President or Deputy President or any Committee member in attendance. Notice of such suspension may be given to the offending member by the President or Deputy President or any Committee member in attendance verbally and/or in writing through the Secretary and such offending member shall not be entitled to any of the privileges of membership pending attendance before the Disciplinary Sub-Committee as herein provided.

9 18. APPEALS Appeals against alleged injustices with respect to disciplinary matters must be made to the Secretary in writing within twenty-one (21) days of happening; upon receipt of an appeal, the Secretary shall call a special meeting of the Committee to hear the appeal. The appellant shall be advised by the Secretary, in writing, of the location, date and time the appeal is to be heard by the Committee and shall be provided the opportunity to appear before the Committee and provide evidence to support the appellant s appeal. The appellant shall not be entitled to be represented by a Solicitor, Barrister or other agent; the Chairperson of the Disciplinary Sub-committee will present the findings of the Disciplinary Sub-Committee to the special meeting of the Committee. The Chairperson of the Disciplinary Sub-committee shall not be entitled to vote in respect of any decision of the Committee on the appeal; and the Committee shall have the power to uphold the Disciplinary Sub-Committee decision, modify the decision, or uphold the appeal. The Committee s decision shall be final. 19. INDEMNITY OF OFFICERS Any officer of the Club who by the authority of these Rules or of a General Meeting or of the Committee accepts or incurs any pecuniary liability on behalf of the Club shall be held indemnified by the Club against any personal loss in respect of such liability. 20. MEETINGS OF THE COMMITTEE The Committee shall meet not less than once in each quarter and a special meeting may be called at any time it be deemed necessary by either the President, Secretary or five (5) members of the Committee. At all meetings of the Committee six (6) shall form a quorum and in case of any equality of votes the Chairman shall have a casting vote in addition to his or her deliberate vote as a member of the Committee. At all ordinary or special meetings of the Committee, if a quorum be not present within fifteen (15) minutes of the appointed time, such meeting may be adjourned to a date the members of the Committee present may decide, and three days' notice thereof shall be sent to every member of the Committee by the Secretary. 21. ABSENCE FROM COMMITTEE MEETINGS Should any member of the Committee fail to attend three (3) consecutive ordinary meetings without consent of the Committee the members seat may be declared vacant. 22. COMMITTEE VACANCIES For the purposes of these rules, a vacancy in the office of a member of the Committee occurs if the member: Dies; ceases to be a member of the Club; resigns the office; is removed from office pursuant to rule 23; (g) becomes an insolvent under administration within the meaning of the Corporations Law; suffers from mental or physical incapacity; or is disqualified from office under subsection 63(1) of the Act. 23. REMOVAL OF COMMITTEE MEMBERS The Club in general meeting may by resolution, subject to section 50 of the Act, remove any member of the Committee from the office of member of the Committee before the expiration of the member's term of office. 24. EMERGENCY COMMITTEE Should there be any Club business of any urgent nature requiring immediate attention, the President or in his or her absence, a Deputy President, and any three or more members of the Committee shall constitute an Emergency Committee with power to take action in respect of such business on behalf of the Committee; and such Emergency Committee shall submit a report thereon at the next ordinary or special meeting of the Committee. 25. SUB-COMMITTEES The Committee shall appoint, from its members and/or the playing members of the Club, such sub-committees as are deemed to be necessary. The terms of reference of a sub-committee shall be given verbally and recorded in the minutes;

10 in addition to the requirements of clause 25, the club shall have two permanent sub-committees, one to be known as the Men s Bowls Sub-Committee and the other known as the Women s Bowls Sub-Committee. The arrangements, responsibilities and functions of these two sub-committees are set out in clause 26; a sub-committee shall submit a report on its activities to the Committee at each Committee meeting; and unless otherwise stated and recorded in the minutes the President, shall be an ex-officio member of all sub-committees. 26. BOWLS SUB-COMMITTEES Club bowling activities, competitions and tournaments shall be managed and controlled by two Bowls Sub-Committees. One Bowls Sub-Committee shall manage men s bowls, the other shall manage women s bowls; bowling activities, competitions and tournaments involving the participation by both men and women shall be jointly managed by the two Bowls Sub-Committees; the composition of the Men s Bowls Sub-Committee shall be the Men s Deputy President (Chair), Men s Bowls Secretary (Deputy Chair) and up to 4 co-opted male members of the Club; the composition of the Women s Bowls Sub-Committee shall be the Women s Deputy President (Chair), Women s Bowls Secretary (Deputy Chair) and up to 4 co-opted female members of the Club; the functions of the Men s Bowls Sub-Committee shall be: (iii) (iv) (v) Manage and control the playing of bowls by male members of the Club, collaborate with the Women s Bowls Sub-Committee in management and control of mixed bowling activities within the club, collaborate with the Greens Director in the planning of bowls activities and the preparation of greens for bowling activities, manage and control the club s involvement in bowling activities of BowlsACT, and comply with any resolutions or policies of the Committee, or resolutions adopted by members in a General Meeting of the Club, that may be relevant to it s functions. the functions of the Women s Bowls Sub-Committee shall be: (iii) (iv) (v) Manage and control the playing of bowls by female members of the Club, collaborate with the Men s Bowls Sub-Committee in management and control of mixed bowling activities within the club, collaborate with the Greens Director in the planning of bowls activities and the preparation of greens for bowling activities, manage and control the club s involvement in bowling activities of BowlsACT, and comply with any resolutions or policies of the Committee, or resolutions adopted by members in a General Meeting of the Club, that may be relevant to it s functions. (g) the Bowls Sub-Committees shall meet not less than once in each quarter and a special meeting may be called at any time it be deemed necessary by either the Chair or Deputy Chair of the Bowls Sub-Committee. At all meetings of the Bowls Subcommittee, four (4) shall form a quorum. The Bowls Sub-Committee may regulate its proceedings as it sees fit provided that in case of any equality of votes the Chairperson shall have a casting vote in addition to his or her deliberate vote as a member of the Bowls Sub-Committee. At all ordinary or special meetings of the Bowls Sub-Committee, if a quorum is not present within fifteen (15) minutes of the appointed time, such meeting may be adjourned to a date the members of the Bowls Sub-Committee present may decide, and three days' notice thereof shall be sent to every member of the Bowls Sub- Committee by the Chair or Deputy Chair. 27. AFFILIATION WITH BOWLS ASSOCIATIONS The Club shall maintain affiliation with BowlsACT. 28. REGISTRATION OF MEMBERS Playing members shall be registered with BowlsACT. 29. COMPLIANCE WITH REQUIREMENTS OF BOWLSACT

11 The Club and its members shall comply at all times with the spirit and intention of the requirements that are to be met by clubs affiliated with BowlsACT. 30. DELEGATES TO BOWLSACT The required number of Club s delegates to BowlsACT shall be drawn from the members of the Committee. 31. ANNUAL GENERAL MEETING The Annual General Meeting (A.G.M.) shall be held in the month of September in each year. Notice of the date of such meeting, together with notice of the last day for receiving nominations for officers shall be posted in the Clubhouse at least twenty-one (21) days before the date fixed for the meeting; and not less than ten (10) clear days' notice in writing of the date of any special business to be transacted at the meeting shall be given to each member, together with a printed copy of the Annual Report; and the business of such meeting shall be: (iii) The consideration of the Annual Report which shall be prepared by the Committee and of the financial statement prepared by the Treasurer and audited as provided; the election of Patron, Office bearers and Committee members as provided for in these Rules; and special business may also be dealt with if twenty-one (21) days' notice in writing of the subject shall have been given to the Secretary and posted by him/her on the Notice Board. 32. GENERAL MEETINGS There shall be a General Meeting held immediately following the A.G.M. and a further General Meeting held in March each year and whenever the Committee deems it necessary; a Special General Meeting shall be held within thirty (30) days of receipt by the Secretary of a requisition signed by not less than twenty playing members, the date will be as directed by the President. The requisition shall state in detail the purpose of the meeting. A copy of the requisition and notice of the date of the meeting shall be posted on the club notice board and notice given to members in accordance with the requirements of rule 37; and the agenda at General Meetings shall be: 33. CHAIRPERSON Apologies Minutes of previous Meeting Business arising Executive Report, (for meeting not held in conjunction with A.G.M.) Business of which notice has been given General Business The President shall be the ex-officio Chairperson of all meetings whether of members or of the Committee. In his or her absence, a Deputy President shall be appointed Chairperson, but if a Deputy President is not present the members shall elect a Chairperson from amongst their own number. 34. QUORUM AT GENERAL MEETINGS At all General Meetings, thirty (30) eligible members shall form a quorum; and should a quorum not be present within fifteen (15) minutes of the notified time then such meeting may lapse or the Chairperson shall adjourn such meeting for one week at the same time and place and the proposed business shall then be dealt with by those present. All questions shall be decided by a show of hands or by ballot if demanded by not less than twelve (12) members present and entitled to vote. 35. RULES FOR DISCUSSION Each member who desires to speak at a General Meeting shall rise and seek recognition from the Chairperson and shall remain standing during the currency of his or her address. If the member is not recognised by the Chairperson the member shall forthwith be seated without interruption of any other speaker until the Chairperson recognises the member. No speaker may be interrupted during the course of his or her address unless on a point of order. Any member wishing to reply must wait until the previous speaker has resumed his or her seat. No person shall speak twice on the same subject except in explanation with the permission of the Chairperson or in the case of the mover of a motion exercising his or her right of reply. 36. VOTING AT GENERAL MEETINGS To vote on any matter at a General Meeting, a member must be a financial playing member for the current season (a

12 financial year commences on 1 July each calendar year and finishes on 30 June the next calendar year); the Chairperson in the case of an equality of votes shall have a casting vote in addition to his or her deliberate vote; and voting by proxy at a General Meeting shall not be permitted. 37. NOTICES Any notice required or authorised by these Rules or by any By-laws made thereunder to be served upon or given to a member shall be in writing and shall be sufficiently served or given if: Delivered personally; left at the registered address of the member; sent by post in a pre-paid letter to the member at the member s registered address and such notice shall be deemed to be served or given at the time when the letter would in the ordinary course of post be delivered; or served or given in such a manner as the Committee may direct. 38. NOTICE BOARD A Notice Board shall be kept in a prominent position in the Clubhouse on which shall be exhibited notices of meetings, nominations of new members, and copies of Rules and By-laws, also items of interest to members as the Committee may direct; and each and every member of the Club shall be deemed to have received and not be entitled to receive any further notice of the subject matter of such exhibited notices, except as to notices of meetings of the Club or as otherwise provided for by these Rules. 39. ALTERATION OF RULES These rules shall not be altered except by a special resolution carried by not less than a three-quarters majority of members present and entitled to vote at a meeting specially called for that purpose in accordance with the Rules or at an Annual General Meeting, provided 21 days notice has been given in accordance with these rules; and details of any such alteration shall be lodged with the ACT Registrar-General forthwith by the Secretary. 40. RECREATION OF MEMBERS Members may indulge in any form of sport or recreation on the Club premises as provided for and subject to approval by the Committee and to such rules for the regulation thereof, including payment of charges by the participants therein, as the Committee may declare. 41. FUNDS OF THE CLUB The funds of the Club shall be derived from profits from licensed bar sales and poker machines, membership fees, playing fees, raffles, donations, commissions and revenue from other activities conducted by the Club; all moneys received by the Club shall as soon as reasonably practicable after receipt be deposited to the credit of the account of the Club with its bank and any bonds or securities representing any portion of the Club funds shall be lodged for safe custody with its bank; cheques or negotiable instruments drawn upon a bank account of the Club or any authority to its bank to deliver up any property of the Club lodged for safe custody shall be signed by any two of the following office bearers: President; Treasurer, Assistant Treasurer; or Secretary provided that; in the event of sickness or absence of more than one of such officers, limiting the availability of authorised cheque signatures when required, the Committee shall have power to authorise any two of its members to sign cheques or instruments of authority subject to the registration of their signatures at the bank. 42. AUDITOR The Committee shall appoint a duly qualified accountant to audit the accounts of the Club and report thereon at the next Annual General Meeting and to furnish such reports as to the financial position of the Club in the meantime as the Committee may require.

CLUB PREMISES The Committee shall have the power to fix and from time to time alter the opening and closing hours of the Club premises or any part thereof and between such fixed hours the premises shall be open for the use of members on any day, as the Committee may direct. 44. COMMON SEAL The Common Seal of the Club shall not be affixed to any instrument except after a resolution of the Committee authorising same and in the presence of and attested by at least two members of the Committee and counter-signed by the Secretary or some other officer of the Club to be nominated in the resolution; and the Secretary of the Club shall be responsible for the safe custody of the Common seal. 45. CLUB COLOURS The Club colours, as registered with BowlsACT, are Green and Yellow Gold. 46. DISSOLUTION OF CLUB AND DISPERSAL OF ASSETS The Club shall not be dissolved except at a General Meeting of the Club specially convened for the purpose and by a Special Resolution carried by a majority of three-quarters of the votes recorded in respect of same. If upon the winding up or dissolution of the Club there remains after the satisfaction of all its debts and liabilities any property whatsoever, the same shall not be paid to or distributed among the members of the Club but shall be given or transferred to some other institution or institutions having objects similar or in part similar to the objects of the Club and which shall also prohibit the distribution of its or their property among its or their members, such institution or institutions to be determined by the members of the Club at or before the time of dissolution or in default thereof by the Chief Judge of such court as may have or acquire jurisdiction in the matter O February 1997 August 1998 February 2000 July 2002 October 2003 March 2004 March 2005 Removal of duties of officials to By-laws, modification of Committee structure and reordering of Rules as agreed to at General Meeting in accordance with Rule 34.
