TORONTO, Section 113 Page 24 Delete first sentence and replace with The Members of the Grand Executive Committee shall be the Directors of the Grand Chapter. All Directors must be Members in good standing throughout their tenure and possess a Current Proficiency Certificate valid for the duration of their term of Office. Section 113(a) Page 24 Delete in its entirety and replace with The Grand Executive Committee shall be comprised of fifteen members elected from the floor of Grand Chapter in addition to the following eleven Members, Worthy Grand Matron, Worthy Grand Patron, Associate Grand Matron, Associate Grand Patron, Grand Secretary, Grand Treasurer, Grand Conductress, Associate Grand Conductress, Grand Sentinel, Immediate Past Grand Matron and Immediate Past Grand Patron who are Members by virtue of their Office, to a maximum of twenty six. Of the fifteen members, five shall be elected annually, by written ballot, for a three year term unless a Member shall be elected or appointed to fill the vacancy of a Member who has resigned or is deceased, prior to the completion of their term of Office, or who no longer qualifies to be a Member of the Committee. The Worthy Grand Matron may appoint a qualified Member to fill a vacancy until the next Grand Chapter Session. Section 113 (f) Page 25 Delete the first sentence and replace with The Worthy Grand Matron and Worthy Grand Patron are exofficio voting Members of all elected Grand Chapter Committees and Boards with the exception of the Florence Nightingale Home Foundation where they may attend the meetings but have no voting privileges. The Associate Grand Matron, Associate Grand Patron, Grand Conductress, Associate Grand Conductress and Grand Sentinel are voting members of the Grand Executive Committee and have the privilege of attending the meetings of all other elected Grand Chapter Committees and Boards, without voting privileges, to gain knowledge of procedure. Section 115(a) Page 25 After ESTARL Committee, delete remainder of sentence and replace with with the exception of the eleven Members of the Grand Executive Committee who are Members by virtue of their Office and anyone acting as a Special Deputy as per Section 119 (k) Section 116 (a) Page 26 Remove period after second sentence and add with the exception of the eleven Members of the Grand Executive Committee who are Members by virtue of their Office and anyone acting as a Special Deputy as per Section 119 (k) Rationale: To reflect the current practise. Section 113(a) Page 24-Delete in its entirety and replace with A Grand Executive Committee, to be composed of a total of fifteen Members elected from the floor of Grand Chapter with five Members to be elected each year for a three year term. The Committee shall have a Chair, Co-Chair and Secretary to be elected annually, from among the voting Members, prior to the close of the Grand Chapter Session. Section 129, Page 5 Preamble-Delete the second and third sentences and replace with The Grand Executive Committee shall consist of the following seventeen voting members, the Worthy Grand Matron, Ex-officio, Worthy Grand Patron, Ex-officio and fifteen elected Members. The Grand Chapter Line Officers, Grand Secretary, and Grand Treasurer shall be invited to all Grand Executive Meetings and shall have input but no voting privileges. Section 129, (b) Page 55-Delete in its entirety Should this amendment pass, effective at the close of the 2015 Grand Chapter Session, the Associate Grand Matron, Associate Grand Patron, Grand Secretary, Grand Treasurer, Grand Conductress, Associate Grand Conductress and Grand Sentinel, will have input but no voting privileges on the Grand Executive Committee. Effective at the close of the 2016 Grand Session the Immediate Past Grand Matron and Immediate Past Grand Patron will no longer be an appointed position on the Grand Executive Committee. Rationale: Currently the Grand Chapter Line Officers, Grand Secretary and Grand Treasurer are Grand Chapter Officers and also voting Members of the Grand Executive Committee. This is contrary to Section 115 (a) which says you can only hold one Grand Chapter Office. This proposed amendment would comply with Section 115(a) by allowing the Grand Chapter Officers in question to attend the Grand Executive Meetings and have input but no voting privileges. It would also make the membership requirements, eligibility for Office and choice of Chair of the Grand Executive Committee consistent with the other elected Grand Chapter Committees. Currently the Immediate Past Grand Matron and Immediate Past Grand Patron automatically serve as Chair and Co- Chair of the Grand Executive Committee. This proposed amendment would mean that the Immediate Past Grand Matron and Immediate Past Grand Patron would have to be elected by the membership to be on the Grand Executive Committee and give the membership the right to vote for all positions on the Grand Executive Committee with the exception of the W.G.M. and W.G.P. who are ex-officio members. It would also mean that the members the Grand Executive Committee would be able to vote for a Chair and Co-Chair of their choosing rather than the position being automatically given to the Immediate P. G. M. and Immediate P. G. P. Not everyone has the skill sets necessary to Chair or Co-Chair a Grand Executive Committee Meeting. Signed: Robin C.G. Ward, P.G.P.

Section 143 Page 65 Add a new (d) Chapters shall pay an amount of Fifty dollars ($50.00) to Grand Chapter for late submission of Annual Returns. and re-letter Rationale: There needs to be a consequence for those Chapters who do not submit the required information to the Grand Secretary in a timely manner. 7. Section 145 (d)-page 6 After Postage insert and Printing Rationale: To reflect what the money is being used for. Not just postage, but also printing. Approved Not Approved 8. Section 145 (e) Page 66 Delete plus Benefits and add Statutory deductions to be remitted monthly, on or before the Industry Canada deadline, on behalf of the Grand Chapter of Ontario. Rationale: The Grand Secretary does not receive any benefits. 9. Section 145 (o) Page 67-Add new last sentence The dollar amounts in Section 145 (a), (b), (c), (d), (e) and (f) are to be updated annually as Housekeeping Amendments. The Chair of Finance will communicate the current amounts to the Chair of Jurisprudence prior to the deadline of March 1 st. Rationale: To keep the Constitution current. 10. Section 214 (d) Page 98 Delete first sentence. Rationale: To discontinue the current practice of allowing Chapters to pay ten times the per capita for Life Members which results in a deficit for Grand Chapter. 11. Section 224-(b) Page 111 Section 226-(d) Page 114-Section 228 (c) Page 115-Change each instance of Five Dollars ($5.00) to Ten Dollars ($10.00) Rationale: Grand Chapter pays $5.00 USD and this will accommodate the USD exchange plus shipping and handling charged by the General Grand Chapter. Section 207 (g) Page 92 Delete first two sentences and replace with By-Law amendments may be printed upon the recommendation of the Grand Chapter By-Laws Committee and after the approval of the Grand Executive Committee and must include any corrections or recommendations. The Chair of the By-Laws Committee will notify the Chapter of any such corrections and recommendations, in writing, once the By-Laws have been approved by the Grand Executive Committee.

Rationale: The Grand Executive Committee Members are the elected Directors of Grand Chapter. They, together with the Grand Chapter Line Officers, who will be the future leaders of our Order, and the Grand Secretary and Grand Treasurer, need all the experience and tools available to be able to perform these important jobs knowledgeably, accurately and within the confines of the Constitution and Ritual. If we have no Proficiency Test, what is the alternative? While the Proficiency Test, in its present form, may be flawed it is, however, the only tool we currently have to be confident in the ability of those who seek these important offices. A Special Committee has been appointed to revamp the Proficiency Test and make it more user friendly and less onerous. This Committee has spent many months working on this project and it would be unfortunate if we removed the requirement of a Proficiency Certificate without first implementing this new and improved Proficiency Test and at least giving it a chance. This proposed amendment has removed the requirement of a Proficiency Certificate for those Advisors assisting the Worthy Grand Matron and the elected Grand Chapter Committees with the exception of the Grand Executive Committee. A Proficiency Certificate would still be required for those running for District Deputy Grand Matrons as they too need the experience and tools to perform their duties. Many qualified people have refused to take the test and we are missing out on their expertise in our elected Committees or as Line Officers. It should be up to our membership to make the best choice not based on a test. When a decision has to be made, one proves that decision by referring to the Ritual or Constitution (even if the test is done). The person asking the questions wants to know where the answer is found. You don t need to have done the Test but need an up-to-date Ritual and Constitution. Section 116 a) Page 26 After perform the duties of these offices. Add new sentence All nominees for the position of Grand Trustee should have a financial background and include a brief resume of their related career experience and skills appropriate to the performance of their duties as a Grand Trustee. Rationale: The Grand Trustees are responsible for directing the investments of our Grand Chapter and should have the necessary financial experience to competently perform their duties. 16. Section 128 (n) XI-Page 52-Delete the first sentence and replace with The Committee must consist of three Members, preferably two Sisters and one Brother but at least one Brother must be on the Committee. Section 250 (a)-page 140-Delete second sentence and replace with Such Committee must consist of three Members, preferably two Sisters and one Brother but at least one Brother must be on the Committee.

Section 138 (a) (3) Page 61 Increase dollar amount to Five Hundred Dollars ($500.00) Rationale: To recognize the increasing cost of conducting business 20. Section 140 Page 64 Add (vii) Chapters Requiring Guidance Committee The Chapters Requiring Guidance Committee shall be available to assist the Worthy Grand Matron to liaise with Chapters who are experiencing difficulties and who have requested help from Grand Chapter. The members of the Committee will work in conjunction with the Worthy Grand Matron to find solutions to problems and resolve issues. When Chapters are contemplating the future of their Chapter the Committee, under the direction of the Worthy Grand Matron, will be available to guide them through the process leading up to Consolidation or Dissolution. At end add Section 238 (g) before the Secretary insert the Chapter must choose a date and after Meeting insert on that date Section 238 (g)-page 123 Delete the first sentence and replace with The Worthy Matron may postpone a regularly Stated or Special meeting ahead of the stated start time if there is a severe weather warning from Environment Canada for their geographical area which may impact the safety of the Members. As soon as the decision is made to postpone the meeting the Worthy Matron will immediately notify the Chapter Secretary. A concerted effort will then be made by the Worthy Matron and Secretary to notify as many Members as possible by and/or telephone. If the postponed meeting is a Stated Meeting, the Secretary will proceed as per Section 229 (aa). Rationale: Postponing a meeting due to severe weather conditions should be optional. No-one should need to travel in a storm and if the weather reports are bad this will allow the Worthy Matron to postpone a meeting, in advance, due to inclement weather. 22. Section 216 (a)-page 100-Add a new sentence An request is permissible. Rationale: We are living in an electronic age and is an accepted mode of written communication. 23. Section 216 (b)-page 100-After Chapter, Delete the remainder of the section and replace with and, if the Chapter deems it to be appropriate, the Worthy Matron may appoint a Committee of not more than three Members who shall make inquiries concerning the request for Demit and report thereon at the next Stated Meeting. If, in their written request for a Demit, the Members give an explanation for the request and/or indicate that they do not want anyone to contact or visit them, no Committee shall be appointed and the Demit shall be granted as per Section 216 (a). Rationale: Many members requesting Demits give good reasons for the request and a Committee is not always necessary. Currently a committee of two sisters and one brother must be appointed for each request for Demit. If a Committee is appointed there is no reason it should consist of two Sisters and a Brother.

Section 201 (h) - Page 76-Delete the first sentence in its entirety and replace with In Subordinate Chapters Notices of Motion may be presented at a Stated or Special Meeting but can only be voted upon at a Stated Meeting. Each Member must be given at least five days notice as per Section 238 (h). Last sentence change is to may be -remove period after Meeting and add provided that due notice has been given to each Member. Section 262 and 263 Pages 163 through 17-Delete both sections in their entirety and replace with the following; DECIDING THE FUTURE OF A CHAPTER Section 262 When a Chapter has doubts regarding their future the Worthy Grand Matron must be advised immediately. The Worthy Grand Matron and the Chapters Requiring Guidance Committee will visit the Chapter to offer assistance and answer any questions they may have. An informal discussion may take place under New Business at a Stated Meeting. A Notice of Motion may be presented at this meeting but can only be balloted upon at a subsequent Stated Meeting after due notice has been given to the Members. If the Chapter feels it requires more meetings, for further thought and deliberation, Special Meetings may be called but must be held at the time or date specified in the Chapter By-Laws, or, the Chapter may continue to discuss the situation at their Stated Meetings. It is acceptable to ask any visitors to retire before the discussions take place. A Notice of Motion may be presented at a Special Meeting to discuss the future of the Chapter provided that due notice is given to the Members, but, it can only be voted on at a Stated Meeting. If a Notice of Motion to seek Consolidation is made, follow the steps in Section 263 (a). If a Notice of Motion is made to Surrender the Charter, follow the steps in Section 263 (e). CONSOLIDATION - CONSOLIDATION CEREMONY - DISSOLUTION OF CHARTER Section 263 a) STEPS FOR CONSOLIDATION 1: A Notice of Motion is made, either at a Stated or Special Meeting, to seek Consolidation with all of the Chapters within the geographical area or with one or more specific Chapters. 2: The Motion to seek Consolidation is voted upon at the next Stated Meeting and requires a three fourths majority of votes cast to be carried. Immediately following the meeting the Worthy Matron will ensure that the Worthy Grand Matron is verbally informed of the results of the ballot. The Secretary will confirm the results of the ballot in writing to the Worthy Grand Matron under Seal of the Chapter within one week. 3: If the vote is favourable, the Worthy Grand Matron will verbally, with confirmation in writing, under the Seal of the Grand Chapter, communicate the results of the ballot to the appropriate Chapter(s). Note: After notification is given, the vote to accept any invitations could take upwards of three months. 4: Once the appropriate Chapters have been informed, by the Worthy Grand Matron, that a Chapter is seeking to consolidate, the Chapters concerned make one of the following two choices; a) They decide to invite the other Chapter to join them, in which case it must be done as a Notice of Motion and voted on at a Stated Meeting. The Motion will require a three fourth s majority of votes cast to be carried. If the vote is favourable the Secretary will send a letter of invitation, under Seal of the Chapter, immediately following the meeting at which the vote was taken, with a copy to the Worthy Grand Matron or: b) They decide to send a letter wishing the other Chapter good luck in seeking a new fraternal home. This can be done, without a Notice of Motion, at a Stated Meeting and would require a majority of all votes cast to be carried. 5: After receipt of invitation(s), a Notice of Motion is made to vote on the invitation(s) at the next Stated Meeting. If more than one invitation is received they are voted on alphabetically. If, after the first ballot, there is no clear three fourth s majority, a second ballot is taken on the two Chapters receiving the highest number of votes in the first ballot. If there is no clear three fourth s majority on the second ballot a third and final ballot is taken. If, after the third ballot, there is still no clear three fourth s majority the voting process will take place from the beginning at the next Stated Meeting. Chapter Members must be notified that the vote to consolidate did not produce a clear three fourth s majority and that the vote will be redone at the next Stated Meeting. 6: Whether or not a successful three fourth s majority vote is received the Worthy Matron ensures that the Worthy Grand Matron is informed verbally of the outcome of the ballot immediately following the meeting and the Secretary confirms the results of the ballot in writing to the Worthy Grand Matron under Seal of the Chapter within seven days. 7: Following a favourable three fourth s majority the Secretary sends confirmation, in writing under the Seal of the Chapter, to the chosen Chapter notifying them of the favourable outcome of the ballot and accepting their invitation to consolidate. If more than one invitation was received the Secretary sends letters to the other Chapters notifying them of the outcome of the ballot and thanking them for their interest in the Chapter. 8: The Worthy Grand Matron then orders the Consolidation of the Chapters and sets a date for the Consolidation Ceremony, notifying the Chapters of same. (b) ADDITIONAL INSTRUCTIONS 1. Chapter Funds and Property A Consolidating Chapter may make special provision for their furniture or regalia and continue to dispense a portion of their funds as per their By-Laws and/or by the vote of the Chapter up to and including the date of the last Stated Meeting.

6 Once Consolidation takes place the remaining funds, regalia etc. become the property of the Newly United Chapter. It is the responsibility of the Consolidating Chapter to transfer all remaining funds to the United Chapter and all such transactions must be completed on or before the date when the Ceremony of Consolidation takes place. It is also the responsibility of the Consolidating Chapter to arrange for all other property to be transferred to the United Chapter on or before the date of Consolidation. The Chapter must retain sufficient funds to cover the operating and closing expenses during the Consolidation process. Remember that the process of Consolidation can take up to six months to complete. The Inviting Chapter will be assuming the financial responsibility for the Consolidating Chapter s Members including printing and postage for Notices and Per Capita costs as well as remembrances for shut-ins, sick and sunshine, special birthdays, anniversaries etc. until such time as the Inviting Chapter can collect Dues. It is necessary therefore, that sufficient funds be retained to transfer to the Inviting Chapter to prevent any undue financial stress. 2. Demits The Consolidating Chapter may grant requests for Demits to paid-up Members up to and including the date of the last Stated Meeting of the Chapter. 3. Meetings during the Process of Consolidation Chapters must continue to meet as per their By-Laws until the Ceremony of Consolidation has taken possible, within three months, call for the Ceremony of Consolidation to take place. 4. Minutes of the Last Meeting The Minutes of the last meeting of the Consolidating Chapter are signed by the Secretary and Auditors of the Consolidating Chapter and are read, at the meeting at which the Consolidation takes place, immediately prior to the Consolidation Ceremony. The Minutes are then signed by the Worthy Matron of the Consolidating Chapter and the seal of the Consolidating Chapter is affixed for the last time to the Minute Books which then become the property of the newly United Chapters. 5. Audit The Financial Books of the Consolidating Chapter must be audited and a supplementary Annual Return sent to the Grand Secretary, with a copy to the Secretary of the United Chapter prior to the Ceremony of Consolidation. The Financial Books of the Consolidating Chapter must be signed by the Auditors and become the property of the newly United Chapters, following the Ceremony of Consolidation. 6. Membership List A complete, accurate and up to date list of all Members of the Consolidating Chapter, which includes date of initiation, address, consecutive years of service and service awards presented, must be provided to the Secretary of the United Chapter and the Grand Secretary as per the Instructions for Consolidation provided by the Grand Secretary. The Members of the Consolidating Chapter are recorded in the Membership Roll Book of the newly United Chapter. 7. By-Law Books The By-Law Book of the Consolidating Chapter is kept with the By-Law Book of the United Chapters in order to determine years of service and dates of Initiation / Affiliation / Deaths / Demits etc. 8. Life Members and Honourary Members When a Chapter votes to Consolidate, Honourary Members and Life Members retain those honours in the united Chapter. 9. Name of Newly United Chapter The name and number of the newly United Chapter will be that of the inviting Chapter. All matters pertaining to the selection of Officers, By-Laws, records, finances, and such other Rules and Regulations as are necessary to the establishment of the United Chapter shall be settled by the Chapters included in the Consolidation under the direction, guidance and approval of the Worthy Grand Matron and attested by the Grand Secretary. The original Charter(s) are to be returned to the office of the Grand Secretary or, at the request of the Consolidating Chapter(s), and after being properly signed, sealed and dated, by the Grand Secretary, may be retained for history and display purposes only. They must not be hung in the Chapter Room. (c) - CONSOLIDATION CEREMONY Worthy Matron: This Meeting of... Chapter No.. Order of the Eastern Star, has been called in conjunction with the Worthy Grand Matron for the transaction of business and the specific purpose of Consolidating two Chapters of the Order of the Eastern Star in this place. Worthy Grand Matron, we have complied with your instructions, the Chapter has been opened ritualistically and awaits your pleasure, I therefore invite you to preside. Sisters and Brothers, we are about to engage in the ceremony of consolidating... Chapter No and.... Chapter No under the title of..... Chapter No... By virtue of the power and authority vested in me as the Worthy Grand Matron of the Grand Chapter, Order of the Eastern Star, of Ontario, Canada Inc., we shall proceed. I request that the Grand Chapter Officers who are to assist in this Ceremony of Consolidation occupy their stations after all the names are called: Sister/Brother... Grand Secretary Sister... Grand Conductress Sister...Associate Grand Conductress Sister/Brother... Grand Marshal

7 Sister/Brother...Grand Chaplain Sister Grand Conductress and Sister Associate Grand Conductress you will conduct the Worthy Matron and Worthy Patron, or the designates, of... Chapter No... to the West. The Members of... Chapter No... will also stand and if possible assemble in the West. Worthy Matron, it is my pleasure to present to you your gavel to proceed with the further business of your Chapter. d) DISSOLUTION OF CHAPTER (SURRENDER OF CHARTER) PLEASE THINK CAREFULLY - DO NOT ACT IN HASTE Chapter Members who are considering voting to Surrender their Charter should be aware of the plight of older Members who can no longer attend meetings or be part of a vote on the future of their Chapter. In t he eve n t o f a Surrend er o f Cha rter t hese Members would no longer have visits or concern from the Chapter. Any vote to surrender becomes effective after the Ritualistic Closing of the final meeting. e) STEPS FOR DISSOLUTION OF CHAPTER (SURRENDER OF CHARTER) 1: If a Notice of Motion to Dissolve the Chapter and Surrender the Charter is made, the motion is voted on at the next Stated Meeting as per Section 201 (h). If the Chapter feels it requires more meetings, for further thought and deliberation, subsequent meetings may be called. Step 2 must be repeated for each meeting at which the Dissolution of Chapter will be discussed. 2: If a Notice of Motion is made to Surrender the Charter, an audit of the records of the Chapter and a Trustees Report must be done and written reports presented, in open Chapter, at the meeting when the vote to surrender is to be taken, prior to a ballot to Surrender the Charter. 3: After due notice, a written ballot is taken, requiring a three fourths majority of votes cast, for adoption. If the vote to surrender the Charter is adopted the Worthy Matron ensures that the Worthy Grand Matron is verbally informed of the result of the ballot immediately following the meeting. The Secretary will then confirm the result of the ballot to the Worthy Grand Matron, in writing, under the Seal of the Chapter. 4: The Worthy Grand Matron will arrange, in advance, for an appropriate representative of Grand Chapter to be present at the meeting at which the vote to surrender the Charter is taken, to receive the Chapter property should the vote be adopted. f) ADDITIONAL INSTRUCTIONS 1. Chapter Funds and Property A Chapter may make special provision for a portion of its funds, furniture or regalia prior to the vote on the motion to surrender. Once a Chapter votes to surrender the Charter, the assets of the Chapter become the property of the Grand Chapter, and only the legitimate expenses of closing the Chapter can be taken from the funds. In addition the Charter, books, papers, records, jewels, funds and all property of such Chapter shall vest in and become the property of the Grand Chapter. Said property, with the exception of the Minute Book (see No.2.) shall be presented to a Grand Trustee, the Grand Secretary or a delegate appointed by the Worthy Grand Matron, upon completion of all business, including draping if applicable and the final ritualistic closing of the meeting. 2. Minutes of the Final Meeting The Minutes of the final meeting shall be compiled by the Secretary, and forwarded to the Grand Secretary within 30 days of the final meeting. 3. Membership List A complete, accurate and up to date list of the Chapter Members, which includes date of initiation, address, consecutive years of service and service awards presented, must be provided to the Grand Secretary at the close of the final meeting. 4. Life Members and Honorary Members When a Chapter votes to Surrender their Charter, all Honourary Members, and Life Members lose those honours. 5. Chapter Number The number of a dissolved Chapter shall not be given to any other Chapter. 6. Demits When the Charter of a Chapter is surrendered, the Grand Secretary shall, in due course, issue a Demit to each Member of such Chapter in good standing and clear on its books and against whom no charges are pending. Those holding Demits, who wish to Affiliate with another Chapter, and are unable to attend a Chapter meeting due to health reasons may submit a petition. When the petition has been balloted upon favourably, the Worthy Matron and Secretary of the Chapter are empowered to take the By-Law book to the residence of the Member so that it can be signed and thereby the person again becomes a Member of a Chapter. A Demit is for life but only entitles the bearer to visit Chapters for the first year. The Demit will entitle the bearer to vote at the next District Meeting in the District in which the Chapter was located. 7. Funeral Service for a Member on Demit If requested by the family, a Member who has not yet affiliated with another Chapter would be entitled to receive the Alternate Funeral Service performed by a nearby Chapter. Often the Member has contributed immensely to the Chapter during her/his active years but can no longer protect her/ his cherished Membership. Section 238 (c) Page After Election of Officers, insert voting upon - After permissible insert to present a Notice of Motion regarding Consolidation or Surrender, to be voted upon at the next Stated meeting provided due Notice is given to the Members.
