1 THE CLEVELAND DENTAL HYGIENISTS ASSOCIATION BYLAWS REVISED ARTICLE I NAME Section 1. Name - The name of this organization shall be the Cleveland Dental Hygienists Association. (Hereinafter referred to as the Association ) ARTICLE II PURPOSES Section 1. The purposes of this Association shall be to improve the oral health of the public; to advance the art and science of dental hygiene; to maintain the highest standards of dental hygiene and practice; to represent and protect the interest of the dental hygiene profession; to improve the professional competence of the dental hygienist; to foster research in oral health; to provide professional communication; to publish a newsletter, Hygiene Now; and to conduct other activities as may be permitted by the State of Ohio to carry out the purposes of this Association. Section 2. The mission of the Cleveland Dental Hygienists Association is to advance and secure the profession of dental hygiene, to improve and protect the public s total health, and to ensure access to quality oral health care. ARTICLE III MEMBERSHIP Section 1. Classifications of Membership 1.1 Active Membership - Any licensed dental hygienist is eligible for Active membership in this Association upon application to the American Dental Hygienists Association (ADHA), if the applicant is either licensed, practicing, or residing in Ohio and who: Agrees to adhere to these Bylaws and the Code of Ethics of the profession Has a certificate or degree in dental hygiene, granted pursuant to a dental hygiene program accredited by the Commission on Dental Accreditation, or such other accrediting agency as previously approved by ADHA Has been granted a license to practice in any state or commonwealth of the United States, the District of Columbia, or the territories or possessions of the United States, if such license is required for the practice of dental hygiene Holds membership in ADHA and the Ohio Dental Hygienists Association (ODHA) Meets such other uniform requirements as may be established by the parent Associations ODHA and ADHA In lieu of the requirements set forth in Section 1.1.2, is currently licensed to practice dental hygiene in the United States, the District of Columbia, or the territories or possessions of the United States, and who is currently licensed to practice dental hygiene in the United States under the provision of a Grandfather Clause.'' 1.2 Life Membership Will be recognized by this Association to those who have been granted Life Membership by the State or National Level. Individuals still pay dues to the component, constituent or national organization that they are not a Life Member. 1.3 Retired Membership Any Active member who has reached full retirement age as set by the Social Security Administration and has been an Active member of the Association for an aggregate total of thirty (30) years, or twenty-five (25) consecutive years is eligible for Senior Membership upon application to the American Dental Hygienists Association. 1.4 International Membership - Any dental hygienist who is practicing dental hygiene in a place outside the United States or commonwealth of the United States under a current 1

2 license or certification and who holds membership in a national dental hygiene professional organization, if either or both exist, in the place where the hygienist practices is eligible for International membership in this Association upon application to ADHA and who: Agrees to adhere to these Bylaws and the Code of Ethics of the profession. 1.5 Student Membership Any individual who is a full-time student is eligible for Student membership in this Association upon application and who is: A student in a dental hygiene program accredited by the Commission on Dental Accreditation and who has been recommended for Student membership by the Director or a duly appointed representative of the institution, or A student in an academic discipline working toward a baccalaureate or graduate degree complementary to a career in dental hygiene and who is a graduate of an accredited dental hygiene program, and who has been recommended for Student Membership by the Director or a duly appointed representative of the institution. 1.6 Courtesy Active Those student members who have graduated from an accredited dental hygiene school and who will be eligible for Active membership in January of the following year. 1.7 Honorary Membership Any individual who is not a dental hygienist, may be eligible for Honorary membership in the Association if elected by unanimous vote of the Executive Board and majority vote of the membership for outstanding contributions to the art and science of dental hygiene or dental health for an extended period of time. 1.8 Allied Membership Any individual who is not otherwise qualified for any other classification of membership and who supports the goals and objectives of the Association upon application to the Board is eligible for membership. 1.9 Members with Disabilities any licensed dental hygienist who has a disability, who has been a voting member, and is prohibited from being employed in the profession due to the person s disability, shall be eligible for the Membership with Disabilities upon application to the American Dental Hygienists Association, submitted through and verified by the member s Component and accompanied by proof of qualification. Section 2. Privileges of Membership 2.1 Active, Life, Retired, and Members with Disabilities Active, Life, Retired, and Members with Disabilities shall be entitled to: The right to vote on all matters requiring a vote by the members of this Association Eligibility for election as a Delegate or Alternate Delegate to the House of Delegates and eligibility for election or appointment to any office, committee, Executive Board, or similar position in the Association, if qualified An Annual subscription to the official publication of the Association entitled Hygiene Now Notification of and admission to any general meeting of the Association Such other privileges as the Board may determine. 2.2 Associate, Student, Courtesy Active, Honorary and Allied Members Associate, Student, Courtesy Active, Honorary and Allied Members shall be entitled to: Notification of and admission to any general meeting of the Association Such other privileges as the Board may determine. Section 3. Application for Membership 3.1 All applicants for active membership must be made by the applicant to ADHA. Payment of Association dues for the current year must accompany the application for membership. 2

3 Section 4. Duration of Membership and Resignation Membership in this Association may terminate by voluntary resignation or otherwise in accordance with these Bylaws. All rights, privileges, and interests of a member in or to the Association shall cease upon termination of membership for any reason. Any member may, being given written notice of such intention, resign from membership. Resignation shall be effective only upon the fulfillment of all prior obligations and for those of the current quarter, and upon the full payment of any special assessments, fees, or other obligations due to the Association prior to the receipt of the notice of resignation by the Association. If a member is no longer a member of ODHA or ADHA, or any other organization as is required for membership in this Association, membership in this Association shall automatically terminate upon receipt of notice of such to the Board, but such member shall still be liable for any past due amounts owing to this Association. Section 5. Suspension or Expulsion Membership in this Association may be suspended or terminated for cause. Sufficient cause for such suspension or termination of membership may be violation of these Bylaws, the Principles of Ethics of the profession, any lawful rule or practice duly adopted by the Association, or any conduct deemed to be prejudicial to the best interests of this Association. Suspension or expulsion shall be by two-thirds vote of those present of the Board at a duly called meeting at which a quorum is present, provided that a statement of the charges shall have been first mailed by certified or registered mail to the last recorded address of the member at least thirty days before final action is to be taken by the Board. This statement shall be accompanied by a notice of the time and place of the meeting of the Board, at which the charge shall be considered, and the member shall have the opportunity to appear in person or to be represented to counsel and to present any defense to such charges before final action is taken by the Board. Investigation and disciplinary proceedings shall be instituted by the Board. ARTICLE IV DUES, FEES, AND ASSESSMENTS Section 1. Amount The amount of annual dues, fees, and assessments of the Association payable in advance by the deadline dates as established by ADHA for the commencement of the Summer and Winter Dues Cycles schedules, for Active, Allied, Associate and Student Members, shall be determined by the members with a two thirds affirmative vote of those present and voting shall be required for approval of any dues modification. Life, Retired, Honorary and Courtesy Active Members shall be exempt from payment of any dues of the Association. Section 2. Failure to Pay Any member who fails to pay dues, fee, assessments, or other obligations due and owing the Association within 60 days from the time they become due, without further notice and without hearing, shall be automatically dropped from the membership role and thereupon immediately forfeit all rights and privileges of membership. Section 3. Reinstatement of Membership Any member who has forfeited membership for nonpayment of dues, fees, assessments or other obligations may be reinstated upon meeting such uniform terms and conditions as may be established by the Board. ARTICLE V DELEGATES TO THE OHIO DENTAL HYGIENISTS ASSOCIATION (ODHA) Section 1. Representation The number of delegates and alternate delegates is determined by the Bylaws of The Ohio Dental Hygienists Association. Section 2. Qualifications 2.1 Delegates must have previously served as a Committee Chairperson, Officer, Trustee, Alternate Delegate, or Delegate to be eligible for election. 2.2 Alternate Delegates must have previously been a Student Member of ADHA or an Active Member of this Association for one (1) full year to be eligible for election. Section 3. Term of Office 3

4 3.1 Delegates will be elected for a two (2) year term. 3.2 Alternate Delegates will be elected for a one (1) year term and may not serve more than two (2) consecutive terms. Section 4. Nominations 4.1 Nominations for position of delegate will be divided into two (2) portions, each to be elected for a two (2) year term in alternating years. 4.2 Nominations for position of alternate delegate shall be presented to the members annually. Section 5. Elections Delegates and Alternate Delegates shall be elected by the voting members of the Association. Section 6. Installation Delegates and Alternate Delegates shall be installed as scheduled during the designated Association year. Section 7. Vacancies In the event of a vacancy in the position of Delegate or Alternate Delegate, the President shall appoint a voting member to serve until the vacancy is removed by election of the members. Section 8. Duties 8.1 All Delegates and Alternate Delegates are required by this Association to attend all O.D.H.A. House of Delegates meetings and other meetings deemed necessary by the Board. 8.2 Alternate Delegates shall be entitled to represent the component in the ODHA House of Delegates or at the discretion of the Cleveland Trustee. Section 9. Notification It shall be the responsibility of the Trustee to notify the ODHA Speaker of the House of the names of the Delegates and Alternate Delegates within ten (10) days of their election and no later than sixty (90) days prior to the Annual Session of ODHA. ARTICLE VI GOVERNMENT Section 1. Quorum A majority of the voting members present at a duly called meeting of the Board, or a Committee shall constitute a quorum. In the absence of a quorum, those voting members present may adjourn the meeting until such time as a quorum is present. Section 2. Voting Every question which shall come before a meeting of the membership, the Board, or a Committee shall be decided by a quorum unless otherwise provided by the Bylaws. Section 3. Procedure Robert s Rules of Order, Revised, shall govern this Association in all cases to which it is applicable, when not inconsistent with the laws of the State of Ohio, Bylaws or procedures adopted by ODHA and ADHA. ARTICLE VII THE EXECUTIVE BOARD Section 1. The Executive Board shall consist of the President, President-Elect, Vice President, Secretary, Treasurer, Immediate Past President, Trustee to ODHA, Committee Chairpersons, Delegates, Alternate Delegates to ODHA, Student Member Representatives and general members. 1.1 The President is the Chairperson of the Executive Board. 1.2 Voting Members Voting members of the Executive Board shall consist of the President, President-Elect, Vice President, Secretary, Treasurer, Immediate Past President, Trustee to ODHA and Committee Chairpersons 1.3 Non-voting members Delegates, Alternate Delegates to ODHA, Student Member Representatives and Members at Large are non-voting members. 4

5 Section 2. Vacancies 2.1 In the absence of the President, the President-Elect shall serve as Chairperson of the Board. 2.2 In the absence of the President-Elect, the Vice President shall serve as Chairperson of the Board. 2.3 In the absence of the President, the President-Elect, and the Vice President, the Executive Board shall elect one of its voting members to serve as Chairperson Pro Tem. 2.4 In the absence of the Secretary, the Chairperson shall appoint a Secretary Pro Tem. Section 3. Duties of the Executive Board 3.1 The Executive Board shall be the governing body of the Association, but vested with full power to conduct all business of the Association. In addition, the Executive Board shall have the power to enact Interim policies when the general membership is not in session and when such policies are necessary to the proper conduct of Association affairs. All such policies shall be reported to the general membership for ratification. 3.2 The duties of the Executive Board shall include, but not be limited to: Review and submit to the membership a budget of the funds necessary to the proper conduct of Association activities for the next fiscal year, and approve such amendments to the proposed budget as may be necessary or appropriate Review the reports of officers and committees of the Association and resolutions to be brought to the Annual Session, and to make recommendations to the Annual Session concerning these reports and resolutions Adopt such agents, attorneys, and others as it seems necessary or appropriate Perform such other duties as are prescribed or permitted by the laws of the State of Ohio for an Executive Board or by these Bylaws and the policies as may be adopted by the general membership. Section 4. Meetings 4.1 Regular Meetings There shall be at least five regularly scheduled meetings of the Executive Board each year. The meeting shall convene prior to each general meeting and during those summer months when there are no regularly scheduled meetings. 4.2 Special Meetings Special meetings of the Executive Board shall be called by the President or by the President upon written request by a majority of the voting members of the Executive Board. The call for the meeting shall be issued at least ten days prior to the date set for the meeting. The call for a special meeting shall state the business to be considered and no other business shall be transacted during the special meeting. ARTICLE VIII ELECTIVE OFFICERS Section 1. Elective Officers The elective officers of this Association shall be the President, President Elect, Vice President, Secretary, Treasurer, Immediate Past President, and Trustee as provided in these Bylaws. Section 2. Term of Elective Officers 2.1 The President Elect, Vice President, and Secretary shall be elected to serve for a term of one year or until their successors assume office. 2.2 The President Elect, upon completion of the term of office as President Elect, shall succeed to the Office of President without election, to serve for a term of one year and until a successor assumes office. 2.3 The President, upon completion of the term of office as President, shall succeed to the office of Immediate Past President without election, to serve for a term of one year and until a successor assumes office. 5

6 2.4 The Treasurer and Trustee shall be elected to serve for a term of three years and until their successors assume office. 2.5 All elected officers shall be installed as scheduled during the designated Association year. Section 3. Vacancies 3.1 In the event of a vacancy in the office of President, the President Elect shall serve as President for the unexpired term and for the full term immediately following. 3.2 In the event of a vacancy in the office of President-Elect, it shall be filled at the nearest election in accordance with these Bylaws. The office of President shall be filled by election, also. 3.3 In the event of a vacancy in the offices of President and President-Elect, the Vice President shall serve as President for the unexpired term. 3.4 In the event of a vacancy in the office of Vice President or Secretary, the President, with the approval of the Board, may appoint a successor for the unexpired term. 3.5 In the event of a vacancy in the office of Treasurer, the President, with the approval of the Board, shall appoint a successor who shall serve for the unexpired term until the vacancy is filled by election. 3.6 In the event of a vacancy in the office of Trustee, the President, with the approval of the Board, shall appoint a successor for the unexpired term. In the event of an absence in the office of Trustee, the President, with approval of the Executive Board, shall appoint a voting member to serve until the return of the Trustee. Section 4. Duties of Officers In addition to these duties customarily and regularly pertaining to the offices they hold, except as otherwise permitted by these Bylaws and the laws of the State of Ohio, the respective elective officers shall: 4.1 The President of this association shall guide the Executive Board and have general supervision and direction of all elective officers of the Association and see that their duties are properly performed. The President shall submit an annual written report on the activities of the President. 4.2 During the absence or disability of the President, the President-Elect shall have the power and perform the duties of the President and shall have such further powers and shall discharge such other duties as may be as signed by the Executive Board or the President. 4.3 The Vice President shall have such powers and shall discharge such duties as may be assigned to them by the Executive Board or the President. 4.4 The Treasurer shall consult with the Executive Board concerning the books and financial records in ascertaining the financial condition of the Association and shall be attentive to fiscal matters and shall discharge such other duties as may be assigned to the Treasurer by the Executive Board or the President. 4.5 The Trustee shall discharge the powers and duties of that office as to be in the best interests of the entire Association. The Trustee shall accurately report to the membership such actions as may be taken by the Executive Board of ODHA, which shall or may affect such Component members. 4.6 All elective officers, in addition to all other duties, shall assist the President when the President so delegates, and submit to the Board an annual written report of the activities of their office. 4.7 The Secretary shall serve as the recording officer of the Executive Board and the custodian of its records. Section 5. Compensation Elective officers, as such, shall not receive any compensation for their services as officers, but the Executive Board may, by majority vote, authorize reimbursement of expenses incurred in the performance of their duties. Such authorization may prescribe procedures for approval and payment of such expenses by designated officers of the Association. 6

7 Section 6. Resignation or Removal Any elective officer may resign at any time by giving written notice to the President or to the Executive Board. Such resignation shall take effect at the time specified, or, if no time is specified, at the time of acceptance thereof as determined by the President of the Board. Any elective officer may be removed for cause by a two-thirds vote of the Body which elected said officer at any regular or special meeting at which a quorum is present. Sufficient cause for such removal may be violation of these Bylaws, the Principles of Ethics of the profession or any lawful rule, practice or procedure duly adopted by the Executive Board or any other conduct deemed to be prejudicial to the best interests of this Association. For removal of an elective officer for cause, it shall be necessary for the Body, which elected said officer, to conduct a formal hearing, and such Body may adopt such procedures as it deems necessary or appropriate for consideration of the removal for any elective officer pursuant to this section, provided due process is afforded to the party in question. Any elective officer who is no longer eligible for membership in the Association, or who is suspended or expelled from membership, shall be deemed to have automatically resigned from such office upon the date of the ineligibility, suspension, or expulsion becomes effective. ARTICLE IX APPOINTED OFFICERS Section 1. Appointed Officers The appointed officers of the Association shall be the Chairpersons of Standing Committees and such other officers as may be established by the Executive Board for the proper conduct of Association affairs. Section 2. Qualifications Qualifications for appointed officers shall be determined by the Executive Board. Section 3. Term of Office Appointed officers shall be appointed by the President with the Executive Board approval for a term of one (1) year. Section 4. Vacancies Vacancies in appointed offices shall be filled as they occur by appointment by the President with the Executive Board approval. Section 5. Duties The appointed officers shall perform those duties prescribed by the Executive Board. 5.1 Appoint subcommittees as are necessary to accomplish the duties prescribed by the Executive Board. 5.2 Submit to the President and Trustee a written annual report after the installation of officers. ARTICLE X MEETINGS AND PROCEDURES Section 1. General Meetings The general meetings of the Association shall be two (2) in number, the time and place will be determined as needed. 1.1 Time and Place: The time and place of each general meeting of the Association will be determined by the Board during the summer months. 1.2 Notice of Meetings: At least two (2) weeks in advance of each meeting the program Committee shall publish notice of the time and place of each meeting. Section 2. Continuing Education Continuing Education Programs will be conducted each year for the purpose of presenting scientific, technical, and educational information designed to encourage advancement of the art and science of dental hygiene, to bring about standardization of methods and materials, and to improve the professional competence of the dental hygienist. Section 3. Special Meetings Additional meetings of the Association may be called by the President, or two-thirds of the Executive Board when necessary. Any business transacted at these meetings shall be binding on the Association provided all members have received notice of the meeting two (2) weeks prior 7

8 to the date of the meeting and said notice shall state the business to be transacted. No other business shall be transacted at this meeting. Section 4. Order of Business The order of business for this Association shall be as follows, unless changed by a two-thirds (2/3) vote: A. Call to order by the President. B. Attendance Sheet C. Approval of the minutes of the last meeting. D. Reports of the Officers and Trustees. E. Reports of the Committees. F. Unfinished business. G. New business. H. Announcements. I. Adjournment. Section 5. Admission to General Meetings 6.1 Members All members of the Association may be admitted to general meetings of the Association in accordance with rules and regulations established by the Board. 6.2 Non-Members Non-members of the Association may be admitted to general meetings of the Association in accordance with rules and regulations established by the Board. Section 6. Referendum In lieu of a meeting, at the discretion of the Board, any question may be submitted in writing to members, to a committee, or to the appropriate officer of the Association for appropriate determination. Such writing shall consist, at a minimum, of a ballot stating the question to be determined with appropriate places for the member to vote approval or disapproval. In a majority of members vote against a question on the grounds that insufficient information is given to approve the question, the issue is not decided until the next general meeting. Election of Officers may also be held by referendum. ARTICLE XI ELECTION PROCEDURES Section 1. Nominations of Candidates for Offices- The President-Elect, or the appointed designee shall appoint a Nominating Committee Chairperson. Whenever possible, the Committee shall nominate at least to (2) qualified individuals for each office for which there shall be a vacancy to fill through election by members of the Association. Section 2. Qualifications for Nomination- A candidate for an elected office must be an Active, Life, Retired, or Member with Disabilities member eligible to vote of the Association. Section 3. Elections 3.1 The President-Elect, Vice President, Secretary, Treasurer, Trustee, ODHA Delegates, and Alternate Delegates shall be elected by the Association. 3.2 The majority of ballots cast shall elect. ARTICLE XII PUBLICATION Section 1. Official Publication. The Association shall publish or cause to be published an official publication, entitled Hygiene Now. Section 2. Additional Publications. The Association may authorize such additional publications as from time to time it shall deem to be in the best interest of the Association. 8

9 Section 3. Website. The Association shall maintain and update the official website, ARTICLE XIII FOUNDATION & SPECIAL SECTIONS The Executive Board, on behalf of the Association, may establish, administer, operate, or dissolve a special section or sections, a foundation or foundations as a separate entity or entities, to perform or engage in such functions or activities as deemed necessary or appropriate by the Board and upon such terms and conditions as the Board may establish. ARTICLE XIV COMMITTEES AND CONSULTANTS Section 1. Classification 1.1 Standing Committees: Standing Committees of the Association shall be established by CDHA Executive Board and shall continue to exist until the Executive Board acts to terminate them. 1.2 Special Committees: Special Committees of the Association shall be established by the Executive Board, and shall be automatically terminated upon completion of the task for which they were established. 1.3 Consultants/Liaisons- Consultants/Liaisons shall be appointed by the President with a majority vote of the Executive Board Qualifications, duties, and term of office shall be determined by the CDHA Executive Board. Section 2. Composition 2.1 CDHA Committee Structure- All committees of the Association, both standing and special, shall be compromised of voting members of the Association. 2.2 Ex-Officio Members- The President and the President-Elect shall serve as Ex-Officio Members of all committees of the Association, both standing and special. Section 3. Term of Office 3.1 Members of all committees of the Association shall be appointed for a term of no less than one (1) year. Section 4. Appointment 4.1 Standing Committees: Shall be appointed by the President with the approval of the Executive Board. 4.2 Special Committees: Chairpersons of Special Committees shall be appointed by the President with the approval of the Executive Board. Section 5. Vacancies 5.1 Standing Committees: In the event of a vacancy on a Standing Committee, the President, with the approval of the Executive Board, shall appoint a successor to complete the unexpired term. 5.2 Special Committee: In the event of a vacancy on a special committee, the President shall appoint a successor to complete the task, with the approval of the Executive Board. Section 6. Duties- The duties of the committees of this Association, both standing and Special, shall include: 6.1 Performance of the duties prescribed by the members of the Executive Board. 6.2 Appointment of such sub-committees as are necessary to the satisfactory accomplishment of the duties prescribed by the members and the Executive Board. 6.3 Submitting to the President and to the Trustee a written annual report, to be received at a time as prescribed by the President. 9

10 ARTICLE XV PRINCIPLES OF ETHICS Section 1. Professional Conduct of Members The principles of ethics of this Association shall be the same as the principles of ethics defined by ADHA. Section 2. Discipline of Members Rules governing conduct subject to discipline, disciplinary measures, and disciplinary procedures shall be determined by the ADHA House of Delegates and published in conjunction with the PRINCIPLES OF ETHICS. 2.1 The House of Delegates shall have the right to discipline any member by placing the member under a sentence of censure, probation, suspension, or expulsion from membership for: Having been found guilty of a felony Having been found guilty of violating the Dental Practice Act of this state Having violated the Bylaws or the Principles of Ethics of the Association. ARTICLE XVI MISCELLANEOUS Section 1. Use of Funds and Dissolution The Association shall use its funds to accomplish the objectives and purposes specified in these Bylaws, and shall never be distributed to the members of the Association. On dissolution of the Association, all funds remaining shall be remanded according to ADHA Bylaws Article XVII and reabsorbed by the parent Association. Section 2. Indemnification The Association shall have the power to indemnify any person who is or was a Delegate, Trustee, officer, employee, or agent of the Association or who is or was serving at the Request of the Association as a Delegate, Trustee, director, officer, employee, or agent of another association, corporation, partnership, joint venture, trust, or other enterprise to the full extent permitted by law. The Association may purchase and maintain insurance on behalf of any person who is or was a Delegate, Trustee, officer, employee, or agent of the Association, or who is or was serving at the request of the Association as a Delegate, Trustee, director, officer, employee, or agent of another association, corporation partnership, joint venture, trust, or other enterprise against any liability asserted against him/her and incurred by him/her in any such capacity, or arising out of his/her status as such, whether or not the Association would have the power to indemnify him/her against such liability. ARTICLE XVII AMENDMENTS Section 1. Amendments These Bylaws may be repealed, amended in whole or in part, or new provisions added by a two-thirds affirmative vote of the members of the membership present and voting at any regular meeting or any special meeting called for that purpose, provided written notice of the nature of the proposal shall have been sent to the President at least fourteen (14) days prior to any such meeting. Section 2. Effective Date Any action relative to changes in these Bylaws shall become effective upon the date provided in the proposed change or, if no date is set for, the effective date shall be the date upon which the change is adopted. ARTICLE XVIII PRINCIPLES OF ETHICS Section 1.
