25 MAHA COMMITTEE ANNUAL REPORTS How Do We Better Serve Our Members? AUDIT COMMITTEE Carol D Alberto 25

26 At the first meeting of the MAHA Board meeting the MAHA Financials were received, reviewed by the President, President Elect and Vice President of Education all were deemed appropriate. During the MAHA fiscal year when the MAHA Board meeting met the quarterly MAHA financials were reviewed again by aforementioned MAHA officers. All reports were deemed appropriate. By Bylaw amendment change, the Audit Committee was renamed to Financial Review Committee. BYLAWS AND POLICY COMMITTEE Nancy Viele A decision was made at the July, 2016 Retreat by the Policies & Procedures and Bylaws Committee that a complete review be conducted of the current Bylaws. Throughout the Board year the following additions and/or deletions were made to the Policies and Procedures: A statement was added to the Secretary s position description to state that it would be the responsibility of the Secretary to clarify for the board members each year that reports to the Annual Report from the various committees be task based with a report on the progress made within the committees An addition to the MAHA Financial Policy would provide for the MAHA President to have the discretionary power to allocate up to $75 on a quarterly basis without prior MAHA Board approval Committee memberships were reviewed and changes suggested, pending bylaw revision approval. A copy of the membership changes as produced by this committee is attached to this report. Recommendation made that the Audit Committee be renamed to Financial Review Committee and that the Resource Committee be disbanded, pending bylaw revision approval A change to the MAHA Financial Policy 17. Voucher B changed so that the Counselor s voucher will be approved by the President Elect The position description for the Vice President of Education #1 was changed to read that this person has had to be a member of the MAHA Board at least within one of the last two years prior to being nominating for this position. This change was made retroactive to October 1, A change for the MAHA Financial Policy provided that all board members will be included on the master bill for their stays at the Lansing Quality Suites Hotel and at the Fall and Annual Meeting and Educational Institute beginning with the 2017/2018 board year. A Conflict of Interest Policy was added to the MAHA Policies and Procedures The decision was made by the committee to remove the current Goals and Objectives from the MAHA Policies and Procedures Manual. A change for the position description for the Vendor Coordinator made that the duties listed be expanded to include preparation of the conference booklets at both the Fall and Annual Meetings At the MAHA 2016 Retreat the decision was made to review by the Bylaws Committee and that a complete review with necessary revisions if so identified would be undertaken. Since the input of each board member, rather than only the stated Bylaws Committee members, was sought, the Bylaws Committee at each of the quarterly board meetings was adjourned and reconvened as a Committee of the Whole to include the entire membership. The following Bylaw changes/additions were presented to the MAHA membership at the Annual Meeting on June 13, All the bylaw amendments were passed by the designated delegates. Article I NAME be changed to read: The Michigan Association of Healthcare Advocates, hereafter referred to as MAHA, is affiliated with and supports the Michigan Health & Hospital Association, hereafter referred to as MHA. Article II MISSION be added to read: The Michigan Association of Healthcare Advocate s Mission is to provide guidance and education to its member hospitals and their communities thus enabling each institution to maintain its highest standards in health care. Article IV MEMBERSHIP be reworded to state: Any auxiliary/volunteer organization whose institution loses its membership in the MHA cannot continue as a member of the MAHA. In the event that said institution meets the requirements and again becomes a member of the MHA, the auxiliary/volunteer organization may present a request to the district president who then processes the request to the board of directors of the MAHA for reinstatement. Article V MEETINGS, Section 1 be reworded to state: Board and Executive Committee meetings shall be scheduled by the President, who shall establish the time and location. Article X STANDING COMMITTEES The Standing Committees of the MAHA shall include: Council of Past MAHA Presidents Council of District Presidents Financial Review Committee Finance and Budget Bylaws/Policy Committee Education Legislative Goals & Objectives Public Relations Membership COMMITTEE ON NOMINATIONS Nancy Viele The Nominations Committee for the 2016/2017 was tasked with nominating the slate of officers for the 2017/2018 MAHA Board year. Per our current MAHA Bylaws the Nominations Committee consists of the current President, President Elect and Counselor as chair with two non-members appointed from the general membership. Since SED, UPD and ECD were represented with the board members, the other two members were selected from NCD and SWD. Unfortunately, WCD was the one district this year without representation on the Nominations Committee. The Committee began its deliberation by reviewing the composition of the present boards and those of the previous ten years. We reviewed the board members by percentage of the represented districts. With that information, the Nominating Committee concentrated its efforts in finding candidates from districts that were and have been under represented on the MAHA Board. To that end candidates from WCD, SWD and NCD were sought. To aid our search, the Nominations Committee contacted the District Presidents and in many instances the DVSes within our member hospitals. Throughout our search, the Nominations Committee heard repeatedly from possible candidates themselves to hospital administration that the volunteer climate has changed over the years, and that it is increasingly difficult to find individuals willing to accept leadership roles in the local, district or state level. Following an exhaustive search, the slate of officers for the 2017/2018 was completed, voted as acceptable at the MAHA Board of Directors Meeting and passed at the Annual Membership Meeting. CONFERENCE COMMITTEE Bobbi Bruckman Following the Installation of Officers at the 2016 Annual Meeting on Mackinac Island the first focus was placed on establishing an organized informational notebook to assist in completing the duties of Conference Coordinator as outlined in the Policy and Procedures. The goal is to present a workable informative outline to ensure a smooth transition for future Conference Coordinators. The second task undertaken by the conference committee was twofold. This was the first time the MAHA joined forces with the MHGSMA (Michigan Hospital Gift Shop Managers Association) to hold a joint Fall Conference and Vendor Show. It was also the first time in many years that the event was held at the Bavarian Inn in Frankenmuth. The MAHA and MHGSMA organizations worked diligently to overcome challenges and compromise was a key factor in making the event successful. In moving forward, the MAHA board voted to return to the Bavarian Inn for the Fall Conference in The board also voted to return to hosting an independent vendor show and conference. A bitter-sweet ending marked the 2017 Annual Meeting on Mackinac Island and the 3 rd challenge for the conference committee. It is the last time that the MAHA will hold the Annual Meeting and Installation of Officers at the Grand Hotel. Throughout the years, the staff has provided exceptional service to the MAHA board and guests; we will miss many things that were unique to the Grand 28

29 Hotel. Based on the vote of MAHA members to leave the Island our goal was to present a memorable program as well as securing a new destination for the 2018 Annual meeting. As we move forward the next Annual meeting is scheduled at the Crystal Mountain Resort in Thompsonville, MI. COUNCIL OF DISTRICT PRESIDENTS Carol D Alberto After the Installation of Officers at the 2016 Annual Meeting on Mackinac Island the Council of District Presidents met for the first time at the July MAHA Retreat in DeWitt, MI. This meeting was an educational networking session as to the duties of the individual district president s. Their duties were discussed and the focus of the council as a whole. Ideas were exchanged and a plan was formed for future meetings and discussions. During the 2016/2017 year the district council met additional concerns were addressed by the council. Some of those topics that were on the top of the list were the confusion and disruption within its membership due to the organizational change in their respective hospitals within their district. This brought about a consensus that contact between the members and their district presidents is critical for communication. Planning was undertaken and felt that contact would be effective with first line of contact being personal telephone calls to leaders of auxiliaries, volunteer leaders and DVS with follow up via and written communication. Plans were discussed that district presidents would schedule personal visits to their hospitals and possibly attend local hospital volunteer meetings. They would make themselves available for educational opportunities, networking and possible problem solving to their members. Monetary reimbursement was discussed and possible recommendations to their member hospitals for assistance in sending members to the educations opportunities available through district meetings and/or state MAHA educations conferences. During last MAHA District President Committee meeting the incoming District Presidents were invited to attend and meeting previous year s developments were discussed. Many of these recommendations will be used in the upcoming 2017/2018 year along with some new ideas presented by the new incoming board. All in all the main goal of the MAHA District Presidents is to lead and help their member hospitals in the coming year. COUNCIL OF PAST MAHA PRESIDENTS Nancy Viele The following past MAHA Presidents attended the Council of Past MAHA Presidents chaired by Counselor Nancy Viele at the 2016 Fall MAHA Conference: Chair Viele provided the following information regarding the action of the current MAHA Board: Policies and Procedures in conjunction with the Bylaws Committee members have reviewed the membership for the current committees and have recommended membership changes for some of the committees. The recommendation at the time was that three standing committees (Education Committee, Legislative Committee and Polices and Procedures) act as committees of the whole as each board member s participation is vital. It was felt that each of these committees affects each and every board member. The request was made of the chair that the working copy of these changes be forwarded to the past presidents in attendance. Membership Survey Ms. Cramer related that a membership survey of 20 questions is being developed to be distributed via the MAHA gmail account. Suggestion made that prior to the survey being distributed that a test be run and that efforts be made to ensure more accuracy of the current gmail account. H.A.P. changes a task force is reviewing this document and plans to have a rough draft completed by the end of the year. The items taken out of the document are: bylaws, policies and procedures and history of MAHA since all of these documents are on the website. Ms. Crimmins volunteered to review the draft document after completion. Name change Ms. Viele provided background concerning the suggested name change for MAHA. Committee members were reminded that the suggested name reveal at the Island had not been announced as the final name but only as a suggested name. The bags were distributed as a reminder to the membership to think about this suggested name or to submit another name. She further explained that the decision to not take the offered name to the membership for a vote was made by the board because the membership at whole requested more input. Ms. Viele informed the group that a task force committee consisting of Mary Lu Cramer, Nancy Viele, Anne Lorentzen, Russ Billau, Darlene Wilson (St. Joseph Mercy-Ypsilanti DVs) and Meagan Miller (St. Joseph Mercy-Pontiac) has been formed and has met to discuss the possibilities of adding the 12 hospitals from the St. Joseph Mercy group to MAHA. Ms. Viele, Cramer, Lorentzen and D Alberto will be making site visits to the ten hospitals who are not members of MAHA at the present time. Members reminded that MAHA now has a representative on the Legislative Policy Committee chaired by Dennis Swan. This committee reviews upcoming legislation and advises MHA on the status and relevance of the bill to healthcare issues 29

30 Members advised that one person from the MAHA Board attends the Board of Trustees meeting as a guest and is no longer a voting member. Reports from MAHA will continue to be collected for the board packet at the Board of Trustee meetings. At the present time, the MAHA President attends both the Board of Trustees meeting and the Legislative Policy Committee. MAHA co hosted with the Michigan Hospital Gift Shop Manager Association (MHGSMA) for the 68 th Fall Conference. The Letter of Understanding (contract) for this union was written for only one year. A decision will be reached after the evaluations and financial matters have been reviewed for this Fall Conference. MAHA has introduced Face book to the membership at the recent Swing Around Meetings. The members were advised that the account is a closed account and members must be invited in. President Elect, Carol D Alberto, is the primary administrator for the account and only adds members after she has received a letter of request from the MAHA member. CONCERNS OF THE GROUP Several Past MAHA Presidents expressed concern about auxiliary and volunteer boards being disbanded and that all matters relating to the volunteer activities are now decided by a Foundation Board or DVS. Ms. Viele requested that a task force from the Past Presidents group study this situation and offer any suggestions, ideas, etc. to the MAHA Board. Ms. Beverley and Ms. Crimmins offered to spearhead this endeavor. Concern expressed from the Past Presidents group that the current Website is not current especially the district news section which has none of the 2016/2017 officers listed. Ms. D Alberto is working with the district presidents to update their sections. Question raised whether going to only one conference per year would be more beneficial and more effective. This topic has been discussed at committee meetings; however, to date, no action plan has been developed. Mr. Kinsey had suggested that a Speakers Bureau composed of MAHA members be available to speak at civic clubs, Rotary Clubs, etc. No action taken or further discussion on this suggestion. Ms. Hammerstrom had suggested that an At Large category of membership in MAHA be developed so that individuals from hospitals that do not participate would be able to attend the conferences. It was noted at the meeting that with the current MAHA Bylaws, this could not be put into operation. Ms. Crimmins volunteered to speak with Ms. Hammerstrom concerning this issue. Several past MAHA Presidents requested that the MAHA Past Presidents Committee Meeting be held at both the Fall and Annual Meetings. Ms. Viele stated that she would take this request to the next Education Committee meeting. Participants of the meeting again reiterated their support of the MAHA conferences and offered their services during such meetings. They were asked to relieve the district presidents at the registration table this year. Their contribution was acknowledged and appreciated. Ms. Bershas suggested that Chris Ainslie receive a complimentary registration at both the Fall and Annual MAHA Conferences since she routinely takes pictures which MAHA uses for promotional purposes. Both Ms. Cramer and Viele concurred with this suggestion. The was matter will be brought up at the MAHA committee and board meetings. A motion was made and passed that whenever Chris Ainslie performs the duty of conference photographer, her registration fee will be waived. EDUCATION COMMITTEE Anne Lorentzen In July, 2016 the committee members reviewed a list of potential topics to be considered for the Annual Meeting and Educational Institute for The five topics were selected and possible contact people were suggested to the Chairman for follow-up. When the committee met in September, Ms. C D Alberto informed us that all arrangements for the Fall Conference 2016 had been completed and that the expenses of two speakers would be shared with MHGSMA. Ms A Lorentzen formed the group that the entertainment for the evening would be the Which Doctors a group from Covenant HealthCare Saginaw. The committee approved the following themes for the years. Break Through to Excellence was selected for the Annual Meeting and Prisms of Possibility for the Fall Conference. In February, the evaluations from the Fall Conference were reviewed. The suggested future topics will be used for future planning by the committee. The committee approved the following as the speakers and workshop presenters or the Annual Meeting: Opening speaker, Kay Wagner and closing speaker, Kay Frances. The workshop speakers are: Carol Bridges, Sarah Knochel, Ryan Murtha and Melissa Murtha. A representative from MHA will do an update on Federal and State issues that will be affecting our hospitals. Planning that has been done for the Fall Conference was discussed. In April, the committee approved the arrangement for Ron Culberson to be the opening speaker for the Fall Conference. A representative from MHA, Mark Augsburger, CEO and Megan Mill, Director of Office of Development have been confirmed for the conference. Kristin Ireland, DVS will be contacted to provide a workshop on Fund Raising, the Michigan State Police as to a speaker on Human Trafficking and State or Federal Governments as to a speaker on Prescription Drug Addiction. The Chair of the Committee has completed the arrangements for the speakers at the Annual Meeting on Mackinac Island and informed the MAHA Board as to their responsibilities in introducing the various speakers to the attendees. 30
