5 5 CONSTITUTION OF THE LIONS CLUB OF TAMBORINE MOUNTAIN_INCORPORATED DEFINITIONS The Lions Club of Tamborine Mountain Incorporated is an incorporated association, as a not for profit, community service organization, chartered by and under the jurisdiction of the International Association Of Lions Clubs. This Constitution and By-Laws and any amendments there to, shall be in full force and effect and govern the operations of the Lions Club of Tamborine Mountain Incorporated, conforming with the International Association of Lions Clubs Constitution and By-Laws, provided, however, that where any matter is inconsistent with the Associations Incorporation Act, the Act prevails to the extent of the inconsistency. In a matter pertaining to any International Association of Lions Clubs procedure not being provided for in these rules, but the matter is provided for in the publication The Standard Form Lions Club Constitution and By-Laws, then that publication may be used for guidance, provided however, there is no inconsistency with the rules of the Associations Incorporation Act. REFERENCE Lions Australia Club Administration Manual This manual is provided by Multiple District 201 of the International Association of Lions Clubs as a guide and supplementary information for the operations of Lions Clubs within Multiple District 201. This manual may be obtained by mail or downloaded from the Lions web site. INTERPRETATIONS In this Constitution, except where inconsistent with the content: ACT means The Associations Incorporation Act of (as amended) Board of Directors means the Board of Directors of this Club who shall constitute the Management Committee of the Club within the meaning of the Associations Incorporations Act. Chairman / Chairperson means the President, and / or the elected / appointed leader of the Club, Sub-Committee or project. Club and Chartered Club refers to this duly organized Lions Club, which was chartered under the jurisdiction of and complying with the financial requirements of the International Association Of Lions Clubs. District means the Incorporated Association within the International Association Of Lions Clubs as designated by Multiple District 201. District Governor means the current District Governor of Lions Clubs International District 201 Q1. General Meetings All meetings defined in Rule 14 of this Constitution shall be considered General and Dinner Meetings of this Club. International, International Association and Lions Clubs International means the International Association of Lions Clubs. International Constitution And By-Laws means the Constitution and By-Laws of the International Association of Lions Clubs, as amended from time to time. Management Committee means the Board Of Directors.

6 6 Member In Good Standing and Good Standing refers to a Member who has met all his / her financial obligations to the Club. Multiple District means the area designated by the International Association of Lions Clubs under the name of Multiple District 201, which includes the State of Queensland. Multiple District Council means the council of Multiple District 201, Lions Clubs International. President Elect is the Lion elected by the Club Membership to the office of President for the following year. State means the State of Queensland, Australia. Statutory Regulations means State and Federal legislation, including the Associations Incorporations Act 1981 and the Collections Act The International Board means the Board Of Directors of the International Association of Lions Clubs. Gender means wherever the male gender or pronoun presently appear in this Constitution and By Laws, it shall be interpreted to mean both male and female persons.

7 7 RULE 1: NAME OF CLUB The name of this Incorporated Association is the Lions Club of Tamborine Mountain Incorporated herein referred to as this Club or the Club. The full name using the word incorporated or Inc. must be used on all documents and advertising material. RULE 2: SLOGAN, MOTTO, EMBLEM AND COLOURS Section A: Slogan: The Slogan of this Club shall be: Liberty, Intelligence, Our Nations Safety. Section B: Motto: The Motto of this Club shall be We Serve Section C: Emblem and Colours: The emblem and colours of this Club shall be the same as the emblem and the colours of the International Association of Lions Clubs. RULE 3: PURPOSES The purposes of this Club shall be those of the International Association of Lions Clubs: 1. To create and foster a spirit of understanding among the peoples of the world. 2. To promote the principles of good government and good citizenship. 3. To fund and otherwise serve the civic, cultural, social and moral welfare of the community. 4. To assist financially, culturally, socially, and morally, the disabled, disadvantaged and infirm of the community, both directly and also indirectly. 5. To unite the Clubs in the bonds of friendship, good fellowship, and mutual understanding. 6. To provide a forum for the open discussion on all matters of public Interest; provided, however, that partisan politics and sectarian religion shall not be debated by Club Members. 7. To encourage service minded people to serve their communities without personal reward, and to encourage efficiency, and promote high ethical standards in commerce, industry, professions, public works, and private endeavours.

8 RULE 4: OBLIGATIONS OF THE CLUB 8 The Club has accepted a charter from the International Association of Lions Clubs, and in accepting that charter, the Club has agreed on its part to be bound by the Constitution and By-Laws of the International Association of Lions Clubs, (the clauses of the International Constitution that are relevant to this Club have been reproduced in full in the appropriate sections of these rules.) and to have its relationship with the International Association of Lions Clubs interpreted and governed by the Constitution and By-Laws of the International Association of Lions Clubs. To remain in good standing, the Club s obligations include the following: (1) To collect from each member, except as otherwise provided in this Constitution, the minimum annual dues to cover International, Multiple District, District Dues and such other expenses as are necessary for Club administration. (2) To uphold, preserve and enhance the image of the International Association.. (3) To further the International Association of Lions Clubs Purposes and Ethics. (4) Submit such regular reports to the office of Lions Clubs International in the prescribed format and manner, containing such information as may be called for by the International Board of Directors. (5) To elect officers, annually, not later than April 15, whose term of office shall commence on July 1, following their election. (6) To abide by the Constitution and By-Laws of the International Association of Lions Clubs, and the policies and directives of the International Board of Directors. (7) To resolve disputes (except matters detailed in Rule 8 Section L and Rule 11 Section C) arising at a Club level, according to Rule 11- Section C of this Constitution, or the Club Dispute Resolution Procedure set down from time to time in the policy of the International Board of Directors. (8) The Club may resign from the International Association of Lions Clubs and the said resignation shall be effective upon acceptance thereof by the International Board of Directors. The International Board of Directors may withhold acceptance, however, until all indebtedness has been paid, all club funds and property disposed of, the Clubs Charter has been returned, and all rights to the use of the name LIONS, the emblem and other insignia of the International Association has been surrendered. RULE 5: PUBLIC & PRODUCT LIABILITY INSURANCE Section A Declaration Multiple District 201 of the International Association has in place a Lions Insurance Program that provides insurance cover for a wide range of events and activities of Lions Clubs. This program includes personal accident and public liability insurance. All Clubs and Districts are automatically insured and no action by this Club is necessary. Policies are renewed in September of each year. Section B Public & Product Liability Insurance Cover The Public & Product Liability Insurance cover included in the Lions Insurance Program includes: (1) An International Association world wide cover for all Lions Clubs of A$1,000,000. (2) An additional Australia layer of cover of A$19,000,000. This cover follows the world wide policy completely. Section C Insurance Certificates Issue Copies of Public & Product Liability Insurance Policies as stated in Section B 1 and B 2 of this Rule may be obtained by mail or electronic medium.

9 9 RULE 6: POWERS OF THE CLUB Section A Definition This Club has, in the exercise of its affairs, the powers of an individual. Section B Examples of Powers This Club may, for example; (1) enter into contracts; and (2) acquire, hold, deal with and dispose of property; and (3) make charges for services and facilities it supplies; and (4) do other things necessary or convenient to be done in carrying out its affairs. RULE 7: CLUB BRANCH PROGRAM: Section A Authority to Form a Branch Club The Club, (herein within this rule shall be referred to as the Parent Club ), may form branches to permit the expansion of Lionism into geographical areas where the local population may be too small to support the formation of a traditional Charter Club. The Branch shall meet as a sub-committee of the parent Club and conduct service activities in its community. Section B Membership of the Branch Club The members of the branch shall be granted membership in the parent Club and the Branch, by invitation issued by the Board of Directors of the parent Club, as provided for in Rule 8- Sections B and Section C. Membership shall be in one of the categories listed in Rule 8- Section E. Members of the Branch Club are encouraged to attend scheduled regular meetings of the parent Club. Section C Coordinator and Vice Coordinator The members comprising the branch shall elect a Coordinator and Vice Coordinator. The Coordinator shall also be a member of the parent Club s Board of Directors and shall attend general and / or board meetings of the parent Club, to provide reports on activities and financial reports as determined and maintain effective communication between the branch and the parent Club. Section D Parent Club Delegate The parent Club shall designate a member of the parent Club to oversee the functioning of the branch and also be an officer of the branch Club. Section E Voting Rights The members of the branch may vote on the activities of the branch and are also voting members of the parent Club, when in attendance at meetings of the parent Club. Branch members shall be calculated in parent club quorum requirements, only when present at a parent Club meeting. Section F Finance Obligations With Public Monies Activity or public welfare monies, raised by the branch by asking for public support, shall be held in a fund established to record such purpose. Funds shall be distributed in the branch community unless otherwise specified. The Board of Directors of the parent Club may authorize the branch Coordinator to countersign cheques and vouchers, authorized for payment by the parent Club s Board of Directors.

10 Section G Dissolution Of Branch The branch Club may be disbanded by a two-thirds majority vote of the entire Board of Directors of the parent Club. In the event of dissolution of a branch Club, any remaining funds shall be transferred to the parent Club. In the event the branch Club is converted into a newly chartered Club, any remaining funds shall be transferred to the newly chartered Club. RULE 8: MEMBERSHIP Section A Membership Numbers This Club should strive to maintain a minimum membership of 20 members, the numerical minimum membership required to receive a charter. The maximum numbers of members is unlimited, except for the provisions of Rule 8-E3 and Rule 8-E7. Section B Eligibility for Membership Subject to the provisions of Section D of this Rule, any person of legal majority and good moral character, and good reputation in his / her community, may be granted membership in this Club. Section C Membership by Invitation (1) Membership in this Club shall be acquired by invitation only. (2) Information provided to prospective members shall include reference to the Public Liability Insurance policy. (3) Nomination for membership shall be made on the prescribed Application For Membership form, which shall be signed by a member, who is in good standing and who shall act as sponsor. The completed form shall be submitted to the Membership Director or the Secretary, and after investigation by the Membership Committee, be submitted to the Board of Directors for approval. (4) If approved by a majority of the said Board, the prospect may then be invited to become a member of the Club. A properly filled out application form, duly signed together with the entrance fee and Club dues, must be in the hands of the Secretary before the member may be officially inducted into the Club and be reported to the International Association as a Club member. Section D No Appeal Against Rejection for Invitation for Membership Any person in respect of whom a nomination for invitation for membership has been rejected shall not have the right of appeal against such rejection. Section E Categories of Membership The categories of Membership of this Club shall be as follows: (1) ACTIVE: A member entitled to all rights and privileges and subject to all obligations which membership in a Lions Club confers or implies, without limiting such rights and obligations, such rights shall include eligibility to seek, if otherwise qualified, any office in this Club, District, Multiple District or the International Association and the right to vote on all matters requiring a vote of the membership and such obligations shall include regular attendance, prompt payment of dues, participation in Club activities and conduct and reflecting a favourable image of this Club in the community. As provided in the International Family Membership Program criteria, qualifying family members shall be active members and be entitled to the rights and privileges thereof. As provided in the International Student Member Program criteria, a qualifying student, former Leo and young adult members shall be active members and be entitled to all rights and privileges of membership. 10

11 (2) MEMBER AT-LARGE: A member of this Club who has moved from the community, or because of health or other legitimate reason, is unable to regularly attend Club meetings and desires to retain membership in this Club and upon whom the Board of Directors of this Club desires to confer this status. This status shall be reviewed each six months by the Board of Directors of this Club. A Member-At-Large shall not be eligible to hold office or vote at District, Multiple District or International Association meetings or conventions, but shall pay dues as this Club may charge, of which shall include District, Multiple District and International Association Dues. (3) HONORARY MEMBER: An individual, not being a member of this Club, having performed outstanding service for the community or this Club, upon whom this Club desires to confer special distinction. This Club shall pay entrance fees, International, Multiple District and District Dues on such member, who may attend meetings but shall not be entitled to any privileges of Active Membership. Honorary membership shall not exceed 5% of the total membership of the Club. 11 (4) PRIVILEGED MEMBER: A member of this Club who has been a Lion for fifteen years or more, who, because of illness, infirmness, advanced age or other legitimate reason, as determined by the Board of Directors of this Club must relinquish his / her active status. A privileged Member shall have the right to vote and be entitled to all other privileges of membership, except the right to hold Club, District, Multiple District or International Association office. (5) LIFE MEMBER: Any member of this Club who has maintained Active Membership as a Lion for 20 or more years and has rendered outstanding service to this Club, his / her community or the International Association; or any member of this Club who is critically ill; or any member of this Club who has maintained such active membership for more than 15 years and is at least 70 years of age, may be granted Life Membership of this Club, upon: (a) (b) (c) (d) recommendation of this Club to the International Association. payment by this Club to the International Association of such amount that the International Association shall from time to time set in lieu of all future dues payable to the International Association. approval by the International Board of Directors. Nothing herein shall prevent this Club from charging a Life Member such dues as it shall deem proper. A Life Member shall have all the privileges of active membership so long as he / she fulfils all obligations thereof. A life member who desires to relocate and receives an invitation to join another Club shall automatically become a Life Member of that Club. Former Lioness members who are now Active members of their Lions Club or who became Active members of a Lions Club on or before June 30, 2007, may apply all of their prior Lioness service toward Life Membership eligibility. Lioness members who became Active members of a Lions Club after June 30, 2007, will not be eligible for Lioness service credit for the purposes of Life Membership. (6) ASSOCIATE MEMBER: A member who holds his / her primary membership in another Lions Club but maintains a residence or is employed in the community served by this Club. This status may be conferred by the invitation of the Board Of Directors and shall be reviewed annually. This Club shall not report an Associate Member on its Membership and Activities Report.

12 12 An Associate Member may be eligible to vote on Club matters at meetings where he / she is present in person, but may not represent the Club as a delegate at District, Multiple District or International conventions. He / she shall not be eligible to hold Club, District, Multiple District or International office, nor Club, District, Multiple District or International committee assignments through this Club. International, District and Multiple District dues shall not be assessed on an Associate Member; provided, however, nothing shall prevent this Club from assessing an Associate Member such Club dues as it shall deem proper. (7) AFFILIATE MEMBER: A quality individual of the community who currently is not able to fully participate as an Active Member of the Club, but desires to support the Club and its community service initiatives and be affiliated with the Club. This status may be conferred by the invitation of the Club s Board of Directors. An Affiliate Member shall be eligible to vote on Club matters at meetings where he / she is present in person, but may not represent the Club as a delegate at District, Multiple District and International conventions. He / she shall not be eligible to hold office or committee assignments of the Club, District, Multiple District or the International Association. An Affiliate Member shall be required to pay District, Multiple District, International and such Club dues, as the Club may charge. Affiliate membership shall not exceed 25% of the total actual membership of the Club. Section F Dual Membership No person shall simultaneously hold membership other than honorary or Associate Membership in this or any other Club. Section G Good Standing A Member Fulfilling all Financial Obligations A member in good standing is a member who has fulfilled all financial obligations of membership in this Club. Only members in good standing may exercise the voting privilege and hold office in this Club. Section H Resignation of Membership Any member may resign from this Club and the said resignation shall become effective upon acceptance by the Board of Directors of this Club. The Board may withhold acceptance, however, until all indebtedness has been paid, all club funds and property have been returned and all rights to use the name LION, the emblem and other insignia of this Club and the International Association have been surrendered. Section I Reinstatement of Membership Any member dropped from membership in good standing may be reinstated by the Board of Directors of the Club and will retain their Lions service record as part of their total Lions service. Members that have been dropped for more than 12 months must be reinstated in accordance with Rule 8-Section C. Section J Transfer of Membership This Club may grant membership on a transfer basis to a member in good standing, who has terminated or is terminating his / her membership in another Lions Club, provided that: (a) a completed transfer member form is received by the Secretary of this Club within 12 months following the date of termination in his / her former Club. (b) if more than 12 months have elapsed between termination of his / her membership in another Club and submittal of a completed transfer member form or current membership card, he / she may acquire membership only under the provisions of

13 (c) Rule 8-Section C. members who wish to transfer to another Club must submit a transfer form, to be completed by the Secretary, who is obliged to complete the transfer form without delay, unless the Board of Directors of this Club is withholding acceptance of the members resignation and transfer due to indebtedness to the Club and / or failure to return any Club funds, or property. 13 Section K Failure to Pay Indebtedness Any member who fails to pay any indebtedness due to this Club within sixty (60) days after written notice from the Secretary or Treasurer shall forfeit his / her good standing and shall so remain until such indebtedness is paid in full. The Secretary shall submit to the Board of Directors the name of any member who fails to pay any indebtedness due to this Club, within 60 days after receipt from the Secretary of written notice. The Board of Directors of this Club shall thereafter decide whether the member shall be dropped from or retained on the membership register. Section L Forfeiture Of Membership (1) Any member may be expelled from the Club for cause by a two thirds majority of the entire Board of Directors of this Club. (2) Upon removal, from this Club, any and all right to use the name LIONS, the emblem, and other insignia of this Club or the International Association shall be forfeited. (3) This Club shall remove members who have been convicted of an indictable offence, or whose conduct has been deemed a violation of the International Constitution and By-Laws, the Constitution of this Club and the Club Policy Minutes or considered to be injurious or prejudicial to the character or interests of the Club or the International Association. Section M Right Of Appeal Any person who has had their membership terminated shall have the right to appeal at a special meeting called for this purpose, during the next regular meeting of the entire membership of the Club, where the person shall be given the opportunity to present his / her case. The question of termination shall be determined by the vote of all members present, who are eligible to vote. There shall be no right of appeal against the decision of the meeting. Section N Membership Register (1) The Board of Directors must keep a register of members of the Club. (2) The Register must include the following: (a) The postal or residential address of the member. (b) The date of admission of the member. (c) (d) The date of resignation, termination or decease of the member. Any other particulars the Board of Directors or members at a general meeting shall decide. (3) The register must be open for inspection by members of the Club at reasonable times. (4) However, the Board of Directors may, on the application of a member of the Club, withhold information about a member (other than the member s full name ) from the register, if the Board of Directors has reasonable grounds for believing the disclosure of information would put the member at risk. Section O Prohibition on Use of Information in the Register of Members A member of the Club must not: (1) use information obtained from the register of members of the Club to contact, or send material to another member of the Club or other persons for the purpose of advertising political, religious, charitable or commercial purposes; or

14 (2) disclose information obtained from the register to someone else, knowing that the information is likely to be used to contact, or send material to another member of the Club or other persons for the purpose of advertising for political, religious, charitable or commercial purposes. 14 Rule 9: DISPUTE RESOLUTION Section A Disputes Subject to Procedure All disputes,(except those matters detailed in Rule 8-Section L and Rule 11-Section C) arising between any member or members, or a former member or members and the Club, or any officer on the Board of Directors of the Club relative to membership, or the interpretation, breach of, or application of the Club s Constitution and By-Laws, expulsion of any member from the Club or any other internal Lions matter whatsoever, which cannot be satisfactorily resolved through other means, shall be settled by dispute resolution. Except as otherwise provided herein, any time limits specified in this procedure may be shortened or extended by the District Governor, Conciliator or the International Board of Directors (or its designee), upon a showing of good cause. All parties to this procedure shall not pursue administrative or judicial actions during this dispute resolution process. Section B Request for Dispute Resolution Any party to the dispute may file a written request with the District Governor, ( a complaint ) asking that the dispute resolution take place. All requests for a dispute resolution must be filed with the District Governor within thirty (30) days after the member knew or should have known of the event upon which the request is based. A copy of the complaint shall be sent to the respondent(s). A complaint filed under this procedure must be accompanied by a filing fee, in Australian currency, equal to $50.00, payable by each complainant to the District Governor at the time the complaint is filed. The District may determine whether a higher fee will be charged for filing the complaint under this procedure. Any such higher filing fee must be approved by a majority vote of the District Cabinet, in advance of charging any fee for filing a complaint under this procedure and any such fee shall not exceed the equivalent in Australian currency of $250.00, payable to the District. The entire filing fee will be retained by the District as an administrative fee and shall not be refunded to any parties. All expenses incurred relative to the dispute resolution procedure are the responsibility of the District, unless established District Policy provides that all expenses incurred to this dispute resolution procedure shall be paid on an equal basis by the parties to the dispute. Section C Response to Complaint The respondent(s) to the complaint may file a written response to the complaint with the District Governor within ten (10) days of receiving notice of the complaint. A copy of the response shall be sent to the complainant(s). Section D Confidentiality of Communications Once the complaint has been filed, communications between the complainant(s) Respondent(s) and the District Governor and the Conciliator, should be kept Confidential to the extent possible. Section E Appointment of Conciliator Within fifteen (15) days of receipt, the District Governor shall appoint a conciliator to hear the dispute. The conciliator shall be a Past District Governor who is currently a

15 15 member in good standing of a Club in good standing in the District, in which the dispute arises, other than the Club which is a party to the dispute and who is impartial on the matter in dispute and without loyalties to any of the parties to the dispute. The District Governor shall notify the parties, in writing, of the name of the appointed Conciliator. In the event an appointed Conciliator is not acceptable to any party, the objecting party must submit a written statement to the District Governor within ten (10) days of receiving the District Governor s notice of appointment, identifying all the reasons for such objection. If no objection is received, the Conciliator shall be deemed acceptable to all parties. If the District Governor determines, in his / her sole discretion, that the party s written objection statement sufficiently demonstrates that the appointed Conciliator lacks neutrality, the District Governor shall appoint a suitable Conciliator as provided above, otherwise the District Governor shall issue his / her denial of the objection(s) and confirm the appointment of the original Conciliator, in writing, to all the parties. The District Governor s decision and appointment shall be determined within fifteen (15) days of receiving any parties written objection statement. Upon appointment, the Conciliator shall have all authority appropriate and necessary to resolve or decide the dispute in accordance with this procedure, The time limits in Section E may not be shortened or extended by the District Governor. If the District Governor does not appoint a conciliator to hear the dispute within fifteen (15) days of receipt of the complaint, the Legal Division will appoint a Conciliator to hear the dispute in the same manner as provided for in Section E. above. The appointed Conciliator shall have all authority appropriate and necessary to resolve or decide the dispute in accordance with this procedure. Section F Conciliation Meeting Upon being appointed, the Conciliator shall arrange a meeting of the parties for the purpose of conciliating the dispute. The meeting shall be scheduled within thirty (30 ) days of the appointment of the Conciliator. The objective of the Conciliator shall be to find a prompt and amicable resolution to the dispute. If such conciliation efforts are unsuccessful, the Conciliator shall have the authority to issue his / her decision relative to the dispute. The Conciliator shall issue the decision in writing, no later than thirty (30) days after the date on which the initial meeting of the parties was held and the decision shall be binding on all parties. A copy of the written decision shall be provided to all parties, the District Governor and upon request, to the Legal Division of the International Association. The decision of the Conciliator must be consistent with any applicable provisions of the International, Multiple District and District Constitutions and By-Laws and policies of the International Board of Directors and is subject to the authority of and further review by the International Board of Directors at the sole discretion of the International Board of Directors or its designee. Failure to comply with the final and binding decision of the Conciliator constitutes conduct unbecoming a Lion and is subject to loss of membership privileges and / or Club charter cancellation.

16 16 Rule 10 FEES AND DUES Section A New, Reinstatement of and Transfer of Membership Each new, reinstated and transfer member shall pay the entrance fee which has been determined by the members of this Club. This fee shall include the current International Association entrance fee and shall be collected before such member is enrolled as member of this Club and before the Secretary may report such member to the International Association; provided, however, that the Board of Directors may elect to waive all or part of the Club portion of the said entrance fee to any member granted membership by transfer or reinstatement within 12 months of termination of his / her prior Lions Club membership. Section B Membership Dues Each member shall pay regular annual /semi annual dues which shall include an amount to cover current International Association dues, Multiple District dues, District dues, and Club administration costs. The amount of the dues for each category of membership may be reviewed by Club members as required and the dues shall be paid in advance, at such times as has been determined by the members of this Club for:- (1) Active (including family members) (2) Member At Large (3) Honorary (4) Privileged (5) Life Member (6) Associate Member and (7) Affiliate Member. All Associate Members shall only pay Club Administration dues as determined by the members of the Club All Affiliate Members shall pay the amount as determined by the members of the Club as the dues for this category of membership. Section C No Additional Dues No dues, fees or assessments in addition to those set forth herein, may be levied on or required of any member of this Club, Its Board of Directors or any Officer of the Club. Section D Club Activity Advance Payments This Club may require members to pay costs in advance for special luncheons, dinners or other social activities but such costs shall not be assessed as part of regular semiannual dues. Section E Remittance Of Dues The Treasurer of this Club shall remit International Association dues, Multiple District dues and District Dues, to the parties and at the times specified in the respective billing, as provided for in the International Association, Multiple District and District Constitutions and By-Laws. Rule 11: OFFICERS OF THE CLUB Section A Officers Positions The officers of this Club shall be a President, Immediate Past President, two Vice Presidents, Secretary, Treasurer, Membership Director, all other elected Directors, Lion Tamer, Tail Twister and any other Officer that may be deemed required to be elected to the Board of Directors.

17 17 Section B Eligibility to Hold Office No person shall be eligible to hold office in this Club unless he / she is an active member in good standing. Section C Removal from Office Any officer of this Club may be removed from office for cause by a two-thirds majority vote of the Club membership. The right of appeal shall apply as is provided for in Rule 8-Section M. Section D Duties of Officers of The Club (1) President The President shall be the chief executive officer of the Club, preside at all meetings of the Board of Directors and the Club, issue the call for regular and special meetings of the Board of Directors and the Club, appoint the standing and special sub-committees of the Club and cooperate with chairpersons thereof to effect regular functioning and reporting of such sub-committees, see that regular elections are duly called, noticed and held, and cooperate with and be an active member of the District Governor s Advisory Committee of the Zone in which the Club is located. The President shall carry out all the duties required of the President by any Statutory Regulation and the International Association, including the signing of minutes of all Club and Board meetings, following the succeeding meeting, by a resolution, that such minutes are a true and accurate record of the said meeting. (2) Immediate Past President The immediate Past President (and other Past Presidents) shall officially greet members and their guests at Club meetings and shall represent this Club in welcoming all new service-minded people in the community, serviced by this Club. (3) Vice Presidents If the President is unable to perform the duties of President for any reason, the Vice President next in rank shall act as President and perform those duties with the same authority as the President. Each Vice President shall, under the direction of the President, oversee the function of such activities and sub-committees of this Club as the President shall designate. (4) Secretary The Secretary shall be an individual residing in the State of Queensland or in another State, but not more than 65 kilometres from the Queensland border and shall be under the supervision and direction of the President and the Board of Directors and shall act as a liaison officer between the Club and the District in which this Club is located, The Multiple District and the International Association. In fulfilment of this, the Secretary s duties include, but not limited to: (a) carrying out all duties required of the Secretary including any Statutory Regulations of the International Association of Lions Club, the Constitution of this Club, the Associations Incorporation Act and any other regulations applying to this Club. (b) calling meetings of the Club, including preparation of notices of meetings and of the business to be conducted at the meeting. (c) submit regular monthly and other reports to the International Association on forms provided for such reports or by electronic transmission, containing such information as may be called for therein and otherwise by the Board of Directors of the International Association of Lions Clubs. (d) submit to the District Governor s Cabinet such reports as it may require including copies of regular membership and activities reports. (e) cooperate with and be an active member of the District Governor s Advisory Committee of the Zone, in which the Club is located.

18 18 (f) have custody, keep and maintain general records of this Club, including records of minutes of Club and Board meetings and the Membership Register. All such records must be available for inspection by any Club member at all reasonable times. (g) ensure that monthly, quarterly or semi-annual statements that have been prepared by the Treasurer for dues and other financial obligations owed to this Club are issued to members by electronic or other means. (h) give bond for the faithful discharge of his / her office in such sum and with such surety as determined by the Board of Directors. (i) deliver in a timely manner, at the conclusion of his / her term in office, the general records of the Club to his / her successor in office. (5) Treasurer (a) Under the supervision of the President and the Board of Directors, the Treasurer is the financial and accounting officer of the Club and shall ensure that the financial affairs are organized, recorded and reported in a business like manner, in accordance with generally accepted accounting practices. (b) The Treasurer shall : (1) carry out all the duties required of the Treasurer by any Statutory Regulations, the International Association and this Club s Constitution and By-Laws. (2) prepare statements for dues and other financial obligations owed this Club by each member or other person, collect same and issue a receipt. (3) receive all monies from the Secretary, or otherwise, issue a receipt and deposit the same in the appropriate Bank Account established for such purpose. (4) pay out all monies in payment of Club obligations only on the authority given by the Board of Directors. All cheques and vouchers shall be prepared by the Treasurer. The Treasurer should be the controlling signatory for all accounts operated by the Club. (5) have custody, keep and maintain general financial records, receipts, invoices and disbursements for the prescribed time for maintaining such records. (6) prepare a monthly financial and reconciliation report for the Board of Directors and all members of the Club. (7)give bond for the faithful discharge of his / her office in such sum and such surety as determined by the Board of Directors. (8)deliver, in a timely manner, at the conclusion of his / her term in office, the general financial records of the Club to his / her successor in office. (6) Membership Director The Membership Director shall be elected for the purpose of maintaining or increasing the level of membership of the Club, through a membership growth program, and shall also be the chairperson of the Membership Sub-committee. The key elements of the membership growth program are; membership growth, new member orientation, membership retention and Club care. The duties of the Membership Director shall be to: (a) develop and implement a membership growth program, specific to the needs of this Club. (b) continually encourage members to bring in new quality members. (c) ensure proper procedures for approvals of membership, information for new members is provided and that new members are properly inducted. (d) ensure each new member has a sponsor for proper mentoring of the new member. (e) conduct orientation sessions for new members. (f) (g) have an effective retention policy to address loss of membership have a Club care policy for the welfare of members and family and for reviewing Club functioning in respect of harmony and member concerns, in pursuing the Lions Purposes.

19 (h) regularly report to the Board of Directors on membership status and matters for attention. (i) serve as a member on the Zone level membership committee. 19 (7) Directors The Directors as duly elected, in accordance with Rule 14-Section F, shall carry out such duties as the President and the Board of Directors may assign. A minimum of two Directors shall be elected. If approved by the members of the Club, additional Directors, if deemed necessary, may be elected, subject to Rule 14-Section F. (8) Lion Tamer The Lion Tamer shall have charge of and be responsible for the property and paraphernalia of the Club. An Equipment Register shall be established and maintained including the location of each item. General Meetings: The Lion Tamer shall put out the regalia, including flags, banners, bannerettes, gong, gavel, audio and visual equipment, displays, framed:- invocation, mission statement, purposes and code of ethics, each in its proper place before each meeting and return the same to the proper storage area after each meeting. The Lion Tamer shall act as sergeant-at-arms at meetings, see that those present are properly seated, distribute literature and carry out favours as required at Club and Board of Directors meetings. The Lion Tamer shall give special attention to ensure that each new member sits with a different group at each meeting, so that the new member can become better acquainted. (9) Tail Twister The Tail Twister shall promote harmony, good fellowship, life and enthusiasm in meetings through appropriate stunts and games and the judicious imposition of fines on Club members. There shall be no ruling from the Tail Twister s decision in imposing a fine, provided however, that no fine shall exceed a single coin and no member shall be fined more than twice at any one meeting. The Tail Twister may not be fined except by unanimous vote of all members present. All monies collected by the Tail Twister shall be immediately turned over to the Treasurer. (10) Other Officers The Club Members shall have discretion to elect other Officers as members of the Board of Directors if they deem such action is necessary and in the best interest of the Club. These Officers shall carry out such duties as the Club members may assign.

20 20 Rule 12: BOARD OF DIRECTORS (MANAGEMENT COMMITTEE) Section A Members of The Board of Directors The Members of the Board of Directors (Management Committee) shall be the President, Immediate Past President, the Vice Presidents, Secretary, Treasurer, Membership Director, Directors, Lion Tamer, Tail Twister, Branch Coordinator if applicable and so designated and any other Officers elected to the Board. Every member of the Board of Directors must be an active member in good standing. Section B Duties and Powers of the Board of Directors In addition to those duties and powers, express and implied, set forth elsewhere in Statutory Regulations and this Constitution and By-Laws, the Board of Directors have the following duties and powers: (1) It shall constitute the Management Committee within the meaning of the Associations Incorporation Act and the Executive Board of Directors of this Club, and be responsible for the execution, through the Club Officers, of the policies approved by this Club. All new business and policy of this Club shall be considered and shaped, first by the Board of Directors for presentation to and approval by the Club members at a regular or special Club meeting. (2) Except as otherwise provided by these rules and subject to resolutions of the members of the Club at any general meeting, the Board of Directors shall: (a) have the general control and management of the administration of affairs, property and funds of the Club and (b) have the authority to interpret the meaning of these rules and any matter relating to the Club on which these rules are silent. (3) authorise all expenditures and shall not create any indebtedness beyond the current income of this Club, nor authorise disbursal of Club funds for purposes inconsistent with the rules, the business and policy authorised by the Club membership. (4) have the power to override or rescind the action of any Officer of this Club. (5) have the books, accounts and operations of this Club audited, in accordance with the financial reporting requirements of the Associations Incorporation Act 1981, annually, or at its discretion, more frequently. It may require an account of or have an audit made of the handling of any Club funds by any Officer, Sub-Committee or Member of this Club. (6) upon request, allow a Club member, who is in good standing, to inspect any such audit or accounting records, at a reasonable time and place. (7) approve of a bank or other financial institution for the deposit of the funds of this Club. (8) not authorise, nor permit the expenditure, for any administration purpose, of the net income of projects or activities of this Club, by which funds were raised from the public. (9) determine the surety for the bonding of any Officer of this Club.. (10) submit all matters of new business and policy to the respective standing or special Sub-Committee for study and recommendation to the Board of Directors. (11) name and appoint, subject to the approval of the Club membership, the delegates and alternates of this Club to District, Multiple District and International Association Conventions, as provided for in Rule 23. (12) maintain two separate funds in accordance with Section H of this Rule 12. Disbursement of such funds shall be in strict compliance with Section B-8 of this Rule 12.
