1 BY-LAWS SOLANO REENTRY COUNCIL Article I. Name and Purpose Name The name of the Council shall be the Solano Reentry Council. Section II. Purpose The purpose of the Solano Reentry Council is to create, enhance, and improve supportive reentry services for the men and women who are in custody or who have recently been released to Solano County from incarceration. Its purpose is also to meet the needs of children and families who have an incarcerated family member. These efforts will reduce recidivism and assure healthier and safe communities and will be accomplished through the collaboration of public and private agencies, the faith community, and concerned citizens who comprise this Council. Article II. Board of Directors (Board) Board Membership Membership of the Board shall be selected by their peers on the Solano Reentry Council at their January membership meeting. Membership shall be based on their understanding of the Solano Reentry Council purpose, their experience and interest in reentry planning, and their ability to commit to active participation in meetings and events. The Board shall consist of a minimum of 10 members and a maximum of 20 members. The available positions on the Board shall consist of the following: Member(s) at Large Formerly Incarcerated Person CDCR Prison CDCR Parole Solano County Probation Solano County Sheriff Solano County Health & Social Services Solano County Public Defender Solano County District Attorney Committee Co-Chairs Legislative Representative up to two (may be service providers) up to two (may be service providers) up to two per committee (may be service providers) Revised July 28, 2011 Page 1

2 Section II. Voting Rights of Board Members Each Board member shall be a voting member. All voting shall take place at meetings with a quorum present. (A majority of non-vacant seats constitutes a quorum). There shall be no proxy voting. Some issues, non-financial and of no major importance, may be voted on by , but should be placed on the agenda of the next Board meeting for formal adoption. An vote requires the same quorum of responding members. Section III. Term of Board Members Board members shall serve a term of two years. Multiple terms may be served. Section IV. Vacancies A vacancy shall occur when: A Board member is notified of their removal by action of the Board for cause; or A Board member notifies the Board of their resignation Filling Vacancies: Vacancies shall be filled, as needed, by a majority vote at the next available meeting of the Solano Reentry Council. Removal of a Board member: A Board member may be removed by action of the full Board if the member has three consecutive unexcused board meetings or unexcused Solano Reentry Council meeting. Section V. Officers The officers shall be elected by the Board of Directors and shall include the following: Chair, First Vice-Chair; Second Vice-Chair; Secretary/Treasurer. Officers shall be elected after the January membership election of board members, during a regularly scheduled board meeting. Terms of office shall be -year. The officers shall comprise the Executive Committee of the Board of Directors. Section VI. Duties of Officers Chair: shall preside at all Board of Directors meetings and Executive Committee meetings First Vice-Chair: shall act as an aide to the Chair and shall perform the duties of the Chair in that officer s absence. If a vacancy should occur in the office of the Chair, the First Vice-Chair shall accede to that office to fulfill the term of the Chair. Second Vice-Chair: shall assist the First Vice-Chair and shall perform the duties of the First Vice-Chair in that officer s absence. If a vacancy should occur in the office of the First Vice- Chair the Second Vice-Chair shall accede to that office to fulfill the term of the First Vice-Chair. Revised July 28, 2011 Page 2

3 Secretary/Treasurer: or (designee) shall review and sign the minutes of the Board meetings. The Treasurer or (designee) shall review and present financial records and information to the Board of Directors. The Secretary/Treasurer may accede to the Second Vice-Chair office in the event of a vacancy. Section VII. Board Meetings Board meetings shall consist of a minimum of six (6) meetings each year. Additional regular meetings may be scheduled as needed. Special Board meetings may be scheduled to handle urgent or time-sensitive issues. Board of Directors will meet at a time and location of the Board s discretion. Notice of regular and special general meetings shall be posted on the Solano Reentry Council website; sent by s to all of the Board of Directors. All Board of Directors regular and special meetings shall be open to the public and shall be governed by Robert s Rules of Order. Sites for meetings shall be accessible to the public. Should an item(s) on any agenda require a decision by those in attendance at the meetings, such action shall be determined by a majority of the seats members. Article III. Membership of Solano Reentry Council General Membership Membership shall constitute those representatives acting as individuals or for an organization, who attend meetings of the Solano Reentry Council. No formal requirement is needed to obtain membership in the Council. Board of Directors are selected from the General Membership by application process indicating an interest to serve on the board. Section II. Standing Committees Solano Reentry Council established a structure of five (5) standing committees. If additional standing committees are added by vote of the Board, the Board membership structure may include said committee co-chairs. Children and Families Employment/Education Faith Community Health/Mental Health/Substance Use/Disorder Housing Each committee shall select two co-chairs. Said co-chairs shall be automatically accepted as members of the Board. Co-chairs shall be formally approved as members of the Board at the Board meeting following the selection of the co-chair(s). 4 Co-chairs shall attend meetings of the Board and shall report on the goals set by their committees and activities planned in order to meet those goals. Section III. Meetings of General Membership General membership meetings of the Solano Reentry Council shall be held quarterly. Special meetings may be called at the discretion of the Board. Notice of regular and special general meetings shall be posted on the Solano Reentry Council website; sent by s to all on the general meeting mailing list, or by other means as appropriate. All Solano Reentry Council general and special meetings shall be open to the public and shall be governed by Robert s Rules of Order. Sites for meetings shall be accessible. Should an item(s) on any agenda require a decision by those in attendance at the meetings, such action shall be determined by consensus. Solano Reentry Council business is conducted by the Board at their regularly scheduled meetings. Solano Reentry Council general and special meeting shall be facilitated by the Chair or designee. Minutes of the general and special meeting shall be taken by the Secretary of the Board or designee. Article IV. Administrative Support The Solano Reentry Council shall receive administrative support from member organizations. Such support may include, but is not limited to: Draft agenda information for Board and/or general meetings; once approved, present said agenda information to the Board and/or general membership as appropriate in advance of meetings by or other means of notification; shall arrange for location(s) of meetings; shall review and update information as necessary for the website; shall liaison with members of the Board. Designee of Secretary shall take minutes at meetings; shall submit minutes for each meeting to the Board and/or general membership as appropriate; shall post minutes on the website; and other duties as assigned. Article V. Amendments to By-Laws An amendment to these By- Laws may be presented to the Board for discussion and approval at any regular board meeting. The proposed amendment(s) will be presented to the Executive Committee of the Board for review and recommendations. The written recommendations of the Executive Committee shall be distributed to the Board no less than ten (10) days prior to the Board meeting for action. Revised July 28, 2011 Page 4

5 Article VI. Procedures The Chair may vote on any matter before the Board. Article VII. Adoption of By-Laws These By-Laws of the Solano Reentry Council shall take effect and be in force from and after their approval and adoption by a majority of the Board present at a regular meeting provided that the members present represent a quorum. Article VIII. Minutes and Records The Board shall maintain minutes and records of each meeting of the Board and general membership. Record of Votes: A record of votes on all Board motions shall be included in the Board s minutes. All Board actions, which are in the nature of voting, shall be recorded. Individual voting shall be recorded in all cases where a unanimous vote is not recorded. Minutes: A copy of all Board minutes, as well as meeting notices, will be distributed to all Board members. Article IX. Conflict of Interest The following rule shall be observed with respect to person(s) whose employment is supported by funds obtained from the Solano Reentry Council and/or who may benefit financial or in other respects directly or indirectly from said employment: Board members shall identify any areas or issues pertaining to a perceived or real conflict of interest and shall abstain from discussion and voting on said area or issue. This conflict of interest clause is self-reported and is meant to protect parties from potential harm. Revised July 28, 2011 Page 5
