1 Central Virginia Basketball Officials Association Constitution Article I - Name and Affiliation This organization shall be known as the Central Virginia Basketball Officials Association, Inc., and shall be an affiliate member of the International Association of Approved Basketball Officials. Article II Territory The territory served by this organization shall be as authorized by the Executive Committee. Article III Objectives The objectives of this organization shall be: 1) to secure a uniform interpretation and administration of the playing rules of basketball as approved by the National Federation and IAABO 2) to educate, train, develop, and provide continuous instruction for basketball officials 3) to provide highly qualified basketball officials for the area served by this organization 4) to establish and maintain an equitable fee for services rendered 5) to collaborate with those responsible for promoting the welfare of the game of basketball. 6) to further its ideals as a wholesome form of recreation and the development of solid character, good sportsmanship, and good citizenship. Article IV Membership The association shall be composed of the following classes of members: 1) Active member - Any person who has successfully completed all the required training as a trainee and provisional member and who was voted into the Association at a March meeting by the active and honorary membership in good standing. 2) Inactive member - An official who declares inactive status by notifying both the secretary and commissioner in writing. 3) Honorary member - Any person who has been elected as such as described in Article VI, Section 4, of the by-laws.

2 4) Provisional member - Any trainee who has successfully completed the trainee class and has been elected to this category at a March meeting by the active and honorary membership in good standing. 5) Associate member - Any trainee who has successfully completed all phases of the training class, but who has not met the attendance or other administrative requirements stipulated by the membership for provisional members. 6) Trainee - Any person who is currently and actively enrolled in the training class, which is mandatory for all new officials. 7) Transfer member - An official transferring into this Association shall be dealt with according to IAABO and VHSL regulations, and his/her official status shall be determined after his/her first year at the March meeting following an evaluation of his/her performance by the Executive Committee. Article V Officers The officers of this association shall be president, vice -president, commissioner, treasurer, secretary, and interpreter. Article VI - Duties of Officers Section 1 - The President will preside at all meetings of the association and shall be an ex-officio member of all committees. He/She shall act as official representative of the organization when necessary. Section 2 - The Vice President shall assume the duties of the president in his absence. He/She will also be in charge of the evaluation of all transfer officials. Section 3 - The Commissioner shall be responsible for making all game assignments, supervising the performance of the officials, and managing the schedules with the affected schools and officials. His/Her duties shall be: A) To assume the chair in the absence of both the president and vice president; B) To prepare registration cards to register all members of the association with the VHSL, NFIOA, and IAABO and to issue all books and membership cards received from the VHSL, NFIOA, and IAABO; C) To provide any new member with all necessary publications of the association, including the constitution and by -laws; D) To contact all basketball organizations in the association's territory and obtain schedules for officiating in th eir leagues; E) To maintain a service record of each official during the year; F) To keep all correspondence of his office on file for inspection by the Executive Committee;

3 G) To prepare bills for the schools that uses the services of the association; H) To approve for payment by the treasurer all pay sheets of the officials; I) To deliver to his/her successor all records of the association at the expiration of his/her term of office. The commissioner shall have the power to appoint a deputy commissioner (with majority approval of the Executive Committee) whose responsibilities will include the assignment of officials for all daytime non -varsity games, the handling of all administrative details created by such assignments, and the performance of the duties of the commissioner in his/her absence or inability to act. The deputy commissioner shall be a member of the Executive Committee and shall receive a 7% assignment fee paid by the members for games assigned by him. Section 4 - The Corresponding Secretary shall keep the minutes of all meetings and a record of all decisions of the membership, send out any correspondence necessary as a result of these meetings, and report these actions at the next meeting of the Association. His/Her salary shall be established at the last regular meeting for the following year, and any expenses required by the duties of his/her office shall be reimbursed by the Association upon the submission of an itemized statement. His/Her other duties are to send out notifications of all meetings, to send members copies of minutes upon request. Section 5 - The Interpreter shall obtain a uniform interpretation of the rules from the National Federation and IAABO and relay this information to the membership. He/She shall also organize and supervise the training class and the membership committee. Section 6 - The Treasurer shall discharge all financial obligations upon being so authorized by the association membership or Executive Committee, and he/she shall give a treasurer's report annually or on request. His salary shall be established at the last regular meeting for the following year, and any expenses required by the duties of his/her office shall be reimbursed by the association upon the submission of an itemized statement. His/Her duties shall be: A) To maintain an Association bank account over which the president and treasurer shall have signature authority, but from which only the treasurer will make disbursements; B) To receive and deposit in the Association bank account all funds (including dues, insurance payments, fines, banquet fees, game fees, travel payments, etc.) and to make all disbursements in a timely manner; C) To keep adequate books and records of all receipts and disbursements of the Association and to submit these records to an audit committee appointed by the president and approved by the Executive Committee within 30 days after the association's fiscal year has ended; (The association has a fiscal year ending on May 31.) D) To prepare an annual budget and present it to the Executive Committee for approval. Article VII Committees

4 Section 1 - The Executive Committee shall consist of all elected officers plus eight members-at-large. The immediate past president shall be an automatic member of the Executive Committee and serve a term or terms equal to the president who succeeds him. Section 2 - All other committees shall be appointed by the president. Article VIII - Authority on Parliamentary Procedure The president shall appoint a parliamentarian who shall attend all meetings of the Association and Executive Committee. He shall use the current Robert's Rules of Order as the parliamentary guide. In the absence of the parliamentarian, his/her duties shall be assumed by the president. Article IX - Amendments to the Constitution Section 1 - All proposed amendments to the Constitution must be submitted in writing to the corresponding secretary to be read to the Association at the next scheduled meeting. Section 2 - The corresponding secretary shall notify the members in writing of the impending vote on any amendment to the Constitution. Section 3 - A vote shall be taken upon the proposed amendment at the next meeting scheduled after the written notification of members. A two-thirds favorable vote of active and honorary members present shall be required in order that the proposed amendment shall become a part of the Constitution. Article X - Authority of the Executive Committee Section 1 - The Executive Committee may add guide lines and job descriptions for all offices and positions not specifically covered by the Constitution and By Laws. Section 2 - The Executive Committee may, upon proper investigation and hearing, suspend any Elected Officer or At - Large Member for dereliction of assigned duties, as explained in the Constitution, or assigned by the organizations' President. Further, the Executive Committee may, upon proper investigation and hearing, suspend any elected officer or At - Large Member for conducting himself or herself in such a manner as to reflect, or bring discredit to this association. Following such action, should the findings warrant suspension of the Elected Officer or At - Large member, a report shall be made to the entire membership body for possible impeachment of the offender from his or her elected Office or At- Large position. Article XI Impeachment of Elected Officers/At-Large Members Upon completion of a properly held investigation and hearing by the Executive Committee, and upon receiving in the findings, instances of neglect, or dereliction of duties, or actions that could bring about discredit to the organization by said individual, the voting membership, comprised solely of active and honorary members present, shall entertain motions and possible action to impeach said Officer(s) or At -Large member(s) from his or her position. Impeachment of any Elected Officer, or At-Large Member shall require a 2/3 vote in favor of such action by the members present that are entitled to vote, (active

5 Full Members or Honorary members). These proceedings shall be held in accordance with all applicable Articles and Sections of this Constitution and/or theroberts Rules of Order. Article I - Meetings and Quorum By-Laws Section 1 - The association shall have a minimum of six scheduled meetings per year, with the final meeting held in March. Clinic and testing dates may be designated as meeting. All meetings shall be scheduled by the president. Section 2 - Other meetings may be called by the president or upon the written request of five members to the president. Section 3 - A quorum shall consist of one-half of the active and honorary members of the association present at any meeting. Article II - Voting Privileges Section 1 - Each active and honorary member in the association and in good standing is entitled to one vote. Section 2 - The president shall have no vote except when the votes are equally divided. Article III - Nominations and Elections Section 1 - A majority vote of those voting shall be required to decide all elections for officers. A runoff election shall be held between the two candidates receiving the most votes if no majority vote is obtained on the first ballot. Those eight candidates for Executive Committee members -at-large who receive the most votes from among all those cast shall be elected. Section 2 - Election of officers shall take place every odd year at the scheduled meeting in March with their terms lasting two years. Election of the eight members -at-large, starting 2006, will be determined by the following format: The top (4) in total votes will serve a 2 year term and the next (4) in total votes will serve a 1 year term. March 2007 the (4) positions that were elected to serve 1 year will become open. These positions will be filled for a period of 2 years. March 2008 and each year thereafter (4) 2 year positions will be filled. (Effective 2/06) Article IV - Membership Requirements The attendance at the regular meetings is important to sustain current knowledge of rules; to assure uniform interpretation and quality service to our clients; and to maintain the professional character and integrity of the Association. Section 1 - The Association's President shall schedule all Membership meetings.

6 Section 2 - ALL members are required to attend ALL scheduled meetings during the membership year. Failure to comply will bring forth action as detailed in (C) below. Inactive and honorary members are exempt from this requirement. A) ALL members will be allowed to miss one (1) meeting per membership year without penalty. B) Any member working an assignment through CVBOA will be considered present. C) Disciplinary action for missed meetings are as follows: 1. First missed meeting is not penalized. 2. Second missed meeting is a fine of $ Third missed meeting is a fined of $ Fourth missed meeting is IMMEDIATE SUSPENSION D) Membership period and absence appeals: 1. The membership period for missed meetings will begin with the Association's last General Membership meeting in March and end with the next to last meeting of the current officiating season. (Effective March 2007) 2. To dispute a recorded absence, a written appeal must be submitted to the Executive Committee via the Secretary within seven (7) days of the absence being posted on CVBOA's website Section 3 - Failure to fulfill an assignment results in an immediate and automatic suspension for the next ten days, unless the member has been permitted by the commissioner to withdraw from the assignment. The commissioner shall notify the member immediately of said suspension and the length of the suspension. The member shall be fined an amount equal to the value of the assignment missed. Repeated offenses are subject to disciplinary action by the Executive Committee. B) Any official who fails to contact his fellow official(s) at least 24 hours before the game and fails to notify the commissioner of his/her inability to contact his/her fellow official(s) shall be fined one - half of the game fee if his/her fellow official(s) fails to fulfill or is late to his/her assignment. Section 4 - If the Executive Committee finds that any member directly or indirectly solicited games from a coach, school, or district, then such member shall be suspended by the committee for the remainder of the membership year. All assignments of the member must be returned to the commissioner, and all fees, dues, and assessments paid to the association by the member are forfeited. In the event that a member is charged with the foregoing actions, he/she shall be notified in writing of the time and place of a hearing on the matter.

7 Section 5 - Any member or provisional member who is convicted of a misdemeanor involving moral turpitude shall be automatically suspended by the executive committee for the balance of the current season. Executive committee action may be taken at the first meeting of the next basketball season to determine if this indivi dual's suspension should be lifted, but only after the suspended person has made prior written request to be given this consideration. This association shall not accept or consider an application for membership from any person who has been convicted of an y felony (with the exception of vehicle infractions) for any type or level of membership. Any current member of this association who is convicted of any felony (with the exception of vehicle infractions) shall be immediately suspended from the association by the Executive Committee and shall no longer be considered a member of this association. Section 6 - A member, if suspended for any reason, shall be notified of such by the corresponding secretary. He/She shall also be notified of the cancellation of al l his assigned games by the commissioner. Section 7 - Officials of this association are not permitted to officiate for other high school associations without the permission of the commissioner. Section 8 - Any member who is suspended is prohibited from vot ing at meetings, serving as an officer or on a committee, and working game assignments. Any suspended member is not excused during his suspension from attending meetings of the association. Upon expiration of his/her suspension, the member may assume all privileges and positions previously held. Section 9 - If any member conducts himself or herself in such a manner as to reflect discredit upon the association, the Executive Committee shall have the power to investigate and act on said conduct according to the rules approved by the association. Section 10 - Any member has the right to appeal any action taken or any fine levied against him/her by the Executive Committee. The rules for an appeal will be those established by the association membership. Section 11 - Transfer officials from the varsity level may be assigned a varsity game as deemed necessary by the Commissioner; however, for the first year in the board; they cannot be assigned higher than a single A assignment. Upon completion of their first year, the Commissioner shall evaluate the transfer s assignment(s) and determine their progress rate on the year(s) to follow. Section 12 - Return Member: Any Member who leaves this board in good standing may return to the board in the same status as when they left provided they: 1) Re-apply to the Association 2) Have remained current in basketball officiating at the same level or higher 3) Have supportive documentation to that effect. 4) Comply with Article VI Section 7. Article V - Election to Membership

8 Section 1 - A candidate for membership must make application to the association accompanied by a nonrefundable fee for the expense of taking the written examination and attending the school for prospective new members. Section 2 - In order for a trainee to become a provisional member, he/she must receive a passing grade on both the written and floor examinations, and he/she must receive the approval of the membership committee who shall evaluate him under game conditions. Section 3 - A candidate accepted as a provisional member shall remain as a provisional member until the next opportunity to be elected to active membership. Section 4 - At the last business meeting of the year, the association shall act upon the status of all trainees and provisional members. The membership committee shall submit a written recommendation or report on each trainee and provisional member. A two-thirds vote of those present shall be required to make a trainee a provisional member or a provisional member an active member for the next membership year. Section 5 - A trainee or provisional member shall be accorded all of the privileges of this association, with the exception of voting powers. Article VI - Fees, Dues, and Assessments Section 1 - The membership year shall be from April 1 of each year to March 31 of the succeeding year. Section 2 - Annual local association dues shall be paid by all members in accordance with the amount established by the Executive Committee. The dues for the membership year are due on or before September 1, and a $15.00 penalty will be assessed to any member whose dues are received by the commissioner after this date. Section 3 - Annual dues for IAABO members shall be paid in accordance with the amount established by IAABO nationally and shall be paid to the commissioner as he directs. Section 4 - Honorary members will be elected only at the annual meeting in March and only by a unanimous vote of those present and entitled to vote. No annual local dues shall be charged to honorary members. Section 5 - Annual dues for inactive members shall be paid in accordance with the amount established by IAABO and the local association. Section 6 - The Office of Commissioner shall receive compensation equal to 8 percent (.08) of the game fees contracted during the school from each member. Section 7 - Members shall pay as directed any fines or assessments. Those members not paying their dues, fines, or assessments on or before the due date will not be permitted to work any assignments until all monies due are paid in full.

9 Section 8 - Each member will be required to work pre-season scrimmages. Assignments for scrimmages will be as binding as regular season or tournament game assignments and the same fines will apply for missed assignments. Section 9 - No former member of this association may be accepted back into the association without first paying any back dues or fines due this association. Any member who becomes inactive for more than two years must have his/her application reviewed by the Executive Committee for approval before being granted active membership status. Article VII - Duties of Committees Section 1 - The Executive Committee shall handle all complaints or grievances and, upon a written complaint of any member or an executive order, examine the records of the commissioner. If the records are not in order or have been mishandled in any fashion, the Executive Committee shall report the case to the Association for further action. Section 2 - The president may refer any motion or item of business to the Executive Committee for its handling. Any necessary action on an item of business not expressly within the jurisdiction of an officer of this association will ordinarily be referred to the Executive Committee. The Executive Committee will handle the motion or item of business and will report its actions to the association at the next regular meeting. A two thirds vote of the voting members present will be necessary to reverse or modify a completed Executive Committee action. If the membership has voted to consider an action prior to a vote by the Executive Committee, a simple majority vote will be required to pass such motion. Section 3 - The audit committee shall conduct an audit of the Association's books on an annual basis and shall prepare a full report to the Executive Committee. Article VIII - Virginia High School League All members must pay the annual VHSL dues and pass the annual VHSL exam to be eligible to work in a VHSL game. Any member who works a VHSL game and has not complied with VHSL regulations will be fined $5.00 per game by the association. The member will also have to pay to the home school any amount which the school may be fined for this infraction by the VHSL. Article IX - Requirements for Tournament/Post Season Assignments (added March 2007) Section 1 - Must be an active member in good standings. A member is classified to be in good standings if he/she: A) Is not currently delinquent on any dues, fines, or association fees. B) Does not have more than one written reprimand by the executive committee in the current season. C) Has not been on probation for any reason during the current season. D) Has not been suspended for any reason during the current season. E) Has not had more than one occurrence of B,C, and/or D during the previous three years.

10 Section 2 - Must have fulfilled all requirements as set forth by VHSL. Section 3 - Must have worked all assigned scrimmages and games unless excused by the Commissioner. Section 4 - Must have officiated a minimum of ten (10) varsity games during the season. Article X - Order of Business 1) Roll Call 2) Rules and Mechanics 3) Commissioner Report 4) Unfinished Business 5) New Business 6) Election of Officers/Members (March) 7) Adjournment Article XI - Amendments to By-Laws The procedure for amending the by -laws of the association shall be the same as that outlined in Article IX of the Constitution. Ratified OCTOBER 5, 2003 CVBOA S DRESS CODE TO AND FROM REGULAR SEASON GAME SITES If headwear is worn:should be of a business nature. Baseball style cap must not support a High School, College, or any Professional sport team. No logo of a controversial design. Top coat/jacket:neat and clean in appearance. Shirt/Blouse:Collar shirt, sweater, or turtle neck to include blouse for women. Slacks:Casual dress slacks and dress or skirt for women. NO JEANS. Footwear:Dress shoes with socks or panty hose for women. NO TENNIS SHOES. EXCEPTION:Any assignment prior to 6:00 pm start you may travel to site in uniform with an appropriate outer garment covering your CVBOA Jacket or stripes. Dress shoes are required. Applicable when traveling from non-varsity to varsity site.

11 GAME UNIFORM Jacket:CVBOA member jacket only. Shirt/Trousers/Shoe:As prescribed by VHSL in Rule VHSL Patch:Required for ALL High School games, PUBLIC or PRIVATE, and worn as prescribed by VHSL. TOURNAMENT ASSIGNMENTS Pre/Midseason: Same As Above Postseason:Business suit or Sport Jacket with tie for men and business dress for women.
