4 Why Form a Local Chapter of the Christian Legal Society? Christian lawyers often meet in informal gatherings. When several Christian lawyers work in the same firm or for the same governmental body, they sometimes will form Bible study or prayer groups. Some churches have several lawyers who attend and those lawyers may meet together from time to time at church events, family gatherings, or holiday festivities. Christian lawyers in the same city or town may try to organize meetings around major events, such as the National Day of Prayer or a State Bar Prayer Breakfast. While these informal gatherings have real value, they are ad hoc in nature and difficult to sustain over time. In contrast, a group of lawyers committed to following Jesus, who choose to affiliate and be formally recognized as leaders of a ministry to local lawyers and law students, will often develop into a highly beneficial and long-lasting group. Such a group often spins off valuable ministries by Christian lawyers in the local community, such as legal aid or Biblical conflict resolution. Affiliating with a national organization also provides stability, continuity and a larger network for mutual encouragement. Forming a local chapter of the Christian Legal Society (CLS) creates the following benefits that may be absent in ad hoc gatherings: An established and identifiable forum for fellowship and mutual encouragement among Christian lawyers and legal professionals; A recognized leadership team of Christian lawyers who can share responsibility for the work to be done, hold each other accountable to complete the work, and systematically grow the ministry over time; A coordinated approach at the local level to growing law student ministry, lawyer Bible study and prayer groups, lawyer fellowship and networking; and legal aid; The creation of a national forum for local leaders to share ideas, successes and failures, and resources, which occurs at the CLS National Conference where local leaders meet and share their experiences; Easy access to the many ministry resources developed by CLS at the national level; The opportunity to receive tax deductible contributions through the Christian Legal Society s I.R.C. 501(c)(3) status; and Receipt of a share of the CLS annual dues paid by members of the local chapter. 5 How to Begin Building a Local Fellowship as a Precursor to Chapter Formation Many lawyers using this manual are part of a local fellowship of Christian lawyers that is beginning to grow. They are seeking ways to organize, develop, and direct that growth. If that describes you, the information we provide below may be familiar to you. On the other hand, there are those who find themselves in a community where there appears to be no formal or informal gathering of Christian lawyers. Those lawyers might be actively involved in their churches, families, and work, but they have not formed fellowships or developed activities focused on bringing the Christian lawyers together. If you are a lawyer in this type of community, this section of the manual is definitely for you. There is no best way to motivate and draw together the Christian lawyers in your community to come together for ministry purposes. The following list contains suggestions based on the experience of others who at one time found themselves in your situation: 1. Pray, asking God to give you wisdom as you attempt to form a group of Christian lawyers and pray for co-workers who can assist you in the task. Pray on your own and with others, including other Christian lawyers you know. 2. Seek out other Christian lawyers in your community and build a contact list. Ask your pastor whether there are any other lawyers in the congregation. Your pastor also might have suggestions about where in the local community one might look for Christian lawyers. As a member of CLS, you have access to its membership list. Check that out to see if there are lawyers who have joined CLS from your community. Consider placing an ad in your local legal journal. Think creatively about ways to identify other Christian lawyers in your workplace and community. 3. Meet in person with the Christian lawyers you have identified. These meetings can be oneon-one or small groups, and are usually lunch or dinner meetings. The purpose of the meetings is to find out what they think about forming a local association of Christian lawyers in your community. Pray before and after these meetings, and begin to identify those lawyers with leadership skills and a keen interest in forming such an association. If it is His will, God will use your efforts to bring together such a group. 4. Invite all the lawyers on your contact list of Christian lawyers to an event to start developing a sense of fellowship and to see who attends. Consider facilitating a regular prayer group or Bible study. Use your invitation and the event to impart information about the Christian Legal Society. These events could take many forms, including meeting for prayer on the National Day of Prayer, for a barbeque at the home of a local lawyer, or for a special speaking engagement by a well known member of your community. 5. Identify at least two other Christian lawyers who have an interest in becoming members of a formal leadership team the founding board of your local chapter of Christian Legal Society. As your chapter grows, a board of five to nine leaders is typically most effective. At this point, you are ready for the next section of this manual. 3

6 CLS s Requirements for the Formation of a Local Chapter The Christian Legal Society has only a few formal requirements for forming a local chapter. First, using CLS s form bylaws for local chapters, the local leadership team must prepare a set of bylaws that establish the rules for the governance of the local chapter. Second, the leadership team must complete the CLS Chapter Affiliation Agreement, which is also a CLS form, and send it to CLS. Third, the chapter must have a bank account. Fourth, it needs to obtain a federal employer identification number, which is often required for bank accounts and can be obtained from the IRS. The chapter also may separately incorporate, if it wishes to do so. This section of the manual provides a brief discussion of these requirements and the forms associated with them. 1. Local CLS Chapter Bylaws The Christian Legal Society s set of bylaws for local chapters is Form 1 in this manual s Appendix of Forms. A Word version of these bylaws is available online to members of the Christian Legal Society. The information the leaders of the local chapter need to input into the form bylaws is as follows: The name of the local chapter needs to be inserted in the title and in Article I of the bylaws. The names of the local chapter s initial board of directors and officers need to be listed after Article XIX. The bylaws adoption date and signature of the three CLS members on the initial board of directors need to be included at the end of the bylaws. Please review the bylaws carefully. They provide requirements for membership, member meetings, election of directors, board meetings, and election of officers. They provide for certain restrictions on activities, such as engaging in litigation or lobbying. They provide the purpose for the organization and the CLS Statement of Faith to which its members must subscribe. 2. CLS Chapter Affiliation Agreement The Christian Legal Society Chapter Affiliation Agreement is Form 2 in this manual s Appendix of Forms. Form 2 contains the Chapter Affiliation Agreement and Exhibit 1 to the Agreement. Exhibit 2 to the Agreement is the set of local chapter bylaws described above. The leaders of the local chapter need to provide the following for the Chapter Affiliation Agreement: Complete the name and address information at the beginning of the Chapter Affiliation Agreement; 4

7 Sign and date at the conclusion of the Agreement; and Attach as Exhibit 2 the completed bylaws of the local chapter (see Form 1). Please review the Chapter Affiliation Agreement carefully. The Agreement provides for an annual submission of information to the Christian Legal Society headquarters, which we describe in detail in Section 3 of this manual. It has important provisions relating to the CLS trademark and logo, and also the local chapter s status as an organization qualified to receive tax deductible contributions. For the protection of the Christian Legal Society and the local chapter, it is important that the requirements of the Bylaws and the Chapter Affiliation Agreement are followed. 3. Employee Identification Number (EIN). For separate identification purposes, each local chapter should obtains its own federal employer identification number (EIN) from the I.R.S. An EIN may be required to open a bank account, and it can be otherwise helpful for reporting purposes. An EIN can be obtained by completing IRS Form SS-4, which is available online at 4. Bank Accounts and Fundraising. As required under CLS form chapter bylaws, a local chapter must establish its own bank account to manage funds held for its operations. CLS provides a share of national membership dues to each local chapter, for its use in furthering the ministry of CLS locally. Local CLS chapters budgets tend to be modest, and chapters do not generally engage in a great deal of fundraising. To the extent possible, local CLS chapters should target their fundraising activities to benefit programs and projects of the national CLS organization. This could include raising funds for a local Christian legal aid program or for providing scholarships to local area law students to attend the CLS annual conference. 5. Separate Corporate Status. A CLS local chapter formed using the CLS form bylaws and the CLS Chapter Affiliation Agreement is not a separate corporation from Christian Legal Society. Rather, it functions simply as an affiliated chapter of the national organization. Nevertheless, if the leadership team for the local chapter desires to separately incorporate the local chapter, it may do so. (A chapter may wish to do so to provide further protection against potential liability, but this is not generally done.) Incorporation will require the local leadership team to prepare Articles of Incorporation that are submitted to the appropriate state agency for the formation of corporations. These Articles need to include language that allows the corporation to qualify under CLS s group exemption. Qualifying language is provided in Form 3 in this manual s Appendix of Forms. 5

8 CLS Requirements for Operating Local Chapters Christian Legal Society s requirements for the operation of its local chapters are contained in the key governing documents for local chapters the local chapter Bylaws and the Chapter Affiliation Agreement. These documents were addressed in the formation section of this manual. There are, however, two sets of related requirements in those documents that are important to highlight here: (a) tax reporting; and (b) accountability to CLS. 1. Tax Reporting and Related Requirements CLS currently enjoys the privilege of being recognized by the IRS as a 501(c)(3) public charity. In addition, CLS has "group exemption" status, which means that it functions as the "central organization" with several "subordinate organizations" --i.e., local chapters and other related subsidiaries. Consequently, CLS local chapters that operate properly as subordinate organizations of CLS must (a) be included on CLS group reporting information sent to the IRS, and (b) file an annual Form 990 return. The Form 990 will be due each year by May 15. For chapters that regularly operate with less than $25,000 in annual revenues, they may file the simple Form 990-N as available online at CLS chapters that do not comply with ongoing reporting requirements must separately apply for federal tax-exempt status and file their own Form 990 returns, for recognition as taxexempt entities capable of receiving tax deductible contributions. This is not recommended. To preserve and strengthen CLS through its local chapters, as well as to reduce legal expenses, it is our desire that all chapters operate as subordinates of national CLS. Local chapters that operate in compliance with CLS national standards and maintain proper accountability are entitled to receive the benefit of CLS' IRS group exemption letter. Local Chapters' Accountability to National CLS It is important that there be an open line of communication between local chapters and national CLS. Each local CLS chapter is accountable to CLS National. CLS s accountability requirements apply to establish "subordinate" status under IRS rules for taxexempt entities and are therefore vital to CLS' annual group exemption tax return. In addition, these requirements are important to maintaining CLS's integrity and national reputation. The information described below must be provided to CLS National, by mail or , within sixty (60) days after the close of each calendar year (December 31). This information should be submitted to Philip Lewis at plewis@clsnet.org or Christian Legal Society, 8001 Braddock Road, Suite 300, Springfield, Virginia, Required information to be submitted includes the following: 6

9 Financial Accountability: Each local chapter must provide annual financial statements that reflect the organization s revenue and expenses for the prior calendar, and the balance sheet as of year-end. Each local chapter also must maintain records of donations received, and it may provide receipts to donors who make gifts to the chapter. Each receipt should include the donor s name, the amount given, and the date of the gift. Additional receipt requirements may apply, depending on the types of gifts involved. Further information may be obtained from the CLS national office. Leadership: Each local chapter must provide a list of the chapter s officers and directors as of the date when the local chapter submits the information to CLS National. Activities: Each chapter must provide a brief description of its activities for the prior calendar year, including information about activities that furthered CLS's tax-exempt religious, educational, and charitable purpose in accordance with section 501(c)(3) of the Internal Revenue Code. Sample forms for these reports are included as attachments to the Chapter Affiliation Agreement and can be found in Form 2 in this manual s Appendix of Forms. 3. Potential State and Local Reporting Requirements Local chapter leaders should also be attentive to potential state annual reporting requirements as well as state and local charitable solicitation registration requirements. 7

10 Local Chapter Activity and Ministry Aids This section of the manual is intended to provide local chapter leaders with ideas and resources for the ongoing operation of the local chapter. These ideas have been gathered and distilled from the breadth of experience of other local chapter leaders throughout the country. 1. Local Chapter Board Development The most important factor in the successful formation and operation of a local CLS chapter is to have a committed and competent governing board of local attorneys who want to see the chapter succeed. Schedule monthly board lunches to deepen friendships among the members of the board, foster encouragement and accountability, and discover the spiritual gifting and interests of fellow board members. Prayerfully delegate to members of the board outreach projects, such as law student ministry, church outreach, special events coordinator, CLE program planner, Christian legal aid. Prayerfully delegate functions to non-board members who you think might one day be a member of the board as a way to get that person integrated into the local chapter s ministry. Keep in mind the need to rotate board members over time. 2. Prayer Support Be intentional about creating opportunities for prayer. CLS local chapters need God s power and protection to accomplish His plans for them. God has asked that we invite him into our lives through prayer. Have your chapter participate alongside other local chapters nationwide in the annual National Day of Prayer, usually held in May of each year. Seek out attorneys and law students who are specially focused on prayer and ask them to pray for the chapter and to form a prayer group that will lift local chapter events and needs in prayer. Consider forming a prayer group to meet regularly for prayer. 8

11 3. Chapter Events A myriad of options are available for local chapters, as they plan events to further CLS s mission to seek justice and glorify God in our practice. As you put together chapter events, consider alternating the times and substance of the activities to reach out to the broad interests and conflicting schedules of the attorneys in your chapter. Events can be held over breakfast, lunch, or dinner. Make sure your contact list is current, and cast a broad net so you are able to attract as many as possible with your publicity. Look for ways to involve others, such as through assistance with planning, help with hosting, and idea generation for topics of interest. Be alert to newly admitted attorneys as well as CLS members relocating to your region. Welcome them all by inviting to, and introducing them at, your next local chapter meeting. Coordinate with other CLS chapters, so that when members move or visit other areas they can be welcomed and included. These are some ideas that have worked well in the past: Plan monthly lunch-time or breakfast Bible studies led by Christian lawyers in your chapter or local pastors on topics of interest to lawyers. Bible study ideas are available on the CLS web site at Become a CLE provider and host events of interest to Christian lawyers, including religious freedom case updates, ethics seminars, and other substantive programs of interest to your group. Local area law professors can be excellent speakers for these events, as well as local attorneys from your own chapter and, as their schedules permit, representatives from the national CLS staff. You will need to follow your state s CLE requirements. As an example, CLE program forms as required by the California rules are in Form 4 in this manual s Appendix of Forms. Plan special speaking events. Invite guest speakers such as attorneys practicing in a unique niche, law professors and law school deans, government officials, judges, pastors, community leaders, and authors. Often local chapter members have contacts with these speakers. Utilize the talent pool of your chapter members. Ask chapter members, particularly those with homes suitable for a large gathering, to host a dinner or other social events such as an annual Christmas party or Super Bowl party to facilitate group fellowship. Support for your local Christian legal aid program where the legal aid provider(s) can tell the story of Christian legal aid in your area and where attendees can be encouraged to participate in legal aid or contribute financially. Seek out volunteers for the legal aid provider(s) through your developing CLS network. 9

12 Schedule periodic chapter lunches in parts of town near members who cannot or do not attend the regularly scheduled meetings, and invite others in that area to join you for lunch so that members in outlying areas are connected to the local chapter. Host a joint event with other like-minded professional associations, such as the Christian Medical and Dental Association. Plan a regional retreat. Fellowship is a key benefit. Host a lunch at a large firm or a business leaders organization to introduce your CLS local chapter to them. Keep costs minimal, with invitations for participants to make donations to cover actual expenses. The key consideration is to promote Christian fellowship and related ministry opportunities, not to run up chapter expenses or to become exclusive through financial barriers. Hold periodic Bible studies, rotating the leadership of the study and using the Bible study materials available on the CLS National website. Hold a Membership Benefits event to encourage local attorneys to join CLS 4. Law Student Ministries A key component to local chapter ministry is outreach to law students at law schools in or near the geographic area of the local chapter. Examples of materials that one local chapter has used for many years to coordinate its law student ministry are in Form 5 in this manual s Appendix of Forms. These are activities the local chapter can do to reach out to law students: Invite law students to local chapter meetings and events. Coordinate visits by local chapter attorneys to the law schools to meet with the CLS student chapter. The attorney can speak to the students about a practice area, lead a devotional, or provide practical job search advice. Assist and encourage Christian law students in maintaining their CLS student chapter. Help them identify an attorney advisor (usually an alumnus of the school) and a faculty sponsor/advisor. Assist law students in the CLS student chapter with practice interviews and career development advice. Hold a mentor/mentee event and pair attorneys with law students. 10

13 Annually appoint a CLS law student to coordinate communications between the student chapter and the attorney chapter, and encourage the student to invite and calendar guest speakers from among the chapter s attorneys. Offer assistance to law students as they transition from law school into private practice. Follow up with law student graduates and keep them engaged in the fellowship of the chapter. Create annual CLS student traditions, such as a Welcome Party for 1L s in the fall, a Send-off Picnic for 3L s in the spring, or an Interview and Job Search Workshop for 2L s in September. 5. Christian Legal Aid The provision of Christian legal aid is a powerful contribution Christian lawyers can make to the local community and their profession. Christian lawyers know this and are often highly motivated to render legal aid. Consider partnering with an existing legal aid clinic or starting a Christian legal aid clinic in your area. Seasoned attorneys can assist less experienced lawyers and law students to serve at the clinic. Paralegals and legal secretaries can also provide excellent help. Resources for establishing a Christian Legal Aid program are available from CLS National through the web site: Attend the legal aid training that is provided at the CLS Annual Conference. Organize attorneys to volunteer at Thanksgiving Outreaches or Medical Clinic Outreaches at local churches to provide a Legal Aid table at those events. 11

14 6. Discipleship Discipleship, in the form of one-on-one or small group spiritual mentoring, can be a powerful tool to deepen the spiritual lives of attorneys in a local chapter. Hold a meeting of your local chapter to introduce CLS s discipleship materials. At that time, you can begin encouraging lawyers to form one-on-one discipleship relationships or small groups. CLS s discipleship materials are available on the CLS web site. Consider giving a member of the local chapter board the title Discipleship Coordinator and task that person with encouraging the development of discipleship relationships in your local chapter. 7. Chaplain Consider establishing a chapter chaplain as an integral part of your chapter, whether an attorney member or local pastor, who would be involved in the activities of the chapter and serve as a comforting presence and trusted resource for members in times of crisis. The chaplain may assist with regular Bible studies and ongoing prayer activities, identify opportunities to serve, and speak to the group on issues pertaining to the lawyer s special calling. 8. Increasing the Local Chapter s Visibility It is important to get the word out in the local legal community about the existence of local CLS chapters. Often Christian lawyers are unaware of this resource. Here are some publicity ideas: Host a CLS booth at the swearing-in ceremonies at the courthouse. Sign up as an exhibitor at local business and community events, such as a Christian Business Expo. Publicize events to the local and state bar associations, print media, and radio stations. Utilize free web links. Host or co-host events with your local bar association. Build annual traditions, such as hosting a Christmas or Super Bowl party at an attorney s home. Designate a board member to serve as the membership chair and as a point of contact for prospective new members. 12

15 Assist local pastors to connect with the chapter and to learn about the ministries of CLS, especially Christian Legal Aid. Consider renting the local bar membership list to publicize chapter events such as CLEs. 9. Web Sites and Social Networking Sites The World Wide Web has become a powerful means of communicating and networking. Identify a web-savvy Christian lawyer who can help the local chapter take advantage of the Web. Consider hosting a local chapter Facebook page with prominent links to the national CLS web site. Develop and update a local chapter web site. Register your web site with Google and embed meta tags so that when someone Google s Christian lawyer in your city, the search will lead them to your local CLS chapter. Encourage web site guests to join CLS by clicking a link on the web site that will direct them to the National CLS web site. Offer to publicize your local law students chapter activities by building a designated page of your chapter s web site, and include their Facebook link. 13

17 BYLAWS OF THE CHRISTIAN LEGAL SOCIETY OF An Affiliated Chapter of the Christian Legal Society ARTICLE I NAME, MISSION AND ORGANIZATIONAL STATUS The name of this organization shall be the Christian Legal Society of ( Chapter ). The Chapter is organized in order to become an affiliated chapter of the Christian Legal Society ( CLS ), an Illinois not-for-profit corporation with principal offices located at 8001 Braddock Rd., Suite 302, Springfield, Virginia The CLS Mission is to be the national grassroots network of lawyers and law students, associated with others, committed to proclaiming, loving and serving Jesus Christ, through all we do and say in the practice of law, and advocating biblical conflict reconciliation, public justice, religious freedom and the sanctity of human life. ARTICLE II PURPOSES AND GOALS Section 1. Purposes. In furtherance of the CLS Mission, the purposes of this Chapter are the mutual support and encouragement, fellowship and spiritual growth of lawyers, judges, law professors and law students who identify themselves as followers of Jesus Christ, in order to more faithfully live out that commitment in their personal and professional lives. Section 2. Goals. The major goals of this Chapter shall be: To proclaim Jesus as Lord through all that we do in the field of law and other disciplines. To provide a means of society, fellowship and nurture among Christian legal professionals and law students. To encourage Christian legal professionals and law students to view law as ministry. To clarify and promote the concept of the Christian lawyer and to help Christian legal professionals and law students to integrate their faith with their professional and academic lives. To mobilize, at the local level, the resources needed to promote biblical conflict reconciliation, public justice, religious liberty and the sanctity of human life. To encourage, disciple and aid Christian students in preparing for the legal profession. To provide a forum for the discussion of problems relating to Christianity and the law. To cooperate with bar associations and other organizations in asserting and maintaining high standards of legal ethics. 1

18 To encourage lawyers to furnish legal services to the poor and needy and grant special consideration to the legal needs of churches and other charitable organizations. To provide a link between CLS, the Chapter and individual Chapter members and to encourage Christian legal professionals and law students to become and remain active members of CLS and supporters of CLS ministries. ARTICLE III MEMBERSHIP Section 1. Members. The members of the Chapter shall be all members of CLS who have designated the Chapter as the CLS chapter with which they wish to be affiliated. Any individual may become a member of CLS by completing the CLS membership application, paying (with partial or full waiver if approved by CLS) the applicable membership dues and signing the following CLS Statement of Faith: Trusting in Jesus Christ as my Savior, I believe in: One God, eternally existent in three persons, Father, Son and Holy Spirit. God the Father Almighty, Maker of heaven and earth. The Deity of our Lord Jesus Christ, God s Only Son, conceived of the Holy Spirit, born of the Virgin Mary; His vicarious death for our sins through which we receive eternal life; His bodily resurrection and personal return. The presence and power of the Holy Spirit in the work of regeneration. The Bible as the inspired Word of God. Section 2. Voting Members. All members of the Chapter who are law school graduates or are duly admitted to the practice of law shall be designated as voting members of the Chapter by CLS on the CLS webpage for the Chapter. Notwithstanding the preceding sentence and any other provision of this Article, the voting members of the Chapter on any date on which any individuals are designated as voting members of the Chapter on the CLS webpage for the Chapter shall be all individuals, and only those individuals, who on such date are designated as voting members of the Chapter on the CLS webpage for the Chapter. Section 3. Termination of Membership. An individual shall cease to be a member of the Chapter when the individual s CLS membership expires or when the individual withdraws his or her designation of the Chapter as the CLS chapter with which the individual wishes to be affiliated, whichever is earlier. ARTICLE IV CHAPTER MEETINGS Section 1. Frequency. Chapter meetings shall be held to accomplish any of the purposes or goals of the Chapter on a regular basis, but not less than three (3) times per calendar year, at times and places determined by the Board of Directors of the Chapter. Chapter business meetings shall be held to conduct or vote on any official Chapter business at times and places determined by the Board of Directors of the Chapter. 2

19 Section 2. Notice. Notice of the time and place of each Chapter business meeting shall be provided to all voting members of the Chapter. Notice of the time and place of each Chapter meeting other than a Chapter business meeting shall be provided to all members of the Chapter. For purposes of these bylaws, notice may be given by mail or any other means of written communication, including, but not limited to, transmissions by facsimile, electronic mail, or posting on the CLS webpage for the Chapter, provided, however, that notice of Chapter business meetings may not be provided solely by posting on the CLS webpage for the Chapter. Section 3. Quorum. A quorum for the conduct of any official Chapter business at a Chapter business meeting shall be at least five (5) voting members of the Chapter present in person or by written proxy. Section 4. Manner of Acting. The act of a majority of the voting members of the Chapter present in person or by written proxy at a Chapter business meeting at which a quorum is present in person or by written proxy shall be the act of the voting members of the Chapter. ARTICLE V BOARD OF DIRECTORS Section 1. General Powers. The Chapter shall be managed by its Board of Directors. Section 2. Qualifications, Number and Tenure. The Chapter shall have a Board of Directors comprised of that number of members most recently determined by a resolution duly adopted by the Board of Directors, provided that such number shall not be less than three (3) or more than eleven (11), and provided further that any resolution that has the effect of decreasing the number of members of the Board of Directors shall become effective on January 1 st of the immediately succeeding year. Directors shall be elected annually in the manner provided in Article VII, Section 3, by voting members of the Chapter. All Directors must be voting members of the Chapter throughout their terms in office, and agree to conform with reasonable standards established by CLS as they may be updated from time to time. The term of office for all Directors shall be one (1) year, beginning on the first day of the calendar year immediately following their election (or, if the election is held after the end of the calendar year in which it is required to be held pursuant to Article VII, Section 3, beginning on the first day immediately following their election) and continuing until their successors are duly elected at the next annual election and their term of office begins. Section 3. Regular Meetings. A regular meeting of the Board of Directors shall be held on a regular basis, but not less than four (4) times per calendar year at times and places determined by the Board of Directors. Prior to each such meeting, an agenda for the meeting shall be delivered to each Director. Section 4. Special Meetings. The President or any two Directors may call special meetings of the Board of Directors. Notice of any special meeting shall be given at least ten (10) calendar days previous thereto by written notice to each Director. If mailed, such notice shall be deemed to be delivered when deposited in the United States mail so addressed, with postage thereon prepaid. If sent by facsimile or electronic mail, it shall be deemed to be delivered upon confirmation of transmission. The attendance of a Director at any meeting shall constitute a waiver of notice of such meeting, except where a Director attends a meeting for the express purpose of objecting to the transaction of any business because the meeting is not lawfully called or convened. The business to be transacted at, and the purpose of, any special meeting of the Board of Directors will be specified in the notice. Section 5. Quorum. A majority of the number of Directors serving at any given time shall constitute a quorum for transaction of business at any meeting of the Board of Directors at that time. 3

20 Section 6. Manner of Acting. The act of the majority of the Directors present at a meeting at which a quorum is present shall be the act of the Board of Directors. Any meeting of the Directors may be conducted in simultaneous multiple locations if the various locations are effectively connected by telephonic conference call lines, electronic video screen communication, or other electronic conference transmission. Section 7. Vacancies. Any vacancy occurring in the Board of Directors other than by reason of an increase in the number of Directors may be filled by a vote of a majority of the remaining Directors. Any person so elected to the Board of Directors shall complete the term of the former member of the Board of Directors. Any Directorship to be filled by reason of an increase in the number of Directors may be filled by election at a regular Chapter business meeting or at a special Chapter business meeting called for that purpose. Section 8. Action Without a Meeting. Any action required to be taken or any other action which may be taken at a meeting of the Board of Directors may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all of the Directors. Section 9. Committees. The Board of Directors may designate two (2) or more Directors to constitute a committee for a specific matter. ARTICLE VI OFFICERS Section 1. Number, Appointment and Term. The Officers of this Chapter shall be the President, the Vice President, the Secretary, the Treasurer and such other Officers as may be appointed by the Board of Directors. With the exception of Secretary and Treasurer, no two or more offices may be held by the same person. All Chapter Officers shall be appointed by the Board of Directors during January of each year and at such other times as may be necessary to fill vacancies. The term of office for all Chapter Officers shall be one (1) year, beginning on the date of their appointment by the Board of Directors and ending on the date of the appointment of Officers by the Board of Directors following the next annual election of the Directors. Section 2. Qualifications. All Officers must be voting members of the Chapter throughout their terms in office, and agree to conform with reasonable standards established by CLS as they may be updated from time to time. Section 3. Duties. A) President. The President shall preside over Chapter business meetings and meetings of the Board of Directors or the Officers. The President shall operate as the Chapter s representative to the legal community and public-at-large in all matters for which a formal representative is required or appropriate. The President shall also serve as the Chapter s primary contact person with CLS and shall advise the CLS national office of any significant operational or policy conflicts or other problems within the Chapter or between the Chapter and another entity. B) Vice President. The Vice President shall assist the President in the discharge of his or her duties, as the President may direct, and shall perform such other duties as from time to time may be assigned to him or her by the President. In the absence of the President, or in the event of the President s inability or refusal to act, the Vice President shall perform the duties of the President, and when so acting, shall have all of the powers of, and be subject to all of the restrictions upon, the President. 4

21 C) Secretary. The Secretary shall maintain all non-financial records of the Chapter. The Secretary shall be responsible for (a) preparing minutes of all meetings and (b) assisting the President in filing the annual report with CLS. D) Treasurer. The Treasurer shall be responsible for maintaining all financial records of the Chapter, including, but not limited to, all records of the payment of funds, deposits and disbursements from the Chapter s bank accounts pursuant to the procedures described in Articles X and XII. E) Other Officers. Any other Chapter Officers appointed pursuant to this Article shall have such duties as are assigned to them by the President. Section 4. Removal. Any Chapter Officer s term of office shall automatically terminate if such Officer ceases to meet the qualifications for the office set forth in Section 2 of this Article. The voting members of the Chapter may at any time, by a two-thirds (2/3) vote of all voting members who vote, remove any Officer from office. ARTICLE VII ELECTIONS Section 1. Nominating Committee. At least two (2) months before the end of each calendar year, the Board of Directors shall appoint a nominating committee consisting of at least three (3) voting members of the Chapter. The nominating committee shall be responsible for receiving nominations and establishing procedures for the election of Chapter Directors for the subsequent calendar year. Section 2. Nomination. Nominations for Chapter Directors shall be made in writing to the nominating committee at such time and by such procedures as shall be established by the nominating committee. To be considered for election as a Chapter Director, a nominee must be nominated by at least two (2) voting members of the Chapter. The nominating committee may recommend a slate of directors to the voting members of the Chapter for the annual election. Section 3. Elections. Prior to the end of each calendar year, at a duly called Chapter business meeting following at least ten (10) calendar days notice provided to all voting members of the Chapter in accordance with Article IV, Section 2, the nominating committee shall announce the candidates for election and commence a vote by ballot. Alternatively, the nominating committee may, in the exercise of its reasoned judgment, conduct such election by sending ballots to all voting members of the Chapter by mail, , or other electronic means, and in all cases affording reasonable time (but in no event less than fourteen (14) calendar days) for return of such ballots. Votes shall be tallied by the nominating committee, and the results announced by notice to all voting members. That number of candidates receiving the most votes that equals the number of members of the Board of Directors most recently determined by a resolution duly adopted by the Board of Directors pursuant to Article V, Section 2 (whether such resolution has become effective or will become effective on January 1st of the immediately succeeding year) shall take office. If there are fewer than that number of candidates, then all candidates who receive votes shall take office. If two (2) or more candidates receive an equal number of votes for the election of the last Director, a run-off election shall be held at such time and pursuant to such procedures as shall be established by the nominating committee. Section 4. Removal. Any Director s term of office shall automatically terminate if such Director ceases to meet the qualifications for a Director set forth in Article V, Section 2. The voting members of the Chapter may at any time, by a two-thirds (2/3) vote of all voting members who vote, remove any Director from office. 5

22 ARTICLE VIII ANNUAL TRANSITION In order to maintain Chapter continuity, outgoing Officers shall assure the orderly transition of authority to new Officers at the end of each calendar year before being relieved of their responsibilities. The outgoing President shall inform the CLS national office of the names, addresses and telephone numbers of the incoming Officers at the time of such transition. ARTICLE IX CONTRACTS The Board of Directors may authorize any Officer or Officers to enter into any contract or execute and deliver any instrument in the name of and on behalf of the Chapter, and such authority may be general or confined to specific instances. ARTICLE X RECEIPTS Section 1. Dues. Pursuant to the Christian Legal Society Attorney Chapter Affiliation Agreement by and between the Chapter and CLS (the Affiliation Agreement ), the Chapter will not charge or receive any form of membership dues or dues-like annual fees, except for the CLS membership duessharing revenues provided to it by CLS as set forth in Exhibit 3 to the Affiliation Agreement or as modified by from time to time by CLS. Section 2. Event Fees. When CLS membership dues-sharing revenues are not sufficient or appropriate to cover the costs of an event, the Chapter may set and collect an event fee to cover the cost of the event. Section 3. Contributions. At the discretion of the Board of Directors, the Chapter may raise revenues through fund-raising activities and contributions if and only if (i) the Chapter is listed under CLS group federal income tax exemption under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the Code ), (ii) the Chapter provides evidence satisfactory to the CLS Executive Director that the Chapter is exempt from federal income tax under Section 501(c)(3) of the Code, including a copy of a letter from the Internal Revenue Service to the Chapter so stating, or (iii) the Chapter notifies each contributor in writing, prior to accepting any revenues through fund-raising activities or contributions from that contributor, that no portion of any contribution to the Chapter is deductible for income tax purposes and the Chapter includes in each written solicitation of revenues through fund-raising activities or contributions a statement that no portion of any contribution to the Chapter is deductible for income tax purposes. To be listed under CLS group federal income tax exemption, the Chapter must obtain a federal employer identification number, indicate its intention to be listed under CLS group exemption in a letter to CLS in the form set forth as Exhibit 7 to the Affiliation Agreement, and meet the other requirements set forth in the Affiliation Agreement. If the Chapter is so listed, contributions to the Chapter for Chapter activities in accordance with the purposes and goals of the Chapter are exempt from federal income tax and qualify for contribution deductions under CLS group federal income tax exemption to the extent provided by law. Section 4. Bank Accounts. The Chapter shall establish one or more checking or savings accounts to hold any Chapter funds until such funds are expended for Chapter purposes. The signature of at least one Chapter Officer shall be required to write a check or withdraw Chapter funds. Immediately following the appointment by the Board of Directors of any new Officer, the outgoing Officer shall take all appropriate actions to substitute the incoming Officer for the outgoing Officer on the Chapter s bank accounts and signature cards. 6

23 ARTICLE XI FISCAL YEAR The Chapter s fiscal year shall run from January 1 of each year through the following December 31. ARTICLE XII FINANCIAL RECORDS Accurate financial records shall be maintained showing all receipts and expenditures and all assets and liabilities of the Chapter and, upon the request of CLS, copies of such records shall be sent to the CLS national office. All financial and other reports required by the Affiliation Agreement shall be filed with CLS at the times and in the manner specified in the Affiliation Agreement. ARTICLE XIII AFFILIATION AGREEMENT The Chapter, through its members, Directors and Officers, shall comply with all terms and provisions of the Affiliation Agreement. The Affiliation Agreement, and any future amendments thereto, are hereby incorporated into these bylaws by this reference. ARTICLE XIV RESTRICTIONS ON ACTIVITIES Section 1. Litigation. The Chapter shall not be a voluntary party in any litigation without the prior written consent of the CLS Executive Director. Section 2. Political Activity. A) Lobbying. The Chapter shall not lobby (including the publishing or distribution of statements) or otherwise attempt to influence the enactment, amendment, or repeal of, legislation, regulations, rules, codes, orders, or other statements (including referenda) at any level or branch of government without the prior written consent of the CLS Executive Director. B) Political or Judicial Campaigns. The Chapter shall not participate or intervene in (including the publishing or distribution of statements) any political or judicial campaign or confirmation process on behalf of any candidate for office. Section 3. Exempt Activities. The Chapter shall not carry on any activities not permitted to be carried on (i) by an organization exempt from federal income tax under Section 501(c)(3) of the Code, (ii) by an organization contributions to which are deductible under Section 170(c)(2) of the Code, or (iii) by CLS under its bylaws. Section 4. Non-Discrimination. In the conduct of all aspects of its activities, the Chapter shall not discriminate on the grounds of race, color, national origin or sex. Section 5. Chapter Meeting Leadership and Attendance. Any individual invited by a Chapter member may attend Chapter meetings (other than Chapter business meetings, which may be attended only by voting members of the Chapter) and other Chapter activities. Nevertheless, only a Chapter member may lead Chapter meetings and activities. Section 6. Reasonable Compensation. No part of the net income of the Chapter shall inure to the benefit of or be distributable to its Directors, Officers, or other private persons, except that the Chapter shall be authorized and empowered to pay reasonable compensation for services actually rendered and to make payments and distributions in furtherance of its purposes. The Board of Directors must approve 7

24 the payment of any compensation for services rendered by an individual or firm as an independent contractor or employee. Section 7. Chapter as a Private Foundation. Notwithstanding any other provisions set forth in these bylaws, at any time during which it is deemed a private foundation, the Chapter shall not engage in any act of self-dealing as defined in Section 4941(d) of the Code; the Chapter shall distribute its income for each taxable year at such time and in such manner as not to become subject to the tax on undistributed income imposed by Section 4942 of the Code; the Chapter shall not own any excess business holdings that would subject it to tax under Section 4943 of the Code; the Chapter shall not make any investments in such manner as to subject the Chapter to the tax imposed by Section 4944 of the Code; and the Chapter shall not make any taxable expenditures as defined in Section 4945(d) of the Code. ARTICLE XV WAIVER OF NOTICE Whenever any notice is required to be given under the provision of these bylaws, a waiver thereof in writing, signed by the person or persons entitled to such notice, whether before or after the time stated therein, shall be deemed equivalent to the giving of such notice. ARTICLE XVI AMENDMENTS AND INTERPRETATION Section 1. Amendments. Any Officer or other voting member of the Chapter may make written request to the President for amendment of these bylaws. The Board of Directors shall consider any proposed amendments and present them to the voting members at a Chapter business meeting or by written ballot as recommended or opposed by the Board of Directors. The President shall provide notice of any Chapter business meeting at which a bylaws amendment is to be considered to all voting members of the Chapter at least ten (10) calendar days prior to such meeting in accordance with Article IV, Section 2. The President shall provide notice, in accordance with Article IV, Section 2, of the presentation to the voting members of any written ballot concerning a bylaws amendment, together with a written ballot, to all voting members of the Chapter at least fourteen (14) calendar days prior to the deadline, which shall be stated in such notice, by which such completed ballot must be received in order to be counted. In either case, such notice shall include the text of the proposed bylaws amendment. A two-thirds (2/3) majority of the voting members present at such meeting in person or by written proxy or, in the event the amendment is presented to the voting members by written ballot, a two-thirds (2/3) majority of the voting members who cast timely written ballots may approve any amendment to these bylaws, provided that voting members constituting a quorum as set forth in Article IV, Section 3 must be present at such meeting in person or by written proxy or must have cast timely written ballots; and provided, further, that no amendment to these bylaws shall have any force or effect whatsoever unless and until it has been approved in writing by the CLS Executive Director. Section 2. Interpretation. Any conflict or disagreement among Chapter members, Directors or Officers as to the meaning or interpretation of these bylaws shall be submitted in writing to the CLS Executive Director for final resolution. ARTICLE XVII STATE LAW AND SEVERABILITY These bylaws are subject to the laws of the state in which this Chapter is located and to the extent any provision of these bylaws conflicts with the laws of said state, these bylaws will be deemed either amended if possible or omitted to conform with said state laws without impairing the validity of the remaining provisions of these bylaws. 8

25 ARTICLE XVIII TERMINATION These bylaws shall terminate, and the Chapter shall cease to exist, immediately upon the termination of the Affiliation Agreement or if the Chapter ceases to meet the qualifications for a CLS chapter set forth in the CLS bylaws and appended to the Affiliation Agreement, as such bylaws may be amended from time to time. ARTICLE XIX ADOPTION These bylaws shall take effect upon the agreement to their provisions by at least three attorneys who wish to form a CLS local chapter, each of whom is a current CLS member in good standing, at an organizational meeting. At such meeting, the initial President, Vice President and Secretary/Treasurer shall be elected pursuant to Article VI and procedures substantially similar to those set forth in Article VII. As you may know, CLS is a national non-denominational membership organization of attorneys, judges, law professors, and law students, working in association with others, to follow Jesus' command "to do justice with the love of God." I have attached and enclosed for your information a roster of the CLS student leaders, attorney advisors and faculty sponsors for six law schools in the Los Angeles area for the - school year. 1 This letter describes the Program, including setting forth what we are asking each of you to do. The letter also summarizes several upcoming events for you and the other members of your chapter, including the Fall Barbecue at Pepperdine University for law students from all six CLS law school chapters and this year s highlight event, the 2009 CLS National Conference (including the National Law Student Convention) in La Jolla, California October I apologize for the length of the letter. Purpose and Description of the Program Attorney advisors for CLS student chapters are one aspect of the ministry of the Los Angeles chapter of CLS. We believe that a Christian law student will benefit from interaction with other Christian law students and with Christian attorneys on the many aspects of integrating the study and practice of law with a commitment to Jesus Christ as Lord. The central purpose of the Program is accordingly to assist Christian law students in their development spiritually and professionally. The Program works somewhat differently for each CLS chapter depending upon the particular preferences of the current student leader, attorney advisor and (where available) faculty sponsor. However, we are asking each of you to do at least three things. First, an attorney advisor should speak with his or her student leader via telephone on a monthly basis. 48 student leader should keep the attorney advisor informed as to the CLS law school chapter activities and should share both the joys and the areas of need of the chapter. The attorney advisor s role is a supportive one, which at various times presumably will take the form of listening, praying, rejoicing, encouraging, and suggesting ideas and CLS attorney speakers. In my experience, this monthly contact, though critical and enjoyable, is too easily postponed or forgotten by both the attorney and the student in the crunch of other more urgent classroom and work responsibilities. Accordingly, I urge every attorney advisor and every law student leader to put a reminder note on your calendar right now for the first day of each month for the rest of Pay your rent, or make your house payment, and then call your attorney advisor or student leader. Either the attorney advisor or the student leader can (and should) take the initiative in making the call. You do not need a specific reason to make this call. You are calling because a month has gone by and it s time to check in and talk about the status of the student chapter s ministry. Second, we are asking that each attorney advisor meet at least once annually with the CLS student group, preferably in the fall. The student leader may invite the attorney advisor to speak to the group at an on-campus meeting concerning the integration of the attorney s Christian faith and practice or another topic, or to attend and participate in a chapter planning meeting. Or the attorney advisor may invite the group over to his or her home for an evening of fellowship. Either the attorney advisor or the student leader can (and should) take the initiative in proposing a meeting. In addition to the benefits these meetings will have in themselves, they will give students other than the leader an opportunity to establish a friendship with the attorney advisor. The third area in which we are asking your assistance is that of serving as a liaison between CLS and its Los Angeles chapter on one hand and the students in the CLS campus chapter on the other hand. By a copy of this letter, I am asking my secretary, keeper of the CLS- mailing list, to add each student leader to our local CLS mailing list. We would appreciate it if the student leader, upon receiving an announcement of a local attorney chapter event, would communicate it to all of the students in the chapter and encourage attendance and carpooling to spread the costs of gas and parking while adding to the fun. Law students are always welcome at our attorney chapter events, and in particular Loyola, Southwestern and USC are not far away from downtown. We ask all of you who are student leaders, if you have not already done so, to stand together with several thousand other Christian law students and lawyers and join the national CLS and receive its publications and notices of conferences and other activities. Law School Orientation (August) Each law school s orientation program for new students will be held in August. In my experience, this is usually the most important event during the entire year in terms of attracting new students to the CLS group. Student leaders are strongly encouraged, if they have not already done so, to contact their law school and, with the help of returning group members, do whatever they can to encourage new students to come to the group s first meeting or event. At different campuses, that may mean (i) preparing written material about CLS for a law school mailing to students about law school groups or for distribution in students boxes, (ii) speaking briefly about CLS at the orientation program and/or (iii) setting up a CLS table at the orientation program. Dan Kim, Deputy Director of CLS Law Student Ministries, and the CLS website can be of great assistance to student leaders, particularly in providing copies of CLS publications, articles and books relating to such matters as the integration of our Christian faith with the practice of law, religious freedom issues and specific law school and student concerns. 50 Fall Barbecue at Pepperdine University (a Saturday TBD in September) On a Saturday in September, we will be hosting a barbecue at Pepperdine University for all of the CLS campus chapters to enjoy fellowship with one another and to meet CLS attorneys. Kathy or Jane will provide the date and other details soon. 3rd Annual Christian Legal Aid of Los Angeles Prayer Breakfast (Saturday, Oct. 3) As you may know, four years ago CLS-LA established a sister nonprofit ministry, Christian Legal Aid of Los Angeles, which has been operating legal aid clinics for the poor for three years. We encourage you and other students in your chapter to join us at CLA-LA s third annual prayer breakfast on Saturday morning, October 3, in downtown LA. Our keynote speaker will be Dr. Lloyd John Ogilvie, Chaplain of the US Senate from 1995 to 2003, former Senior Pastor of the First Presbyterian Church of Hollywood for more than 20 years before that, and the author of more than 50 Christian books. For more details and to register, see CLA-LA s website, CLS National Conference in La Jolla, California (Thursday, Oct Sunday, Oct. 18) This year s CLS national conference will be in California for the first time in more than 20 years. The 2009 CLS National Conference will be Thursday, October 15 th through Sunday, October 18 th at the San Diego Marriott in La Jolla, California. The theme is The Lawyer as Disciple: Integrating Faith in the Practice of Law. The keynote speakers will be authors, speakers and teachers Gordon and Gail MacDonald (e.g., Ordering Your Private World). This is the year to encourage every law student in your chapter to attend. No air fare, and no crosscountry flights killing the better part of two days. Just a 2-3 hour drive down I-5 after classes end on Thursday afternoon. Everyone even 1Ls can get their friends to take notes for them on one day (Friday). The conference will also include the National Law Student Convention, which consists of special programs and worship and fellowship opportunities for law students from the entire nation. This is a great opportunity for Christian law students. Do not let those in your chapter miss out. Among other benefits, I met one of my best friends for life at the first national student conference 35 years ago. Check out the CLS website for more information about the conference and hotel accommodations generally and about law student discounts, and to register. Additional discounts apply to early registrants and generally partial scholarships are made available to one or two leaders from each law school. Because of the geographical proximity of the conference, this year we are hoping that at least every member of your chapter s leadership team and several 1Ls who appear to you to be potential future leaders will attend this valuable conference. More than 1,000 attorneys and 150 law students are expected to be in attendance. I ask you to plan now to attend, to encourage other members of your leadership team to plan to attend and to begin thinking how to encourage other members of your chapter, including the 1Ls you will meet in August, to attend. Any CLS member, including an attorney or a law student, can easily run a search of the CLS membership directory (on the website) to obtain a list of and contact information for all CLS members who are alums of any particular law school. Tax-deductible contributions by persons other than the attending students and their relatives may be made out to CLS-LA and mailed to me as the Treasurer.
