4:45 pm Call to Order Hampton Inn, Danbury, Connecticut (Powerpoint slides from the meeting are attached at the end.) Annual General Meeting of Orienteering USA September 17, 2016 Please see the attached slideshow of the full meeting in addition to the following information. Peter Goodwin reported for the credentials committee that the club representatives present held 1018 of 1275 votes which constituted a quorum. Approval of the agenda Election of two certifiers of the minutes Jim Hall and Walter Siegenthaler Matt Robbins, OCIN, made a motion that the Bylaws be set aside for the acceptance of proxies for this voting. Kris Beecroft, BOD member and jury for the Credentials Committee, explained that we can t change the Bylaws at this point and will not accept late proxies. But, as a BOD member, she said she will work to rewrite the Bylaws for the future. Peter Goodwin, as President and Chair of the AGM, officially denied the motion. Election of Board Members Ballots were filled in for the election of Board members, and the Credentials Committee, assisted by Kris Beecroft (BOD member) counted the ballots outside of the meeting. The AGM slide show presentation continued. Any questions related to the Bylaws, Competition Rules, Publications, Membership fees or the budget? Is there still work being done to change the names of courses? There is a work group looking into this, but there is no consensus at this time. Glen Schorr and Ed Despard are members of the work group and would like anyone with questions or comments to contact them. Sara Mae and Larry Berman, past publishers of Orienteering North America, presented current publisher Donna Fluegel with roses for her hard work over the last 17 years of publishing the magazine. Election of Board Members Congratulations to new board members Boris Granvoskiy, Alex Jospe, Barb Bryant, Pat Meehan - 3 year term, Ian Smith - 2 year term

Agenda Items 2 General Announcements Report of the Credentials Committee Approval of the agenda Election of two certifiers of the minutes Motion to dispense with the reading of the minutes of the previous Annual Convention (have been on line since the last AGM meeting in Boise) Orienteering USA Annual General Meeting 9/17/16
2016 Ballot for OUSA Board Positions -- Please do not complete your ballot until asked to do so because there may be nominations from the floor. -- Nominations from the floor require prior approval of the nominee. Write the names below. -- There are 5 open positions. Four terms are for 3 years. One term is for 2 years. -- The four people with the most votes get 3 year terms. The person with the fifth largest number of votes gets a 2 year term.
-- The number written at the top of the page indicates the number of OUSA members you have, excluding any individual(s) who are voting independently. -- Because there are 5 open seats, the total number of votes equals 5 times the number of members listed at the top of your ballot.
-- You may allocate your number of votes (5 x the number at the top of the page) however you choose, but the maximum number of votes for one candidate may not exceed the number at the top of the page. -- Double check your math to make sure your total number of votes does not exceed 5 x the number at the top of the page AND that your maximum number of votes for one candidate does not exceed the number at the top of the page. If the ballot is not filled out correctly, the ballot will be made void.

Report on Accounts 8 Finance Report Final 2015 Cash and bank accounts = $139,882 Income was $336,153 Expenses were $327,729 This indicates that there was a $8423 surplus for the year related to the operating budget. This compares to a forecasted deficit of over $14,000 One issue with this is that some of the income is either designated to the Endowment Fund or is to be spent over a period of years.
Final 2015 total assets = $363, finished with a loss of net assets of $23,559. All of the loss is associated with a decrease in value of the Endowment Fund because of changes in the stock market. The money spent by OUSA The 2016 budget projections this year are for no operating budget deficit and probably an increase in the Endowment Fund given the stock market. The present fee structure has made it so that the budget should be balanced in the future.
Endowment Fund The Endowment Fund is providing continuing support, presently adding around $ $8000 to support our programs. Originally set up to provide continued support from Life Membership Dues. Would provide funding for ONA and other programs in the long term. Needed because Life Members pay no further dues although many of them contribute to the Annual Fund. Present interest rate climate allows around a 4% return to be credited to Orienteering USA each year.
Report on Accounts 11 External Financial Review 2015 review by Fulton-Kozak, CPA fourth consecutive year working with us Done in compliance with Maryland regulations Books to be found in good order Orienteering USA Annual General Meeting 9/17/16
2015 Budget budget was previously approved by the Board in November of has a projected surplus of around $1,400. In some areas we are expanding programs but need to maintain donations to keep on track. Presently, the federation is on budget. Numbers don t always reflect the accounting because a lot of income for each year comes in through the annual fund. Orienteering USA Annual General Meeting 9/17/16
President s Report 13 OUR MISSION As the national governing body of orienteering, and in partnership with the clubs, Orienteering USA s mission is to: Increase participation in the sport. Continued progress with the average positions continuing to rise. Progress is being made. Trail-O: Some improvement with TempO results better. WUOC: No medals but hard competition and hard training. MTBO: The average time difference between the winners and the team continued to decrease.
President s Report 17 Contributions, Fundraising and Sponsorship Raised $178,000 $20,000 decrease over 2014 Associated with a large endowment fund donation in Major gift to fund Junior Team Coach and Development Program, continued for next year This gift is allowing Orienteering USA to work with juniors, the future of orienteering, and also involving parents of those juniors who become important 9/17/16 volunteers for the clubs and national programs.
President s Report 18 Junior Development Program Program led by JTESC and Head Coach Erin Schirm who is also Director of Sport Development Updated coaching program to be announced. Sport work group now looking at how our National Meets can be, perhaps, refocused to generate more enthusiasm and involvement of people of all ages. Will soon be looking for input from a wider audience. Focus on grass roots junior development and long term JWOC performance Re-funded by gift for 2017
Safety Plan Two years ago, OUSA policy was put into place a requirement that our teams have travel insurance on international trips. This is to insure the safety of our athletes (and others) while on their trip and make medical assistance not an issue of money. Since that time the IOF has made this a requirement for teams attending World Championships.
