4 ARTICLE I Name, Purpose and Restrictions Section 1.1 Name The name of the organization is Redlands Administrative Personnel Association (RAPA), a local charter of the Association of California School Administrtaors (State ACSA) embracing the confidential, certificated, and classified management personnel of the Redlands Unified School District (the district). Section 1.2 Purpose The purpose of RAPA is to promote the advancement of education within the district and as stated in the ACSA bylaws. The purposes of RAPA are to promote the advancement of education by: A. Improving the educational process by helping members become more effective in their various roles as educational leaders. B. Creating the resources that will enable RAPA members to develop and apply creative leadership and management. C. Providing opportunities for additional social contact among management personnel and provide avenues for professional growth. D. Staying current with legislation, keep membership informed and make appropriate recommendations as needed. E. Meeting the needs of individual association members and provide assistance as needed. [F. Supporting programs and activities (pre-school through adult education) by cooperating and working with staff, students and the public so that the needs of learners and the community may be best served. Section 1.3 Restrictions All policies and activities of the charter shall be consistent with: A. Region 12 and State ACSA bylaws, policies, rules and regulations; B. Federal, state, and local antitrust and trade regulation laws; C. Applicable tax-exemption requirements; and 3

5 D. All other legal requirements, including the California Nonprofit Corporation Law under which state ACSA is incorporated and to which the region [and this charter] are subject. ARTICLE II Membership Section 2.1 Regular Members Membership in RAPA is open to all management personnel employed by the district. Section 2.2 Retired Membership Retired membership is encouraged [at the charter and region levels]. Retired members shall, however, have no voting privileges nor be eligible to serve as charter officers. Retired members shall be eligible to serve on charter committees. Retired membership shall be limited to RAPA members not currently employed in the field of education but receiving compensation from the State Teachers' Retirement System (STRS) and Public Employees Retirement System (PERS). [Section 2.3 Membership Privileges Regular RAPA members shall have voting privileges and be eligible to serve as board members and committee members. Regular members who are also members of ACSA shall have voting privileges and be eligible to serve as officers, board members, committee members, or council members at the state, region and charter level of ACSA. Section 3.1 Dues ARTICLE III Dues Membership dues will be collected by October 1st of each year or through a payroll deduction on a tenthly basis. The RAPA board may make recommendations regarding any changes in dues which must then be submitted to the general membership for approval. 4

6 Section 4.1 Board of Directors ARTICLE IV Board of Directors The board is the governing body of the charter and has authority and responsibility for the supervision, control and direction of the charter [whose authority includes the following functions: establish and monitor policies, govern the operation of the charter, develop, approve, and monitor the budget, approve committee appointments, ratify elections, recommend bylaw changes to the membership, and approve annual dues. Section 4.2 Board Composition The board consists of the elected officers of the association (see 5.1) plus the following: Immediate Past President, and one member from each of the following divisions: District Office Administrators, Secondary Administrators, Elementary Administrators, Classified Managers, Confidential Personnel. Section 4.3 Meetings Board meetings shall be held no less than five times each year, and may be held in conjunction with charter sponsored events. The board shall call for a minimum of four (4) General Meetings of the charter each year. Section 4.4 Quorum A quorum of the board and general membership shall be one-fifth (20%) of the number of members authorized in these bylaws. Section 5.1 Officers ARTICLE V Officers The officers of the charter shall be: President, President Elect, Charter Board Delegate, Charter VP of Legislative Action, Charter VP of Membership, Secretary, and Treasurer. Section 5.2 Qualifications Charter officers shall be ACSA members. 5

7 Section 5.3 Duties President: Administrative officer of RAPA. Plans for and conducts board meetings. Directs the communications of charter issues within the association. Directs the nominating committee. Serves a one-year term of office. President Elect (Vice President): Assistant aministrative officer. Assists in planning and developing the agenda for the General Meetings of the charter. Assumes duties of the president when necessary. Assumes the office of president the following year. Vice President of Legislative Action: Administers the charter legislative action program in direct relationship to the region and state committees. Elected for a two-year term. Vice President of Membership: Administers the charter membership program in direct relationship to the region and state committees. Directs the social committee for RAPA. Elected for a two-year term. Charter Board Delegate: Assistant aministrative officer to the VP of Legislative Action and VP of Membership. Assumes duties of the VP Legislative Action or VP of Membership when necessary. Elected for a two-year term. Past President: Directs the awards committee in the selection and presentation of charter awards. Develops leadership training as needed and serves as a Mentor for new members. Serves as the charter parlimentarian. Serves a one-year term. Secretary: Responsible for minutes and a distribution of minutes for all meetings. Serves a one-year term. Treasurer: Will function as charter controller. Keeping such permanent books of account and records as shall be sufficient to establish the items of gross income, receipts and disbursements of the charter, including the number of members, the dues collected from the members and the amount of dues remitted through RAPA & ACSA. Prepares the budget for adoption by the charter. Present a treasurer s report at every board meeting of the charter. Such books of account and records shall at all reasonable times be open to inspection by ACSA state or region auditors. Contacts the bank to secure signatures of all authorized signers on the charter s account(s) signature cards and file with the bank immediately upon taking office. Secure two signatures on all checks. Any two of the following are authorized to sign: President, Treasurer and Secretary. Section 5.4 Vacancies In the event of an officer vacancy, the board will fill that office with a qualified charter member. 6

8 Section 5.5 Removal An officer may be removed for justifiable reason as determined by a majority vote of the full board. Section 6.1 Committees ARTICLE VI Committees Aims and purposes of RAPA shall be accomplished through the leadership of the board and appropriate committees. Section 6.2 Special Committees The following committees will be appointed each year. committees shall be members of the board. The chairpersons of the Social Activities Committee. The VP of Membership selects Social Committee members who report directly to the board. Awards Committee. The past-president selects an Awards Committee and shall be responsible for a charter awards program. Other Committees: Other special committees may be developed and appointed by the board as needed. Section 7.1 Fiscal Period ARTICLE VII Fiscal Period The fiscal period of RAPA shall be July 1 through June 30 of the following year. Section 7.2 Audit Charter books shall be audited on an annual basis by a board-appointed auditor. Copies to be filed with appropriate authorities when requested. 7

9 Section 7.3 Bank Accounts The charter may establish bank acounts in reputable financial institutions. Section 7.4 Expenditures All expenditures shall require the approval of the board. Section 8.1 Amendments ARTICLE VIII Amendment of Bylaws Proposals for amendments may be made at any meeting of the board. Proposed amendments will become a part of the bylaws, when approved by the board and a majority vote of the quorum of the general membership. Proposed amendments shall be given to the general membership at least one week prior to a RAPA general meeting [or by ]. Section 9.1 Interpretation ARTICLE IX Interpretation These bylaws are subject to and consistent with State and Region ACSA bylaws and must be interpreted so as to conform with State ACSA bylaws, as they may be amended from time to time. 8
