1 ARCA Teocalli No. 21 Order of Quetzalcoatl BYLAWS PURPOSE The purpose of the Order of Quetzalcoatl is to bring together Shrine Masons who have distinguished themselves in their service to their Shrine Temples the Artisans of the Temples for fun and fellowship, to promote a better understanding among the Nobles of the Mystic Shrine of the history and culture of the early inhabitants of this continent through a fraternal medium by exemplifying the ancient rites and legends as practiced by the Toltec s under the leadership of their prophet and guide; he who was known and venerated by it as QUETZALCOATL. The primary charities supported by the Order of Quetzalcoatl are the Shrine hospitals with emphasis on transportation funds. ALLEGIANCE ARCA Teocalli No. 21 acknowledges the Supreme jurisdiction wherein it is situated in all matters of Masonic and Shrine Law; Traditions and Ethics. ARCA Teocalli No. 21 pledges never to interfere with or meddle in the affairs of any Masonic Lodge or Shrine Temple; nor engage in, or sponsor any activity prohibited by said Grand Lodge or Shrine Temple under whose jurisdiction one serves; nor permit its members to engage in unseemly conduct which might reflect adversely upon the institution and character of the Order of Quetzalcoatl specifically, and Masonry in general. ARTICLE I - NAME/ JURISDICTION SECTION 1: This Teocalli shall be known as ARCA Teocalli No. 21, Order of Quetzalcoatl and shall exist by virtue of a Charter granted on March 14, 1992, by the Supreme Teocalli, See of North America. SECTION 2: The jurisdiction of this Teocalli shall coincide with that of the jurisdiction of Moolah Temple, A.A.O.N.M.S., as per Imperial Shrine By-Laws. SECTION 3: The purpose of this Teocalli shall be to promote fellowship within the organization and on a regular basis, promote and aid the cause of international fellowship and harmony through the support of time, goods, and monies to the transportation fund(s) as they relate to the utilization of the Shrine Hospital located in Mexico City D.F., Mexico, or other Shrine hospitals as the need may exist. ARTICLE II - BOARD OF DIRECTORS SECTION 1: All business and affairs of this Teocalli shall be administrated by the Board of Directors. SECTION 2: The Board of Directors shall consist of the four (4) elected officers, Tlacuilo, Calpixque, Secretary, Treasurer Cuatemoc, Nezahualcoyotl, the immediate Past Camaxtli, and

2 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 2 two (2) Master Artisans elected from the general membership of the Teocalli, making a total of eleven (11) nine (9) Directors. A quorum for Board of Director meetings shall consist of at least six (6) (five (5) Board members. Proposed actions or discussions of the Board of Directors may be initiated by any board member via any means (mail, telephone, , etc.) and a majority vote/consent of all board members shall be considered a valid action for non-face-to-face meetings. The Camaxtli or in his absence the next highest elected officer shall preside. ARTICLE III - OFFICERS SECTION 1: The four (4) elected officers (progressive line) must be Master Artisans, and are listed below in the order of their rank and title: 1.Camaxtli (CEO) 2.Chimalma (First Vice President) 3.Huemac (Second Vice President) 4.Titlauacan (Third Vice President) The four (4) officers to be appointed by the Camaxtli, are as follows: 1.Nezahualcoyotl (Outer Guard/Guide) 2.Cuauhtemoc (Inner Guard) 3.Tlacuilo (Secretary) 4.Calpixque (Treasurer) A Parliamentario (Parliamentarian) may be appointed by the Camaxtli to pass upon all matters of parliamentary law. SECTION 2: Teocalli officers shall have the following duties, responsibilities and privileges: CAMAXTLI: Shall be the chief executive officer and shall govern the Teocalli. He shall preside over all meetings of the Teocalli, although he may delegate that responsibility in whole or part to another elected Teocalli officer. He may issue General Orders and Special Orders, not inconsistent with the Bylaws for the governance of the Teocalli, effective only during his term of office. He may appoint members of the Teocalli to accomplish his programs for the good of the Teocalli, provided that all such appointments terminate at the end of his term. Except as provided herein, succeeding Camaxtlis shall not be bound by the governing policies or edicts of their predecessors. He shall serve as the presiding officer of the Board of Directors. He shall, within ninety (90) days of his election, submit a budget to the Board of Directors for editing and approval, and they then to the Teocalli for adoption. The Camaxtli elect shall submit a teocalli budget to the ARCA Teocalli No. 21 Board of Directors elect for changes or approval at least ten (10) days prior to ARCA Teocalli No. 21 s first business meeting scheduled in January of the budget year. CHIMALMA: Shall have the duties usually performed by a First Vice President and, in the absence of the Camaxtli, shall perform the duties of the Camaxtli. He shall have such other duties as, from time to time, may be conferred upon him by the Camaxtli and/or the Board of Directors.

3 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 3 HUEMAC: Shall have the duties usually performed by a Second Vice President and, in the absence of the Camaxtli and Chimalma, shall perform the duties of the Camaxtli. He shall have other duties as, from time to time, may be conferred upon him by the Camaxtli and/or the Board of Directors. TITLAUACAN: Shall have the duties usually performed by a Third Vice President and, in the absence of the Camaxtli, Chimalma, and Huemac, shall perform the duties of the Camaxtli. He shall have such other duties as from time to time, may be conferred upon him by the Camaxtli and/or the Board of Directors. CUATEMOC: (Inner Guard and Guide) shall guard the meeting room and allow no unauthorized persons to enter the meeting, or persons to leave the meeting without the permission of the Camaxtli. NEZAHUALCOYOTL: (Outer Guard) shall be responsible for maintaining decorum at all meetings and shall attend the door to prevent all unauthorized persons from entering the meetings of the Teocalli. He shall attend the presiding officer and follow his direction regarding the removal of unauthorized or unruly persons from the meeting. TLACUILO: (Secretary) He shall keep and maintain all permanent records with respect to the business of the Teocalli, the reports of its committees and all records customarily kept and maintained by the Teocalli. He shall notify all members of the Teocalli of all meetings as required by these Bylaws. He shall perform such other duties as may be assigned by the Camaxtli, the Board of Directors, the Central States Quetzalcoatl Association or the Supreme Order of Quetzalcoatl. CALPIXQUE (Treasurer) He shall arrange for the safe keeping of all financial records and books of account of the Teocalli and shall arrange for the payment of all obligations of the Teocalli. He shall collect and receive all revenues of the Teocalli and shall deposit them to the credit of the Teocalli in depositories approved by the Board of Directors. He shall provide for the maintenance of adequate and complete records and books of account, showing the details of all revenue received by him and source thereof, and account for the deposit of same as required by these Bylaws. Within sixty (60) days of the Teocalli s fiscal year end (December 31), he shall cause to be prepared from the records and the books an annual statement of financial condition of the Teocalli via a balance sheet, operating statement and any other supplementary report necessary to disclose the financial condition of the Teocalli. With the approval of the Board of Directors, he shall arrange for the prudent investment of all funds of the Teocalli not needed for immediate payment of obligations under the current appropriations. He shall perform such other duties as may be assigned by the Camaxtli and/or the Board of Directors. The Camaxtli, Chimalma and the Treasurer shall be authorized signers on all depositories of the Teocalli. SECTION 3: At least ten (10) days prior to the convening of the September Teocalli meeting, the Camaxtli shall appoint a NOMINATING COMMITTEE of no fewer than four (4) Master Artisans and one (1) Past Camaxtli which shall be presented at that meeting.

4 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 4 The election of the four (4) elective officers and two (2) At-Large Board Members shall be held at the Annual October meeting by voice vote. Secret ballot shall be used only in the event of dissent. Officer election shall be by a simple majority vote of the members voting at the meeting. If there are more than two (2) candidates for an office, unless one candidate receives a simple majority (greater than 50%) of the vote on the ballot, the candidate receiving the least amount of votes shall be eliminated from the next ballot. Balloting shall continue with the candidate receiving the least number of votes eliminated from subsequent ballots until one candidate receives a simple majority of a vote. The offices of Chimalma, Huemac and Titlauacan shall be considered the progressive line and shall be advanced; each such officer may be elected to the next higher office. The Nominating Committee recommendations for vacancies or Titlauacan do not formally place said individual(s) in nomination. The Camaxtli shall receive the report and then declare the floor open for nominations. The nominations for those individuals holding progressive line officer positions may be nominated and voted upon collectively. At the discretion of the Camaxtli-elect, formal installation of newly elected and appointed officers shall take place at the regular Teocalli meeting in the month of January next following election or a presentation of officers on or before January 31, by a Supreme Officer or his designate. Officers shall serve for one (1) year or until their successors are elected and have been installed. The four (4) appointed officers and Parlimentario (if one is appointed) shall serve one (1) year or until their successors are appointed and have been installed. SECTION 4: Each Teocalli is entitled to three (3) voting delegates at each Supreme Feast of Fire. The voting delegates from a Teocalli are determined by those holding the official delegate voting card issued by the Supreme Teocalli. The ARCA #21 Teocalli delegate voting cards shall be distributed to the Camaxtli, Chimalma and the immediate Past Camaxtli, who shall be designated as the Supreme Representative. Should any of these officers be unable to attend the annual Feast of Fire, those voting cards assigned to the Camaxtli or Chimalma shall be passed in order down the progressive line and then to the appointed officers who will be attending the annual Feast of Fire to determine an alternate delegate. If the immediate Past Camaxtli is unable to attend, then the voting card shall be assigned to the next previous Past Camaxtli until a Past Camaxtli who will be attending is determined as an alternate delegate. Any officer or Past Camaxtli that will be a voting delegate based on his status in the hierarcy of the Order shall not be considered for an alternate delegate. The Supreme Representative in addition to being a voting delegate, is a member of the Supreme Teocalli and shall be the liaison between the Teocalli, the Chief Supreme Tlaloc and the Supreme Teocalli, assisting in forming new Teocallis; arranging for the annual Feast of Fire, assisting the Chief Supreme Tlaloc, Supreme Tlacuilo (Secretary) and the Supreme Calpixque (Treasurer) for the general good of the Order. Registration fees for ARCA Teocalli #21 voting delegates for the annual Feast of Fire will be paid by the Teocalli. ARTICLE IV - MEETINGS SECTION 1: General business membership meetings or general membership social activities shall be held at the time and place designated by the Camaxtli. All regular and special meetings shall be presided over by the Camaxtli or, in his absence, the next highest ranking officer present.

5 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 5 No general membership meeting shall be held without a least two (2) elected officers and fifteen (15) percent of the Teocalli membership present (quorum). SECTION 2: The Annual Business Meeting of the members shall be the regular general membership meeting held in October. SECTION 3: A minimum of four (4) general business membership meetings (which includes the Annual Business Meeting) shall be held each year and, in general, one should be held each quarter (three month period). SECTION 4: Special meetings of the members may be called: (1) at any time by the Camaxtli; (2) by a majority vote of the Board of Directors, or; (3) by members holding not less than one-fifth (1/5) of the voting power of this Teocalli. Special social activities may be held at any time by direction of the Camaxtli or the Board of Directors. No business of the Teocalli shall be transacted while non-members, except initiates, are present. SECTION 5: Notice of all meetings shall be given in writing to all members. Such notices shall be sent to the member's address of record according to the Tlacuilo s roster not less than seven (7) days prior to such meeting. Notwithstanding anything herein to the contrary, written notice, for all purposes, shall be defined as post office address OR address (unless a member has at least thirty (30) days prior to said notice, specifically notified the Tlacuilo that notification is not acceptable.) Notice of any meeting of members shall specify the place, day, and hour of the meeting, and in the case of special meetings, the general nature of the business to be transacted. SECTION 6: No action or vote shall be taken at a regular or special membership meeting unless there be a quorum present (see Article IV, Section 1). ARTICLE V - COMMITTEES SECTION 1: The Camaxtli shall appoint such committees as may be necessary from time to time, consistent with these By-Laws. SECTION 2: Committees shall continue at the pleasure of the Camaxtli. ARTICLE VI - TEOCALLI RECORDS SECTION 1: All books, records, and the original or a signed copy of these By-Laws, including all amendments thereto, shall be open to inspection by the Directors and by the members in the manner provided for by the Board of Directors. SECTION 2: The Board of Directors, except as otherwise provided, may authorize any officer or officers, agent or agents, to enter into any contract or execute any instrument in the name of and on behalf of the Teocalli. Such authority may be general or confined to specific instances. Unless so authorized by agent of the Board of Directors, no officer, agent, or employee shall have

6 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 6 any power or authority to bind the Teocalli by any contract or engagement, or to pledge its credit, or to render it liable for any purpose or any amount. SECTION 3: All checks, drafts, or other orders for payment of money, or other evidence of indebtedness issued in the name of, or payable to, this Teocalli shall be signed or endorsed by such person or persons and in such a manner as shall be determined from time to time by resolution of the Board of Directors. ARTICLE VII- REGS GOVERNING MEMBERSHIP MEETINGS SECTION I: Robert s Rules of Order: It is not intended and these Bylaws do not purport to include all parliamentary procedures and general rules of order, but only particular procedures and rules. Accordingly, where these Bylaws are silent in such matters, parliamentary procedures and rules of order shall be pursuant to the current edition of Roberts Rules of Order and shall govern the procedures of all meetings of the membership and the Board of Directors. SECTION 2: The recommended order of business shall be as follows: Call to Order Invocation Order of Quetzalcoatl Pledge of Allegiance Reading of the Minutes of Previous Meeting(s) Unread minutes of any Board of Directors Meeting(s). Report of the Treasurer Correspondence Report of Committees Unfinished Business New Business Proposals for membership (if in petition session) Balloting on Proposals (if in ballot session) Good of the Order Adjournment SECTION 3: All announcements made at a membership meeting shall pertain only to the Order of Quetzalcoatl, except as herein provided. No individual, whether a member of the Order of Quetzalcoatl, ARCA Teocalli No. 21 or not, shall make any announcements, sell any tickets, announce the sale of any tickets or in any way expose for sale any tickets other than tickets for the activities of ARCA Teocalli No. 21. Violation of this shall be cause for ejection from the meeting on order of the presiding Officer and, where there are repeated violations of this Section of the By-Laws, upon appropriate action by the membership, a member may be suspended from membership. The only permitted exception to the above rule shall be that a ranking officer of Moolah Temple, an affiliate Temple or ranking officer of the Imperial Shrine, may make short announcements pertaining to Shrine activities that he considers of interest to the entire membership of ARCA Teocalli No. 21.

7 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 7 ARTICLE VIII - MEMBERSHIP Only Shriners Masons in good standing will be considered for membership in the Order of Quetzalcoatl, ARCA Teocalli No. 21. The qualities and qualifications for membership are ongoing and must be maintained at all times in order to continue as a member of the Order. To be considered for membership, a candidate must have rendered outstanding, conspicuous and unselfish service to his Temple and the Shrine. He must be recognized in his Temple for his accomplishments, past and present. He must be able to attend the sideboard with dignity and always be a gentleman. He must also be highly regarded in his community. Above all, he must be a Noble who will bring credit to his Teocalli, and project a positive image among men and Masons Shriners for the good of our Order. A prospective member must have been a Noble in good standing for a period of not less than three (3) years before being eligible for nomination for membership in ARCA Teocalli No. 21. SECTION 1: CLASSIFICATIONS OF MEMBERSHIP A REGULAR member of ARCA Teocalli No. 21 shall be of the following categories: (A) MASTER ARTISAN: An active member of ARCA Teocalli No. 21 who has previously had conferred upon him the Artisan degree and has been consecrated a Master Artisan. The Master Artisan medallion shall be worn about the neck on all appropriate occasions and may be suspended by a flat ribbon or a braided cord of red, white and green in color similar to the flag of Mexico or as designated by the Chief Supreme Tlaloc. (B) ARTISAN: An active member of ARCA Teocalli No. 21 who has received the Artisan degree (full feathered degree). The Teocalli shall report such member to the Supreme Tlacuilo's office via the Supreme-designated form when the degree has been conferred. In addition to reporting the degree on the Supreme-designated form, he shall be subject to payment of the initiation fee, unless previously paid when he was initially reported as a Coate. An Artisan Degree Certificate will be issued upon receipt of the report. (C) COATE: An individual who has been duly elected to membership by ARCA Teocalli No. 21, but has not received the Artisan degree. The Coate must have had conferred upon him the approved vow (Obligation) of a Coate within one hundred twenty (120) days after his acceptance into ARCA Teocalli No. 21. He shall immediately be reported to the Supreme Tlacuilo's office via the Supreme-designated form accompanied by the appropriate initiation fee. A Coate has one (1) year from the date of receiving the Coate vow to receive the Artisan degree or be dropped from the membership roles in the Order of Quetzalcoatl unless an extension dispensation has been granted by the Supreme Teocalli. Due to extenuating circumstances, formal application may be made to the Supreme Teocalli requesting an extension of one (1) additional year. Under no circumstance will any additional extension be granted. A Coate may not hold an elective office but shall be entitled to vote on all matters coming before the Teocalli. A Coate Certificate will be issued unless he is reported at the same time as his Artisan Degree.

8 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 8 (D) PCST: A Past Chief Supreme Tlaloc is a Life Member of the Supreme Teocalli and all subordinate Associations/Teocallis. No per capita dues shall be charged to/for a Past Supreme Tlaloc. In addition to regular members, the following types of memberships will be allowed: (D) (E) ASSOCIATE MEMBER: Regular members of any recognized Teocalli who hold the title of Artisan or Master Artisan may elect be invited to become an Associate Member of ARCA Teocalli No. 21. An Associate member is permitted to vote but cannot hold an office in ARCA Teocalli No. 21 or Central States Quetzalcoatl Association (CSQA) unless the Teocalli in which he is a regular member is also a member of CSQA. Per capita dues shall not be paid for Associate Members. Associate Membership in ARCA Teocalli No. 21 shall be limited to ten (10) members at any given time. Suspension for any reason in a home Teocalli or Shrine Temple shall automatically terminate membership in all Teocallis to which the member may be an Associate. (E) (F) LIFE MEMBER: A Master Artisan of ARCA Teocalli No. 21, who has served as Camaxtli or who has maintained continuous membership as a member of the Order of Quetzalcoatl for twenty (20) or more years or, with approval of the Board of Directors, a minimum of five (5) years membership in ARCA Teocalli No. 21, and has rendered outstanding service to this Teocalli may be granted Life Membership in this Teocalli upon recommendation of the Board of Directors of this Teocalli, and Approval of the membership. Life Members do not pay dues to the Teocalli and any per capita dues payable to the Supreme Q or CSQA for Life Members will be borne by the Teocalli. (F) (G) PLURAL (DUAL) MEMBER: A regular member may be a regular member of more than one (1) Teocalli with full rights and privileges. Regular Teocalli dues (including all per capitas) shall be charged and appropriately remitted. A Plural Member may not hold progressive line office in more than one Teocalli or Association concurrently. (H) HONORARY MEMBER: May be bestowed for outstanding service, accomplishments or other reasons. The Honorary Member has no rights and may not vote or hold office. An Honorary Member may not attend any non-public functions of the Supreme Q or CSQA. SECTION 2 : (A): Regular membership in the Order of Quetzalcoatl, ARCA Teocalli No. 21, shall be limited to ten (10) new members from Moolah Temple or other Supreme Q authorized jurisdiction or Temple per calendar year. The regular annual election for membership shall be at the November business meeting. An Artisan or Master Artisan of ARCA Teocalli No. 21 in good standing may propose for membership a Noble who has been a member in good standing of Moolah Temple for a minimum of three (3) years prior to the date of membership election, or he may propose a Noble who has been a member in good standing of any other Supreme Q authorized jurisdiction associated Temple for a minimum of three (3) years, that does not have a Teocalli within its jurisdiction. Should a Teocalli be established in the jurisdiction of a member already a member in ARCA Teocalli No. 21, such member is not required to affiliate with the

9 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 9 local/newly established Teocalli. To be considered for election at the November business meeting, such proposal must be on a completed form provided by the Tlacuilo (Secretary) and submitted at a regular or special meeting of ARCA Teocalli No 21 at or prior to the September business meeting. Proposal for membership in the Order of Quetzalcoatl, ARCA Teocalli No. 21 must be made without prior knowledge of the candidate, and such proposal or discussion concerning said candidate must not be divulged to anyone who is not a member of ARCA Teocalli No. 21. After the proposed petition for membership is presented and received by the Tlacuilo, the petition shall be referred to the Board of Directors which shall inquire thoroughly into the eligibility, character and fitness of all applicants proposed for membership. Those individual petitions passed on favorably by a majority of the Board of Directors shall then be submitted to the membership for balloting. Members may nominate no more than one (1) candidate in any given eleven (11) month period per year unless such nominee failed to reach a vote by the membership. Candidates passed favorably by the membership shall be required to pay the Initiation Fee, current dues and take the Coate vow as soon as possible, but no later than one hundred twenty (120) days following election to membership. A proposal for membership may be withdrawn from consideration without prejudice and presented again at a later date. The regular annual election into membership shall be at the November meeting. A secret ballot based on numerical popular vote with the Teocalli accepting into membership those ten (10) most popular nominees who accept membership into the Order. Each member shall be entitled to one vote per candidate to a total of 10 votes (yeas, nays or any combination thereof), and may exercise any, all or none of those votes. Any candidate receiving less than two-thirds (2/3) favorable vote of the votes cast for that candidate, or who does not receive a minimum of fifteen (15) favorable votes, shall be denied membership. The Tlacuilo (Secretary) shall prepare a ballot that shall lists all the nominees in alphabetical order, a written copy of which shall be provided to the members as soon as practical following the October meeting. If a nominee declines his invitation to membership or fails to pay his initiation fee within one hundred twenty (120) days of election to membership, he shall be denied membership and the next most popular nominee (if any) shall be invited into membership. Associate Members may be proposed and elected into membership at any regular meeting following the month of the reading of their petition to the limit of their assigned strength as our By- Laws permit. Any ARCA Teocalli #21 dues or Supreme Q and/or CSQA per capita dues payable, are due immediately upon election of an Associate Member. Members in Good Standing from any other recognized Teocalli who demit from their Temple and become a member of Moolah Temple or an associated Temple may likewise transfer Quetzalcoatl membership to ARCA Teocalli No. 21 upon written request and with the approval of a majority vote of members present at any regular meeting. A member of another Teocalli wishing to affiliate with ARCA Teocalli No.21 must possess a valid Demit and/or letter of good standing from his prior Teocalli. (B): If at the regular annual November election of members (or subsequent current calendar year special election(s), as hereinafter defined), less than a total of ten (10) candidates have

10 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 10 been elected and/or have accepted membership, the Camaxtli, may, with the written consent of the Board of Directors, call for a special election of members for the purpose of electing up to the total of ten (10) new members for the during the eleven (11) month period following the regular annual November election of members. current calendar year. Said special election date must be communicated to the membership in writing at least sixty (60) days in advance of the proposed special election date and such communication must designate a specific (regular or special) meeting date at least twenty (20) days in advance of the proposed special election date for submittal of proposals for membership. Each member shall be entitled to a total number of votes equal to ten (10), less a number equal to the number of new members elected at all prior membership elections during the calendar year. The Teocalli will accept into membership those nominees receiving the most popular votes, up to a maximum number equal to the number of votes allowed a member for that election. All other rules pertaining to the regular annual election of members shall prevail unless specifically altered by these special election rules. SECTION 3: The initiation fee for new members into ARCA Teocalli No.21 shall be a minimum of One Hundred Dollars ($100.00) and the annual dues to December 31 shall be a minimum of Fifty Dollars ($50.00) plus the Supreme Teocalli per capita and Central States Quetzalcoatl Association (CSQA) per capita next due, all being due and payable before initiation. The annual dues for all Members shall be a minimum of fifty dollars ($50.00) plus the Supreme Teocalli per capita last due (December 31) and CSQA per capita last due, all being due and payable on January 1st of each calendar year. Notwithstanding the forgoing, the dues for an Associate Member shall be equal to one-half of the regular dues plus any per capita fees charged by the Supreme Teocalli and/or CSQA for Associate Members. A total of two (2) dues notices will be sent by the Tlacuilo to a member at his last known address. The first notice will be sent at least 30 days prior to the dues year and may be a general notice (i.e. by specific mailing, Teocalli newsletter, etc.); the second notice must be directed specifically to the member at least 30 days prior to March 1 of the dues year, stating the amount of unpaid dues and that if payment is not received prior to March 1 of the dues year he will be automatically suspended. Demits shall be issued to members in good standing upon request. Such letter of Demit shall be signed by the Camaxtli and the Tlacuilo. Demits remain valid for the remainder of the year issued plus one full additional calendar year. A demit is effective immediately upon acceptance by the Camaxtli. After the time period has expired for a demit, any individual seeking affiliation/membership with a Teocalli will be considered a non-member and must be recommended by a member as a new candidate, subject to all dues and fees including initiation fees. A member may submit a resignation, which shall be accepted and signed by the Camaxtli and Tlacuilo and submitted to Supreme. The effective date of the resignation shall be the date it is signed by the Camaxtli. Leaves of absence or a return of dues will not be issued or awarded. Annual dues are not prorated for periods of membership of less than one year. Any requested donation or assessment must be affirmatively voted at a regular or special meeting of this Teocalli by a majority of those present and voting. Such donation or assessment shall be paid to the Treasurer within thirty (30) calendar days.

11 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 11 SECTION 4: DEGREES OF THE ORDER The Coate vow (obligation) is not a degree of our Order, but it is a mandatory requirement that this ceremony be given within one hundred twenty (120) days after the candidate s acceptance into the Order. It is a shortened, dignified form of the Artisan degree. The new member must receive the Artisan degree within one (1) year of receiving the Coate vow. The ceremony for the initiation of Artisans shall be at such time and place as may be prescribed by ARCA Teocalli No. 21 or the Central States Quetzalcoatl Association. In order to attain the Degree of "MASTER ARTISAN", it is necessary that ARTISANS be consecrated at a time and place as may from time to time be designated by the Supreme Teocalli. This consecration ceremony, known as the Feast of Fire, may be arranged and performed by the Supreme Teocalli at a cost determined by and payable to the Supreme Teocalli. It is intended that the consecration ceremony be held annually at the ancient Toltec Temple among the pyramids in Mexico. However, a consecration ceremony may be held at the Supreme Feast of Fire in each year, by the Supreme Teocalli. All Master Artisan candidates must have completed the Coate and Artisan Degree prior to receiving the Master Artisan consecration. The Supreme Teocalli will issue a "Master Artisan" certificate after consecration. These are not issued by ARCA Teocalli No. 21. SECTION 5: Members of other Teocallis having a paid-up dues card may attend regular meetings and social activities of ARCA Teocalli No.21. SECTION 6: SUSPENSION AND EXPULSION (A): A member of the Teocalli may be suspended from the Teocalli for conduct unbecoming of a member of the Teocalli or conduct so outrageous it would bring discredit to the Teocalli and the Order of Quetzalcoatl only upon the recommendation of the Board of Directors and with the concurrence, through the medium of a secret ballot, of a minimum of two-thirds [2/3] of the membership at a regular Teocalli meeting wherein the notice of the meeting includes notice to all members that a ballot will be cast for the suspension or expulsion of a member. The name of the member subject to suspension or expulsion shall not be publicized in any manner prior to the membership meeting. A suspension shall be forwarded to the Chief Supreme Tlaloc for ratification. (B): A member shall be suspended from the Teocalli for non-payment of dues (C): A member suspended for conduct unbecoming of a member of the Teocalli or conduct so outrageous it would bring discredit to the Teocalli and the Order of Quetzalcoatl shall be suspended for no less than six (6) months and no longer than one (1) year. A suspension shall be forwarded to the Chief Supreme Tlaloc for ratification. (D): A member may be expelled from the Teocalli only upon recommendation of the Board of Directors and with the concurrence of two-thirds [2/3] of the membership at a regular Teocalli meeting. A member shall be expelled from the Teocalli upon conviction in a Shrine or Masonic Lodge for a violation of Shrine or Masonic Law and, if required, such conviction is upheld by the Shrine or Grand Lodge. A member of the Teocalli who no longer has a membership in a Shrine

12 ARCA Teocalli No Order of Quetzalcoatl -- BYLAWS Page 12 Center shall not be a member of the Order of Quetzalcoatl and shall be expelled from the Teocalli without vote of the membership. An expulsion shall be forwarded to the Chief Supreme Tlaloc for ratification. (E): Any member who fails to pay his annual dues as set by the Board of Directors before March 1st will be automatically removed from membership in the Teocalli and reported to the Supreme Teocalli as "dropped for non-payment of dues" pursuant to Supreme Teocalli by-laws. (F): A member suspended pursuant to these by-laws may, no later than July 1 st, appeal the suspension to the Board of Directors for reinstatement without prejudice. The Board of Directors may recommend reinstatement of a member only by a majority vote of the Board of Directors. The Board of Directors shall make all reinstatement decisions no later than September 1st. (G): A suspended member who has been suspended for non-payment of dues may within one (1) year from the date of his suspension be reinstated into membership by an affirmative vote of two-thirds [2/3] of the membership at a regular membership meeting and only after a recommendation for reinstatement by the Board of Directors and payment of all dues owed the Teocalli. (H): A member who has been suspended for non-payment of dues who fails to seek reinstatement within one (1) year from the date of his suspension shall be excluded from membership. (I): Demits shall be issued to members of the Teocalli upon their request provided they are in good standing and owe no dues or assessments to the Teocalli. Demits shall be issued using the Supreme Teocalli demit form and signed by the Camaxtli and the Tlacuilo. (J): Members who hold valid demits from another Teocalli may be elected into membership in the Teocalli and shall be considered regular members and shall have all of the rights and privileges due a member of the Teocalli. All honors and titles granted or conferred upon a member by another Teocalli, an Association or by the Supreme Teocalli shall be recognized by the Teocalli. The fee for transfer of membership to the Teocalli shall be an amount equal to the annual dues as set by the Board of Directors. ARTICLE IX - EMBLEM The emblem of the Order of Quetzalcoatl shall be the Plumed Serpent. A replica of the emblem may be worn by all members of the Order. ARTICLE X - SUPREME TEOCALLI This Teocalli shall be bound by the Supreme Constitution, Supreme Bylaws and Supreme Policy and Purpose Manual and are included herein by this reference. ARTICLE XI - AMENDMENTS These By-Laws may be amended at any annual, regular or special membership meeting by a two-thirds (2/3) vote of the membership present only after notice to the entire membership of the intent to amend these By-Laws and the nature of the amendments has been reduced to writing, addressed to the members' addresses of record and sent not less than ten (10) days in advance of said meeting.
