1 Warrenpoint Golf Club Golf Course Etiquette Prior to Play Arrive at least 10 minutes early to check-in at the Pro Shop. If you cannot meet your tee-time booking please contact the Pro Shop or cancel online. Subject to other cancellations, you may be asked to change playing groups. Be ready to play when it is your time to tee off. On the Tee Mark your ball so that you can identify it. Hit ONLY when golfers ahead of you are out of range. Stand still and facing other golfers while they are hitting. Watch where all balls go to avoid time spent looking for lost balls. Yell the warning "FORE!" if your ball is heading toward another golfer. The Fairway Walk directly to your ball unless you reach someone else's ball first. Place your bag or cart near you when hitting. Take no more than one practice swing. Player furthest from the hole usually plays first, but golfers out of range of the group in front can play first, if ready. Walk briskly between shots and be ready to play when it is your turn. Keep Pace with the group in front of you at all times. Assist playing partners when needed by bringing clubs, finding lost balls, etc. On the Green Hand buggies cannot be wheeled across greens or between greens, bunkers and hazards Avoid driving carts across the green. Place your bag or cart between the green and the next tee. Take all clubs that you may need. Avoid stepping on another player's putting line. Players begin putting when all balls are on the green. The person furthest away from the hole putts first. On long putts, have another player attend the flagstick. Mark your ball if it is in the path of another player's ball. 2 Warrenpoint Golf Club Dress Code Warrenpoint Golf Club wishes to convey a modern approach to its dress regulations, and hopes that members, visitors and guests will assist in maintaining the standards expected both on the course and in the clubhouse. ON COURSE A smart standard of recognised golf clothing is required at all times, plus golf shoes [including the practice area and putting green]. Examples of unacceptable items include:- Untailored shorts and jeans Football [or other non-golf sports] tops Track suits Trainers Garments displaying prominent slogans CLUBHOUSE Smart casual [which can include smart denim] is expected. For some more formal functions jacket and tie may be required. Examples of unacceptable clothing include:- Ripped denims Tracksuits/football tops Trainers/flip flops Headgear MEMBERS/VISITORS Please be aware that, should you not adhere to the dress code on the course or in the clubhouse, you will be asked politely to leave. 3 SCHEDULE 1 CLUB RULES AND TERMS OF REFERENCE 1. Defined terms 1.1 In these rules, unless the context requires otherwise: "Articles of Association" means the articles of association from time to time of Warrenpoint Golf Club Limited (company number NI612567); "Club" means the Warrenpoint-based not for profit organisation carried on for the purposes of providing a golf course, clubhouse and means for other recreation and to supply refreshments and other amenities ancillary to the play of golf and other games in such form in which it exists from time to time, including (without limitation) previously as an unincorporated association and currently as an incorporated private limited company under the name Warrenpoint Golf Club Limited (Company number NI612567); "Club Rules" means these, the rules of the Club, as amended from time to time; "Council" means the overall managing committee of the Club constituted in accordance with paragraph 5 below; "Full Annual Subscriptions" the greater of the annual subscription amounts determined in accordance with paragraph 15 below; "Ladies General Meeting" means a general meeting of the Lady Voting Members; "Ladies Ordinary Resolution" a resolution passed by at least 50% plus 1 of the relevant Members attending at a Ladies General Meeting or returning their votes by written resolution; "Lady Voting Members" means the Full Members who are female, the Lady Associate Members and other female Playing Members who are shareholders in the Property Company; "Members" includes Full Members, Under 30 s Members, Lady Associate Members, Country Members, Student Members, Junior Members, Juvenile Members, Pavilion Members, House Members, Honorary Members, Complimentary Members, Foreign Members, Temporary Members, Overseas Members, Senior Full Members, Senior Lady Associate Members, Beginner Members, Lifestyle Members, Five Day Members and Senior Five Day Members on such terms as are set out in paragraph 13 of these Club Rules; "AGM" means a general meeting of the Voting Members; "Non-Voting Members" means Members who are not Voting Members; "Ordinary Resolution" a resolution passed by at least 50% plus 1 of the relevant Members attending at an AGM or returning their votes by written resolution; Property Company Warrenpoint Golf Club Properties Limited (Company number NI612572); and "Voting Members" means the Full Members, Senior Full Members, Honorary Members afforded voting rights by the Council and such other Playing Members who are Shareholders in the Property Company. 1.2 Headings to the articles are inserted for convenience only and shall not affect construction. 1.3 Any phrase introduced by the terms including, include or any similar expression shall be construed as illustrative and shall not limit the sense of the words preceding those terms. POSITION HOLDERS 2. Presidents 2.1 The Council shall ensure that there shall be a President of the Club. The President must:

4 (a) be a Full or Honorary Member of the Club of at least 5 years standing at the time of his nomination; (b) be elected or re-elected at an AGM. Election or re-election must be nominated by a Voting Member, seconded by a further Voting Member and approved by an Ordinary Resolution of the Voting Members; and (c) not hold the position of President for more than three years in any one consecutive period. 2.2 The Council shall ensure that there shall be a Lady President of the Club. The Lady President must: (a) be a lady who is a Full, Lady Associate or Honorary Member of the Club of at least 5 years standing at the time of her nomination; (b) selected in rotation from the list of Past Lady Captains; (c) be elected or re-elected at a Ladies General Meeting. Election or re-election must be proposed by a lady who is a Voting Member, seconded by a further lady who is a Voting Member and approved by Ladies Ordinary Resolution; and (d) not hold the position of Lady President for more than three years in any one consecutive period. 2.3 The roles and responsibilities of the President and the Lady President shall include: (a) the representation of the Club with dignity and honour. (b) to use their wealth of experience to guide the Captain, Lady Captain, Vice Captain and Vice Lady Captain and Council. 3. Captains and Vice Captains 3.1 The Council shall ensure that there shall be a Captain and Vice Captain of the Club. The Captain and Vice Captain must: (a) be Full or Honorary Members of the Club of at least 5 years standing at the time of their nominations; and (b) be elected or re-elected at an AGM. Election or re-election must be proposed by a Voting Member, seconded by a further Voting Member and approved by an Ordinary Resolution of the Voting Members. 3.2 The Council shall ensure that there shall be a Lady Captain and Lady Vice Captain of the Club. The Lady Captain and Lady Vice Captain must: (a) be ladies who are Full, Lady Associate or Honorary Members of the Club of at least 5 years standing at the time of their nominations; and (b) be elected or re-elected at a Ladies General Meeting. Election or re-election must be proposed by a lady who is a Voting Member, seconded by a further lady who is a Voting Member and approved by Ladies Ordinary Resolution. 3.3 The roles and responsibilities of the Captain and the Lady Captain shall include: (a) Facilitating and leading meetings. (b) Leading the club through responsible actions and guiding all positions, boards and golf members. 4. Honorary Secretary and Honorary Treasurer 4.1 The Council shall ensure that there shall be an Honorary Secretary. The Honorary Secretary must: (a) be a Full or Honorary Member of the Club of at least 5 years standing at the time of his or her nomination; and

5 (b) be elected or re-elected at an AGM. Election or re-election must be proposed by a Voting Member, seconded by a further Voting Member and approved by an Ordinary Resolution of the Voting Members. (c) Not hold the position of Honorary Secretary for more than 5 years in any one consecutive period. 4.2 The roles and responsibilities of the Honorary Secretary shall include the following: (a) He/she must conduct the correspondence of the Club, and shall have the custody of all documents belonging to the Club. (b) He/she must keep full and correct minutes of all proceedings, and records of all competitions of the Club. (c) He/she shall be responsible for general administration of the Club. 4.3 The Council shall ensure that there shall be an Honorary Treasurer. The Honorary Treasurer must: (a) be a Full or Honorary Member of the Club of at least 5 years standing at the time of his or her nomination; and (b) be elected or re-elected at an AGM. Election or re-election must be proposed by a Voting Member, seconded by a further Voting Member and approved by an Ordinary Resolution of the Voting Members. (c) Not hold the position of Honorary Treasurer for more than 5 years in any one consecutive period. 4.4 The roles and responsibilities of the Honorary Treasurer shall include: (a) The treasurer must keep the accounts of the Club and must make up the annual statement of accounts and balance sheet of the Club to 30th September in each year. (b) The accounts and balance sheet must, after approval, be made available to all Voting Members when the notice of the AGM is given. COUNCIL AND COMMITTEES 5. Members of Council and their appointment 5.1 The following shall be entitled (but not obliged) to be members of Council: Captain, Lady Captain, Vice-Captain, Lady Vice Captain, President, Lady President, immediate past Captain, immediate past Lady Captain, Honorary Secretary, Honorary Treasurer and up to seven other members (who shall each be a Full or Honorary Member of the Club of at least 3 years standing at the time of his/her nomination) (an Ordinary Council Member ). 5.2 Those members of Council who are subject to re-election must have attended at least two thirds of the Council Meetings in the previous year. Council members shall be entitled resign at any time on notice to the Honorary Secretary. 5.3 Notwithstanding the approval of appointment processes set out in paragraphs 2.1(b), 2.2(b), 3.1(b), 3.2(b), 4.1(b) or 4.3(b) of these rules (as the case may be), persons seeking election or re-election as Officers (Captains, Presidents, Honorary Officers) of the Club or those seeking election or re-election to Council as Ordinary Council Members must lodge duly completed forms with the Secretary at least 14 days prior to the AGM (as such term is defined in paragraph 19.2 of these rules. 5.4 Voting at AGMs to elect Council members may be made by ballot and, in which case, no voting paper will be considered valid if it names more candidates than the number required to fill existing vacancies. If a candidate for election to the Council is not present at the meeting then written evidence of his consent to be nominated as a candidate must be available at the AGM before the candidate s appointment can be valid. 6. Powers and duties of the Council

6 6.1 The board of directors of Warrenpoint Golf Club Limited (Company number NI612567) have delegated power in the Club to the Council and accordingly, the business and affairs of the Club shall be under the management of a Council. 6.2 The powers of the Council shall include the following powers: (a) to make, amend or repeal Club Rules and to invoke such Rule changes until ratified or set aside at the next AGM by Ordinary Resolution of the Voting Members; (b) to propose amendments to the Articles of Association; (c) to authorise the signature of documents for and on behalf of the Club. Authorised signatories include any member of the Council specifically approved by the Council in relation to specified matters; (d) to give such orders as it may consider necessary in the interests of the Club for the regulation of the Club; (e) to investigate and deal with complaints concerning members; (f) in the case of a vacancy in the position-holders to appoint a successor who will hold office until the next AGM; (g) to appoint sub-committees, to define the scope of their authority and to confer upon them the powers necessary for the discharge of their functions; (h) to control the finances of the Club, to determine the amount of entrance fees, subscriptions, green fees, locker rents, fines, and to influence prices and dismiss Club employees, and generally it shall have such administrative powers as may be necessary for properly carrying out the affairs of the Club; (i) to appoint such employees as may be necessary for the proper management of the Club at such salary as it may think fit; and (j) to impose a levy as and when required. If a levy is so imposed it shall be a condition of membership that same is paid by members. 6.3 The members of the Council shall have a duty to promote the success of the Club in the same manner as if they were directors of Warrenpoint Golf Club Limited and the provisions of the Articles of Association in relation to directors duties and interests shall apply mutatis mutandis to the members of the Council. 7. Meetings of the Council 7.1 The Council shall hold meetings at periodic intervals of not more than two months and the provisions of articles of the Articles of Association shall apply mutatis mutandis to the members of the Council as if they were directors, save as amended or varied by these Club Rules. 7.2 The quorum for a meeting of the Council shall be any seven members of the Council. The chair shall be taken by the Captain, and in his absence the Lady Captain and in her absence the Vice-Captain, and in his absence the Lady Vice Captain and in their absence the meeting shall elect a chairman. 7.3 Decisions shall be by simple majority except where otherwise provided in these Rules, and the Chairperson shall have a casting vote in addition to his/her ordinary vote if he/she wishes to use it. 7.4 Any Council member may call a meeting of the Council to deal with emergencies arising between Council Meetings. If a quorum cannot be reached the matter in question can be dealt with by an Emergency Committee. The Emergency Committee shall consist of any four available position-holders together with one Ordinary Council Member with every reasonable effort being made to ensure that the Captain, Honorary Secretary and Honorary Treasurer are present at meetings of the Emergency Committee. All decisions of this Committee shall be brought for ratification or otherwise at the next Council meeting.

7 8. Sub-Committees 8.1 The Council may delegate any powers which are conferred upon them to such sub-committees as they deem necessary for the operation of the Club. In accordance with the Articles of Association, committees to which the Council delegate any of their powers must follow procedures which are based as far as they are applicable on those provisions of the rules and Articles of Association which govern the taking of decisions by Council and the directors. Such sub-committees may include (but shall not be limited to) Finance, Ladies, Greens, Match and Handicap, House and Social, Juveniles, Disciplinary and Appeals Sub-Committees. Each such sub-committee shall have a chairman (also known as a Convener ) who shall be nominated by the Council. The Council shall have the power to co-opt non Council Members to such sub-committees where and when it is considered that such co-options would enhance the running of the Club 8.2 Subject to paragraph 8.4, the Captain, Vice Captain, Lady Captain, Honorary Secretary and Honorary Treasurer shall have the right to be appointed to all sub-committees. 8.3 Subject to paragraph 8.2, the Disciplinary Sub-Committee shall be constituted by the Honorary Secretary and two other Council Members provided that the Honorary Secretary may delegate his/her responsibility where he/she deems it appropriate. 8.4 Notwithstanding paragraph 8.2, the Appeals Sub-Committee shall be constituted by an Officer of the Club and two other Council members provided that no such persons are appointed to the Disciplinary Sub-Committee. 9. LADIES GOLF 9.1 Ladies Committee and Branch There shall be established within the Club a Ladies sub-committee. (the Ladies Committee) which shall have sole responsibility for the organisation and management of ladies golf within the club (the Ladies Branch ). The Ladies Committee shall be constituted by the Lady President, Lady Captain, Lady Vice Captain and such other members as are approved in accordance with the Ladies Club Rules (as defined below) 9.2 The management of the Ladies Branch shall, subject to these rules, be in accordance with the provisions of such rules as are determined by the Ladies Committee (the Ladies Club Rules ) provided that the Ladies Branch must accept and comply with all rules prescribed by the Irish Ladies Golf Union (ILGU ( ) from time to time RECORDS, ACCOUNTS AND AUDITS 10. Council and Committee meetings The Council and any committees must ensure that a record, in writing, is kept for at least 10 years from the date of the decision recorded, of every unanimous or majority decision taken by the members of the Council or the committees. 11. Accounts and Cheques 11.1 Correct accounts and books shall be kept showing the receipts, expenditure and financial affairs of the Club. The banking account shall be kept in the name of the Club in such Bank as the Council may from time to time determine All cheques shall have 2 signatures. Those authorised to sign cheques shall be the Honorary Treasurer, the Honorary Secretary and one other person appointed by the Council. Accounts shall be paid monthly after approval by the Finance Committee.

8 11.3 The accounts shall be audited annually by an approved Auditor, as defined by the Registration of Clubs (Northern Ireland) Order 1996 who shall be appointed by the Council. The end of the financial year of the Club shall be the 30th September. ADMISSION OF MEMBERS 12. Application and Election of Members 12.1 All members (other than temporary members of the Club) shall be elected by the Council and the Council shall designate the class of membership of each member. The relevant classes of membership are set out in paragraph The election shall be by ballot, with a majority of four fifths of those present and voting being required Each candidate (except for Honorary Membership) shall be nominated by two persons who are either (a) Full Members or (b) Five Day Members who are shareholders in Property Company, both deemed of at least 3 years standing. A member who is an officer of the Club, or a member of Council shall not be entitled to propose or second a candidate for membership. The proposer and seconder must know the candidate personally and, if requested, shall each write a letter addressed to the Council stating their personal knowledge of the candidate A member wishing to propose a candidate for election shall obtain from the Secretary an application for membership form, and shall return it to the Secretary duly completed by the proposer and seconder The duly completed application form for membership shall be sent to the Secretary. A duly completed application will be considered at the next Council meeting (the Relevant Council Meeting ). Election of new members will take place at Council meetings It shall be left to the discretion of the Council to close membership from time to time as they may consider necessary. A waiting list of candidates for admission shall be kept by the Secretary and they shall be put forward in order of application The Council may, however give priority to any candidate whose election they consider would be an advantage to the Club The Council shall, in the exercise of its discretion, ensure that the number of Non-Voting Members does not, at any given time, exceed a number which is more than three-times the Voting Members An alphabetical list of names and addresses of every official and member of the Club shall be kept on the premises of the Club. 13. Classes of Members 13.1 The Council shall designate the class of membership of each member in accordance with the following criteria: Full Member: persons who pay Full Annual Subscriptions and who shall enjoy the maximum available benefits of membership; Lady Associate Member: ladies who have held the position of Lady Associate Members of the Club prior to the adoption of the Articles of Association and who have paid the subscription appropriate to them as determined by the Council shall be termed Lady Associate Members. No new member shall be elected to this category after the adoption of the Articles of Association. Senior Full Member: persons who are over the age of sixty five years and who have been Full Members of the Club for a period of at least twenty years shall be termed Senior Full Members and shall have the same rights as Full Members but shall pay an annual fee being 75% of the Full Member s annual fee. Senior Full Members over the age of eighty years shall pay an annual fee being 25% of the Full Member s annual fee. (*Note: a Lady Associate Member

9 who transfers to full membership shall be credited with her term of years as a Lady Associate Member for the purposes of this rule) Senior Lady Associate Members: Lady Associate Members over the age of sixty five years and who have been Lady Associate Members for a period of at least twenty years shall be termed Senior Lady Associate Members and shall pay an annual fee being 75% of the Lady Associate s annual fee. Senior Lady Associate Members over the age of eighty years shall pay an annual fee being 25% of the Lady Associate s annual fee. Country Members: persons residing more than thirty miles from the Clubhouse who are full members or lady associate members of another Golf Club shall be eligible for election as Country Members. Student Members: Persons under twenty three years of age as at 1st January in the year of election and receiving full time education shall be eligible for election as Student Members. Junior Members: Persons under twenty three years of age as at 1st January in the year of election shall be eligible for election as Junior Members. Juvenile Members: Persons under eighteen years of age at 1st January in the year of election shall be eligible for election as Juvenile Members. Pavilion Members: Persons seeking to use the facilities of the Clubhouse, and have applied for golfing membership shall be eligible for election as Pavilion Members. House Members: Persons seeking to use the facilities of the Clubhouse but not seeking playing membership shall be eligible for election as House Members. Complimentary Members: Complimentary Members are members whose subscription for the year in question has been waived. The Captain, Lady Captain, President and Lady President, shall be Complimentary Members during their terms of office provided that they will at all times be deemed to be Voting Members. Honorary Members: Subject to paragraph 4, persons who have rendered exceptional service to the Club or the game of golf or whose membership would in the opinion of the Council be of special advantage to the Club, may be elected as Honorary Members either with or without full membership rights at the discretion of the Council. They may be elected for life or for any defined period on terms and conditions that the Council shall determine and have the power to amend at any time as they consider appropriate. Any club member who represents Ireland at Full International level shall be granted Honorary Membership with free playing rights during his or her time on the Irish team and shall be granted a further 2 years free playing rights following their last international cap. Past Presidents and Past Lady Presidents of the club are currently elected Honorary Members and will now be afforded free playing rights commensurate with their term in office and in any event being no greater than 2 years. Temporary Members: Persons may be admitted as temporary members on payment of such green fees as may be prescribed from time to time by the Council but subject always to the provisions of the rules relating to Visitors. Overseas Members: Members who are permanently resident outside Northern Ireland or Ireland shall be classified as Overseas Members and entitled to play golf when at home on holidays. Five Day Members: Persons elected to this category of membership shall be eligible to play golf on Monday to Friday inclusive but not on Saturdays and Sundays as of right. Persons elected to this category of membership shall be eligible to represent the Club in team events and shall be eligible to play in all open and mid-week competitions and to use the facilities of the clubhouse throughout the entire week. Senior Five Day Members: Persons elected to this category of membership shall be over sixty five years of age and have been Five Day Members, Full Members or Lady Associate Members of the Club for at least twenty years. They will be eligible to play golf on Monday to Friday inclusive but not on Saturdays and Sundays as of right. Senior Five Day Members shall pay a subscription that is 75% of a Five Day Members annual subscription. Senior Five Day Members over the age of eighty years shall pay an annual fee being 25% of the Five Day Member s annual fee. Persons elected to this category of membership shall be eligible to represent the Club in team events and shall be

10 eligible to play in all open and mid-week competitions and to use the facilities of the clubhouse throughout the entire week. Foreign Members: The Council shall have the power to suspend temporarily the liability of Members for payment of subscription, and during such period they shall be called "Foreign Members" and all their rights and privileges as a Member shall be suspended. Any Member wishing to avail of this option shall make application to the Council which shall have the power to grant the request on such terms as it considers appropriate or refuse the application in its discretion. Under 30s Members: Persons elected to this category of membership must be under thirty years of age as at 1st January in the year of election. Beginner Members: Persons elected to this category of membership will be entitled to play 9 holes of golf on 15 occasions during the year at restricted times and can remain in this class of membership for 1 year only. Lifestyle Members: Persons elected to this category of membership will be entitled to play 18 holes of golf on 15 occasions during the year at restricted times and can remain in this class of membership for 1 year only. Council will have the power to introduce new categories of membership, amend conditions of categories or set aside categories as they consider appropriate in their discretion. 14. Rights and liabilities of Members 14.1 Voting Members shall have the right to receive notice of and to attend, speak and vote at all General Meetings of the Club and to receive and vote on proposed written resolutions of the Club No category of membership other than Voting Members shall have any right in respect of governance of the Club and shall not be entitled to receive notice of, to attend, to speak or to vote at any General Meeting nor to receive or vote on, or otherwise constitute an eligible member for the purposes of, proposed written resolutions of the Club Members shall be liable, from time to time, to the Club for any amount of unpaid entrance fee or unpaid subscription fee 14.4 Members shall be entitled to use the facilities of the Club in such manner and at such time as may be fixed by the Council from time to time. Rights to use the facilities of the Club for the purposes of playing golf may be limited according to class of Membership or otherwise Acceptance and observance of the Club Rules and the Articles of Association shall be a condition of admission to membership and continuing membership of the Club All personal belongings of Members, associates, visitors and others brought to or kept at or left on the premises of the Club (either in the clubhouse or outside) shall be at the sole risk of the owners, and the Club or Council shall not be responsible for any loss or damage thereto, however arising, but this Rule shall not prejudice any claims by the Club or the owners against Insurance Companies in the case of fire, or when otherwise covered by insurance. ANNUAL SUBSCRIPTIONS 15. Annual Subscriptions 15.1 There shall be a defined subscription in respect of each class of membership (including honorary membership) payable by members in advance. The amount of such subscription shall be as fixed from time to time by the Council. For the avoidance of doubt, the Council shall have the discretion to fix any such subscription fee at nil. The term "'subscription" shall include the green fees payable by Temporary Members All Members of the Club, with the exception of the Student Members, Overseas Members and Juvenile Members, who are Shareholders in the Property Company shall receive a discount of 150 on their subscriptions.

11 This discount shall continue for a period of ten years from 01/01/2013 at which time it shall be reviewed by the Council All subscriptions and locker rents shall be due on the 1st January and must be paid by the 31st January. Members who do not intend renewing membership or who intend taking a year out are not entitled to use the facilities of the Club after the 31 December without paying an amount equal to a Temporary Member s subscription Any person whose subscription or locker rent is unpaid on the 31st January shall cease to be a Member of the Club, but the Council may up to the end of the year in question re-elect him or her without entrance fee on payment of all arrears due to the Club and a fine which shall be fixed annually by the Council. The Council shall have the power to alter or remit fines in special circumstances No person shall be considered a Member until his or her entrance fee (if any) and first annual subscription fee (or relevant proportion thereof in accordance with Rule 15.4) shall have been paid. After election of a candidate for membership the Secretary shall notify the person concerned, and if his or her subscription and entry fee is not paid within twenty eight days from the date of notification the election of such person shall be void. VISITORS 16. Visitors 16.1 Visitors to the Club who have not been introduced by a Member must satisfy the Club that they have an adequate knowledge of the rules of golf, that they are proficient in the skills of golf through (for example, but not exclusively) being, or having been a member of a Golf Club, or Golf Society. Visitors who have been duly authorised to use the Club facilities must comply with the Club Rules as may be prescribed by the Council No person shall be introduced into the Club as a Temporary Member or visitor who shall have been expelled from membership, or whose previous conduct or presence on the Course or in the Clubhouse premises shall have been considered by the Council objectionable or prejudicial to the interest of the Club No single person shall be admitted as a visitor to the Club premises on more than twelve days in any period of twelve months The guest of a Member shall not be admitted to the Club premises except in the company of a Member and the Member shall, immediately on admission of his guest to the Club premises, enter his name and address and the name and address of his guest in a book which shall be kept for that purpose and which shall show the date of each visit A Member shall be responsible for his guest strictly observing the Club rules and shall not leave the Club Premises before his guest and the guest of a Member shall not be supplied with intoxicating liquor in the Club premises unless upon the invitation and in the company of the Member In the case of a team or other body of persons who are, as members of another club (whether registered or not), society or organisation, visiting the Club for the purpose of taking part in or in the organisation of or arrangements for, any pass time, sport, game or recreation at the Club, it shall suffice for the purposes of Rule 16 (4) for the Secretary or other officer of the Club to enter in the book required to be kept by that rule, the name of the club, society or organisation visiting the Club and the number of such visitors without specifying their names and addresses and thereafter on the occasion of that visit intoxicating liquor may be supplied to such visitors at the request and in the presence of any officer of the Club, and the admission of such visitors shall be disregarded for the purposes of Rule 16 (4). SUSPENSION AND RESIGNATION OF MEMBERS 17. Complaints against members and power to suspend or expel

12 17.1 The Council shall have the power as hereinafter prescribed to suspend or expel any Member whose conduct in or out of the Club is or has been prejudicial to the character or reputation of the Club or who wilfully contravenes the Club Rules save that the disciplinary powers of the Council in relation to Juvenile Members shall be delegated to and exercised by the Juvenile Sub-Committee of the Council Any complaint affecting a Member s conduct or contravention of the Club Rules shall be made in writing to the Secretary as soon as reasonably practicable after the matter complained of has occurred The Secretary shall place such complaint before the Council which may consider the complaint either at an ordinary meeting of the Council or at a meeting specially convened Should the Council consider the complaint to have substance worthy of investigation it shall cause the Secretary to notify the Member against whom the complaint is made within seven days of the direction of the Council and to enclose a copy of the complaint with the notification The Council may invite the Member to forward a written explanation concerning the complaint or alternatively to appear personally before the Disciplinary Sub-Committee on a specified date, provided that if the date of appearance is unsuitable to the member an agreed date shall be arranged If, after considering any representations made by the Member, the Disciplinary Sub-Committee considers the complaint well founded it shall have the power to expel, suspend or caution the Member and the Secretary shall inform the Member of the Council s decision within seven days thereof Where the Member makes no explanation or fails to appear before the Disciplinary Sub-Committee when so invited the Disciplinary Sub-Committee shall have power to expel, suspend or caution such Member The decision of the Disciplinary Sub-Committee shall be by ballot and no Member shall be expelled, suspended or cautioned except by a simple majority of those present and voting If the disciplined Member disagrees with the decision of the Disciplinary Sub-Committee he/she shall have a right of appeal in writing to an Appeals Sub-Committee. The Appeals Sub-Committee shall review all the evidence and shall uphold, vary or set aside the decision of the Disciplinary Sub-Committee as they consider appropriate. The decision of the Appeals Sub-Committee shall be final. 18. Resignation 18.1 A Member may resign his membership of the Club at any time by giving notice in writing to the Secretary A Member who resigns continues to be liable for any annual subscription due and unpaid at the date of his resignation A resigned Member who has discharged all his previous liabilities to the Club and wishes to rejoin, may be proposed and elected in accordance with rule 12, and the Council may, at its discretion, excuse him any entrance fee. A resigned Member who has discharged all his previous liabilities to the Club and who wishes to rejoin as a Temporary Member will be eligible to do so. MEMBERS GENERAL MEETINGS 19. General Meetings 19.1 Save as amended or varied by these Club Rules, the provisions of articles of the Articles of Association shall apply mutatis mutandis to the Members of the Club and the AGMs as if they were shareholders.

13 19.2 The Council shall ensure that an AGM of the Voting Members is called annually and is scheduled for the second Wednesday in February of each year (the Annual General Meeting ). The business of the AGM shall be: (a) to receive and approve the Council s Annual Report and Financial Statements; (b) to elect or re-elect officers and members of the Council; (c) to consider appropriate revisions of the Club Rules; and (d) to consider and/or transact any other business of the Club At least one week s notice of such AGM shall be given to each Voting Member of the Club and such notice shall be accompanied by a copy of the Council s Financial Statements The Council shall ensure that a General Meeting of the Voting Members is called annually and is scheduled for the third Wednesday in November of each year (the Finance Meeting ). The business of the Finance Meeting shall be (a) to discuss the general finances of the Club; and (b) to discuss the annual subscriptions A Special General Meeting of the Voting Members may also be called at: (a) the request of the Council, or (b) on a requisition to the Secretary signed by at least forty Voting Members giving at least 21 days notice and stating the business to be brought forward. At least one week s notice of such SGM shall be given to each Voting Member specifying the time and place of the meeting and the business to be transacted. At such meeting no business shall be transacted other than set out in the notice calling the meeting Voting at an SGM shall be by show of hands and decisions shall be by simple majority, save (in each case) where otherwise provided for in the Club Rules, the Articles of Association or at the discretion of Council. CHANGE OF RULES 20. For purposes of the provisions of the Registration of Clubs (Northern Ireland), Order The Council may alter or add to the Club Rules for the purpose of complying with the provisions of the Registration of Clubs (Northern Ireland), Order 1996 or any act or Order amending or repealing the same Written notice of any proposed change in the Club Rules must be sent to the Secretary, with the names of the proposer and seconder attached, at least 21 days prior to such meeting. SUPPLY OF INTOXICATING LIQUOR 21. Provisions relevant to intoxicating liquor 21.1 The supply of intoxicating liquor to the Club shall be under the control of the Council Intoxicating liquor may be supplied on the Club premises during those hours designated by the Council. Those hours shall be in strict compliance with the Registration of Clubs (Northern Ireland) Order 1996 or any act or Order amending or repealing same. The bar on the Club premises shall be closed outside these hours.

14 21.3 A statement printed in plain type of the hours during which intoxicating liquor may be supplied on the premises of the Club shall be exhibited in a conspicuous part of the Club premises Intoxicating liquor shall not be supplied to any person under the age of Eighteen years Intoxicating liquor shall not be supplied:- (a) to persons who are not members of the Club for consumption outside the premises of the Club. (b) to members of the Club for consumption outside the premises of the Club except where the liquor is supplied in such quantities and during such hours, being hours within the permitted hours, and on such days as the Sub Divisional Commander of the Police Service of Northern Ireland acting for the Police Sub District in which the Club premises are situate, may authorise in writing Notwithstanding anything contained in these Club Rules regarding permitted hours the Club may supply intoxicating liquor on special occasions in accordance with authorisations granted under Article 26 of the Registration of Clubs (Northern Ireland) Order No member of Council of the Club, and no officer, manager or servant employed in the Club shall have any personal interest in the supply of intoxicating liquor therein, or in the profits arising from such supply No person shall be paid at the expense of the Club any commission, percentage, or similar payment on or with reference to purchases of intoxicating liquor by the Club No person shall directly or indirectly derive any pecuniary benefit from the supply of intoxicating liquor by or on behalf of the Club or members or guests apart from any benefit accruing to the Club as a whole The Council shall have in place a best value policy which shall apply to the purchase of all goods and services. This policy shall be reviewed annually at a Council meeting. All purchasing must adhere strictly to this policy. 22. GENERAL 22.1 No notice, placard, or paper shall be put up in the Club premises without the sanction of the Council, and no notice, placard or paper put up in the Club premises with such sanction shall be interfered with in any way by any Member or visitor to the Club premises The decision of the Council shall be final as to the meaning of the Club Rules. The Council shall have power to give directions as regards matters not provided for in the Club Rules and to make Rules, Bye-Laws or Regulations governing such matters which shall be binding on every Member until set aside at an AGM The Rules of Golf as fixed from time to time by the Royal and Ancient Golf Club (except where varied by local rules) shall be the Rules of Golf for the Club The Club shall accept and comply with the Rules of Amateur Status as approved by the R & A The Club shall accept and comply with the Standard Scratch Score (SSS) & Handicap System (HS) prescribed by CONGU and such rules thereunder as may require to be implemented from time by the GUI These Club Rules shall be reviewed from time to time.
