1 BYLAWS OF THE PEBBLECREEK SINGLES CLUB Revision: November 22, 2015 Section 1. Name. The name of this organization is PebbleCreek Singles Club. Section 2. Purpose, Organization and Operation 2.1 Purpose: The purpose of the Club is to provide a venue for PebbleCreek residents and renters to plan, organize and promote social and recreational activities. that are conducive to participation by singles. 2.2 Organization: The Club is organized and will operate as a tax-exempt, nonprofit organization under IRS Code Section 501c(7) Social and Recreation Clubs. 2.3 Operation: The Club will conduct its business democratically and in accordance with the PebbleCreek Homeowners Association Rules and Regulations. Section 3. Membership 3.1 Eligibility. Membership is limited to PebbleCreek residents and renters. Members are encouraged to participate in the programs. 3.2 Commencement of Membership. Membership will commence upon payment of the initial dues. Membership will continue as long as payment of Club dues and PCHOA dues are current and will terminate when either one of the above dues falls into arrears. 3.3 Remuneration. Provide that no individual member of the Resident Organization may receive compensation for services rendered in support of the activities of the Resident Organization from nonmembers or outside sources without approval of the Board. This includes merchandise, services, benefits, or rebates from vendors providing services or merchandise to the Resident Organization that are not provided to every member. This does not preclude reimbursement of actual expenses or reasonable compensation to Resident Organization members from Resident Organization funds for services rendered to the members of the Resident Organization. Further, this does not preclude discounts to members for merchandise or services that are provided equally to all members or all participants in a particular activity sponsored by the Resident Organization.

2 Section 4. Officers and Commitees 4.1 Officers. The Officers of this organization will be a President, Vice President, Secretary, Treasurer, Activity Director(s) and Publicity Director. 4.2 Term of Office. Elected Directors shall hold office for a term of one (1) year and will serve until their successors are elected. 4.2 Committees: Committees may be established by the President as needed. Section 5. Duties of the Officers 5.1 President: (a) Presides over regular meetings, and conducts the Annual meeting in January, (b) Assures that any notices that the PCHOA Rules require the organization to file with the RCC or other PCHOA Committees are filed, (c) Prepares and files with the PCHOA Rules Compliance Committee (RCC) the annual report required under the PCHOA Section 10.6 Rule, (d) Prepares and files annually IRS Form 990N, (e) Insures that all officers are fulfilling their duties, (f) Represents the Club at committee meetings and other functions as needed, (g) Calls meetings when deemed appropriate, (h) Approves the established schedules for each meeting, (i) Solicits volunteers and forms various committees to support the Club, (j) Appoints replacement officers as necessary, (k) Sends out weekly singles update via the computer. 5.2 Vice-President: (a) Assists the President in all his/her duties and activities, (b) Assumes the duties of the President when he/she is absent, (c) Fills the unexpired term if the Presidency becomes vacant. (d) Assists in membership growth and oversees the new membership program, (e) Maintains membership roster including name, address, phone number and address,

3 5.3 Secretary (a) Records minutes at the Board and Membership meetings. (b) Distributes minutes to appropriate attendees as requested. (c) Is responsible for any formal correspondence required by the members of the Board, (d) Maintains all non-financial record of the Club. 5.4 Treasurer: (a) Collects all monies due the Club and pays all bills. (b) Maintains the financial records of the organization, (c) Prepares monthly financial reports for the Board and the membership. (d) Prepares and distributes an annual financial report as required by the PCHOA Rules and provides copies to the Board, and general membership during the year via hard copy or . (e) Notifies Activity Director and Vice President of activities and dues paid. 5.5 Activity Director (a) Plans and coordinates all social and recreational activities for the Club. May perform duties in conjunction with a committee, (b) Prepares membership sign-up sheets for all activities, (c) Provides sign-up sheets for members at the regular monthly meetings, (d) Follows up with Treasurer to assure payment for activities. (e) Reserves rooms for meetings and provides information on how rooms are to be set up. 5.6 Publicity Director (a) Submits news articles, prepares flyers/notices and posts in bulletin boards. (b) Prepares and submits information for the HOA Website, Channel 22 and the Source Book. Section 6. Election of Officers 6.1 Nominating Committee. The Nominating Committee shall be appointed by the President at the August regular meeting and shall consist of at least three members. The Nominating Committee shall, from the regular membership, select a slate of candidates consisting of one or more names for each office. Consideration shall be given to volunteers and nominations from the floor. The Officers will be elected by a simple majority of the paid up members present.

4 6.2 Election. Officers will be elected at the October regular Meeting. Officers will serve a (1) year term starting in January following their election. A vacancy in any office, except the president, shall be filled by presidential appointment. 6.3 Successive Terms. All officers who are members in good standing will be eligible for re-election. Section 7. Meetings 7.1 The Annual Meeting will be held in January in conjunction with the regular membership meeting Regular meetings will be held on the first Sunday of each month. With reasonable notice, the Board may designate an alternate date for a regular meeting. Section 8. Committees Committees may be established by the President as needed. Section 9. Dues and Fees 9.1 Annual dues will be determined no later than November 30 th each year. Once paid, dues are non-refundable. In order to participate in any activity, dues must be current. 9.2 For renewal of continuing and lapsed membership, 100 percent of the annual dues are payable no later than the first meeting in February each year. 9.3 For persons enrolling for the first time. 100 percent of the annual dues are due if enrolling in the first half of the year and 50 percent of the annual dues if enrolling in the second half. SECTION 10 FISCAL AND FINANCE 10.1 A committee appointed by the President will from time to time upon request of the President review the Treasurer s records. At a minimum, a fiscal review will take place whenever the incumbent Treasurer changes or whenever required by the PCHOA.

5 Section 11. Amendments Amendments to these bylaws require a simple majority of the paid up members present. Section 12. Dissolution In the event of the dissolution of the organization, the following actions will take place: (a) All members will be notified of the dissolution, (b) The Treasurer of the Club will discharge and pay any remaining liabilities and expenses of the Club, (c) Any remaining monies held by the organization will be donated to the PebbleCreek Kare Bears. (d) The President of the Singles Club will notify the PCHOA Board of Directors of the club dissolution. Judy Shaffer, President
