2 John Watson, Superintendent and Ex-Officio Secretary The meeting was called to order by President Malcolm Sibley, and upon roll call the following members were present: PRESENT: Ms. Kellee Dickerson, Ms. Karen Schmitt, Mr. Buddy Mincey, Jr., Mr. Jeff Cox, Mr. James Watson, Mr. Keith Martin, Mr. Sid Kinchen, Mr. Malcolm Sibley Dr. Milton Hughes 1. In celebration of Disability Employment Awareness month, Dr. Jeanne Ebey recognized the community businesses who partner with Livingston Parish Public Schools to provide jobs, training, and internships for special needs students. The following were acknowledged: Dollar General Store, French Settlement; Anytime Fitness, Albany; Ms. Heather s Pumpkin/Strawberry Patch; Wholly Ground, Walker; La Quinta Inn, Walker; Walgreen s Pharmacies in Denham Springs, Walker, and Watson; Papa John s, Walker; Carter s Supermarket in Walker and Springfield; Don s Seafood Hut, Denham Springs; First Baptist Church, Denham Springs; Oak Pointe Fresh Market, Watson; Live Oak Methodist Church Thrift Shop, Watson; Stine s Lumber, Walker; Livingston Parish Public Schools School Food Service; Denham Springs High School, Denham Springs Freshman High School, and Doyle High School Cafeterias; Doyle High School Custodians; and The Learning Curve Daycare Center, Albany. The next group recognized employs Livingston Parish Public Schools students who have successfully completed the Community Based Program. The following were acknowledged: Albany High Cafeteria; Winn Dixie, Walker; John s Grocery, Walker; Open Door Baptist Church Daycare, Denham Springs; Sam s Club, Denham Springs; Southeastern Louisiana University, Hammond; OPTIONS, Hammond; PARDS, Denham Springs; Subway Rushing Road, Denham Springs; Livingston Parish Library, Watson Branch. Each received a framed certificate to display at their establishment. 2. Mr. Jimmy Watson, Chairperson, presented the report of the Athletic/Staff Committee meeting held on October 14, 2014, stating that the purpose of the meeting was for discussion and action on the Cooperative Endeavor Agreements between Livingston Parish Public Schools and Cities of Denham Springs and Walker. The Committee voted to present to the full Board a recommendation to enter into the Cooperative Endeavor Agreements between Livingston Parish Public Schools and Cities of Denham Springs and Walker. A motion was offered by Mr. Watson to accept the recommendation from Committee, and the vote on the motion was as follows: (A copy of the Athletic/Staff Committee report is hereby attached and becomes a part of these minutes). Upon being submitted to a vote, the vote thereon was as follows: RECUSE: Ms. Dickerson, Ms. Schmitt, Mr. Mincey, Mr. Cox, Mr. Martin, Mr. Kinchen, Mr. Watson 3. 3 A resolution authorizing the advertising for bids for the purchase of Twenty-Five Million Dollars ($25,000,000) of General Obligation School Bonds, Series 2014, of School District No. 4 of the Parish of Livingston, State of Louisiana, authorized at election held on Saturday, May 3, 2014, and providing for other matters in connection therewith. (A copy of the legal proceedings is hereby attached and becomes a part of these minutes.) Upon being submitted to a vote, the vote thereon was as follows: 5. Change Order No. 3 for Doyle High additions (band hall) - Labarre Associates, "Professional of Record"; Stafford Construction Company, Inc., Contractor, was approved upon motion offered by Mr. Kinchen, seconded by Mr. Watson as follows: The Contract Sum will be increased by this Change Order in the amount of $11, The Contract Time will be increased by twenty-five (25) days. The vote on the motion was as follows: 11. Change Order No. 3 for Doyle Elementary additions (four classrooms) - Ziler & Associates, "Professional of Record" Jim Ziler; by Blount General Contractors, LLC, Contractor, was approved upon motion offered by Mr. Watson, seconded by Mr. Martin as follows: The Contract Sum will be decreased by this Change Order in the amount of $5, The Contract Time will be increased by five (5) days. The vote on the motion was as follows: 6. Assistant Superintendent Rick Wentzel introduced the following Livingston Parish Public Schools policies for consideration of approval at the next scheduled Board meeting: Policy ABCC - Term of Office Policy BCBB - Notification of School Board Meetings Policy BCBD - Agenda Preparation and Dissemination Policy BCBK - Executive Sessions 7. A motion was offered by Mr. Cox, seconded by Mr. Watson to approve the following Volunteer Coach for the 2014/2015 School Year as presented by Assistant Superintendent Rick Wentzel:

4 Walker High School - Justin Owens Upon being submitted to a vote, the vote thereon was as follows: 8. A motion was offered by Mr. Cox, seconded by Mr. Kinchen to approve the Personnel List as submitted by the Personnel Department. (A copy of the Personnel List is hereby attached and becomes a part of these minutes). Upon being submitted to a vote, the vote thereon was as follows: 9. Payment of invoices was approved upon motion offered by Ms. Schmitt, seconded by Ms. Dickerson, and the vote on the motion was as follows: Upon request of Michelle Stanfill, a motion was offered by Mr. Kinchen, seconded by Mr. Mincey to go into executive session for discussion and action of Agenda Item No. 10. The vote on the motion was as follows: The Board reconvened in open session and upon roll call, the following members were present: PRESENT: 10. A motion was offered by Mr. Mincey, seconded by Ms. Dickerson to uphold the expulsion of Christian Stanfill of Live Oak High School. The vote on the motion was as follows:

6 ATHLETIC/STAFF COMMITTEE MEETING October 14, 2014 The Athletic/Staff Committee met on Tuesday, October 14, 2014, at 6:00PM in the School Board Office Conference Room. Committee Members present: Others present: Mr. Jimmy Watson, Mr. Buddy Mincey, Jr., Ms. Karen Schmitt, Mr. Sid Kinchen Superintendent John Watson, Assistant Superintendents Rick Wentzel and Tommy Cothern, Risk Management Coordinator Wendy Gill Mr. Jimmy Watson called the meeting to order and stated the purpose of the meeting was for discussion and action on the following: A. Cooperative Endeavor Agreement between Livingston Parish Public Schools and Cities of Denham Springs and Walker Superintendent Watson briefly discussed the history of the School Resource Officer program in the cities of Denham Springs and Walker. Initially the program was funded by a grant. After the grant expired, the cities of Denham Springs and Walker continued the program, paying the School Resource Officers out of their funds. Currently the Livingston Parish Public Schools has a Cooperative Endeavor Agreement with the Livingston Parish Sheriff s Office to provide school resource officers throughout the parish. These proposed agreements with the cities of Denham Springs and Walker will be identical to the Livingston Parish Sheriff s Office agreement with one difference. These agreements will begin on October 1, 2014, and end on June 30, 2015, with the annual amount prorated during the term of these agreements. A motion was offered by Mr. Kinchen, seconded by Mr. Mincey to accept the agreements as presented, and the vote on the motion was as follows: RECUSE: Ms. Schmitt, Mr. Mincey, Mr. Kinchen Mr. Watson The motion passed. 7 The following resolution was offered Mr. Watson, and seconded by Mr. Cox : RESOLUTION A resolution authorizing the advertising for bids for the purchase of Twenty-Five Million Dollars ($25,000,000) of General Obligation School Bonds, Series 2014, of School District No. 4 of the Parish of Livingston, State of Louisiana, authorized at election held on Saturday, May 3, 2014, and providing for other matters in connection therewith. BE IT RESOLVED by the Parish School Board of the Parish of Livingston, State of Louisiana (the "Governing Authority"), acting as the governing authority of School District No. 4 of the Parish of Livingston, State of Louisiana (the "Issuer"): SECTION 1) The President of the Governing Authority of the Issuer be and he is hereby empowered, authorized and directed to advertise in accordance with the provisions of law for sealed paper or electronic bids via PARITY7 for the purchase of Twenty-Five Million Dollars ($25,000,000) of General Obligation School Bonds, Series 2014 (the "Bonds") of the Issuer, the Bonds being authorized at an election held on Saturday, May 3, The Bonds will be initially issued in the name of Cede & Co., as nominee for The Depository Trust Company ("DTC"), as registered owner of the Bonds, and held in the custody of DTC (unless the successful bidder elects at the time of the sale to require bonds in other than book-entry only form). The Issuer and the Paying Agent acknowledge that they have executed and delivered a Letter of Representation with DTC and that the terms and provisions of said Letter of Representation shall govern in the event of any inconsistency between the provisions of this resolution and said Letter of Representation. A single certificate will be issued and delivered to DTC for each maturity of the Bonds. The Beneficial Owners will not receive physical delivery of Bond certificates except as provided herein. Beneficial Owners are expected to receive a written confirmation of their purchase providing details for the Bonds acquired. For so long as DTC shall continue to serve as securities depository for the Bonds as provided herein, all transfers of beneficial ownership interest will be made by book-entry only, and no investor or other party purchasing, selling or otherwise transferring beneficial ownership of Bonds is to receive, hold or deliver any Bond certificate.

8 For every transfer and exchange of the Bonds, the Beneficial Owner may be charged a sum sufficient to cover such Beneficial Owner s allocable share of any tax, fee or other governmental charge that may be imposed in relation thereto. Bond certificates are required to be delivered to and registered in the name of the Beneficial Owner under the following circumstances: a. DTC determines to discontinue providing its service with respect to the Bonds. Such a determination may be made at any time by giving 30 days notice to the Issuer and the Paying Agent and discharging its responsibilities with respect thereto under applicable law. b. The Issuer determines that continuation of the system of book-entry transfer through DTC (or a successor securities depository) is not in the best interests of the Beneficial Owners. The Issuer and the Paying Agent will recognize DTC or its nominee as the Bondholder for all purposes, including notices and voting. Neither the Issuer, nor the Paying Agent are responsible for the performance by DTC of any of its obligations, including, without limitation, the payment of moneys received by DTC, the forwarding of notices received by DTC or the giving of any consent or proxy in lieu of consent. Whenever during the term of the Bonds the beneficial ownership thereof is determined by a book entry at DTC, the requirements of this resolution of holding, delivering or transferring the Bonds shall be deemed modified to require the appropriate person to meet the requirements of DTC as to registering or transferring the book entry to produce the same effect. further force or effect. In the event a Bond is of a denomination larger than $5,000, a portion of such Bond ($5,000 or any multiple thereof) may be redeemed. Bonds are not required to be redeemed in inverse order of maturity. Official notice of such call of any of the Bonds for redemption will be given by first class mail, postage prepaid, by notice deposited in the United States mails not less than thirty (30) days prior to the redemption date addressed to the registered owner of each bond to be redeemed at his address as shown on the registration books of the Paying Agent. SECTION 3) The Bonds shall be sold in the manner required by law, and in accordance with the terms of this resolution, the official Notice of Bond Sale herein set forth, and the Official Statement referred to in Section 6 hereof. In advertising the Bonds for sale, the Governing Authority of the Issuer shall reserve the right to reject any and all bids received. SECTION 4) The President of the Governing Authority is hereby further empowered, authorized and directed to issue a Notice of Bond Sale and cause the same to be published as required by law, which Notice of Bond Sale shall be in substantially the following form: OFFICIAL NOTICE OF BOND SALE $25,000,000 GENERAL OBLIGATION SCHOOL BONDS, SERIES 2014 SCHOOL DISTRICT NO. 4 OF THE PARISH OF LIVINGSTON,

10 STATE OF LOUISIANA Sealed paper bids or electronic bids via PARITY7 will be received until 12:00 (Noon), Central Time (Louisiana Time), on Thursday, November 20, 2014 Sealed paper bids or electronic bids via PARITY7 will be received by the Parish School Board of the Parish of Livingston, State of Louisiana (the "Governing Authority"), acting as the governing authority of School District No. 4 of the Parish of Livingston, State of Louisiana (the "Issuer"), at the Parish School Board Office Building, Florida Blvd, Livingston, Louisiana, for the purchase of the Issuer's Twenty-Five Million Dollars ($25,000,000) principal amount of General Obligation School Bonds, Series 2014 (the "Bonds"). Date of Sale: Thursday, November 20, 2014 (or such other date as may be determined by the President and advertised by Munifacts Disclosure Service). Hour of Sale: 12:00 (Noon), Central (Louisiana) Time. Place of Sale: Parish School Board Office Building, Florida Blvd, Livingston, Louisiana. Date of Bonds: Date of delivery Form and Denomination: The Bonds will be issued as fully registered bonds in book entry only form and registered in the name of Cede & Co., as nominee of The Depository Trust Company, New York, New York ("DTC"). DTC will act as securities depository for the Bonds, and the purchasers of the Bonds will not receive certificates representing their interest in the Bonds purchased. The winning bidder (the "Purchaser") at the time of the sale, however, may elect to not receive book-entry only Bonds, in which case the Purchaser will receive one type written Bond per maturity, exchangeable in the manner provided in the Resolution. Purpose of Bonds: Acquiring and/or improving lands for building sites and playgrounds, including construction of necessary sidewalks and streets adjacent thereto; purchasing, erecting and/or improving school buildings and other school related facilities within the District and acquiring the necessary equipment and furnishings therefor, title to which shall be in the public. The Bonds were authorized at a special election held on Saturday, May 3, Bonds are not "Bank-Qualified": The Bonds will not be designated as "qualified tax-exempt obligations" pursuant to Section 265(b)(3) of the Internal Revenue Code of 1986, as amended. Maximum Interest Rate Allowable: Six per centum (6%) per annum. Paying Agent, Authenticating Agent and Redemption Agent: Whitney Bank, in the city of Baton Rouge, Louisiana (the "Paying Agent"). Interest Payment Dates: May 1 and November 1, commencing May 1, Manner and Place of Payment: Principal of and premium, if any, on the Bonds will be payable in lawful money of the United States of America at the principal corporate trust office of the Paying Agent. Security: The Bonds will be general obligations of the Issuer and payable from ad valorem taxes to be levied and collected in the manner proved by Article VI, Section 33 of the Constitution of the State of Louisiana of 1974, Sub-Part A, Part III, Chapter 4, Title 39 of the Louisiana Revised Statutes of 1950, as amended, and other constitutional and statutory authority. Bond Insurance: If the Bonds qualify for issuance of any policy of municipal bond insurance or commitment therefor, the purchase of any such insurance policy or the issuance of any such commitment therefor shall be at the sole option and expense of such bidder and any increased costs of issuance of the Bonds resulting by reason of the same, shall be paid by such bidder. Any failure of the Bonds to be so insured or of any such policy of insurance to be issued, shall not constitute cause for a failure or refusal by the purchaser of the Bonds to accept delivery of and pay for said Bonds in accordance with the terms of the purchase contract. Electronic Bids: Electronic bids will be received via PARITY7, in the manner described below, until 12:00 (Noon), Louisiana time, on Thursday, November 20, Bids may be submitted electronically via PARITY7 pursuant to this Official Notice of Bond Sale until 12:00 (Noon), local Louisiana time, but no bid will be received after the time for receiving bids specified above. To the extent any instructions or directions set forth in PARITY7 conflict with this Official Notice of Bond Sale, the terms of this Official Notice of Bond Sale shall control. For further information about PARITY7, potential bidders may contact PARITY7 at (212) Disclaimer: Each prospective electronic bidder shall be solely responsible to register to bid via PARITY7 as described above. Each qualified prospective electronic bidder shall be solely responsible to make necessary arrangements to access PARITY7 for the purposes of submitting its bid in a timely manner and in compliance with the requirements of the Notice of Sale. Neither the Issuer nor PARITY7, shall have any duty or obligation to provide or assure access to PARITY7 to any prospective bidder, and neither the Issuer nor PARITY7 shall be responsible for a bidder's failure to register to bid or for proper operation of, or have any liability for any delays or interruptions of, or any damages caused by, PARITY7. The Issuer is using PARITY7 as a communication mechanism, and not as the Issuer's agent, to conduct the electronic bidding for the Bonds. No other form of electronic bid or provider of electronic bidding services will be accepted. The Issuer is not bound by any advice and determination of PARITY7 to the effect that any particular bid complies with the terms of this Official Notice of Bond Sale and in particular the "Bid Requirements" hereinafter set forth. All costs and expenses incurred by prospective bidders in connection with their registration and submission of bids via PARITY7 are the sole

12 responsibility of the bidders; and the Issuer is not responsible, directly or indirectly, for any of such costs or expenses. If a prospective bidder encounters any difficulty in submitting, modifying or withdrawing a bid for the Bonds, he should telephone PARITY7 at (212) and notify the Issuer's Bond Counsel, Foley & Judell, L.L.P. at (504) Electronic Bidding Procedures: Electronic bids must be submitted for the purchase of the Bonds (all or none) via PARITY7. Bids will be communicated electronically to the Issuer at 12:00 (Noon), local Louisiana time, on November 20, Prior to that time, a prospective bidder may (1) submit the proposed terms of its bid via PARITY7, (2) modify the proposed terms of its bid, in which event the proposed terms as last modified will (unless the bid is withdrawn as described herein) constitute its bid for the Bonds, or (3) withdraw its proposed bid. Once the bids are communicated electronically via PARITY7 to the Issuer, each bid will constitute an irrevocable offer to purchase the Bonds on the terms therein provided. For purposes of the electronic bidding process, the time as maintained on PARITY7 shall constitute the official time. Sealed Paper Bids: Bids will also be accepted in written form on the Official Bid Form. Each sealed paper bid must be in written form on the Official Bid Form in a sealed enveloped marked "Proposal for the Purchase of $25,000,000 of General Obligation School Bonds, Series 2014, of School District No. 4 of the Parish of Livingston, State of Louisiana". For purposes of accepting written bids, the time as maintained on PARITY7 shall constitute the official time. Bid Requirements: Each bid, whether submitted as a sealed bid or electronically (i) shall be for the full principal amount of the Bonds, (ii) shall name the rate or rates of interest to be borne by the Bonds, (iii) shall prescribe one rate of interest, not to exceed six per centum (6%) per annum, for the Bonds of any one maturity, (iv) shall limit the interest due on each Bond for each interest period to a single rate, (v) shall be unconditional, (vi) shall be made on the form furnished by the Issuer, without alteration, omission or qualification, and (vii) shall be subject to the terms, conditions and restrictions set forth in the Official Statement. Award of Bid: The Governing Authority will meet at the place and time hereinabove set forth for the receipt of bids. The Bonds will be awarded to the bidder whose bid offers the lowest "true interest cost" to the Issuer, to be determined by doubling the semiannual interest rate (compounded semiannually) necessary to discount the debt service payments on the Bonds from the payment dates to December 30, 2014 (dated date of delivery), such that the sum of such present values is equal to the price bid, including any premium bid (the preceding calculation is sometimes referred to as the "Canadian Interest Cost Method" or "Present Value Method"). In the case of a tie bid, the winning bid will be awarded by lot. If any bid for the Bonds shall be acceptable, a prompt award of the bonds will be made. Rejection of Bids; Waiver of Informalities: The Governing Authority reserves the right to reject any and all bids and to waive any informalities or irregularities in any bid. Good Faith Deposit: In connection with the sale of the Bonds, a good faith deposit of 1% of the principal amount of the Bonds will be required. The manner and timing of such deposit shall be set forth in the Preliminary Official Statement for the Bonds. The good faith deposit of the successful bidder or bidders will be deposited and the proceeds credited against the purchase price of the Bonds, or in the case of neglect or refusal to comply with such bid, will be forfeited to the Issuer as and for liquidated damages. No interest will be allowed on the amount of the good faith deposit. Delivery of the Bonds: The Bonds will be delivered to the successful bidder on or as soon as practicable after December 30, 2014, but the bid form will obligate the purchaser to accept delivery at any time within sixty (60) days of the sale date. Legal Opinion of Bond Counsel and Closing Documents: The approving legal opinion of Foley & Judell, L.L.P., bond counsel, who have supervised the proceedings, the Bonds and the transcript of record as passed upon will be furnished without cost to the successful bidder. Said transcript will contain the usual closing proofs, including a certificate that up to the time of delivery no litigation has been filed questioning the validity of the Bonds or the taxes necessary to pay the same. CUSIP Numbers: It is anticipated that the American Bankers' Association Committee on Uniform Security Identification Procedures (CUSIP) identification numbers will be printed on the Bonds, but the failure to print such numbers shall not constitute cause for refusal by the successful bidder to accept delivery of and to pay for the Bonds. No CUSIP identification number shall be deemed to be part of any Bond or a part of the contract evidenced thereby, and no liability shall hereafter attach to the Issuer or any of the officers or agents thereof because of or on account of such numbers. All expenses in relation to the printing of the CUSIP identification numbers on the Bonds shall be paid by the Issuer. However, the CUSIP Service Bureau charge for the assignment of such numbers shall be the responsibility of and shall be paid by the successful bidder. Continuing Disclosure: In order to assist bidders in complying with S.E.C. Rule 15c2-12(b)(5), the Issuer will undertake, pursuant to the resolution providing for the issuance of the Bonds and a Continuing Disclosure Certificate, to provide annual reports and notices of certain events. A description of this undertaking is set forth in the Preliminary Official Statement and will also be set forth in the Final Official Statement.
