1 Bright Futures Society UniSA Incorporated Rules 15-Feb Part 1 General 1. NAME 1.1. The name of the incorporated association is Bright Futures Society UniSA, referred to herein as the Association. 2. DEFINITIONS 2.1. Committee means the Committee of the management of the Association defined in Rule Executive means the Executive of the Committee of the Association defined in Rule General Meeting means General Meeting of members of the Association convened in accordance with these rules member means a member of the Association the Act means the Associations Incorporation Act 1985 (SA) month shall mean any calendar month notification means either via , phone, notice board or publication on the Association s website unless otherwise stated. 2.8 Office Bearer means a member of the Committee occupying one of the roles described in Rule ordinary resolution means a vote by simple majority 3. OBJECTIVES The objectives of the Association are as follows: 3.1. To help students of UniSA, from all faculties, to network with their industry representative by having networking events at all campuses in SA 3.2. To serve as a platform for employers to find some of the most driven, motivated and bright students from UniSA and network with those students To promote local businesses by giving them a chance to partner with Bright Futures Society UniSA or sponsor some of the expenses of our events happening Promote Bright Futures Society in Australia, abiding by their policies Any other objective, whether supplementary to the preceding objectives or not, which the Executive shall declare to be an objective of the Association.
2 3.6. The assets and income of the Association shall be applied solely in the furtherance of its above mentioned objectives and no portion shall be distributed directly or indirectly to the members of the Association except as bona fide compensation for services rendered or expenses incurred on behalf of the Association. 4. POWERS AND DUTIES For the purposes of carrying out its objectives, the Committee on behalf of the Association may: 4.1. Impose or prescribe set fees applicable to any activities or services offered by the association Charge members a special levy in exceptional circumstances. 4.3 Receive grants from associations or other sources, and administer these grants Raise funds and procure contributions for the Association by: Accepting donations, sponsorship or gifts; Borrowing or raising funds; and Investing moneys of the Association Enter into agreements with Governments or Authorities that are incidental to the objectives of the Association Subscribe to, become a member of, and co-operate with any other association, club or organisation whose objectives are similar to those of the Association Appoint agents to transact any business on behalf of the Association Publish any media including, but not limited to, newspapers, websites, periodicals, books, leaflets, advertisements or press releases Engage speakers, and arrange venues for seminars, lectures and other events Enter into any contract deemed to be necessary or desirable Delegate powers to any committee Have any power conferred by s 25 of the Act The Committee may, by ordinary resolution, make any by-laws or regulations dealing with any Association business so far as they do not contravene the Association s Rules No moneys shall be disbursed for any purpose without the prior approval of the committee The Association s accounts shall be independently audited on an annual basis by a person from Career Services University of South Australia, as selected by the committee.
3 Part 2 Membership of the Association 5. MEMBERSHIP 5.1. All students currently enrolled within in the University of South Australia are eligible to become members of the Association. 5.2 A member of the association must be active in either a postgraduate and/or undergraduate programs offered by the University of South Australia The Committee may, by majority, confer Honorary membership of the Association, unless that person elects not to be a member, in appreciation of their outstanding service to the Association and legal education at the University of South Australia. An Honorary member may not vote at any meeting of the Association The Executive of the Association may stipulate further membership requirements as they deem fit A member of the Association may resign their membership by giving written notice to the Committee. That member shall be liable for any outstanding fees due to the Association incurred from membership Expulsion of a member Subject to giving a member an opportunity to be heard or to make a written submission, the Committee may resolve to expel a member upon a charge of misconduct detrimental to the interests of the Association Particulars of the charge shall be communicated to the member at least one month before the meeting of the Committee at which the matter will be determined The determination of the Committee shall be communicated to the member, and in the event of an adverse determination the member shall, (subject to Rule below), cease to be a member 14 days after the Committee has communicated its determination to the member It shall be open to a member to appeal the expulsion to the Association at a General Meeting. The intention to appeal shall be communicated to the President of the Association within 14 days after the determination of the Committee has been communicated to the member In the event of an appeal under Rule above, the appellant s membership of the Association shall not be terminated unless the determination of the Committee to expel the member is upheld by the members of the Association in General Meeting after the appellant has been heard by the members of the Association. If after hearing the appellant, the appeal is dismissed by the General Meeting membership will be terminated on the date that this occurs A register of members must be kept and contain: The name and phone number of each member, The date on which each member was admitted to the Association If applicable, the date of and reason(s) for termination of membership The members of the Association at a General Meeting may invite a person to be a Patron of the Association.
4 Part 3 The Committee of the Association 6. THE COMMITTEE 6.1. The affairs of the Association shall be managed by a Committee, responsible to the members of the Association in the performance of its functions. The Committee shall be composed of no less than six and no more than 10 members, including those holding the following positions: President Secretary Marketing Officer Events Officer Treasurer Public Officer Employer Liaison Officer 6.2. If any of the Office Bearer positions listed in Rule 6.1 are not filled following an election, the Committee may still convene, and the duties of any vacant Office Bearer position are to be divided equitably between members of the Committee, until such time as a new member is either elected or appointed by the Committee pursuant to Rule Those members elected to the Committee who do not occupy one of the positions referred to in Rule 6.1 shall be designated General Committee Members, and shall be required to assist with Committee business as and when it arises, including sitting on any subcommittees formed from time to time The Committee has the management and control of the funds and other property of the Association The term of the Committee shall begin and end at 1 October each year A member of the University of South Australia s Career Services staff may sit as an ex officio member of the committee, but cannot vote. 7. THE EXECUTIVE There shall be an Executive of the Committee of the Association, comprised of the: 7.1. President Deep Thacker 7.2. Treasurer Heng Yin 7.3. Secretary Madara Premaratne 7.4. Events Officer Shuai Shao (Steven) 7.5. Student Engagement Officer Krisu Patel 7.6. Client Relationship Officer Miranda Li
5 8. POWERS OF THE EXECUTIVE The Executive shall manage all the day to day affairs of the Association and be directly responsible to the Committee. As such, the Executive shall have power to: 8.1. Pay all charges and expenses incurred by the Association, and to bind the Association to pay any liabilities or meet any debts Appoint any person, regardless of whether or not such a person is a member of the Committee, to act as a representative of the Committee Exercise any other power of the Committee as specified by these Rules Direct all Directors in regard to their duties as specified in these Rules. 9. DUTIES OF THE PRESIDENT The President shall have the responsibility: Managing the club, co-ordinating with other executive and committee members with their tasks, responsibilities distribution, planning and organising for future events 10. DUTIES OF THE SECRETATY The Secretary shall have the responsibility of Timing the meetings, coordinating with President, and other committee members, forming time-sheets for events, giving inputs in Planning and organising events 11. DUTIES OF MARKETING OFFICER The Marketing Officer shall have the responsibilities such as promoting the events, advertising throughout the campus, formulating marketing strategies 12. DUTIES OF THE EVENT OFFICER The Events Officer shall have the responsibility to coordinate with the UniSA FM-Assist to book the venue, arrange all the required AV, working with Client Relationships Officer to manage the time and date of Speakers and Students, so the most number of students can get benefited from the events 13. DUTIES OF THE TREASURER The Treasurer shall have the responsibility such as forming budget, liaising with Marketing officer, and coordinating with President and Client Relationships Officer in order to welcome sponsorship 14. DUTIES OF THE STUDENT ENGAGEMENT OFFICER The Student Engagement Officer shall have the responsibilities to engage with more students, working closely with Marketing Officer to formulating strategies to invite more and more students from various faculties. 15. DUTIES OF THE EMPLOYER LIASION OFFICER The Employer Liaison Officer shall have the responsibility to generate leads, arranging meetings with them, marketing Bright Futures Society, its aims and benefits, and how they can work with us to promote their business.
6 17. SUBCOMMITTEES The formation and dissolution of Subcommittees, and their powers, are determined by the Committee All Subcommittees shall be chaired by a member of the Committee The President is an ex-officio member of each Subcommittee The Chair of each Subcommittee may appoint members to their respective Subcommittee to assist with business of the Committee. 18. RESIGNATION OF MEMBERS OF THE COMMITTEE A member of the Committee shall cease to be a member of the Committee when: They submit a written notice to the President informing the President of their resignation from the Committee; and/or They cease to be a member of the Association. 19. DISQUALIFICATION AND DISMISSAL OF MEMBERS OF THE COMMITTEE Where three quarters of the Committee decide that a member of the Committee has consistently failed to adequately perform the duties of their position, or where the conduct of the member of the Committee has been detrimental to the interests or goodwill of the Association, they may put to the Association a vote to dismiss that member from the Committee Where the Committee puts to the Association a vote to dismiss a member from the Committee, the following procedure must be adopted: A General Meeting of the Association must be called The member of the Committee facing dismissal from the Committee must be given an opportunity to speak or make a written submission at that General Meeting, following which the Association will vote on whether the member of the Committee should be dismissed Voting shall be by ordinary resolution, and is to take place by secret ballot Notwithstanding rules 19.1 and 19.2 a member of the Committee may be dismissed by the Committee from the Committee where one of the following has occurred: They have been absent from three (3) consecutive Committee meetings without leave of absence being granted by the Committee; or They are absent for more than six (6) Committee meetings within a year without leave of absence In either of the circumstances described in Rules and , voting shall be by secret ballot, and must be by 75% or more in favour of dismissal The member of the Committee must be given an opportunity to speak or make a written submission to the Committee prior to the vote being taken.
7 Part 4 Meetings 20. MEETINGS OF THE COMMITTEE Meetings of the Committee may be called at any time at the discretion of the President, or by any three (3) members of the Committee Notwithstanding Rule 20.1, the President shall call a meeting at least once a month between the months of February and November inclusive Notice of meetings shall be given at least ten (10) academic days prior to the meeting being held Minutes of the meetings of the Committee shall be published no more than five (5) academic days after such a meeting The quorum for Committee meetings shall be no less than 50 per cent (50%) plus one (1) of the current members of the Committee and must include at least two (2) current members of the Executive. No business shall be transacted, or any resolution passed unless a quorum is present In circumstances other than those provided for by these Rules, any business of the Committee shall be resolved by ordinary resolution of members of the Committee Cancellation of the meeting can be made by the President or at least three (3) Committee members no less than 72 hours prior to the meeting. 21. MEETINGS OF THE EXECUTIVE Meetings of the Executive may be called at any time at the discretion of the President, or by any three (3) members of the Executive All Executive members shall be given notice of Executive meetings at least ten (10) academic days prior to the meeting being held unless the Executive unanimously agrees to waive the notice period Business before the Executive must be approved by at least four (4) out of six (6) Executive members The Executive may, at its discretion, conduct its business during meetings of the Committee, and nothing in these Rules shall require the Executive to meet independently of the Committee Cancellation of the meeting can be made by the President or at least three (3) Executive members no less than 72 hours prior to the meeting. 20. CONDUCT OF MEETINGS The following rules shall apply to the conduct of all Association meetings: All Committee and Executive meetings shall be chaired by the President In the event that the President is unwilling or unable to chair a particular meeting, the Vice President will take their place If both the President and Vice President are unwilling or unable to chair, a particular meeting must elect one of the members of the Executive to chair the meeting.
8 20.4. The Chair is required to act in a fair and impartial manner The Chair may propose or second any motion, and may exercise a deliberative vote The Chair may dismiss any member from the meeting based on misconduct. 21. ANNUAL GENERAL MEETINGS There shall be an Annual General Meeting (AGM) of the Association to be held no later than the 31st of August of each year to: Receive a report from the Committee on the activities of the Association Receive reports from the President, Receive the Treasurer s balanced account of the finances of the Association for the previous financial year Announce the election results of the members of the Committee for the next year Conduct any other such business as is properly bought before the meeting The President shall give fourteen (14) days notice prior to the AGM being held Notice of the AGM must include details of where and when the AGM will be held, and the nature and order of business to be addressed Quorum for the AGM shall be 25 members of the Association If a quorum of members is not present at a AGM thirty (30) minutes after its scheduled starting time, the meeting will be adjourned to the same day, time and place in the next week. If at such an adjourned meeting, quorum is not present within thirty (30) minutes of the scheduled starting time, the present members shall form a quorum. 22. GENERAL MEETINGS The Committee shall convene a General Meeting (GM) of the Association members: At the direction of the Executive; or Upon a requisition of writing of not less than 10% of the total number of members of the Association, the Committee shall, within one month of the receipt of the requisition, convene a General Meeting for the purpose specified in the requisition Every requisition for a General Meeting shall be signed by the relevant members and shall state the purpose of the meeting If a special general meeting is not convened within one month, as required by above, the requisitioning members, or at least 50% of their number, may convene a General Meeting The Committee shall give fourteen (14) days notice prior to the GM being held.
9 22.3. Notice of the GM must include details of where and when the GM will be held, and the nature and order of business to be addressed Quorum for a GM shall be 25 members of the Association. For a GM convened under Rule , the quorum must also include fifty percent (50%) of the petitioning members If a quorum of members is not present at a GM thirty (30) minutes after its scheduled starting time, the meeting will be adjourned to the same day, time and place in the next week. If at such an adjourned meeting, quorum is not present within thirty (30) minutes of the scheduled starting time, the present members shall form a quorum. 23. VOTING AT MEETINGS Those eligible to vote shall be: At Executive meetings, members of the Executive At Committee meetings, members of the Committee At AGMs and GMs, all members of the Association present The chair of each meeting of the Association is to have: The deciding vote only in the event of deadlock in an AGM or GM One vote in Executive or Committee meetings In the event of deadlock in a Committee meeting, the motion will be put to members of the Committee for a second vote. The President s vote is to be counted as one vote. In the event of a double deadlock, the President will have the deciding vote In the event of deadlock in an Executive meeting, the motion will be put to Executive members for a second vote. The President s vote is to be counted as one vote. In the event of a double deadlock; the President will have the deciding vote Poll at General Meetings: If a poll is demanded by at least 10 members, it must be conducted in a manner specified by the person presiding and the result of the poll is the resolution of the meeting on that question A poll demanded for the election of a person presided or on a question of adjournment must be taken immediately, but any other poll may be conducted at any time before the close of the meeting Special and ordinary resolutions at General Meetings: A special resolution as defined in the Act An ordinary resolution is a resolution passed by a simple majority. 24. PROXY VOTING Proxy votes may only be used in Committee meetings, and when altering the rules, as permitted by s 24 of the Act.
10 24.2. Members who wish to submit a proxy vote, under Rule 24.1, must give written notice to the President two (2) days prior to the meeting. The notice must state the agenda item the member wishes to vote on All proxy votes must be noted in the minutes of the meeting A proxy vote will only constitute attendance at a meeting for the sake of altering the rules. Part 5 Elections 25. ELECTIONS An election of new members of the Committee must be held annually Notice of the annual elections must be accompanied by job descriptions and the prescribed nomination forms Nominations must be made in the prescribed form, and will only be accepted up to 5:00pm, 10 academic days before the Annual General Meeting is to be held, unless the Committee decides otherwise by a 75% majority of the members of the Committee present at the Committee Meeting at which the matter is considered The Committee must make copies of the nominations available to members of the Association one (1) academic weeks before the Annual General Meeting A Returning Officer is to be appointed by an ordinary resolution of the committee to conduct elections. The Returning Officer must not be a member of the Committee Nominations for elections from people who are not likely to be an active University of South Australia student in the following term will not be accepted without approval of 75% of the Committee The Returning Officer may only accept nominations made by members A person may be nominated as a candidate for the role they currently occupy Any dispute as to the validity or otherwise of a nomination will be decided by the Executive Committee If only one person is nominated for an Office Bearer Position, the person nominated will be deemed to be elected, if they choose to accept the position If more than one nomination is received for any one Office Bearer Position an election is to be conducted by the Returning Officer If no more than four (4) people are nominated as General Committee Members, those persons nominated will be deemed to be elected, if they choose to accept the position If more than four (4) nominations are received for General Committee Member positions, an election is to be conducted by the Returning Officer Each nominee will be permitted to appoint one scrutineer to scrutinise the counting of the votes by the Returning Officer, on the day that counting occurs Elections must be conducted in accordance with these Rules and any by-laws made by the Committee pursuant to Rule 4.13.
11 Elections must be by secret ballot under the optional preferential system Voting must be held and concluded in the academic one week preceding the AGM and conform to any election by-laws In the event of a tied vote after the first round of voting, a second round of voting shall occur. If a tied vote remains after the second round of voting, a third round of voting shall occur with the removal of the Executive and Committee bar the President from the voting pool. If at the conclusion of this third round a tied vote remains, then the result of the election shall be determined by the flip of a coin administered by the Returning Officer At the conclusion of elections (if any) the Returning Officer will announce at the AGM the duly elected members of the Committee of the Association In the event that vacancies, whether of Office Bearers or General Committee Members, on the Executive and Committee become available, the Committee will be required to notify members as soon as practicable Vacancies may be filled at the discretion of the Executive but the appointment, in order to be ratified, requires approval by ordinary resolution at the next Committee Meeting A person may hold up to but no more than two (2) positions on the committee If a person holds more than one position on a committee, then will only have one (1) vote An employee of the University of South Australia, Career Services may act as the Returning Officer. Part 6 Appointment of Auditor 26. APPOINTMENT OF AUDITOR If, at any point, the Association achieves the status of prescribed association as defined in s 3 of the Act: At each General Meeting, the members shall appoint a person to be an auditor of the Association. The qualifications of the person appointed will comply with Sub S 35(2)(b) and 35(4) of the Act The auditor shall hold office until the next Annual General Meeting and is eligible for reappointment If an appointment is not made at an Annual General Meeting, the committee shall appoint an auditor for the current financial year. Part 7 Dissolving of the Association 27. DISSOLVING OF THE ASSOCIATION The Association may be dissolved by a vote (called by the Committee) on the condition that: % of all members vote on the motion and, The vote passes by 90%.
12 27.2. In the event of the Association being dissolved, the amount that remains after such dissolution and the satisfaction of all debts and liabilities shall be transferred to another organisation with similar purposes which is not carried on for the profit or gain of its individual members. Part 8 The Manner in which the Rules of the Association may be altered 28. ALTERING THE RULES The Rules of the Association may be altered by special resolution of members present at a General Meeting convened for the purpose of amending the Rules, or in conformance with s 24A of the Act. This Rule excludes the requirement in s 24(1) that the Rules be altered by special resolution of the Association as a whole The Rules may be altered for the following purposes: Creation of new Office Bearer positions, or alteration of the duties of any existing Office Bearer position Change to the number of members of the Committee Change to the number of members of the Executive, or to the composition of the Executive Amendment of the election process Amendment of the procedure to be adopted at meetings Addition or removal of objectives of the Association Granting of additional powers to the Committee, or removing any of the enumerated powers of the Committee Change to the requirements of membership of the Association, including expulsion of members of the Association Any other purpose consistent with the objectives of the Association and not prohibited by any provision of the Act or any other law, regulation or legal instrument.
