1 The Oklahoma met in Special session on Wednesday, at 2:00 p.m. in room 205 of the Oklahoma County Annex Building, 320 Robert S. Kerr, Oklahoma City, Oklahoma. The following members were present: The following members were present Randy Grau, District No. 3, Chairman, Cody Compton, District No. 1, Vice-Chairman, Steve Satterwhite, District No. 2, Member. Aaron Etherington was in attendance from the Oklahoma County District Attorney s Office. The meeting was called to order at 10:00 am by Randy Grau, Chairman. Notice of the meeting was properly posted Friday, February 9, Motion by Satterwhite, second by Compton; motion carried unanimously to approve the minutes from the special meeting on Friday, September 22, 2017, Friday, November 03, 2017, and Friday, February 9, No Action taken on the following items: Discussion, review and possible action to approve 2018 Schedule of meetings for Oklahoma County. Discussion, review and possible action regarding list of questions from Oklahoma County Sheriff s Office. If there are counties where the sheriff operates the jail, is that official also a member of the trust board? If so, which counties? The items listed below were not discussed, no action was taken, in the meeting due to the list was not linked to the agenda, and there was not enough information per counsel. Where there is no dedicated funding to the trust, and the trust is operating solely off general fund appropriations, how is that not a duplication of services currently in effect. The OCSO budget is already subject to the constraints placed upon it by the BET and the Budget Board. There is nothing the trust could do that those 2 bodies don t already accomplish. What efforts have you taken to determine the necessity or feasibility of a trust for OK County? The public efforts of the trust advisory committee seems to have focused on the creation of the trust document, while not addressing the feasibility or need as directed by the BOCC. When 2 of the 3 commissioners will not be here in January, why is there a rush to put a trust in place now? It would seem that once the new commissioners are installed, this should be a decision they could make. One of the reasons given for the trust is for more transparency within the OCSO. With the understanding that every financial move made by this agency is a public record, what does transparency in this context refer to?

2 Page 2 One of the reasons given for the trust is for more citizen participation. With the understanding that citizens are able to attend all meetings of the BET, Budget Board, and BOCC, and they can view the meeting via streaming online or the archived version from either the YouTube channel or the county website, what is meant by more citizen involvement in this context? When questioned on the benefit of a trust, the fact that Tulsa County has established a foundation to collect donations was presented. Donations are currently able to be received by the BOCC so that would seem to negate that limited need for a trust. The following items were approved for discussion per Counsel: You ve made statements that the Sheriff would continue to run the jail. Other than Tulsa, are there any other counties that operate under such an arrangement? If so, which counties? This question would require research. In a situation where a sheriff is on the board, and is running the operation of the jail, when sued who is liable? The Board reference the Trust Indenture. Who would the current employees of the OCSO be employed by? The trust or the county? The employees will be employed by County of the Sheriff s office, such as in Tulsa. What effect would a trust have on the employment status of our employees, their benefits, their retirement, etc. According to Tulsa County the employee s benefits and retirement etc. are retain within the Tulsa County Sheriff s office. If citizen involvement is ultimately the goal, why is the trust being created under title 60 instead of 19? The citizens would have to speak directly to their desire for a trust with a vote under the latter. Compton stated: The Board of County Commissioners are authorize under title 60 to create this Trust and that is why we are here. Title 19 has nothing to do with the Commissioners making a decision. Title 19 is out of our hands. Is it a requirement that members of the BOCC also be members of the trust? If not, and citizen participation is the goal, then all members of the trust should be considered from the public. Under title 60 the Trust consist of at least 5 members, one member being the Chairman of the Board of County Commissioners, the Sheriff and three appointees

3 Page 3 You also asked for input on terms to include in the trust indenture. We would suggest that language be incorporated in Article VII paragraph 5 that asserts that no elected official, or their support staff, currently serving or who served during the creation or implementation of the trust may serve in a compensated capacity of the trust. Grau stated for the state of transparency, I am fine including this language. Compton stated he would research the language. The Board will have to get a legal opinion from counsel. Discussion, review and possible action regarding proposed Oklahoma County Criminal Justice System Authority Trust document on September 19, Action may also include making a recommendation to the Board of Oklahoma County Commissioners regarding an update or recommendation from the Oklahoma County. Motion by Compton, second by Satterwhite; motion carried unanimously to approve on page 3 to restore adult and juvenile corrections and in Article IV section 1 to read: To assist the Beneficiary, the State of Oklahoma, Governmental Agencies, municipalities and private entities, agencies and citizens in making the most efficient use of all of their economic resources and powers in accord with the needs and benefit of the State of Oklahoma and the Beneficiary in order to lessen the burdens on government and to insure the safety and security of the citizens thereof, specifically including, but not limited to, the power to conduct studies and prepare comprehensive plans relating to the Beneficiary's criminal justice and administration facilities, adult and juvenile corrections and detention facilities and the resources of the Beneficiary to own, operate and manage jails, prisons, correctional, detention, justice and related facilities; and to otherwise promote the general welfare of the Citizens of the Beneficiary and to finance any and all programs and facilities and develop resources to pay for the foregoing and, without restriction, in furtherance of the foregoing general objectives, the following specific powers or purposes, to wit: Motion by Compton, second by Satterwhite; motion carried unanimously to approve to remove on page 4 the word or adult in Article IV section D to read: To administer funds for the purpose of acquiring a site for a jail, prison and/or correctional facilities for the temporary or longer term detention or incarceration of adults or juveniles and any related facilities. Motion by Compton, second by Satterwhite; motion carried unanimously to remove on page 2 the definition of Juvenile or juveniles shall mean any minor or minors being held at an adult detention facility. Motion by Compton, second by Satterwhite; motion carried unanimously on page 6 Article VII section 1, shall read Upon resignation of an Appointed Trustee a successor shall be appointed for the remaining portion of the unexpired four year term. Motion by Compton, second by Satterwhite; motion carried unanimously to amended Article VII (1) to read as follows: 1. The Trustees of this Authority shall be eight in number. Four of the Trustees shall consist, ex officio, of the persons who constitute the Board of County Commissioners of the Beneficiary and the County Sheriff of the Beneficiary (the "Elected Official Trustees"). The

4 Page 4 elected Official Trustees shall serve terms coterminous with their terms as elected officials and their successors as Oklahoma County Commissioners or Oklahoma County Sheriff and shall, upon taking the Oath of Office, but without any further act, deed or conveyance, automatically become Trustees of this Authority and become fully vested with all the estate, properties, rights, powers, duties and obligations of his predecessor hereunder with like effect as if originally named as a Trustee herein. Successor shall include an official serving in an interim capacity. Three Trustees (the "Appointed Trustees") shall serve terms of four years and shall be Citizens of the Beneficiary, and shall not be an elected official, one of each of whom is appointed by each of the County Commissioners, but of whom shall be confirmed by the Board of County Commissioners, and shall serve term(s) coterminous with the term(s) of the appointing Elected Official Trustee. One Trustee (also designated as an Appointed Trustee ) shall be appointed Oklahoma County Sheriff, shall serve a term of four years, shall be a Citizen of the Beneficiary, shall not be an elected official, and shall serve a term coterminous with the term of the appointing Elected Official Trustee. Upon expiration of an Appointed Trustee's term a successor shall be appointed for a term of four years. Upon resignation of an Appointed Trustee a successor shall be appointed for the remaining portion of the unexpired four year term. Each successor Appointed Trustee shall be selected by the Sheriff or by the Commissioner from the same District which appointed the prior Appointed Trustee, again subject to confirmation by the Board of County Commissioners, excluding the County Sheriff Appointed Trustee, and shall upon taking the Oath of Office, but without any further act, deed or conveyance, automatically become Trustees of this Authority and become fully vested with all the estate, properties, rights, powers, duties and obligations of his predecessor hereunder with like effect as if originally named as a Trustee herein. Trustees shall continue to serve until a successor has been appointed and has the taken the Oath of Office. The initial eight Trustees shall be those eight persons executing this Trust Indenture. Should an Elected Official Trustee be replaced by another official at any time before the expiration of an ordinary term of office, the new official shall have the right to make an appointment to replace the existing Appointed Trustee, who was appointed by the new official s predecessor, subject to the requirements and terms of this Section. The term of service of any newly Appointed Trustee shall be coterminous with the appointing Elected Official Trustee. Motion by Compton, second by Satterwhite; motion carried unanimously to amend Article XI to read as follows: This Trust Indenture may be amended by an affirmative vote of at least five (5) of all Trustees and any such proposed amendment shall be further approved by the affirmative vote of twothirds (2/3) of the governing body of the Beneficiary before becoming effective. Motion by Grau, second by Compton; motion carried unanimously to amend Article XII to add an additional line for Trustee signature.

5 Page 5 Motion by Satterwhite, second by Compton; motion carried unanimously to give an update to the Board of County Commissioners regarding Oklahoma County Criminal Justice System Authority Trust. No Action: Discussion, review, and receipt of documents from Tulsa County regarding its Jail Trust. No Citizens Participation. Board Comments: District 2-Mr. Satterwhite thanked the Sheriff s office for being at every meeting. District 1- Mr. Compton also thanked the Sheriff s office for being there and for their input. District 3- Mr. Grau thanked the Sheriff s office for the list of questions. Mr. Grau mention a news story: A Jail Trust a possibility for Oklahoma County, this appeared in the Oklahoman July of The Jail Trust issue had been going on for at least 16 years, this is not something that is brand new, is not something that is being rushed or pushed down anyone s throat. This is something that is going through the proper channels of discussion, study and of debate. This committee can only make a recommendation to the Board of County Commissioners and its role as the executor of the legislative branch of the county will make a determination. The process doesn t stop because of individuals leaving for a variety of reasons that would be irresponsible to do so. Our offices are always open for anyone with any questions.
