1 ARTICLE 1 Association PRAGUE YOUTH FOOTBALL ASSOCIATION BYLAWS 1.1 The name of the Association shall be, hereinafter referred to as PYFA. ARTICLE 2 Location 2.1 The place in this state where the principal office of the Association is to be located is the City of Prague, Oklahoma within Lincoln County. ARTICLE 3 Tax Information 3.1 Said Association is organized exclusively for charitable, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code. 3.2 No part of the net earnings of the Association shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article 3 hereof. No substantial part of the activities of the Association shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Association shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provision of these articles, the Association shall not carry on any other activities not permitted to be carried on (a) by an Association except from federal income tax under section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or (b) by an Association, contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or the corresponding section of any future federal tax code. ARTICLE 4 Assets 4.1 Upon the dissolution of the Association, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the Page 1 of 7

2 federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a Court of Competent Jurisdiction of the county in which the principal office of the Association is then located, exclusively for such purpose or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purpose. ARTICLE 5 Player Eligibility 5.1 A player is defined as a child enrolled in any one of the first through sixth grades in the Prague Public School district, or otherwise approved by the PYFA Board of Directors. A player is any member of a football team or cheer squad in the PYFA. 5.2 A player must meet all requirements set forth by PYFA. 5.2 It is recommended that players receive physicals from their family pediatrician before competing with PYFA. ARTICLE 6 Entry Fees 6.1 Fees will be set at the discretion of the PYFA Board of Directors. ARTICLE 7 Board of Directors 7.1 The Board of Directors will comprise of at least eight (8) elected members President, Vice President, Treasurer/Secretary, Cheer Coordinator and at least four (4) Board Members. The President will automatically serve on the Board as the Chairman. 7.2 The Board of Directors is to make rulings and determine disciplinary action to be taken against any player, coach, fan, parent, or spectator in violation of any of the bylaws listed. The maximum penalties that may be imposed are dismissal of coaches and prohibiting parents, spectators or fans from attending games and/or practices. 7.3 The elected President shall be the liaison between the Board Members and the coaches, spectators, fans, and parents. 7.4 Members of the Board of Directors shall, but not limited to, serve multiple terms. The term for President and Vice President is three (3) years. The term for Treasurer/Secretary and Cheer Coordinator is two (2) years. The term for Board Members is one (1) year. Serving as an Officer or Board Member, involvement must remain active. If involvement does not remain active, the Board of Directors will declare this position to have been Page 2 of 7

3 abandoned. An abandoned position will remain vacant as long as the Board of Directors agree to such. That position will remain vacant until the end of that physical year, the next scheduled meeting, or if a special meeting is called to fill that position. 7.5 Officers are required to attend seventy-five percent (75%) of all games played at home facilities. Excused absences include illness, health conditions, physical inabilities, and/or mental conditions; however an adequate replacement is required for absences. Board of Directors are required to attend all fundraisers and/or special events. ARTICLE 8 Supervisor and Advisor 8.1 The Supervisor will be the President of the PYFA Board of Directors. 8.2 The Advisor will be the Prague High School Football Coach. The Advisor will coordinate with the President on football plays for the different grades, field conditions and maintenance, and expectations for the use/care of the Prague School facilities. The advisor will assist in the facilitation of a smooth transition from youth to school football. ARTICLE 9 Bylaws Pertaining to Coaches 9.1 The Board of Directors must approve all Coaches. 9.2 Coaches shall never be verbally or abusive in any manner towards officials, coaches, players or other spectators at any time. 9.3 Coaches shall refrain from the use of foul language while performing coaching duties. 9.4 A background check through the Prague Public Schools is required. In order to successfully pass the background check, the individual s record must not include convictions of a felony, drug-related or sex-related offenses. A non-violent, non-drug-related, and/or nonsex-related offense less than 10 years from the application date will be denied. 9.5 Coaches must abide by Prague Public Schools policy(s) regarding Drug, Tobacco and Alcohol use. 9.6 PYFA Board of Directors will determine safe practicing weather/temperature procedures. ARTICLE 10 Bylaws Pertaining to Parents, Fans, & Spectators 10.1 Parents, fans, and spectators shall never be verbally or physically abusive at any time. Page 3 of 7

4 10.2 Parents, fans, and spectators shall never interfere with practices in any manner unless a dire emergency Parents, fans, and spectators shall not to be on the field during practice unless requested by the coaching staff Parents, fans, and spectators shall refrain from the use of foul language while attending all PYFA sporting events PYFA strongly encourages all players to maintain passing grades in all classes in order to participate in PYFA functions. Parents should notify the Coach and the PYFA President if a player is failing any classes Parents, fans, and spectators must abide by Prague Public Schools policy(s) regarding Drug, Tobacco and Alcohol use. ARTICLE 11 Officers and Duties 11.1 It is the goal of the PYFA Board of Directors to act in good faith and represent the needs of players, coaches and the community. Safety, sportsmanship, and fundamentals should be of the most concern while promoting an atmosphere of fun competition that will allow players to continue playing football throughout high school and beyond The Officers of the PYFA shall be chosen by a majority vote of the Board of Directors excluding the position that is being voting for and these offices shall include President, Vice President, and Secretary/Treasurer and Cheer Coordinator President The President is responsible for organizing the duties of PYFA, maintaining and updating bylaws, presiding over any meeting regarding PYFA as a whole, hearing grievances and complaints brought against coaches and coordinators, and facilitating the general business of the association. The President does not vote on any issue UNLESS there is a tie. In the event a tie occurs, the President has the deciding vote. Potential candidates are preferred to have served as a coach or coordinator for at least one year before assuming the office of President. The offices of Vice President and President are considered successive; after a President vacates his/her office, the seated Vice President automatically assumes the role of Interim President and a new Vice President should be sought. This helps ensure continuity of leadership for the association. At the end of the season elections will be held according to bylaws Vice President The Vice President's duties require him/her to assist the President in facilitating the work of the association. 5 as a coach or coordinator for at least one year before assuming the office of Vice President. The offices of Vice President and President are successive; after a President vacates his/her office, the seated Vice President automatically assumes the role of Interim President and a new Vice President should be sought. At the end of the season elections will be held according to bylaws Secretary/Treasurer The Secretary/Treasurer is responsible for maintaining the minutes of all PYFA meetings. The Secretary/Treasurer will also be responsible for mass information dispersal, social media presence and website administration. The Secretary/Treasurer is responsible for maintaining the financial records of the association including bill payment, deposit monitoring, monthly account reconciliation, year-end tax filing, and reporting to the Board of Directors Cheer Coordinator The Cheer Coordinator shall ensure all reasonable levels of safety practices and policies, as well as rules and responsibilities are adhered to by coaches. Cheer Coordinator will appoint coaches and helpers to manage the day-to-day activities of each of the cheer squads. Cheer Coordinator will select, order and fit all cheerleaders for the appropriate components of the cheerleading outfits, including the uniform, shoes, socks, bloomers, hair accessories, jackets, pants and t-shirts. Cheer Coordinator will supervise and participate in the selection of the music and choreography for the main routine, sideline routines and other performances. The Cheer Coordinator will support the Association s fundraising campaign, concession operations and manage the cheer practice and performances to coincide with the football game schedule. Cheer coordinator will ensure timely communications of all pertinent information is reaching cheer coaches and parents All purchases above $250 must be approved by a majority vote of the Board of Directors. All items purchased must be accounted for by a sales receipt, not a hand-written receipt. ARTICLE 12 PYFA Equipment/Facilities 12.1 All PYFA equipment issued must be properly maintained by recipient. All issued equipment must be returned at the end of the season PYFA equipment will be inspected for normal wear and tear prior to issuance and upon return. Upon inspection any equipment deemed damaged beyond normal wear and tear will be assessed a cost for replacement or repair. This assessment is at the discretion of the President and is the responsibility of the recipient to reimburse PYFA individual(s) will be responsible for any lost or stolen issued equipment. 6 12.4 Any organization utilizing PYFA equipment or facilities will be held financially accountable for damages and/or lost or stolen equipment/facilities A written agreement or contract will be held on file while any facility or equipment is being utilized by any organization and/or individual outside of PYFA. ARTICLE 13 Board Meetings 13.1 Collect attendance. At least four (4) Board of Directors must be present Call meeting to order Review meeting minutes Review financial statements Address old business Address new business, which must be added to the agenda prior to the meeting Schedule the next meeting Close meeting. ARTICLE 14 Bylaws 14.1 All changes, revisions, and/or amendments to PYFA bylaws must be done after the last PYFA football game and prior to March 1 st of the upcoming season. Page 6 of 7

7 Statement of Board of Directors Commitment We, the Board of Directors of (PYFA) recognize the importance of following, supporting and standing by the PYFA Bylaws. Our current and future business success depends on our ability to analyze our risks and opportunities, act in good faith and represent the needs of players, coaches and the community. Safety, sportsmanship, and fundamentals should be of the most concern. Promoting an atmosphere of fun competition that will allow players to continue playing football throughout high school and beyond is the purpose of this Association.
