3 MISSISSIPPI ASSOCIATION FOR HEALTH, PHYSICAL EDUCATION, RECREATION, AND DANCE BY-LAWS ARTICLE I MEMBERSHIP SECTION I. Any person in the field of or associated with Health, Physical Education, Recreation or Dance is eligible for membership. SECTION II. Only professional members and full-time undergraduate student members of MAHPERD who reside, work or attend school in the State of Mississippi shall have the right to hold office or vote. Student members shall not hold an elected office other than that of the Future Professionals Council nor shall they have voting privileges, except with respect to the conduct of the Future Professionals Council. SECTION III. The annual dues of this organization shall be thirty-five dollars for professional membership and ten dollars for full-time undergraduate student membership. Full-time graduate students who are not employed on a full-time basis may be a member of the Future Professionals Council, not to exceed a total of six years. Full-time student status must be verified annually by a faculty member or a copy of a current student course schedule. The Board of Directors shall have the power to change the annual dues. SECTION IV. Honorary Life Membership- for persons so honored by the Board of Directors; these members are not required to pay dues. Retired Membership- for retired members who have reached the age of 55 and has been a member of MAHPERD for the last five years; the annual dues are ten dollars. ARTICLE II MISSION STATEMENT The mission of the Mississippi Association for Health, Physical Education, Recreation, and Dance is to promote and support leadership, research, education, and best practices in the professions that support creative, healthy, and active lifestyles. 2

4 ARTICLE III DISPOSAL OF ASSETS Upon dissolution, all of the assets of the Association shall be turned over to such nonprofit organizations qualifying as exempt from federal tax under Section 501(c)(3) of the Internal Revenue Code of 1954 or any successor provision thereto as the then Board of Directors shall select. ARTICLE IV RESTRICTION OF ACTIVITIES part of the net earnings of the Association shall insure to the benefit of any member, sponsor, donor, creator, director, officer, employee, or without limitation, any other private individual or to the benefit of any corporation or organization, any part of the net earnings of which insure to the benefit of any private individual; provided this shall not prevent payment of reasonable compensation for services actually rendered to or for the Association and affecting its purposes. The Association shall not divert any part of its income or corpus to any member, sponsor, donor, creator, director, officer or employee; by lending any part of its income or corpus without receipt of adequate security and a reasonable rate of interest; by paying any compensation in excess of reasonable allowance for salaries or other compensation for personal services actually rendered; by making any purchase of security or other property for more than adequate consideration for money or money s worth; by selling any substantial part of its securities or other property for less than adequate consideration for money or money s worth; or by engaging in any other transaction which either, directly or indirectly, results in such diversion of its income or corpus. The Association shall not make any accumulation of its income, unreasonable in amount or duration, or use any income for purposes other than the objectives hereinbefore set forth or invest any income in any manner as to jeopardize the fulfillment or carrying out its objectives. The Association shall not devote a substantial portion of its activities to carrying on propaganda or otherwise attempting to influence legislation, and in no event shall the Association engage in any legislative activities other than those in direct furtherance of the Association s stated objectives. The Association shall not participate in or intervene in any political campaign on behalf of any candidate for public office. In general, the Association shall not act in any way or engage in any activity which might affect its right to full exemption or the right of donors to the Association to full tax deductions for their contributions to the Association, and the Alliance shall be so operated as to be entitled to and receive all tax exemptions, federal or local, which may from time to time be granted to charitable, scientific, educational associations or foundations. part of the net earnings of the Association shall be used for the benefit of or to the advantage of any member, sponsor, donor, creator, trustee, officer, employee, or without 3

ARTICLE V BOARD OF DIRECTORS SECTION I. The Board of Directors shall consist of the President, President-Elect, Past President, the five Vice-Presidents, the five Vice-Presidents-Elect, two student members, Executive Director(non-voting), Parliamentarian(non-voting), and a HPER specialist from the Mississippi Department of Education shall serve as an Ex-Officio member with all privileges of the Board members. Students(graduate or undergraduate) shall be elected from the Future Professionals Council and shall serve two year staggered terms. All other members of the Board of Directors shall be appointed by the President, with approval of the Board, and will be non-voting members of said Board. SECTION II. It shall be the duty of the Board of Directors to review recommended amendments to the Constitution and By-Laws prior to the business meeting and present same with recommendations to the membership for approval. SECTION III. It shall be the duty of the Board of Directors to carry out the instructions of the membership voted upon at the business meeting of the Mississippi Association for Health, Physical Education, Recreation, and Dance and to serve on the Convention committee. SECTION IV. Convention fees for each Convention shall be determined by the Board of Directors. SECTION V. It shall be the duty of the Board of Directors to decide upon the place of the Mississippi Association s Annual Convention as hereinafter provided. The Annual convention will be held the first full weekend in vember or at a time approved by the Board of Directors or Representative Assembly. SECTION VI. There shall be a minimum of four Board of Director meetings during the fiscal year. SECTION VII. Eight Board members present in person or by proxy shall constitute a quorum for transacting routine Board business. proxy may represent or vote for more than one person at any given Board of Directors meeting. 4

6 SECTION VIII. In the event a vacancy occurs on the Board of Directors during the interim between conventions and these By-Laws do not otherwise provide for filling such a vacancy, the President may appoint, with Board approval, someone to serve until the next official meeting of the Mississippi Association. SECTION IX. Board members elected to a voting position on the Board of Directors are expected to attend meetings so a quorum can be maintained. Board members may be represented by a proxy in the event of an emergency. A Board member may miss no more than two meetings in one term of Office(two year term). The exception to this will be the President who may miss no more than three meetings in one term of Office(three year term). ARTICLE VI OFFICERS SECTION I. The officers shall consist of the President, the President-Elect, the immediate Past President, the five Vice-Presidents, and the five Vice-Presidents-Elect. A HPER Specialist from the Mississippi Department of Education shall serve as an Ex- Officio member of the Board of Directors. SECTION II. The President shall act as Chairperson of the Board of Directors and the Convention Program Committee. The President shall appoint all committees except a part of the minating, Convention, Budget, Honor Awards, and Constitution committees. The President has the power to appoint the Convention Manager. An Executive Committee consisting of the President, the President-Elect, and the immediate Past President shall act in cases of emergencies in the interim between official meetings and in other matters not considered by these By-Laws. SECTION III. The President-Elect shall act for the President in his/her absence and in case of the President s death, resignation or removal from the seat, and shall succeed him/her for the unexpired term. He/She shall serve in any capacity as designated by the President and/or Board. The President-Elect shall automatically succeed to the Office of the President at the Annual Convention. SECTION IV. The Vice-Presidents shall be five in number consisting of the Vice- President for Physical Education, the Vice-President for Health Education, the Vice- President for Recreation, the Vice-President for Dance, and the Vice-President for the General Section. Each Vice-President shall represent his/her division on the Board of Directors. In the absence of the President and President-Elect, the Vice-President shall act for the President in the above order named. SECTION V. The Vice-President-Elect shall act for their respective Vice-President in their absence, and in case of vacancies in office, shall succeed them for the unexpired 5

7 term. They shall automatically succeed to their respective Office of Vice-President during the Annual Convention. ARTICLE VII ELECTION OF OFFICERS SECTION I. There shall be a State minating Committee of six members composed of three immediate Past Vice-Presidents, two members appointed by the President, and chaired by the immediate Past President. SECTION II. The State minating Committee shall give due consideration to all persons suggested for nominations. They shall prepare a slate of at least two nominees for President-Elect and the five Vice-Presidents-Elect. Additional candidates may be nominated from the floor of the first business meeting at the Annual Convention. A written statement of acceptance of candidacy shall be required of all nominees for office. SECTION III. Voting for all offices of the Mississippi Association for Health, Physical Education, Recreation, and Dance, except for the section officers, shall be the function of the professional membership in attendance at the Annual Convention. SECTION IV. At the first business meeting at the Annual Convention, the officers are to be presented to the membership and a slate of at least two names for the Office of President-Elect, two names for the Office of Vice-President -Elect of the Physical Education Division, two names for the Office of Vice-President-Elect of the Recreation Division, two names for the Office of Vice-President-Elect of the Dance Division, and two names of the General Division will be submitted. SECTION V. In order to be elected, a candidate must receive a majority of the votes cast. If, at the completion of the balloting, no candidate is elected the balloting shall continue on the two candidates receiving the highest number of votes until an election is determined. SECTION VI. To be eligible for any office in the Mississippi Association for Health, Physical Education, Recreation, and Dance, the candidate must be a member in good standing with the Association. To be nominated as President-Elect the person must have, at some time, served on the Representative Council and have been a MAHPERD member for the previous year. To be nominated for the Office of Vice-President-Elect, the person must have been a MAHPERD member the previous year. To be nominated for the Office of Section Chairperson-Elect, the person must be a MAHPERD member. member shall hold more than one elective office in the State at the same time. member may become a candidate for an elective office he holds regardless of the level, be it Division or Section. Furthermore, no member may become a candidate for more than one elective office in any one year. member shall immediately succeed himself/herself in office. 6

8 SECTION VII. It shall be the responsibility of the student membership to elect officers of the Future Professionals Council and representatives to the Board of Directors. The Future Professionals Council President shall serve as Chairman of the minating Committee. Two other students from two different colleges, with one professional from another college, shall serve as the minating Committee. The procedures for ranking and elections shall be a part of the Future Professionals Council Operating Code. Representatives to the Board shall be from different colleges or universities and shall be elected to serve two-year staggered terms. Two representatives elected in 1974 shall draw lots for one and two-year terms and one representative shall be elected annually thereafter. Voting shall be by student membership only. All rules governing the office, succession to the office, etc., as described for other offices of this Association, shall be in effect. ARTICLE VIII DIVISIONS AND COUNCILS SECTION I. The term Division refers to general professional areas of interest. The term Council refers to specific professional areas of interest within a Division. The State Association shall include five Divisions as follows: (1) the Physical Education Division, (2) the Health Education Division, (3) the Recreation Division, (4) the Dance Division, and (5) the General Division. SECTION II. New Divisions and Councils may be formed and Sections may be reformed upon recommendation of the Board of Directors and a two-thirds majority of the votes of the members in attendance at an official meeting. Individuals wishing to form new Councils or change existing Councils must petition the Board of Directors in writing with twenty-five supporting professional members signatures prior to its presentation at an official meeting. SECTION III. Councils shall be allocated to a Division of the State Association by vote of the Board of Directors. Each Council shall have the right to fix the qualifications of its members providing such action does not violate this Constitution and By-Laws. SECTION IV. To be eligible for continuance of affiliation with the State Association, each Council must present or sponsor a program in connection with the regular Convention of this Association, except when the State Association meets in conjunction with other professional organizations. The Division Vice-President who is responsible for that Council shall coordinate the Convention plans of the Council. SECTION V. Meetings of each Council held at the Convention of the State Association may be attended by any member of the Association. Each Council shall hold a business meeting at the Convention of the State Association for the purpose of electing officers and conducting other business. 7

9 SECTION VI. The Officers of each Council, including the Future Professionals Council, shall be a Chairperson, Chairperson-Elect, and an appointed Recorder or digital recorder. Candidates for elected Office of Councils, excluding the Future Professionals Council, shall be members of MAHPERD and shall be elected by those persons present at the Convention who are voting members of the State Association. Written acceptance of candidacy shall be required of all nominees for Office. The Chairperson and Chairperson-Elect shall serve on the Representative Council. These two Officers will have voting privileges and rights on this Council. SECTION VII. It shall be the duty of the Vice-President of each Division to see that the regulations herein relating to Councils are met. The Vice-President of each Division shall make a report on the work of the Council at the Convention of the State Association. It shall be the duty of each Division Vice-President to work with the Council Chairpersons who are under his respective Division to insure that all regulations are met. The Vice-President of each Division shall make a report at the Annual Convention on the work of their Division, which includes the various Councils. These reports shall be submitted by to the Executive Director as a part of the minutes for the Convention business meeting. SECTION VIII. In case of death, removal from the State Association or for other reasons the Chairperson is unable to serve, the Chairperson-Elect shall serve the unexpired term and shall also succeed to his/her regular term of Office. In the absence of the Chairperson at a Council meeting, the Chairperson-Elect shall serve as Chairperson. In the absence of both the Chairperson and Chairperson-Elect, the Recorder shall serve as Chairperson and shall appoint a temporary Recorder. SECTION IX. In the event that a vacancy occurs in a Council office, other than that of Chairperson, the President of the State Association shall appoint someone to serve until the next official meeting. SECTION X. The membership may discontinue any Council at a regular meeting by two-thirds vote of the professional members voting, providing such action is recommended by the Board of Directors or initiated by a member attending the meeting, and providing the Council shall have been given written notice of such intended action thirty days or more before the meeting, at which such action is contemplated. SECTION XI. Organization and methods of procedure for Divisions and Councils shall be set forth in writing in their respective Operating Codes. These Operating Codes should be reviewed periodically and brought up to date in accordance with the Constitution and By-Laws. 8

10 ARTICLE IX COMMITTEES SECTION I. There may be Standing Committees, President s Committees(to include a Recognition Committee), Special Committees, Continuing Committees, and Joint Committees. SECTION II. The Standing Committees may consist of Constitution, Budget, Honor Awards, Proceedings, and Scholarship Committees. SECTION III. President s Committees, Continuing Committees, Special Committees, and Joint Committees are indefinite in number and are appointed for relatively specific duties. SECTION IV. The President of the Mississippi Association for Health, Physical Education, Recreation, and Dance shall appoint all committees, except a part of the minating, Convention, Budget, Honor Awards, and Constitution Committees. The Executive Director shall be Chairperson of the Budget Committee and the Parliamentarian shall serve as Chairperson of the Constitution Committee. Members of Standing Committees and Joint Committees shall have three-year rotating terms. Consecutive terms shall not be permitted. Exception to this is the Executive Director and the Parliamentarian who serve continuously as Chairperson of the Budget Committee and Chairperson of the Constitution Committee, respectively. Where possible, a member of a minority group shall be appointed to each committee. SECTION V. Members of the Continuing or Special Committee serve concurrently until the specific duties for which the Committee is appointed are discharged; however, the Board of Directors may terminate any Continuing or Special Committee if circumstances seem to warrant such action. President s Committees may be appointed and/or terminated at the President s discretion, and they shall terminate with his/her administration in Office. ARTICLE X CONVENTIONS SECTION I. The Mississippi Association for Health, Physical Education, Recreation, and Dance may hold an annual Convention the first full weekend in vember or at a time approved by the Board of Directors or Representative Council. The Board of Directors may or may not elect to have a Spring conference, workshop or meeting in conjunction with a State professional organization. SECTION II. The Convention shall be planned and conducted by the Convention Committee of the State Association, which shall consist of the Board of Directors and the 9

11 Committee Chairperson of each Council, and such other members as may be appointed by the President of the State Association, who shall serve as Chairperson of the Convention Program Committee, and who may appoint someone else to serve as Manager of the Convention. SECTION III. The President shall submit a Convention budget for approval to the Board of Directors at the Winter meeting. The President shall hold rigidly to the budget, when approved, and shall make changes in this budget only upon approval of the Board of Directors of the State Association. SECTION IV. The Convention city and hotel shall be selected at least one year in advance by vote of the Board of Directors in a meeting prior to the Annual Convention. SECTION V. The Division Vice-President and the Council Chairperson shall be responsible for their respective Convention programs. SECTION VI. When it will better serve the objectives of more than one Council, programs may be combined. SECTION VII. money may be spent by Divisions or Councils without the approval of the President and Board of Directors. SECTION VIII. All meetings of Divisions and Councils shall be open to all members of the State Association. ARTICLE XI REPRESENTATIVE COUNCIL SECTION I. The Representative Council shall be composed of the Board of Directors, the Council Chairpersons, and the Council Chairpersons-Elect. Each Council member listed above shall have one vote. Additional Council members may be appointed by the President with Board approval, as they are needed. Appointed Council members shall be non-voting members. SECTION II. The President shall serve as Chairperson of the Representative Council. SECTION III. The Representative Council shall meet at least once annually. SECTION IV. The function of the Representative Council shall be to coordinate and plan all meetings and Conventions of the State Association and any other business not covered during the Board of Directors meetings or the official meetings of the membership. 10

12 ARTICLE XII PUBLICATIONS SECTION I. MAHPERD may publish a 3-5 page Newsletter bi-monthly for the months of January, March, May, July, September, and vember. This publication shall be limited to news and current events of interest to Association members. SECTION II. MAHPERD may also publish The Journal on a semi-annual basis with publication dates for spring and fall. This publication shall be oriented toward reporting of professional research within the State and the publication of scholarly articles written by Association members and other professionals. This publication should be selfsupporting from the sale of advertisements. SECTION III. The President, with the approval of the Board, may annually appoint two members to serve as Editor and Associate Editor of both the Newsletter and The Journal. The Editors should be appointed, non-voting members of the Board of Directors and the Representative Council. Consideration may be given to the re-appointment of one or both of these individuals to promote continuity. If necessary, the President may also have the responsibility of appointing five Assistant Editors for the areas of Health, Physical Education, Recreation, Dance, and General. These Editors shall have direct responsibility for screening articles for publication in The Journal. These five Assistant Editors shall be appointed for three-year staggered terms so that one new Assistant Editor shall be appointed annually. SECTION IV. All issues of the Newsletter and The Journal shall be sent to each member(students and professionals) of MAHPERD and other appropriate persons and agencies. SECTION V. The State Association may also publish the Convention Proceedings. The composition and publishing of the proceedings shall be the responsibility of the Executive Director. The distribution of the proceedings, either by the Newsletter, , and/or posting on the MAHPERD website, will be a function of the Board of Directors. ARTICLE XIII HONOR AWARDS SECTION I. The State Association may honor individuals for meritorious service in Health Education, Physical Education, Recreation, Dance or in allied fields of Science and Education by electing such persons as honor members of the Mississippi Association for Health, Physical Education, Recreation, and Dance or by conferring such special awards or citations as may be approved by the Board of Directors. 11

13 SECTION II. The Honor Awards Committee shall be composed of six members, three of which must be recipients of the Honor Awards. Each year, two members of the Committee shall be appointed for three-year terms by the President of the Association. All presentations must be approved by the Board of Directors prior to the Award. ARTICLE XIV FISCAL YEAR SECTION I. The fiscal year shall extend from June 1 st to May 31 st. ARTICLE XV RULES OF ORDER SECTION I. Questions of procedure, not covered by this Constitution and By-Laws, shall be decided according to Robert s Rules of Order-Newly Revised. ARTICLE XVI AMENDMENTS SECTION I. Proposed amendments must be submitted in writing to the Board of Directors prior to being submitted to the membership. Proposed changes in the Constitution and/or By-Laws should be published in the Newsletter prior to the meeting at which such action is to be taken. The Constitution and the By-Laws may be amended at any official meeting of the State Association. An affirmative vote equal to two-thirds of the votes cast at the official meeting of the membership shall be required for the amendment to pass. AMENDMENTS AS APPROVED ARTICLE VII, SECTION I. There shall be a State minating Committee of six members composed of the three immediate Past Vice-Presidents of each Division, two members appointed by the President and chaired by the immediate Past President. 2. ARTICLE VI, SECTION IV. The Past President shall be Chairperson of the Constitution Committee. 12

14 3. ARTICLE IX, SECTION IV. Exceptions to this are the Treasurer who shall serve continuously as Chairperson of the Budget Committee and the Archivist who serves Ex-Officio on the Constitution Committee. AMENDED DECEMBER 1972 APPROVED 1974-BY-LAWS CHANGES PROPOSED CONSTITUTION, BY-LAWS, AND OPERATION CODE CHANGES Amend the Constitution so that the President is in charge of the Convention Program with the power to appoint the Convention Manager. 2. Amend the By-Laws so that to be nominated as President-Elect the person must have, at some time, served on the Representative Council and have been a MAHPERD member the previous year. 3. Amend the By-Laws so that to be nominated for the Office of Vice-President- Elect or Council Chairperson-Elect the person must have been a MAHPERD member for the previous year. 4. Amend the By-Laws to provide for a General Division with the Office of Vice- President and Vice-President-Elect to correspond with the other Divisions as to similar responsibilities. 5. Amend the By-Laws so that the Board of Directors will have the power to change the annual dues. 6. Amend the By-Laws so that the MAHPERD Convention is always set the first full weekend in vember. 7. Adjust the necessary Operating Codes to eliminate the Office of Past Chairman. 8. Adjust the minating Committee Operating Code so that nominees for Offices of President-Elect and Vice-Presidents-Elect must give their written consent prior to their names being ranked. 9. Adjust all Operating Codes so that they are written in the same format and add a Table of Contents to the Constitution, By-Laws, and Operating Codes. Please vote YES or NO on each amendment. Article I- NAME (Section I) CONSTITUTION Current: American Association for Health, Physical Education, Recreation and Dance Amend as follows: American Alliance for Health, Physical Education, Recreation and Dance; all references throughout document pertaining to our national organization shall reflect this name change.
