After opening the bids and reviewing the bid packets for completeness, TML Construction was found to be the lowest, responsive and responsible bidder. Councilor Holmes made a MOTION to accept TML s bid for this project, authorize the Mayor to execute the construction contract, subject to receipt of a Performance Bond, Payment Bond and Certificate of Insurance from TML Construction and to allow Public Works to work with a discretionary 10% construction contingency. We are seeking the City Council s approval for the Construction Phase Services, Project Representative and Post Construction Phase Services. In addition, Welch-Comer will employ subconsultant (s) for such items as electrical control panels (motor control center) and telemetry items. Councilor Meckel made a MOTION to allow Mayor Holmes to sign the contract with Welch-Comer to do the contract for the lift station. Motion seconded by Councilor Rickard. There are three parts to this. A Memorandum of Understanding (MOU), a Chamber Lease and a Membership commitment for What we are looking for tonight is for permission and authorization from the Council for the Mayor and I to sign both the Memorandum of Understanding (MOU) and the Lease Agreement with the Chamber. Council discussed some of their concerns and asked to bring it back before the next council meeting. Councilor Meckel at this time left the meeting at 6:23 pm. Page 3

7 11) STAFF REPORTS Park and Recreation Reporting Easter Egg Hunt will be held on Saturday, March 31 st at 11:00 am at Majestic Park 3 rd Annual Mayor s Cup on June 16 th at 1:00 pm at the Links Golf Course. All proceeds this year will go to the Rathdrum Lion s Club Police Reporting Public Works Reporting City Administrator 12) MAYOR S REPORT/APPOINTMENTS A) Proclamation recognizing the American Legion Mayor Holmes read the proclamation proclaiming March 14 th as a month for recognizing the American Legion. 20 MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (MOU) is entered into by and between the RATHDRUM AREA CHAMBER OF COMMERCE, a 501(c)(6) non-profit organization, located at 8184 W. Main St., Rathdrum, ID 83858, hereinafter referred to as the Chamber, and the CITY OF RATHDRUM located at 8407 W. Main St., Rathdrum, ID 83858, hereinafter referred to as the City. WHEREAS, the Rathdrum Area Chamber of Commerce and the City of Rathdrum have a long history of many years of cooperative relationship on behalf of the Rathdrum community; WHEREAS, the parties participating in this Memorandum of Understanding agree in principle to the importance of promoting and providing coordination and cooperation on the many issues and events impacting both entities and the Rathdrum community; WHEREAS, the Rathdrum Area Chamber of Commerce primary mission is to support existing businesses and to promote the establishment and development of new businesses and industry that will enhance prosperity and the common good within the Rathdrum community; WHEREAS, the City of Rathdrum represents the community at large and has a vested interest in the economic vitality of the Rathdrum community, and often supports and/or sponsors activities and events that promote community pride; WHEREAS, the Rathdrum Area Chamber of Commerce and the City of Rathdrum together desire to support the long term economic, cultural and educational development of the community and to encourage programs and events that will benefit the business community and in turn all the citizens of Rathdrum; WHEREAS, the Rathdrum Area Chamber of Commerce and the City of Rathdrum desire to have a clear framework setting forth the principles of their respective roles in joint efforts that benefit the community as a whole and promotes economic well-being; NOW THEREFORE, the parties pledge to participation in the following plan of action: MEMBERSHIP 1. The Rathdrum Chamber offers a range of membership options from which the City may choose. 2. The City believes it should demonstrate community leadership in support of the Chamber and community activities by becoming a "Visionary Partner" % of the City s membership dues will be paid annually based on an invoice, while the other 50% shall be paid by"trade". 4. The "trade" value will be in turn for the Lease/Rental fee's associated with the Chamber's use of the facility known as the "Old Fire Station" building at 8184 W. Main St. in Rathdrum as referred to in the following paragraph. 1

21 BUILDING RENTAL AND OCCUPANCY 1. The parties agree to re-negotiate the terms of the existing Lease Agreement between the Chamber and the City for the occupancy and use of the "Old Fire Station" building owned by the City and currently occupied by the Chamber. 2. Such new Lease Agreement to be reviewed annually by both parties based on the terms detailed in the lease. 3. See the Lease Agreement attached as Appendix I. RATHDRUM DAYS CELEBRATION ROLE OF THE CHAMBER The Rathdrum Chamber of Commerce shall be the primary coordinator for Rathdrum Days and shall be the lead agency for planning and organizing all activities related to the event. 1. The Chamber shall assume the event liability and the cost associated with that. 2. The Chamber shall establish permitting, licensing and assume the associated costs required to put on such event. 3. The Chamber shall recruit, organize, coordinate and appreciate the volunteers and assume the associated costs to put on such event. 4. The Chamber shall recruit, organize, and coordinate entertainment / activities and venue logistics associated with the event. 5. The Chamber shall organize and coordinate marketing efforts and assume the associated costs for promotion of the event. ROLE OF THE CITY The City will be looked to as a partner with the Chamber by providing a vital support role for Rathdrum Days in the following ways: 1. Provide general logistical support for event preparations. 2. Provide support for event safety. 3. Coordinate and provide trash detail at High School vendor area on Saturday. 4. Order and coordinate Music Entertainment/Band during night Street Dance and provide $250 towards the Entertainment/Band. 5. Store Stage at City Shop. The Chamber will hold the City harmless in the case that the Stage is damaged by any means. DECEMBER D'LIGHTS ROLE OF THE CHAMBER The Rathdrum Chamber of Commerce shall be the primary coordinator for December D'Lights and shall be the lead agency for planning and organizing all activities related to the event. 1. ROLE OF THE CITY The City will be looked to as a partner with the Chamber by providing a vital support role for December D Lights in the following ways: 1. DURATION This Memorandum of Understanding is at-will and may be modified by mutual consent of authorized officials from the Rathdrum Chamber and the City of Rathdrum. This memorandum of Understanding shall become effective beginning with the date of the last signature hereon provided by the authorized officials from the Rathdrum Chamber and the City of Rathdrum and will remain in effect until modified or terminated by any one of the partners by mutual consent. In the absence of mutual agreement by the authorized officials from the Rathdrum Chamber or the City of Rathdrum and will remain in effect until modified or terminated by any one of the partners by mutual consent. 23 LEASE AGREEMENT This Lease is made and entered into by and between the CITY OF RATHDRUM, hereinafter referred to as "Landlord", and the RATHDRUM AREA CHAMBER OF COMMERCE, hereinafter referred to as "Tenant". PROPERTY Subject to the terms and conditions set forth herein, Landlord hereby leases unto the Tenant and Tenant agrees to lease from the Landlord office space located at 8184 W. Main Street, Rathdrum, Idaho specifically described as: Lot I, Block A, Westwood Addition TERM The term of this lease shall be for one (1) year, commencing on the 1st day of January, 2018, and subject to yearly renewal as agreed to by the parties. RENTAL The rental for the term of this lease shall be One Dollar ($1.00), which has been paid coincident with the execution of this lease. Upon payment of the foregoing rent, the Landlord shall provide office space located at 8184 W. Main Street, Rathdrum, Idaho Tenant shall pay all utility expenses for the subject property including telephone, internet, electric, gas, water, sewer, and trash disposal incurred during the term of this lease. USE Tenant covenants its principal use of the leased premises shall be for office space and administrative work areas. PARKING Tenant shall also be entitled to use the parking facilities available on the Landlord's property in addition to street parking. INSPECTION OF PREMISES Tenant covenants it has inspected the leased premises and is aware of the condition thereof and is relying on its inspection of the premises and not on any warranty from Landlord regarding the condition of the premises or its suitability for any particular purpose. Tenant covenants that it accepts the leased premises "AS IS" without any warranty from Landlord, expressed or implied, and that the premises are fit or suitable for Tenant s particular purpose. 24 MAINTENANCE Tenant shall be responsible for routine minor maintenance, painting, care and upkeep of the interior of the leased premises. Landlord shall be responsible for any and all major repairs to the structure and any systems integral to the building with the first $250 payable per incident by the Rathdrum Area Chamber of Commerce. INSURANCE AND INDEMNITY The Tenant acknowledges and agrees that the risk of loss for all contents and property belonging to the Tenant shall be on the Tenant. The Tenant is required to obtain his/her own renter s insurance policy against fire, theft, or other disasters, as the Landlord carries insurance on the building only. The Tenant hereby agrees to indemnify, compensate and forever hold harmless, the Landlord, its successors and assigns, any parent affiliate and subsidiary entities, their insurers, their assigns, their successors, their legal representatives, officers, directors, employees, agents, or any others who may be acting on behalf of them from any and all claims, damages, actions, causes of action or liability whatsoever, resulting from or arising out of injury to or death of any guest, agent, employee, licensee or invitee of the Tenant in or about the Premises, or damage or destruction of any property owned by the Tenant or any guest, agent, employee, licensee or invitee of the Tenant, unless such injury, death or damage solely and directly results from the intentional or grossly negligent acts of the Landlord. TERMINATION This lease shall terminate upon the earliest occurrence of any of the following: 1. The expiration of the lease term. 2. The mutual agreement of the parties. 3. Tenant's failure to cure a breach of the lease following notice thereof from Landlord as provided in the following section entitled DEFAULT. 4. The repeated breach by the Tenant of the terms of this lease. DEFAULT Any failure by Tenant to pay rent or other charges promptly when due or to comply with any other term or condition of this Agreement shall, at the option of Landlord, forthwith terminate this tenancy, forfeit all rights of Tenant under this Agreement and entitle Landlord to re-enter and re-let the premises without resort to the unlawful detainer statutes of the State of Idaho. However, before re-before taking such action, Landlord shall first give Tenant written notice specifying why Tenant is in default. Tenant shall have fifteen (15) days in which to correct any default that can be cured after receipt of notice thereof.
