1 E.I. du Pont de Nemours and Company Disclosure of Corporate Political Expenditures November 6, 2009 Background DuPont business operations are directly impacted by extensive federal regulations in the environmental, tax and trade areas, and by increasingly active state government actions. In this environment, it is essential for DuPont to be involved in the political process by making prudent political contributions that are consistent with its business objectives and in compliance with all federal, state and local laws. As a result of reforms to federal campaign finance laws, DuPont corporate contributions to federal candidates are prohibited. Since the mid 1980 s, DuPont has sponsored a Political Action Committee the DuPont Good Government Fund (DGGF). DGGF s activities are authorized by federal law which allows DuPont to solicit funds from eligible employees for the purpose of providing financial support to political candidates. The DGGF files quarterly reports with the Federal Election Committee to show the source of the funds received and how they were expended, all of which is readily available for public inspection. Procedures DGGF is managed by the Government Affairs Advisory Council (GAAC) which has the responsibility to review and approve all DGGF political contributions. GAAC members represent a cross-section of business interests and include several members of DuPont executive management leadership team. DuPont corporate contributions, which are legally permitted only on the state and local levels, are also managed by the GAAC. Both corporate and PAC contributions are made to candidates who have demonstrated a positive concern for issues that are important to the businesses and markets in which the Company operates, and are based on the following criteria, among others: The candidates demonstrated honesty, integrity, effectiveness, and commitment to good governance; The candidates understanding and support for issues important to DuPont and its employees; The location of DuPont employees and/or facilities in the candidates state or district; The candidates position in leadership or in key committees, or the candidates potential for leadership; The candidates financial need and chance of being elected; and The alignment of the candidates voting record with DuPont s values and positions
