1 Articles of Incorporation of The Dora Cemetery Association The undersigned incorporation of The Dora Cemetery Association, a domestic nonprofit corporation, adopts the following Articles of incorporation: Article 1 The name of the corporation is The Dora Cemetery Association. Article 1A The Secretary shall take and keep a list of all names of persons buried in cemetery and the number of lot and place therein. Article 1B The corporation s period of duration shall be perpetual. Article 1C The purpose for which the corporation is organized is to maintain a historical cemetery. Article 2 The Dora Cemetery Board of Directors ( Board ) shall keep in repair all fences and buildings around cemetery. Article 3 The Board shall have power to levy assessments to keep in repair and the maintenance of cemetery. Article 4 The Board shall keep all lots in cemetery located by stake or land mark at each corner. Article 5 The Association members shall be requested to meet once a year at the cemetery for repairing the same in any way the Board sees proper in the month of May. 2 Article 6 The Association members shall endeavor to have Decoration Services on Decoration Day, May 30 th. It Shall be the duty of the Board to engage speaker and make other arrangements they deem proper. Article 7 All moneys obtained by the sale of lots shall be used in keeping Cemetery in order and necessary buildings of the same. Article 8 Lots shall be sold for the price of Five Dollars each Payable in cash or work as the Board may direct Article 9 Secretary shall deed lots only when the full price has been paid. Article 10 The Secretary shall keep a current account of all moneys paid to him and deliver the same to the Treasurer. Article 11 The Treasurer shall give a receipts for all money received from the Secretary or any other source. Article 12 In case vacancies occur in the Board of Directors it shall be filled by appointment of the balance of the Board of Directors. Article 13 The Board shall have power to relocate any corpse buried since the organization of the Association which was June 24 th, Dora Cemetery Association Page 2

3 Article 14 Any person having relatives buried in Dora Cemetery shall have the privilege to remove the same. Article 15 The secretary shall keep a correct record of all lots or parcels of lots and the numbers of the same. Article 16 The Treasurer shall pay out no money only by order of the President. Article 17 In absence of the president a director may preside over all meetings held and shall look after the general welfare and interest of the Association and in the absence of the president a director may superintend all work. Article 18 The secretary shall keep the minutes of all meetings held by the Board of members of the Association. A.J. Mayse Secretary G.G. Swan, President Article 19 The Association shall elect officers annually the third month in May, being the time set for election of officers and working at Dora Cemetery annually. Wm. 4 Article 20 Fifty percent of the money received from the sale of lots shall be placed in and constitute an irreducible fund, which fund shall be kept by the Board of trustees invested in securities legal for savings banks in The State of Oregon. The interest or income arising from said irreducible fund only shall be devoted exclusively to the preservation and embellishment of the lots sold to the members of the Association, and any surplus thereof not needed or used for such purpose shall be invested as above provided and become part of said irreducible fund. Donations may be made to the Association for placing in the said fund and likewise become part of said irreducible fund. The Treasurer of the Association shall immediately upon receipt of any money set aside that portion due the irreducible fund in a separate amount. A charge shall be made for digging graves when the same are Dug by members of the Association by donating work and the Money so received shall be part of the irreducible fund. Article 21 The price of graves shall be as follows: 12 grave lots $ grave lots $ Single graves $ 5.00 Article 22 All persons who are not deemed objectionable by the Association may become members of this Association, upon the payment of fifty cents annual dues and shall be members in good standing with voting privileges so long as dues together with any special assessments levied by the Association are paid. All persons who have paid or donated Ten Dollars to the Association shall be life members of the Association subject however to any special assessments that may be levied by the Association. All owners of lots in the Cemetery and all owners of fractions of lots for which the Association was paid Five Dollars or more shall be life members of the Association with voting privileges subject likewise to the payment of any special assessments levied by the Association. Article 23 (This Article supersedes Articles 5, 19, 22.) May 19, Members 1. An Annual Meeting of the Members of the Association shall be held on the third Saturday of May. 5 a. The Secretary shall give adequate notice of the meeting. b. A quorum shall be Ten (10) Members. 2. A Member of the Association is any person who: a. Owns a grave space, or b. Has a relative buried in the Cemetery 3. Voting in the Association is restricted to Members, provided that: a. No person has more than one vote, and b. Only one person may vote as a result of a particular buried relative 4. Amended May 25, 1985 that: A quorum shall be five members. Article 24 (This Article supersedes Articles 12 and 19.) May 19 th, The Members hall elected Seven (7) Directors to direct the Association between Annual Meetings. These Directors form the Board of Directors: a. The Directors are as follows: 1. President 2. Vice-president 3. Secretary-Treasurer 4. Director 5. Director 6. Director 7. Director b. The term of office is two (2) years with the terms staggered. The even numbered Directors are elected in even numbered years and the odd numbered Directors are elected in odd years. Amended December 10, 2016 and reaffirmed by Dora Cemetery Association s Board action to expand the term of office to five (5) years. c. A vacancy in office shall be filled to the end of the unexpired term by appointment of the Board of Directors. d. Meetings of the Board of Directors shall be required. A quorum shall be four (4) Directors. Article 25 (This Article supersedes Articles 8 and 21, and Resolution: Dora, May 21 st, 1915). 6 Keeping in mind the community nature of the Association and the fact that the number of grave spaces is limited, the following conditions apply: 1. Burial Eligibility: a. Present or former resident of Dora Voting Precinct # 28 as the boundaries now exist, or b. Amended December 7, 2012 and reaffirmed by Dora Cemetery Association s Board action to expand Voting Precinct #28 to include Voting Precinct # 35 for present or former residents, or c. Amended December 4, 2015 and reaffirmed by Dora Cemetery Association s Board action to expand Voting Precincts # 38 and # 35 to include present or former residents of either zip code areas and 97458, or d. Amended December 10, 2016 and reaffirmed by Dora Cemetery Association s Board action to expand burial eligibility to include all Oregon residents past and present. b. Relative of someone buried in the Cemetery, or, c. Owner of a grave space as of this date, or, d. At the discretion of the Board of Directors. 2. The price of one grave space shall be $ The Board of Directors shall begin recovery action for grave spaces in accordance with Oregon law. Amended May 18, 2013, and reaffirmed by Dora Cemetery Association during their annual meeting. 4. Amended May 17, 1980, Added: A member may resell a grave space only to the Association and at the price originally paid. 5. Amended May 18, 1996, and reaffirmed by Board action on May 17, 1997, that the price of one grave space shall be $ Amended May 21, 2011, and reaffirmed by Dora Cemetery Association the price of one grave space effective January 1, 2012, shall be $ Amended May 19, 2012 and reaffirmed by Dora Cemetery Association the price of one grave space will be $ 400 and the administrative fee per burial is $ Amended May 18, 2013, and reaffirmed by Dora Cemetery Association during their annual meeting the price of the administrative fee per burial is $ Amended December 4, 2015 and reaffirmed by Dora Cemetery Association s Board action that the price of one grave space is $ 600 and the perpetual maintenance fee is $ 200 per planned interment effective March 1, Dora Cemetery Association Page 6

7 10. Amended December 4, 2015 and reaffirmed by Dora Cemetery Association s Board action the sale of grave spaces to include payment of all perpetual maintenance fees at time of grave sale. 11. Amended December 4, 2015 and reaffirmed by Dora Cemetery Association s Board action all perpetual maintenance fees and grave space to be paid prior to placement of a grave marker or interment in the cemetery. Article 26 (This Article supersedes Article 7 and 20) May 19, 1979 Irreducible Fund The Board of Directors shall establish an IRREDUCILE FUND to provide income for cemetery maintenance. a) The following money receipts shall be placed into the FUND: 1. One-half the amount from the sale of grave spaces. 2. Any burial fees 3. Any donations to the FUND b) The IRREDUCIBLE FUND shall be limited to $ 10,000. When that limit is reached, any money otherwise designed for the FUND shall be used at the discretion of the Association. ARTICLE 27 (This Article supersedes Article 26) The Board of Directors shall establish an IRREDUCIBLE FUND to provide income for cemetery maintenance. A. The following money receipts shall be placed into the FUND: 1. One half the amounts from the sale of graves. 2. Any burial fees 3. Any donations unless otherwise directed by the donor. B. There shall be no limit on the IRREDUCIBLE FUND. ARTICLE 28 May 17, 2008 TREASURY REPORT The Treasurer sends a financial statement including beginning and ending balances of all accounts, interest rates, number of graves sold, expenses, etc. to each director prior to the Dora Cemetery Association meeting.
