3 AMENDED MAY 1, 2011 AMVETS POST 312 CONSTITUTION AND BYLAWS CONSTITUTION PREAMBLE We, the Americans Veterans who have served or are serving in the Armed Forces of the United States during and since World War II, fully realizing our responsibility to our community, to our State, and to our Nation, associate ourselves for the following purposes: to uphold and defend the Constitution of the United States; to safeguard the principles of freedom, liberty, and justice for all; to promote the cause of peace and goodwill among nations; to maintain inviolate the freedom of our country; to preserve the fundamentals of democracy; to perpetuate the friendship and associations of these veterans, and to dedicate ourselves to the cause of mutual assistance, this by the Grace of God. ARTICLE I NAME The name of this Post shall be AMERICAN VETERANS (AMVETS) Post 312, City of North Port, County of Sarasota, in the State of Florida and it shall be hereinafter referred to as the Post. And that name shall be recognized as the official name of this Post. ARTICLE II AIMS The aims and purposes of this organization are as follows: 1. To serve our country in peace as in war; to build and maintain the welfare of the United States of America toward lasting prosperity and peace for all its inhabitants. 2. To encourage, in keeping the policies of our Government, the establishment of a concrete plan to secure permanent international peace and to assist in the maintenance of international peace. 3. To inspire in our membership a sense of responsibility and to develop leadership for the preservation of our American democratic way of life. 4. To help unify divergent groups in the overall interest of American democracy. 5. To train our youth to become purposeful citizens in a democracy with full knowledge of the responsibilities as well as the privileges of citizenship. 6. To cooperate with all duly recognized existing veterans organizations in the furtherance of the aims of the American veterans who have served or are serving in the Armed Forces of the United States during and since World War II. 3

4 7. To ensure the orderly return of the veterans to civilian life by protecting their rights as individuals while still in uniform. 8. To expedite and assist in the rehabilitation of the veteran by maintenance of employment services, sponsoring educational opportunities, providing counsel of insurance, housing, recreation, personal problems, hospitalization, and veterans benefits. 9. To act as a liaison agent between the veteran and the Government. 10. To provide an organization to encourage fellowship among all American veterans who have served or are serving in the Armed Forces of the United States during and since World War II. 11. To keep the public forever reminded that American Veterans who have served or are serving in the Armed Forces of the United States during and since World War II fought and served to preserve peace, liberty, and democracy of their Nation. ARTICLE III - MEMBERSHIP Section 3. Section 4. Any person who served or is currently serving in the Armed Forces of the United States of America at any time after September 15, 1940 is eligible for regular membership in AMVETS provided such service, when terminated by discharge, or release from active duty, be by honorable discharge, honorable separation or general discharge under honorable conditions. Any American citizen as an American citizen, who served in the Armed Forces of an Allied Nation of the United States at any time after September 15, 1940 and before May 8, 1975, is eligible for regular membership in AMVETS, provided such service, when terminated by discharge or release from active duty, is by honorable discharge or honorable separation. No person who is a member of, or who advocates the principles of any organization believing in, or working for the overthrow of the United States Government by force, and no American citizen or permanent resident alien in the United States, one of its territories, possessions or the District of Columbia who refuses to uphold and defend the Constitution of the United States, shall be privileged to become, or continue to be, a member of this organization. All United States Reservists and National Guardsmen who are now serving, or have been honorably discharged since September 15, 1940, are eligible for regular membership in AMVETS provided such service, when terminated by discharge or release, is by honorable discharge or separation. 4

In lieu thereof certificates of merit may be awarded, or a suitable inscribed award given to those rendering service to community and to the American Veteran s who have served, or are serving in the Armed Forces of the United States during and since World War II. No member of AMVETS classified as a member at large may hold elected or appointed office at any level in the AMVET organization, also, no member shall be a member of more than one AMVETS Post at the same time. No person expelled from one post shall be eligible for membership in any other post without the consent of the expelling post, or consent of the State Executive Committee (SEC) after hearing an appeal. This Post shall be the judge of its own membership, subject to the provisions of the Constitution and Bylaws of the national and department organizations. (See AMVETS Department of Florida Bylaws Article VIII.) Membership shall be on a calendar year basis and shall run from January 1 through December 31 of each year. All AMVETS subordinate organizations shall maintain the same calendar year for the membership. Eligibility for membership and the rights and privileges of members shall be as provided in the Constitution and Bylaws, and the terms of membership and requirements for holding office within AMVETS shall not be discriminatory on the basis of race, color, religion, sex or national origin. ARTICLE IV - OFFICERS Officers of this Post shall consist of a commander, not more than two (2) Vice-Commanders; designated as First 1 st and Second 2 nd, Financial Officer, Provost Marshal and Judge Advocate and shall be elected annually by the Members of the Post. A Chaplain, Historian, Service Officer, Adjutant, Public Relations Officer and Assistant Finance Officer shall be appointed by the newly elected Commander with the approval of the Executive Committee. The election of officers shall be held at the annual meeting of the Post on the first Tuesday of May unless changed by two-thirds vote of the membership at a duly called meeting where a quorum is present and voting. Sufficient written ballots will be prepared by the Adjutant with assistance of a Provost Marshall distributed, collected and counted by the Provost Marshall who shall thereafter make the announcement of the count. Only members in good standing in person at the Meeting shall be entitled to vote. National and Department Headquarters shall be notified of the election of New Officers by the Post Adjutant by May 15 th of the present year. 5

All Contracts involving anything related with the Post or Post activities must be approved by the Executive Committee and Signed by the Post Commander. The newly elected and appointed officers shall be sworn in and shall take office immediately following the elections. (Members wishing to attend may stay, all others excused.). New Officers will take part at a future announced date to a more formal swearing in, along with LAUX and Sons at a combined swearing in ceremony. In the event that the Office of Commander is vacated, the Vice Commander in the order of their numerical designation shall succeed to the Office of Commander for the unexpired term. Should any other office be vacated, the Commander is empowered to appoint successor for the completion of the term subject to the approval of the Executive Committee. Any elected Officer who resigns or does not fulfill the elected term other than because of hardship will be prohibited from running for office for two years. Section 8. Any elected Officer must be available a minimum of 10 months. The 2 month absence must be covered ahead of time by a capable back up. ARTICLE V - EXECUTIVE COMMITTEE The Post Commander shall be the Chairman of the Executive Committee. The elected and appointed officers of the Post, the immediate Past Post Commander, and the Chairman of the Trustees shall constitute the Executive Committee which will be charged with the administrative affairs and property of the Post. The Executive Committee shall formulate the policy of the organization for the approval by the members. Appointed officers, shall sit on the Executive Committee, but shall not have the right to vote. They are as follows: Assistant Finance Officer, Chaplain, Historian, Service Officer, Public Relations Officer, and Adjutant. The Chairman of Trustees will have a vote on all items that pertains to the canteen. ARTICLE VI - POST ORGANIZATION This Post shall be governed by the officers chosen in accordance with this Constitution and Bylaws and will annually revalidate its charter prior to July 15. Such revalidation shall be evidenced by the issuance of a Revalidation Certificate issued by the National Department upon 6

7 satisfactory completion of all requirements. Aside from any other requirements imposed by the Department or National Constitution and Bylaws, this Post shall: (a) (b) (c) (d) (e) (f) Furnish the Department Executive Director with two copies of the Post s current officers not later than June 01; File IRS Form 990 and provide National with a written statement that the post has filed for the fiscal year with the Internal Revenue Service if required. Furnish the Department Executive Director with two copies of the Post s Constitution and Bylaws or certify on the Oficer s Form that the copy on file has not been changed, altered or amended. Be fully paid up in all accounts with National Headquarters. Comply with applicable liability insurance and bonding mandates; and Have a minimum of ten (10) members in good standing at all times. Within thirty (30) days of notice to surrender its charter resulting from disciplinary or voluntary action, the Post will close all bank accounts and deliver to the State Department or National organization all Post records, property and assets. ARTICLE VII - SUBORDINATE ORGANIZATIONS Section 3. Section 4. A subordinate organization of AMVETS may be established only by a provision of the Post s Constitution, and in keeping with the National Constitution and Bylaws. Al subordinate organizations memberships qualifications must be consistent with the aims and purposes of AMVETS. All AMVETS subordinate organizations shall follow the same membership year and pay membership dues in concert with the parent organization. All Subordinate organizations shall be under the jurisdiction of the AMVETS Post whose name it bears and shall carry the corresponding number of the Post. (a) A two-thirds (2/3) vote of the AMVET members present at a stated meeting is required to approve and form a subordinate organization. 7

8 (b) (c) AMVETS Post members must be given written notice of such meeting a minimum of 15 days prior to the proposed formation. Where no Post exists, a subordinate organization shall not be formed, nor continue to operate as an independent entity. The Subordinate s charter must be surendered along with any property it may possess to the duly recognized subordinate officer in accordance with the Constitution of the National subordinate organization. Section 5. No fund raising activities can be sponsored by any subordinate organization without the recommendation of the AMVETS Post Executive Committee and the prior approval of the AMVETS Department and National organizations in compliance with National Bylaws Article VII, ARTICLE VIII SUBORDINATE ORGANIZATIONS RECOGNIZED DEFINITION: The word he wherever it shal appear in either the Constitution or Bylaws of AMVETS shall be construed as referring tto both sexes. Section 3. Section 4. The Post does recognize a subordinate organization known as the AMVETS Ladies Auxiliary.. The Post does recognize a subordinate organization known as Sons of AMVETS. The Post does recognize a subordinate organization known as the AMVETS Riders and that the elected Riders Officers have to be members of AMVETS post 312 as the Chapter and Charter both bear the name AMVETS Chapter 312. The appointed officers may be members from other AMVETS Posts The Post does recognize a subordinate organization known as the Honor Guard. ARTICLE IX - RESTRICTED USE OF THE ORGANIZATION AMVETS or any component part thereof shall not be used to promote the interest of any individual who is a candidate for public office, or to promote otherwise any individual, organization, political party, faction or product. Any violation of this provision shall be sufficient cause for disciplinary action against the offending member. 8

10 BYLAWS ARTICLE 1 - QUORUM At all annual, regular and special meetings a minimum of ten (10) members shall constitute a quorum, providing at least three (3) elected officer are present to preside A Quorum at Executive Committee meetings shall consist of three (3) elected members of the committee. ARTICLE II - COMMITTEES Section 3. The following standing Committees shall be appointed by the commander, with approval of the Executive Committee and General Membership; Rehabilitation Program and Legislative Membership, Finance and Programs. The Post Commander shall appoint a chairman and such members of AMVETS to each committee as are necessary to accomplish its objectives. Temporary committees may be appointed by the commander to expedite projects for the good and welfare of the Post. To participate in the JR ROTC Scholarship Program in an amount up to but NOT TO EXCEED $2, per year as available. ARTICLE III - MEETINGS Section 3. Section 4. Section 5. This Post shall meet on the on the first Tuesday of every month at a place designated at the previous meeting, unless a special meeting needs to be called. There shall be three types of meetings; the general membership monthly meeting, special meetings and the annual meeting first Tuesday in May. Post members will be notified ten days in advance of all meetings. At each meeting all members in good standing shall be entitled to one vote. The order of business shall be prescribed by the Executive Committee, but may be changed when necessary. All business meetings of this Post shall be conducted in accordance with Robert s Rules of Order, latest revision. 10

11 Section 6. Section 7. The Post shall hold its Executive Committee Meeting on the fourth Monday of each month. Nominations for officers shall be entertained and an announcement of the business to be considered at the annual meeting will be made at the general meeting two months preceding (March and April) and at the annual meeting. Further nominations may be made from the floor of the annual meeting. ARTICLE IV - ELECTION, APPOINTMENT AND DUTIES OF OFFICERS Section 3. Section 4. Section 5. A commander, not more than two Vice-Commanders designated as 1 st Vice Commander Membership and 2 nd Vice Commander Programs, Finance Officer, Provost Marshal, Judge Advocate and three (3) Trustees shall be elected annually by members of the Post. The Post Commander shall appoint an Adjutant, Chaplain, Service Officer, and Public Relations Officer and Assistant Finance Officer. No Post Officer (elected or appointed) or trustee may be employed in any compensated (hourly salaried) position within the Post or its canteen/clubroom. Such personnel may perform the duties of a paid employee, but shall not accept compensation with the exception of tips (gratuities). Election Protocol as determined by an election committee formed by the Commander, Three tables set up, Table 1 Provost Marshall sets up signup sheet and distributes ballot, Table 2 Member completes ballot, Member marks ballot and Table 3 Adjutant (or Historian) Member drop in container. 1 st Vice check cards, Provost Marshall oversees signup sheet to be numbered accordingly. Member receives ballot after signup from Provost Marshall. Member marks ballot, moves to ballot box and drop ballot in box in front of Adjutant or Historian. When vote is over container is emptied, ballots counted, must match signup sheet number. Votes are tallied by Provost Marshall as read by Adjutant or Historian. 1 st Vice acts as witness to count. Upon completion Provost Marshall will announce results. Call for challenges from Membership after ballot results are announced. Commander: He shall be the executive head of the organization, AMVETS Post #312 and shall carry out the duties imposed upon him by this Constitution and Bylaws. He shall be ex-officio member of all Committees of the Post. He shall preside at all meetings of the Executive Committee and vote only in case of a tie. 1 st Vice Commander for Membership: His duties will be to perform all membership duties as required by higher authority. In the event of the Post Commander s absence or disability and shal perform any other duties requested of him by the Post Commander. 11

12 Section 6. Section 7. 2 nd Vice Commander for Membership: His duties will be to establish a series of programs to be adopted for the year which shall then be carried out by action of the Post. He shall confer with the Post Commander on all these Programs and with the Post Commander will determine the period of time at which these programs will be carried out. He will disseminate information as to how to implement these Programs. He shall also arrange to inform the Post as to the manner of participation in the Programs adopted. Finance Officer: An annual budget shall be prepared by the Finance Officer and/or Assistant Finance Officer and submitted to the Executive Committee for approval and adequate books and records of accounts maintained. The Commander, 1 st Vice Commander, Finance and Assistant Finance Officers (if there is an Assistant Finance Officer) will be the only individuals authorized to sign checks or be on AMVETS 312 bank accounts Assistant Finance Oficer: Wil assist and act in Finance Oficer s stead in the event he/she is not available to perform his/her duties. Section 8. Trustees: If Post Canteens are maintained and operated for the convenience and pleasure of the members of the Post in the name of AMVETS or its insignia are displayed or used, a Board of Trustees, minimum of three with a Chairman to be selected by the trustees, shall be elected from among the members of the Post to supervise it s activities. All activities and operation must be approved by the Executive Committee with all monies derived under the direct supervision and control of the Post Finance Officer. Section 9. Section 10. Judge Advocate: The Post Judge Advocate shall be the legal advisor to the Post. He shall perform all the duties given him by the Post Commander. He shall prosecute Category A and B charges and shall perform duties as per Department Directives. Provost Marshal: The Provost Marshall preserves order at all meetings of the Post and Executive Committee. APPOINTED OFFICERS 1. Adjutant: He shall maintain all records of the Post other than financial or historical, which he shall assist with. He shall issue the call to meetings by the direction of the Commander. He shall take the minutes of all meetings of the Finance Committee, Administrative Board and the Post. He shall perform such other duties as directed by the Commander. 2. Public Relations Officer: He shall keep the public informed through the press or such other channels as he deems proper, on all activities of the Post to build and 12

13 maintain good will toward the Organization. He shall be empowered to institute a program using professional public relations council where necessary, which will keep the Organization in the forefront of all Veteran groups. Such formulated programs to be approved in advance by the Post. He shall perform such other duties as are incident to his office. 3. Inspector General: The Post Inspector General shall be the investigating officer of the organization by direction of the Commander or by the Board of appeals shall make necessary investigations pertaining to given disciplinary cases, fraud or dishonesty within the Organization, charges unbecoming an AMVET and shall be empowered to have access to all records, financial or otherwise, of the Post. 4. Chaplain: he shall invoke the Divine blessing at the opening and closing of the Post meetings and shall fulfill the Spiritual Obligations and duties incident to such office and all appropriate occasions, same to be non-sectarian and shall be charged the responsibility over ritual matters. 5. Historian: He shall compile all records of historical value and interest that a complete and permanent record may be kept of all activities of the Post since its inception. He shall perform such other duties as are incident to the office. 6. Assistant Finance Officer: To help the Post Finance Officer and work as his or her assistant and to fill in when the post Finance Officer is away. ARTICLE V - DELEGATES TO CONVENTION At least thirty (30) days prior to the Department and National conventions, delegates and alternates shall be chosen to attend said conventions. The number of delegates will be in accordance with the National and Department delegate strength guidelines. The Post Commander shall constitute one delegate. Other delegates may be elected with instructions governing their representation. All delegates to Convention shall have their rooms paid for by the AMVETS Post 312 and rooms to be shared by at least two members or if shared with Post 312 subordinates if there are no monies entitled for the subordinate (a check of the subordinates Bylaws will be done) plus $.35 per mile to all AMVET 312 drivers to the convention. Al delegates pre-registration fees will be paid for by the Post. All delegates will receive $50.00 per day per-diem for meals and receipts to be presented for reimbursement. If it is determined by the Executive Committee that sufficient funding is not available then delegates will NOT receive the $50.00 per day per-diem nor the $.35 per mile allowance. Reimbursement is for Elected Officer only. If an Elected Officer is unable to attend, a member interested in becoming an Officer in the future may attend in his place with reimbursement, if approved by the Executive Board. 13

The total annual dues of this Post shall be set at $30.00 per year of which $13.00 per member shall be paid to National, $8.00 to the Department, and the Post shal retain $9.00 which shal be deposited in the Post s membership escrow account to be maintained for membership expenses. No monies will be taken out of this account if the balance is less than $3, Life member dues are $ as of January 1, 2011, and $ on January 1, No monies will be taken out of this account if the balance is less than $3, The Post Executive Committee shall approve all fund-raising activities in advance. If a fund raising activity requires entering into a contract or if anticipated gross revenues are expected to exceed $10, a copy of the proposed fund raising program must be transmitted through the Department Judge Advocate to the National Headquarters for approval. An annual budget shall be prepared by the Finance Officer and or Assistant Finance Officer and submitted to the Executive Committee for approval. Accurate books and records of account activities maintained by the Finance Officer shall be subject to inspection and regulation by the Executive Committee. The Finance Officer and or Assistant Finance Officer shall render a report of receipts and disbursements to each meeting of this Post. This office is also responsible for filing an IRS Form 990 with the District Director of the Internal Revenue (or a certificate in lieu thereof where the 990 is not required) on or before the 15th day of the fifth month following the close of the annual accounting period. A statement as to whether a 990 has/has not been filed with the IRS must be given in writing to the Department and National Headquarters. The Post s fiscal end shal be December 31 st of each year. If a Post Canteen is maintained and operated for the convenience and pleasure of the members of this Post in the name of AMVETS, or its insignia are displayed or used, the Post shall also secure, at the least, the minimum liability insurance coverage prescribed by the National Headquarters. The National Headquarters and Department of Florida will be listed as an additional insured and file a copy of the Certificate of Insurance with the Department Executive Director and the National Organization. Post officials handling AMVETS funds shall be properly bonded with a good and solvent bonding Surety Company, acceptable to the U. S. Treasury, as surety to cover the average amount of AMVETS funds 14

15 handled by said individual in a single year. The Finance Officer and Assistant Finance Officer must be a Notary Public. Section 8. Not more than $ may be spent by any officer without Executive Board approval. If an emergency should arise not less than three (3) elected officers must give approval. ARTICLE VII RESOLUTIONS All resolutions adopted by this Post shall be forwarded to Department Judge Advocate via the Department Executive Director. A simple majority vote of members present is required to pass any resolution other than amendments to the Constitution and Bylaws. ARTICLE VII - RESTRICTED USE OF ORGANIZATION AMVETS, THE Post, or any component part thereof, shall not be used to promote the interest of any individual who is a candidate for public office, or to promote otherwise any individual, organization, political party, faction or product. Any violation of this provision shall be sufficient cause for disciplinary action against the offending member. ARTICLE IX - DISCIPLINE OF POST MEMBERS This Post shall be the judge of its own membership. Disciplinary action shall be broken into two categories: Category A. being offenses against AMVETS, Category B being a violation of Post House (Canteen) rules. Such charges shall be made under oath (notarized), setting forth the time and place of the offense or other basis for the charges, as near as may be practical, and signed by the accuser. The Commander and Judge Advocate shall review all charges and determine which category the grievance shall be adjudicated. Category A: Offenses against AMVETS may include, but are not limited to the following: (a) (b) (c) failure to comply with any obligation imposed on members under the Constitution and Bylaws; any violation of law that reflects unfavorably on the name of AMVETS; any conduct unbecoming an AMVET; 15

16 (d) Ineligibility for membership at time of acceptance into membership; or procurement of membership by fraud or deception. Category B: Violation of House (Canteen) Rules. These violations cover all situations where a canteen is operated and a meeting is not in session. Charges: No member against whom charges have been preferred or who has preferred charges against another member shall sit in judgment on any panel hearing or deciding the matter. (a) Category A: Any member of AMVETS may prefer charges against any other member, alleging any of the foregoing causes for suspension or expulsion. Such charges shall be made under oath, setting forth the time and place of the offense or other basis for the charges, as near as may be practicable, and signed by the accuser. Members if subordinate organizations cannot file Category A charges against an AMVET. (b) Category B: Charges may be made by any Post member (any person having Post Canteen privileges). Section 3. Section 4. Section 5. Section 6. Section 7. All charges and shall be processed in accordance with Department Bylaws, Article VIII and National Constitution and Bylaws, Appendix B. Category A charges shall be heard by the Post Executive Committee. Category B charges shall be heard by a five (5) member grievance committee appointed by the Commander. The member complained about shall have the right to be represented by counsel and to cross-examine his, or her, accuser or accusers and witnesses presented against him or her and shall be so notified The Post Judge Advocate shall prosecute Category A and B charges. The attendance of a court reporter shall be permitted at all hearings. The presiding officer shall decide all questions as to the relevancy of evidence and the regularity of the proceedings. On the conclusion of the hearing, a vote shall be taken first as to whether there is a basis for the charge or charges and, if by the vote hereinafter mentioned, it is determined that there is none, the charges may be dismissed. If the charges are not dismissed, then a vote shall be taken on the guilt or innocence of each of the charges and each of the specifications. A two-thirds (2/3) vote of the members hearing the charges and specifications shall be required to sustain any charge or specification. Voting herein provided for shall be secret or open as said Committee may, be majority vote thereof, determine. 16

Section 9: If any charge or specification is sustained, then the member shall be deemed to be guilty thereof and the officer presiding at the hearing shall then put the question of the degree of punishment as to: whether there shall be a suspension from the benefits of membership and, if so, for how long; or, whether there shall be an expulsion from the Post, or the National AMVETS Organization. Category B charges can only result in the suspension or revocation of canteen privileges. Notice of appeal must be filed in writing with the Commander or the appellate body not later than thirteen (13) days after the imposition or the penalty. The decision or the appellate body at either level shall be binding and final. (a) (b) Category A: Any member whose membership is suspended or forfeited may appeal to the Department Executive Committee.. Category B: Appeals may be made to the Post Executive Committee. Section 10: Section 11: Section 12: The discipline of Post members shall be as provided by the current National and State Bylaws. Refer to DEPARTMENT BYLAWS ARTICLE XI: DISCRIMINATION AND HARRASSMENT BOTH VOLUNTARY AND COMPENSATED EMPLOYEES. The Commander can arbitrate class B cases if so desired. ARTICLE X - POST HOME The American flag will not be removed from the back stage wall and must remain in place at all times. ARTICLE XI AMENDMENTS This Constitution and Bylaws may be amended upon the recommendation of the Executive Committee or by resolution at a General Meeting of the membership in the following manner only! The proposed Amendments shall be submitted in writing to the Executive Committee for its recommendations and study and then shall be brought forth and submitted at the next General Membership Meeting not more than thirty (30) days thereafter. (a) (b) Read into the general membership minutes Copies of the Amendments to the Constitution and Bylaws shall be posted on the bulletin board at the post for (30) days prior to date of vote. A two thirds (2/3) vote of the members present shall be required to amend this 17
