SUBJECT: Thirteenth Amendment to Agreement with AECOM Technical Services, Inc. (AECOM) for the Rice Avenue/Santa Clara Avenue Interchange Improvement Project at U.S. Highway 101 RECOMMENDATION That City Council approve and authorize the City Manager to execute a thirteenth amendment to the agreement with AECOM to increase the amount by $90,239 (a total of$5,142,454) to provide construction management services for the Rice Avenue/Santa Clara Avenue interchange improvement project at U.S. Highway 101 (AgreementNo. A-7235). DISCUSSION The City Council approved the agreement with AECOM (formerly LAN) on December 8, AECOM was hired after the City issued a request for proposals for professional construction management and construction inspection services. AECOM's services include construction management, project coordination, schedule management, construction inspection, claims review, and material testing during the construction ofthe Rice Avenue/Santa Clara Avenue interchange improvements at Highway 101. The thirteenth amendment would add fees for construction management between June 1,2015 and December 31, All ofthe work in the thirteenth amendment is due to the project delay and the construction contractor's inadequate effort to deliver extra work bills for payment. The majority of expenses are related to the contractor's claim related to the delay in the construction due to the errors or omissions ofthe designer, URS Energy and Construction (URS), about the impact ofground settlement on the underground utilities. Staff anticipates the City will file a claim against URS to recover all eligible costs related to design errors resulting in unexpected changes due to the ground settlement. FINANCIAL IMPACT If approved, the amount ofthe agreement would increase by $90,239 to a total of$5,142,454. Federal and state grants, an assessment district, and several city sources fund the project.

3 Agreement No. A-7235 THIRTEENTH AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES This Thirteenth Amendment ("Thirteenth Amendment") to the Agreement for Professional Services ("Agreement") is made and entered into in the County ofventura, State of California, this day of,2015, by and between the City ofoxnard, a municipal corporation ("City"), and AECOM Technical Services, Inc. ("Consultant"). This Thirteenth Amendment amends the Agreement entered into on December 8,2009, by City and Consultant. The Agreement was amended on July 27, 2010 by a First Amendment, on September 22,2010 by a Second Amendment, on July 26,2011 by a Third Amendment, on Apri117, 2012 by a Fourth Amendment, on July 31, 2012 by a Fifth Amendment, on November 28,2012 by a Sixth Amendment, on February 26,2013 by a Seventh Amendment, on July 2,2013 by an Eighth Amendment, on October 15, 2013 by a Ninth Amendment, on December 17, 2013 by a Tenth Amendment, on Apri115, 2014 by an Eleventh Amendment, and on December 9,2014 by a Twelfth Amendment. City and Consultant agree as follows: 1. Effective June 1,2015, in Section 1 ofthe Agreement, Exhibit A is supplemented by Exhibit A-II, attached hereto and incorporated herein by reference. 2. Effective June 1,2015, in Section 8 ofthe Agreement, Exhibit B is supplemented by Exhibit B-10, attached hereto and incorporated herein by reference. 3. Effective June 1,2015, in Section 14a ofthe Agreement, the figure "$5,052,215" is deleted and replaced with the figure "$5,142,454." Exhibit C is supplemented by Exhibit C-l1, attached hereto and incorporated herein by reference. 2. As so amended, the Agreement remains in full force and effect.
