5 PROPOSED RULES FOR the 2016 WNA ANNUAL MEETING 1. Attendance at the Annual Meeting is open to WNA members, non-members, including non-member professional registered nurses and nursing students. 2. To obtain the floor, a member shall go to a microphone; address the chair ( Madam President ), give name and district, and upon recognition by the chair, may speak. 3. A member may not speak in debate more than twice to the same question, or longer than three (3) minutes, without permission of the membership granted by a two-thirds vote without debate. No one may speak more than once to a question if a member who has not spoken wishes to do so. 4. All motions, except those of a routine nature, shall be in writing, and shall be sent at once to the chair. 5. If a member wishes to amend a motion, it may be done by one of the following methods: by striking out; by inserting; by striking out and inserting; by adding to; or by substitution. All amendments shall be in writing and shall be sent to the chair at once. 6. Business interrupted by a recess of the meeting shall be resumed at the next business meeting at the point where it was interrupted. 7. Only one substitute motion or paragraph amendment may be proposed at one time to any main motion. This will be the primary amendment. The substitute or paragraph amendment may have only one minor amendment applied to it at one time. This will be the secondary amendment. Each of these motions will be considered and voted on separately and in reverse order to their proposal.

9 Activities of WNA Finance Committee Held five meetings throughout Developed the WNA 2016 operational budget. Reviewed and discussed the quarterly finance and accounting related reports. Reviewed action plans developed by WNA staff n response to the 2014 and 2015 Financial Audit. Recommended changes to WNA Accounting Policy and to the WNA Board of Directors for approval.

Sources of income = $845,011 Membership Dues - $236,062 CEAP - $50,769 CNEP (educational offerings and services) - $335,144 Grant - $57,400 Other (advertising, product sales and building sale Income -$ 65,364 Expense areas = $809,944 Personnel - $283,940 Consultants - $68,041 CNEP Expenses - $262,819 Operational (building expenses prior to sale of building, digital media, taxes and interest on loan) - $180,914.

13 WNA Financial Audit 2014 & 2015 Hired Wagner, CPA Financial Auditing Firm to conduct a review of the 2014 and 2015 financial documents Resulted in qualified audit for both years due to lack of information prior WNA fiscal years. The auditors noted that improvements were already seen Hired new accounting firm. Implemented new policies. Implemented new accounting system and platform. The concern over the 2015 Financial Audit was lack of enough detail from the 2014 depreciation schedule that could not be remedied and therefore impacting This is now resolved since the sale of the building.

24 Amend the following articles and sections of the WNA Bylaws: Article II Meetings of the Membership Section 1. The WNA members in attendance, in-person or joining electronically at annual and special meetings constitute the governing and official voting body of the Association. Section 2. - The membership in attendance, in person or joining electronically, at annual or special meetings Section 3.A. The membership shall meet in-person or electronically, once a year to participate in the scheduled business

25 Amend the following articles and sections of the WNA Bylaws: Article II Membership & Dues Section 2.E. Attend WNA annual and special meetings in person or joining electronically, and vote on official business of the Association Section 5. A.1.a. The amount of the annual WNA dues: 1. That is allocated for WNA shall be established: a. By a 2/3 vote by secret ballot of the members present and voting in person or joining electronically, at a general or special membership meeting, after at least 60 days notice of the intention to vote upon the dues;

26 Amend the following articles and sections of the WNA Bylaws: Article IV Executive Committee Section 2. A. & Section B. Meetings of the Executive Committee A. Meetings shall be held at the call of the President. B. Meetings of the Executive Committee may be held in person or electronically. Article IX Councils Section 5. C & D. C. Meetings can take place in-person or electronically. D. A quorum for the Council shall be 50% of the total number of members

31 Recommendations That the Wisconsin Nurses Association adopt a process that promotes increased member engagement and decision-making in the development of timely, relevant and non-operational related Reference Reports that reflect the following: 1. WNA s Membership Assembly will include expanded time for members to discuss the important and relevant issues or topics of interest to the nursing profession using the Dialogue Forum process. 2. The members will develop and prioritize recommendations emerging from the Dialogue Forum discussions and will forward to the WNA Reference Committee for the development of a WNA Reference Report. 3. The Reference Committee will develop a Reference Report with recommendations and present to the members attending the WNA Annual Meeting for adoption. 4. The Reference Committee will present Reference Reports that are operational in nature that have been presented to the membership during the scheduled Reference Committee Hearings. 5. The WNA Board of Directors will develop an implementation strategy related to the approved Reference Report recommendations. 6. Reports of progress will be provided to the members annually.
